国际专利许可合同(附英文译本)

3.5 甲方依据本合同的专利许可，销售的合同产品一经付款则视为货已售出。

3.6 若在交付专利权使用费后，已售合同产品被退回或折价，甲方有权在以后支付的专利权使用费中扣除因此而多支付的专利权使用费。

3.7 乙方如需查核甲方的帐目时，应在接到甲方依上述第3.4款规定开出的书面通知后10天内通知甲方、其具体的查帐内容和程序详见本合同附件四。

第四条 支付条件

4.1 本合同第三条中规定的提成费，甲方将通过_________银行（此处为甲方的业务银行）和_________银行（此处为乙方的业务银行）支付给乙方，支付中使用的货币为_________。

4.3 按本合同规定，如乙方需要向甲方支付罚款或赔偿时，甲方有权从上述支付中直接扣除。

第五条 技术服务和培训

5.1 技术服务

（1）乙方在合同有效期内派遣一名技术专家到甲方，对合同产品的图纸和技术资料进行解释，并就产品设计、制造、调试和检验，以及维修等方面进行技术指导，以使甲方在保证合同产品性能的情况下，能尽快采用国产的材料和元器件，实现合同产品的生产。

（2）乙方在合同有效期内分两次派遣技术人员赴甲方进行技术服务，共_________人日。

（3）第一次技术服务在合同生效后第六个月，乙方派遣技术人员1人赴甲方工厂，提供技术指导_________日。

（4）第二次技术服务在合同产品验收期间。乙方派技术人员1人赴甲方工厂，提供技术服务，时间为_________日。

5.2 技术培训。

（1）乙方负责对甲方技术人员进行培训，使甲方受训人员掌握合同产品设计，性能测试，加工工艺，装配工艺和质量检查等技能，使甲方能用乙方提供的资料和专门知识，在合同工厂制造出与乙方产品质量相同的产品。乙方应设法安排甲方受训人员参观制造合同产品外购件的生产过程和合同产品的主要用户。

（2）甲方受训人员在协议期间分两批，_________人日以内（翻译除外）赴乙方接受培训。

（3）首批培训时间为合同生效后的第三至第四个月，甲方派技术人员_________人，翻译_________人到乙方工厂接受为期_________人日（每周5天工作日）的培训。内容为合同产品的设计和制造工艺。

☆☆圣诞节 一个恣意狂欢的理由

圣诞节成为普天同庆、肆意狂欢的世俗节日，是一个意外，也是创立这个节日的基督教会所始料未及的。

基督教创立圣诞节，原本是为了提醒人们不要忘记耶稣的诞辰。《圣经·马太福音》记载，在犹太国的小城拉撒勒(今巴勒斯坦北部)，住着一个叫约瑟的木匠，他和一位名叫玛利亚的姑娘相爱定婚。奇怪的是，他们还未成婚，玛利亚就怀孕了。约瑟按上帝的旨意给这孩子取名为“耶稣”。耶稣长大后果然不同凡响，他一边巡游，一边训众，还做了许多神奇的事，如治愈了麻疯病人，命令海浪平息，将拦路之鬼赶入猪群，让瘫子走路、瞎子复明、哑巴说话等等。于是，众人都视他为救世主，敬称他为“基督”(“救世主”、“上帝之子”之意)。

可惜，“救世主”最终不能拯救自己，竟被自己的门徒出卖并钉死在十字架上。为了纪念耶稣的出生，信徒们创立了圣诞节(也称“主降生节”)。同时，为了纪念耶稣之死，又创立了“耶稣受难节”。但“受难节”毕竟不是一个喜庆的节日，至今其纪念活动仅局限于基督教和天主教内部，并且，其纪念活动的规模和受重视程度也远远不如圣诞节。

值得一提的是，圣诞节到底是何时创立的?耶稣是何年何月何日出生，又是何年何月何日死亡的?没有史书记载，在《圣经》中也没有只言片语。把12月25日确定为圣诞节，完全是教会的人为加工。公元354年，罗马帝国西部拉丁教会在年历中首次写明：12月25日为耶稣基督诞生日。由此算来，圣诞节已有1600多年的历史了。我们无须再为耶稣何时出生而争论，因为，基督耶稣早已化作一个精神偶像。

圣诞节在悠悠162019年的历程中，形成了内容丰富、底蕴深厚的圣诞文化。构成这一文化体系的是圣诞树、圣诞老人、圣诞颂歌以及与之相关的风俗及理念。如果说圣诞节是一场戏，那么，圣诞树、圣诞老人就是戏台中不可或缺的道具和角色，而圣诞颂歌就是这场戏的主题歌了，

☆☆圣诞树 一个常青不老的希望

一进入12月，西方人总要在自己的庭院或屋里立上一株松、杉、柏之类的塔形常青树，树上挂满了糖果、巧克力、彩灯、彩带，琳琅满目。这就是圣诞树。

作为一种文化符号，圣诞树具有宗教和世俗的双重性。它最早源自人们对常青树的崇拜，在医学不发达的时代，人们相信常青树有驱魔避邪之效。把常青树与圣诞联系起来并赋予其宗教意义，是公元8世纪的事，那时，由于德国传教士尼古拉斯常在圣诞节时用纵树供奉圣婴，所以，人们便把常青树称为圣诞树。随后，德国人把12月24日作为亚当和夏娃的节日，在家里放上象征伊甸园的“乐园树”，并在树枝上挂着小甜饼，点上蜡烛，也许这就是今天人们所见的圣诞树上总是挂满了小礼物的原因。

不过，大多数西方人更愿意接受关于圣诞树的另一种说法。在古代德国的东部山区，住着一个心地善良、乐于助人的农民，一个寒风呼啸、雪花飞舞的平安夜，农民一家正围炉烤火，突然一个衣衫褴褛的孩子闯进屋来哀求说：“让我烤烤火吧!”农民把他拉到火炉旁坐下，让他把衣服烘干，又招待他吃了一顿热气腾腾的圣诞餐。这孩子告别时，随手折了根树枝插在门外的雪地里，祈祷说：“树常青，人长寿，年年此日，礼物满树。”说完便无影无踪了。第二天，那株插在雪地里的树枝长成了一棵枝叶繁茂的杉树，树枝上挂满了金光闪闪的金币。农民意识到，他昨晚招待的那个孩子是“主”的使者，是来给他赐福的。

这桩神奇之事不胫而走。后来，德国及周边国家的人们都在自家的屋前种上常青树，并在圣诞节来临时将树装饰一新，有的家庭还在树根旁布置一个马槽，以再现当年圣母玛丽亚生耶稣的情景。布置和装饰没有统一的模式，但人们的愿望却是一样的，那就是期盼上帝光临、赐福。

17世纪，德国移民把圣诞树风俗带到北美大陆，到18世纪末便风行整个北美。19世纪，随着英国全球性的势力扩张，圣诞树很快在英国的殖民地流行。19世纪末20世纪初，圣诞树又被美国传教士带到中国和日本。不过，这时候的圣诞树已经没有多少宗教的成分了，如果说在基督教内部它象征耶稣生命永恒，那么在教外，人们更愿意把它看成是一种吉祥的圣诞装饰物，代表人们对丰收和平安的期盼。这样的变化即使在基督教盛行的欧洲，也是非常明显的。现在的欧洲人在装饰圣诞树时，大多会在树枝上挂上写有亲人名字的圣诞礼物，以便到圣诞子夜时分给相聚的亲人带来一份惊喜。大家盼望的就是那一时刻的团圆和伴随而来的阵阵欢呼。

☆☆圣诞老人 一个美丽的谎言

在西方，圣诞老人是圣诞节一个标志性角色，圣诞树可有可无，圣诞大餐可以不吃，但怎么可以没有圣诞老人呢?

圣诞老人的故事，在欧洲民间流传的版本很多，但被世界大多数人认可的，还是来自北欧芬兰的圣·尼古拉斯的故事。传说在公元3世纪，也就是圣诞节刚刚形成的时候，有一位生活在芬兰北部名叫尼古拉斯的老人，他拥有无穷无尽的财富又乐善好施，他喜欢乘坐鹿拉雪撬漫游各地，遇到穷困人家总要慷慨地伸出援助之手。有一个圣诞节前夕，他听说有户穷人家的女儿要出嫁，但因为没有嫁妆和漂亮衣服，新娘为此愁容满面。老人在夜深人静时悄悄从姑娘的窗户投进一袋金币，作为自己的贺礼。由于天黑，又投之匆匆，这袋金币正好落在姑娘挂在壁炉旁的长筒袜里。姑娘第二天起床穿袜时发现金币，颇觉蹊跷又喜出望外。在老人的帮助下，姑娘体体面面地出嫁了。

尼古拉斯不仅给穷人送金币，还乐于在平安夜给孩子们送糖果、玩具之类的礼物。不过，他的礼物并不公开地送，每每在夜深人静时，把礼物从烟囱投入，这样孩子们总能在圣诞节的清早得到一个惊喜。时间一长，人们便发现这些礼物是一位慈眉善目、满脸银髯，身穿镶着白绒的红袍，头戴白边红帽，手持拐杖，乘坐雪撬的老人送的。于是，人们便称尼古拉斯为圣诞老人。

当然，圣诞老人不只是给孩子们送来礼物。对于调皮的孩子，他不仅不给你礼物，反而会扬起拐杖在你的屁股上来两下。

后来，人们为了给孩子们一个美好的圣诞梦和对明天的向往，开始习惯于在圣诞节前打扫通向壁炉的烟囱，并告诉孩子在睡觉前将长筒袜挂在壁炉旁，以迎接圣诞老人的礼物。对于调皮的孩子，大人们总会以“你想要圣诞老人礼物还是想要圣诞老人打屁股”来规劝。于是，听话的或不听话的小孩儿，都会带着热切的期盼乖乖地进入梦乡，第二天醒来，当他们发现长筒袜里装满了盼望已久的圣诞礼物时，还以为真是圣诞老人的恩赐。

久而久之，这个赶着驯鹿、拉着装满礼物的雪撬，挨家挨户送礼物的快乐老精灵的形象，就深深地留在人们的记忆中。圣诞老人也因此成为圣诞节最重要的象征和传统。

“圣诞老人”只是一个无从考证的传说，但美丽传说带给人们的，总是无限的快乐和希望。善良的人们宁愿相信这一切确确实实真如传说，没有人愿意用理性去戳穿这个美丽的谎言。

☆☆《平安夜》 一首永不过时的名曲

当《平安夜》平和、悠扬的美妙旋律在世界的各个角落响起时，我们这个星球上数以亿计的人，都会情不自禁地吟唱起这首古老而又永不过时的圣诞颂歌。虽然圣诞颂歌不只是《平安夜》一首，但《平安夜》却是所有圣诞颂歌中最著名的。英国近代音乐史专家爱德华博士曾在一次演讲中说：“时间证明，《平安夜》是一首给无数人带来温馨快乐、最受人喜爱的歌曲，也是一首在全世界仅次于《祝你生日快乐》的流行歌曲。”

然而，许多年来，没有人知道《平安夜》的作者是谁。一个叫莫莱尔的修琴师意外拥有词曲手稿，并添加了《平安夜》的歌名，人们便一直认为他就是《平安夜》的创作者。直到1996年，奥地利音乐学院的专家运用电脑，对19世纪初到19世纪70年代的相关乐坛档案进行分析论证，才最终确认：《平安夜》的真正创作者是奥地利人格鲁柏和莫尔。

格鲁柏和莫尔都出生在奥地利的一个小村庄。182019年圣诞节的前一天，格鲁柏一大早来到教堂练琴，以备当夜举行子夜弥撒，不料风琴被老鼠咬坏。莫尔神甫是个音乐家，又是这个地区有名的诗人，看到格鲁柏急得抓耳挠腮，就试着拿出自己写的一首诗对格鲁柏说：“我们把这首诗谱上曲，以口唱代风琴，或许可以应付今夜的子夜弥撒。”格鲁柏觉得主意不错，两人立刻投入到歌曲的创作之中。子夜弥撒终于开始了，格鲁柏领着12名衣着整洁的孩子走上圣坛。格鲁柏向大家颔首行礼后，便用吉他弹起了《平安夜》的序曲，接着，莫尔神甫那浑厚的男低音和孩子们稚嫩的童声一起，在大厅中回响起来———

“平安夜，圣善夜/万暗中，华光射/照着圣母，也照着圣婴//多少慈祥也多少天真……”
