第二十四条分代理或转让

（1）非经委托人书面同意，总代理人不得将协议之任何义务或责任转让给非经委托人指定的分代理，不论经委托人如何同意的由总代理人委托的分代理，根据协议的规定不得免除代理人的任何权利、义务或责任。

（2）非经总代理人书面授权，委托人不得将本协议规定的任何权利、义务或责任予以转让或转移给他人。

（3）本协议对委托人、总代理人及各方指定的继承人均具有同等的约束力，并确保实施。

第二十五条本合同在以下几种情况下终止

（1）如任何一方有违背本协议的实质行为，另一方得以书面通知该方，叙述此种违约行为，并说明除非该方对此种违约行为按本节规定加以纠正，否则另一方将按照本节规定终止本协议。如该通知发出后_____天内仍未得到纠正，则本协议根据这一事实在上述____天内即时终止；

（2）如任何一方根据破产法或债务人救济法提出或同意提出破产申请或其他救济申请，或被裁定破产，或解散，或清理，或对债权人作任何转让，或对该方指定了产业管理人或类似人员，则在上述任何情况下，另一方得在任何时侯以书面通知即终止本协议。如果因有关法律，法规的变化导致合同一方不能履行本合同项下的义务，甲乙双方任何一方当事人均可终止本合同。

（3）如遇本协议所规定的某种不可抗力事由，以致协议一方在超过_________天期限后尚无法履行其义务时，则另一方可在任何时侯以书面通知立即

终止本协议。

第二十六条文件的归还

协议期满时，乙方应将甲方提供的全部广告资料及所有文件归还给甲方。

第二十七条存货的退回

协议期满时，乙方若储有代理产品和备件，应按甲方指示退回，费用由甲负担。

第二十八条违约责任

（1）甲方如违反国家有关政策法规，乙方有权中止合同，并由甲方承担相应的责任。

（2）除乙方认可或授予信用额度外，乙方不接受甲方任何形式的欠款。因此如甲方未能按时交纳费用时，乙方可不予受理甲方委托的业务并有权停止甲方相应产品和服务的使用权，直至取消甲方经销资格。乙方违反其他依据本合同应当承担的义务，按本合同约定承担责任。

第二十九条产品质量

（1）标准：甲方向乙方保证，所有产品均符合地区内的标准。可以出售，并适合销售目的。甲方并保证产品在原料和制造工艺方面均符合质量标准。

（2）免受损失：凡因产品被指称质量低劣，或因侵犯专利、商标，或因在地区内销售或使用产品而引起的其他任何类似的责任事由，甲方应保护乙方，使之不受损失。

（3）质量：如乙方发现任何产品质量低劣，并将此事实通知甲方，甲方应按乙方提出的要求，立即予以调换或对乙方给予补偿，其费用由甲方自行负担。对由于上述调换或补偿而引起的损害，乙方不丧失其索赔权。

第三十条竞业禁止

乙方不应与甲方或帮助他人与甲方竞争，乙方更不应制造代理产品或类似于代销的产品，也不应从与甲方竞争的任何企业中获利。同时，乙方不应代理或销售与代理产品相同或类似的（不论是新的或旧的）任何产品。

本协议规定在此协议终止后的_________年内，代理人不能生产和销售同类产品予以竞争，本协议终止后的_________年内，代理人也不能代理其他类似产品，予以竞争。

第三十一条声明及保证

甲方：

（1）甲方为一家依法设立并合法存续的企业，有权签署并有能力履行本合同。

（2）甲方签署和履行本合同所需的一切手续均已办妥并合法有效。

乙方：

第三十二条保密

双方保证对从另一方取得且无法自公开渠道获得的商业秘密（技术信息、经营信息及其他商业秘密）予以保密。未经该商业秘密的原提供方同意，一方不得向任何第三方泄露该商业秘密的全部或部分内容。但法律、法规另有规定或双方另有约定的除

外。保密期限为_________年。

一方违反上述保密义务的，应承担相应的违约责任并赔偿由此造成的损失。

第三十三条不可抗力

Function and Application of Descriptive Translation Studies

1 Introduction

The intention of this study is to explore possible advantages of Descriptive Translation Studies as in its application in translation practice and translation analysis.

Since early 20th century, translation studies gradually broke away from the marginal status within other related disciplines and established itself as an empirical science. From then on, schools of thought have kept coming out and each claims its legitimacy for existence. Among these schools is Descriptive Translation Studies (DTS).

DTS approaches translation from an empirical perspective. Translation is viewed to be a social activity having significant importance in the receiving culture and for the target community. Therefore, translation is dealt with beyond the linguistic realization and language comparison, and is incorporated in social and cultural context.

My attention was first directed to DTS by its peculiar characteristic of observation, description and explanation. The subject is whatever happens in translation practice, from the determination of prospective function of translation to the process of translator’s choice of strategies, brainstorming and the revision, to the final product making appearance in the target community.

The method of DTS is basically descriptive. The prescriptive tendency and the problem-solution pattern is abandoned. Translation phenomena are noted down. With accumulated data, some underlying truths about translation will come out which will prove to be instructive not only for theoretical probe but also for applied translation practice. I will apply this descriptive method in the case study of this thesis.

A convenient tool has been set up to conduct DTS. “Norm” is operative at every stage of description and explanation. Function, process and product and their relationship as well are skeletal structure of what constitute descriptive studies. Translation phenomena are accounted for with the help of norm.

The case taken in this thesis is the Chinese classic The Dream of Red Mansions. Two English versions translated respectively by Yang Hsien-yi and David Hawks are compared and observations are made in regard to their translation approaches.

In this regard, my observations are limited to several aspects, I hope in-depth observation and explanation will done in light of DTS.

understanding of client’s need and formulation of concept design for client’s approval. includes advising of the need for authority submissions and additional consultants where appropriate. concept illustrations will be prepared for the client’s understanding of the design intent. no detailing is done at this stage. subsequent changes after the approval of concept design are deemed additional services and shall be chargeable according to paragraph 7.0 unless otherwise stated.

6.1 the design consultant reserved the right to change approved design, detailing, materials, finishes and specification due to unforeseen circumstances that is not within the control of the design consultant. such changes shall be commuted to the client and no additional service charge shall be payable by the client. however additional cost incurred to labour and material shall be reimbursed by the client.

7.2 this service shall be approved by client in writing before the design consultant provides such services.

8.0 reimbursable expenses 可补偿费用

8.2 expenses for all travel related cost including business class airfares with singapore airlines or equivalent, 5 star hotel accommodation, surface transportation and luggage handling or courier services.

8.3 expense for professional and perspective drawings and/or scale models at the request of the client, plus 10% handling charge.

8.4 expense for courier services, postage and handling of drawings, specification and other documents.

9.0 payment withheld 支付扣留

9.1 no deductions shall be made from design consultant’s compensation due to penalty, liquidated damages, or due to the cost of changes in the works other than those, which the design consultant has been found liable due to, be liable. the design consultant’s work shall be deemed to be complete upon the implementation of the work based on the approved working drawings under the design development phase.

以下费用不得被抵扣：(1)设计方由于罚金、违约金而获得的赔偿金;(2)除了被确认的由于设计方的责任而导致的设计变化而产生的费用。基于在设计开发阶段被批准的设计图纸开始施工时设计方的工作即被视为已完成。

10.0 damage or destruction of works 工程毁损

10.1 if at anytime before the completion of the project, the works, or equipment or any part thereof shall be damaged, or destroyed by operation of war, riot, civil commotion, natural catastrophe, or any other circumstances beyond the control of the design consultant, the client may require the design consultant to resume work on the project. the design consultant may do so upon notification in writing by the client. however, the remedial work and subsequent additional works relating to the project shall be subjected to a mutually agreed fee, before the work is resumed.

在项目竣工前的任何时间，如若发生由于战争，动乱，内乱，自然灾害或者其他任何不在设计方控制内的事件而导致工程、设备或者其他设施毁损灭失的，客户有权要求设计方重新开始工程的相关工作。设计方应当在收到客户的书面通知后开始工作。在工作重新开始前，双方应当确认好补救工作和随后的附加工作的具体费用。

11.0 care and diligence 谨慎勤勉义务

11.1 the design consultant shall exercise all skill, care and diligence, and shall discharge his obligations under appointment in accordance to sound professional practice.

设计方应该运用专业技能勤勉谨慎地履行合同，并且按照约定根据合理的专业实践履行义务。

12.0 termination 合同终止

12.1 the obligation to provide further services under this agreement may be terminated by either party upon 14 days written notice in the event of substantial failure by the other party to perform in accordance to the term through no fault of the terminating party.

如若发生导致合同实际履行不能的事件，一方在无过错的前提下提前14日书面通知另一方后合同义务即告终止。

12.2 the client upon may terminate this agreement not less than 14 days written notice to the design consultant in the event that the project is permanently abandoned. if the client abandons the project for 90 consecutive days, the design consultant may terminate the agreement by written notice.

如若工程被永久废弃，客户需提前14日书面通知设计方以终止合同。如果客户持续90日废弃该工程，设计方可书面通知终止合同。

12.3 the agreement may be terminated if either party commits a breach of agreement and fails to remedy within 14 days after the notification in writing specifying the breach and requiring its remedy.

12.4 this contracts shall terminate with immediate effect if either party commits an act of bankruptcy of commerce proceeding of winding up (other than for reason of amalgamation or reconstruction of the company), or if an administrator, liquidator or receiver is appointed for the whole or part of the business of the party.

12.5 in the event of any termination, the design consultant shall be paid for all services rendered to the dated of termination, including any reimbursable expenses and termination expenses. the design consultant shall submit his account for the balance of payment with 30 days of termination. the client shall pay all outstanding fees within 30 days upon the receipt of the account. a monthly interest of 1% is chargeable if payment due to the design consultant is not received after 30 days upon issuance of the final account.

13.0 opinion of cost 成本建议

13.1 as the design consultant has no control over the cost of labor, materials, equipment or services furnished by others, as well as the contractor’s method of pricing, and/or market conditions. the preliminary estimates of construction cost are made on the basis of experience and qualifications; they represent the best judgement as experience professionals, familiar with the construction industry. however, the design consultant does not guarantee that such estimates will not vary from the actual construction cost, and, or fee of services quoted by the relevant party. services to modify contract documents to bring the construction cost within any limitation established by the client may be considered additional services and paid for as such by the client at a mutually agreed fee.

5.原则上，本区域内的广告宣传，市场推广费用由乙方承担；全国性的广告宣传，市场推广费用由甲方承担。同时，双方可根据具体情况，协商分担宣传推广费用。甲方还应向乙方提供产品彩页、产品手册等用品，作为乙方开拓市场的宣传材料。

九、技术支持及产品资料

在销售前，甲方应向乙方提供详细的产品介绍资料以及相关产品测试报告；在销售后， 甲方工程师应配合乙方人员解决相关技术问题， 提供相关技术咨询服务。如乙方申请，甲方可根据情况对乙方人员进行相关技术培训。甲方应随乙方订货的产品提供相关技术资料，如产品使用手册等。这些技术资料应能保证乙方及最终用户可按照其文字说明正确地安装、调试、初始运行和一般系统维护。

十、质量保证

甲方向乙方提供的产品设备，必须符合有关行业技术标准。甲方应保证，本方产品在出厂时经过完整、严格的品质保证测试，且符合规定成品合格标准。

十一、产品保修

第四条 委托期限及销售考核标准

1、委托期限自本合同签订之日起 12 个月，即自20_年1月1日起至20_年12月31日止。

2、销售定义：

客户已签订《商品房买卖合同》并足额交纳购房款(含以银行按揭方式放款)的房屋销售面积;

3、销售任务：

双方约定：乙方应在进场之后完成每月甲方下达的销售任务。详见附件《20_年销售任务书》。

乙方在本合同签订后30个工作日内制订出完成《20_年销售任务书》的《营销方案》;

并制订出各月、季度的《销售计划表》，报甲方审核，甲方根据乙方提供的销售计划及市场情况、自身商业运营需求，向乙方下达月度及季度销售任务，并作为甲方督促考核乙方完成销售工作的依据，乙方《销售计划表》及甲方月度、季度销售任务、每月营销方案及费用表为本合同附件。

如遇甲方工程进度或《预售(销售)许可证》的影响，此项工作时间做相应调整。

第五条 乙方佣金费用标准

一、乙方代理佣金：

销售代理费：按总销售额的1% —2% 收取。

二、佣金结算条件：

1、该项目“最低佣金”为已售房屋成交全额回款总价的1%，“最高佣金”不高于已售房屋成交全额回款总价的2%(含)，以甲方实际到帐金额为结佣条件。

2、乙方应按照甲方确定的《20_年销售任务书》制定销售计划、按甲方确定考核指标执行。每阶段的佣金支付比例根据乙方该阶段已售物业销售考核指标的完成情况，在“最低佣金”与“最高佣金”之间按下列约定计算：

若乙方月销售考核指标完成率

若60%≤乙方月销售考核指标完成率

若80%≤乙方月销售考核指标完成率

若100%≤乙方月销售考核指标完成率

若120%≤乙方月销售考核指标完成率，乙方销售并成功到达甲方帐户中可计入佣金提取范围的总金额的总金额的2%支付乙方该阶段佣金。

3、为鼓励乙方实现更高的销售业绩，双方约定将最终合同金额中超出销售底价部分的10%作为乙方奖励。奖励部分每三个月结算一次。

4、结佣条件：

4.1一次性客户指购房人签订>并交付所购买房源全款到达甲方指定帐户，乙方即具备领取代理佣金的条件;

4.2商业贷款或公积金客户指购房人签订>，并已缴纳首付款而且银行按揭或公积金贷款资料交付齐全，乙方即具备领取首付款的代理佣金的条件;剩余佣金应在商业贷款或公积金贷款到达甲方帐户时，乙方具备领取代理佣金的条件;如因甲方或银行原因，商业贷款或公积金贷款不能如期(手续齐全银行受理后三个月内)到达甲方账户，在银行按揭或公积金贷款资料交付齐全且银行受理三个月后，乙方具备领取代理佣金的条件。

4.3分期付款的客户指购房人签订>，并在一年内缴纳完该套房源的全部款项，(分期付款客户以客户实际到达甲方帐户金额为乙方领取代理佣金的条件如超过一年，将在客户缴纳首付款之日起的一年内计算全部剩余佣金);

4.4首付分期付款的客户首付分期按揭贷款的客户，当客户首付款到达甲方帐户时，即具备结佣之完全条件，剩余佣金应在银行贷款到达甲方之日完全具备结佣之完全条件。

4.5在代理期内客户签订商品房买卖合同的房屋，在代理期届满后房款全款到账的，甲方应在该部分房屋全款到账后次月佣金结算日，按本合同约定的标准向乙方支付该部分房屋的全部销售代理佣金，需乙方按甲方要求配合甲方办理签约、按揭、交房、资料整理等工作为前提、否则无权获取该部分佣金。

5、发生以下情况甲方有权即刻终止合同：

(1)每批推售物业的月度及阶段性销售考核指标(每一个月为一考核阶段)，由乙方提请任务书，由甲方修改并签章后生效。如乙方连续2个考核阶段未能完成50%的销售考核指标完成率或未完成甲方设定的关键节点考核指标，则甲方有权解除本合同。

(2)乙方连续2个月销售低于月度销售计划的 50 %(含 50 %)时;

(3)乙方连续3月销售低于月度销售计划的(含%)时;

(4)乙方连续两个季度低于季度销售计划的 70 %(含 70 %)时。

在代理销售活动中甲方书面同意打折销售或低于均价销售的部分，按实际销售价格计算佣金。有关价格折扣具体事宜双方另行确定。

6、在本合同期限内，如提前解除代理合同的，甲方应准时结清销售佣金。具体约定如下：

6.1核对乙方销售的已认购已签约未结款明细，及已认购未签约明细。以上两个明细双方负责人应签字盖章，双方确认完以上明细，乙方应移交客户资料给甲方。

6.2 已认购已签约的：在解除合同签定当日，乙方销售房源认购已签约的客户，按照双方约定条款，按月以到帐回款额给乙方结佣;

6.3已认购未签约的：在解除代理合同签定当日，乙方销售房源已认购未签约的，甲方应给乙方30天签约期(在甲方房源具备签约条件的情况下)，由乙方履行完签约手续后，按照双方约定条款，按月到账回款额结算;

第六条 销售完成确认标准

1、银行按揭：客户签订《商品房买卖合同》交纳首期款，乙方负责协助办理银行按揭并至银行放款，客户的贷款全额到甲方账户后，视作销售完成，乙方结算佣金的标准参

照本合同第五条。

2、一次性付款：购房客户签订《商品房买卖合同》并一次性支付购房款，其购房资金全额到甲方账户后，视作销售完成，方可进行佣金结算。

第七条 费用结算说明

1、双方按月结算销售佣金。

2、每月28日前(遇节假日顺延)，甲方按本合同第五条、第六条的约定支付上一个月的费用给乙方，乙方开具发票给甲方，双方各自的税费自理。

3、甲方支付乙方每月佣金的80%，剩余20%留存于甲方，每季度初甲方支付上季度乙方应得佣金的10%;剩余10%作为交房保证金，待交房手续完成后，甲方全额支付剩余10%佣金。

4、甲方支付佣金时，乙方需提供等额合法有效的发票，否则甲方有权拒绝支付佣金。

5、其他条款：

(1)如因非甲方原因导致客户签订《商品房买卖合同》后又退房，乙方不得提取佣金，如乙方已提取应退还甲方或在乙方佣金中扣除。

(2)合同期间，在房源可签约的情况下已签订认购协议但未签《商品房买卖合同》或未付齐房款的合同，不计入当月销售完成任务，在付清房款完善手续后，计入乙方销售业绩。

6、甲方与客户签订《商品房买卖合同》后，如非甲方原因造成《商品房买卖合同》终止或客户退房时，甲方从次月应支付的代理费内扣除该部分已结代理费。由甲方造成退房的，算入乙方任务点数，不计提佣金。

第八条 双方权利和义务

一、甲方权利及义务

1、甲方保证委托给乙方代理销售项目的合法性和真实性。

2、甲方保证按照本合同规定与乙方及时结算并向乙方支付有关款项。

3、甲方向乙方提供房屋销售必须的相关资料复印件，包括企业法人营业执照、房地产开发企业资质证书、《国有土地使用许可证》、《建设用地规划许可证》、《建设工程规划许可证》、《商品房(预售)销售许可证》、《商品房买卖合同》、红线图、规划图、户型平面展示图、鸟瞰图、效果图等资料。

4、甲方向乙方提供项目装修标准、配套设施、物业管理协议等资料(甲方盖章)，并按承诺的内容提供真实的设施和服务，负责交房等事宜。

5、甲方有检查、监督、建议乙方代理工作的权力，但不干涉乙方正常工作。

6、甲方承担该项目销售的广告推广费用。乙方可建议推广方案预算，甲方根据具体情况制定投放计划。如遇特殊情况双方另行协商确定。

7、甲方安排财务人员在销售现场组织收取购房款，乙方应积极配合。

8、甲方如发现乙方有收取客户购房款等款项的行为，或发生乙方以自身名义与客户签订购房协议的行为，视同乙方严重违约侵犯甲方利益，甲方有权单方无条件解除合同。

9、甲方有权根据乙方销售业绩完成情况调整乙方代理销售面积及其代理销售的期限。

10、甲方负责承担有关销售网点的设立、装修、店面展示及办公桌椅、办公设备、办公耗材、通讯、网络、水电等运营费用，并配备保洁、保安人员。确保各销售网点具备接待功能。

11、甲方负责承担项目地营销中心的设立、装修、店面展示及办公桌椅、办公设备、固定电话通讯、有线网络、水电等运营费用，并配备保洁、保安人员。

12、甲方负责承担项目地外有关销售网点的设立、装修、店面展示及办公桌椅、办公设备、固定电话通讯、有线网络等运营费用。确保各销售网点具备接待功能。

二、乙方权利和义务：

1、乙方需由专业人员组成项目工作小组，制定工作流程，并保证项目小组成员稳定，如需更换需报甲方同意。乙方承担参加本项目销售工作的总监、策划、案场销售人员的工装费、工资、销售佣金，甲方免费给乙方工作人员提供班车;

2、乙方需与甲方保持紧密联系，经常与甲方交流。合同履行期间每周乙方与甲方举行一次基本工作沟通会，如因专案特殊需求，乙方将视情增加工作沟通会。同时乙方需确保硬件及网络设备，以便与甲方顺利沟通。乙方应积极主动与第三方协作单位进行沟通与协调。

3、乙方负责草拟：(1)营销推广策略：入市前市场竞争分析;入市前营销推广总体思路;销售价格策略;分阶段销售计划;(2)乙方负责进行现场销售管理：销售组织与控制;销售培训;销售执行，追踪客户签约;销售控管;客户反应检讨;修正销售策略。

(3)乙方负责在项目宣传推广过程中监控相关的平面设计(户外广告、报纸广告、DM、车体广告等)、现场包装设计(围墙、展板、看楼通道、导视系统等)、销售物料设计(楼书、折页、户型单张、认购书等)等工作;

4、乙方所有策划方案及相关建议应以书面及电子文档形式向甲方汇报，并向甲方提交相关资料，包括营销程序及营销人员配备、项目销售策划、宣传推广计划、及落实发布情况、不同楼栋楼层户型的房屋销售价格及优惠措施、乙方工作人员的作息时间表及加班计划。乙方根据市场情况，配合推广代理公司制定广告推广及执行计划，计划方案经甲方审核确认后，乙方方可执行。

5、乙方在双方合作期间不得以任何形式或手段贿赂甲方工作人员，一经发现甲方有权无条件终止本合同，并不支付佣金，由此给甲方造成的损失由乙方承担。

6、乙方保证其提供给甲方的任何文件不会侵犯任何第三方的知识产权和其它权利;

如对第三方造成侵害的，乙方负责承担全部侵权责任，其侵权赔偿责任与甲方无关;如给甲方带来损害的(包括影响甲方楼盘销售工作等)，甲方有权单方面解除合同并停止支付佣金，乙方还应承担违约责任，并赔偿甲方的损失。

7、承诺自身及派驻现场的销售人员具备相关工作经验及专业素质，合同签订后，乙方提供本项目总负责人1名(不驻场)，策划经理1名、销售经理1名、案场内勤1名以及销售人员10人，并根据项目销售进度及甲方要求及时增加销售人员。乙方应保持团队稳定，并将名单报甲方备案。

8、承担销售工作，并按合同约定完成销售任务，并负责协助办理已售物业的银行按揭，合同备案等手续。

9、乙方必须勤勉尽责的履行工作职责，如发生一房两卖或未详细向购房者介绍房屋情况等过错，导致甲方遭受损失及承担赔偿责任，则由乙方承担甲方因此所遭受的一切损失，甲方可在乙方为领取的佣金中予以直接扣除。

10、协助甲方同客户签订《认购书》、《商品房买卖合同》，并及时将合同等其他文件资料交付甲方，否则无权要求甲方结算佣金。

11、乙方提供销售报表给甲方，客户所缴定金和购房款全部由甲方收取。乙方负责客户按揭材料的催收、审核和收缴，在合同约定期限内向一次性付款及分期付款的客户催收各期房款;负责通知按揭贷款客户按照贷款机构的要求提交申请贷款所需的有关资料;负责在客户签订《商品房买卖合同》的同时，收齐客户办理按揭及产权等手续的所有资料;做好与相关部门(如按揭机构、律师事务所、保险公司等)的协调工作;负责与甲方配合，共同完成客户签约、结算等工作，协助办理交房手续等。

12、乙方不得以自己名义与客户签订房屋买卖合同，所有合同由甲方与客户签订，否则甲方可单方解除本合同，对该部分乙方签订合同不计算乙方业绩，因此造成甲方及第三方损失由乙方承担。

13、乙方必须严格按照甲方的书面授权委托内容进行销售工作，不得违背相关合同条款及乙方承诺，乙方不得从事侵犯甲方合法权益及有损甲方企业形象的活动，保护甲方商业秘密，不得泄露客户资料，否则由乙方承担全部的经济及法律责任。

14、乙方应遵守甲方售楼现场管理规定及公司的其他管理制度。

15、乙方不包含本项目所有广告设计及相关平面设计方面工作，仅对推广方面提出专业建议 。

16、自乙方进场之日起3个月内，甲方不给乙方制定考核任务，3个月后经双方协商，制定符合市场客观现状，公平、合理可行的销售任务。此阶段销售的房源佣金结算点数按完成任务点数来结算。

三、补充说明：

1、乙方在销售过程中，应根据甲方提供的该项目的特性和状况向客户作如实介绍，尽力促销，不得夸大、隐瞒或过度承诺。否则由此给甲方造成损失由乙方承担，甲方并可视情解除合同。

2、乙方应信守甲方所制定的销售价格，非经甲方的书面授权，不得低于销售单个物业底价销售，不得擅自给客户任何形式的折扣。在客户同意购买时，乙方应按甲、乙双方确定的付款方式与客户签订合同并协助甲方收款。

3、乙方不得以甲方的名义从事本合同规定的代理事项以外的任何其他活动，否则甲方有权单方面解除本合同并要求乙方承担所有给甲方及第三方造成的损失。

4、如甲方实际建筑完成面积与预售许可证等政府文件面积不符，以政府审批的面积为准。

5、乙方在本合同签订后 两个 月内提交附件一所列的相关成果;在项目开工前及预

计发售前1个月提交附件二中所列与工地及售楼场所有关的相关成果;并按甲方项目推进要求提交附件三、附件四所列的相关成果;

6、若当地房地产市场出现不可抗拒的销售危机，导致本合同约定的销售基价和销售任务在实际销售过程中无法实现时，双方应当友好协商，根据实际情况，另行签订补充协议。

第九条 违约责任

本合同签署生效后，甲、乙双方应严格遵守本合同，合作期间，任何一方如出现单方无告知情况下终止或解除本合同，严重违约致使本合同无法继续履行等违约事项，须按人民币伍拾 万元向对方支付违约金，守约方保留取得其依据本合同本应取得，但由于违约方违约而无法取得其相应收益的权利。

一、甲方违约责任

1、合同履行期间，若甲方无故单方面终止或者变更本合同，甲方应当赔偿乙方损失。

2、如甲方逾期支付乙方销售佣金、销售溢价提成，自甲方超过本合同约定时间起至实际支付之日止，甲方应按每日应付款项的万分之一的标准向乙方支付逾期滞纳金。

3、如甲方违约导致合同无法履行，乙方有权解除《代理销售合同》，甲方在收到乙方解除合同通知书之日起三十个工作日内，按乙方实际完成的销售面积计算佣金。

二、乙方违约责任：

1、若乙方单方面终止或变更本合同，甲方有权取消乙方的销售代理权.乙方已产生的销售佣金，甲方须据实结付。

2、由于乙方自身的原因，未按合同约定及甲乙双方会议或其它书面形式约定的时间完成工作内容、提交工作成果的，逾期超过三天，甲方有权以书面通知形式单方解除合同，并由乙方承担此给甲方造成的损失。

3、 如乙方的营销策划方案或其他方案经反复调整3次后仍然得不到甲方的书面确认，则甲方有权单方面终止合同。

4、乙方出现下列情形之一的，视为乙方严重违约：

(1)隐瞒、夸大或者缩小代理项目销售情况，向甲方提供虚假的销售报表;

(2)利用委托代理工作便利，泄露甲方的知识产权、商业秘密(包括但不限于客户资料、销售底价等);

(3)不按合同约定配置相关销售人员或乙方相关工作人员严重懈怠，玩忽职守，严重影响甲方对外形象;发生上述行为，经甲方督促仍不改正，甲方有权单方解除合同，并有权追究因乙方违约给甲方造成的其他损失。

5、如乙方在销售期间，擅自调整价格，扰乱市场秩序，对甲方造成恶劣影响的，甲方可根据合同约定单方解除合同，乙方应在接甲方通知3日起退出销售场地，并交付全部相关资料，所造成损失由乙方全部承担，乙方应得收益将不予支付。

6、乙方未经甲方同意私自收取客户所缴定金、购房款或私自以自身名义与客户签订合同，或私自留存合同文件，甲方可单方解除合同，乙方应在接甲方通知3日内退出销售场地，并交付全部相关资料及钱款，乙方应得收益将不予支持。

第十条 争议的解决方式

凡因执行本合同产生的一切争议，双方应尽协商解决;协商不成，双方均有权向本合同委托项目所在地人民法院提出诉讼。

第十一条 合同生效

1、本合同书自双方签字盖章之日起生效。

2、本合同所有附件，一并由双方签字、盖章确认，本合同与本合同之附件为不可分割的完整组成部分，具有同等法律效力。

3、本合同未尽事宜，由双方协商确定，并另行签订补充协议。

4、本合同壹式肆份，甲、乙双方各执贰份，具有同等法律效力。

第八条、经销商责任

1.自费维持一个有经营能力的机构，切实地为甲方推销产品。

2.自费参加一些交易会或制作为了推销甲方产品的网站、目录等广告物。

3.在本协议的有效时限内，第一年的每个月的交易额必须达到万元，以后每年递增20%

4.向甲方提供一个由甲方认可的银行为结算银行。

5.不得购买和销售其他公司的同类产品

6.不断地向甲方提供国内相关的商业情报

第九条、有效时限本协议自_____生效，有效期为___年。期满前三个月内，双方如未能在续签本协议上达成一致，则本协议在期满时自动失效，双方再不受其约束。

第十条、违约本协议的任何一方发生了违约行为，另一方得以书面的形式通知其纠正。如若违约一方在三个月内仍未纠正其违约行为，则另一方有权中止本协议。

第十一条、一般条款

1.不可抗力：本协议的任何一方如遭遇到所力不能及的事由，以致全部或部份无法履行本协议，则可在下列范围内免除其责任。如：火灾、水灾、海啸、地震、雷击、台风、旋风、疫病、爆炸、机械事故、战争、暴乱、制裁、劳工纠纷或政府的政策性行为，或其它的确实非人力所能抗拒的原因。但一方必须将得到政府或有关机构证明的不可抗力原因的书面通知，以最快的速度送达另一方并直到另一方确认收到该通知时为止。

2.转让：本协议在任何一方在未征得另一方以书面的方式明确表示同意之前，任何涉及本协议所规定的权利和义务的转让均属无效。

3.商业机密本协议的任何一方均不得在有效期内及期满的一年内向第三者泄漏双方之间的商业秘密，若由此而造成另一方的利益损失，则另一方有追索泄漏商业秘密一方的经济责任的权利。

4.仲裁凡因本协议或其相关的事情而导致争执时，双方应当友好协商解决，解决不成，应提请中国贸易促进委员会进行仲裁，该仲裁是终局的，双方由于进行仲裁而发生的合理费用均由败诉方负担。

5.协议文本本协议以英文和中文两种文字书就，如若两种文字在字义上产生抵触时，必须按照两种文字的意义做出折中判断。本协议一式份，双方各执一份。本协议经双方签字后将于所约定的时间生效。
