乙方因拓展__网及《__广告dm》(以下简称《dm》)业务，就拓展各区域网络标注及dm区域分册业务与甲方展开合作一事，经甲、乙双方协商达成如下合作协议：

一、合作内容

乙方利用甲方人力、公关资源、办公场地、设备设施及资金等方面的优势，在区域拓展__网的相应地图标注、广告、信息发布等业务，并可在所负责区域编辑、发行平面dm等业务。

二、乙方的责任与义务

1、乙方提供__网甲方所负责区域的独立后台供甲方展开相应业务拓展工作，以及为甲方客户提供其它甲方无法履行的__网的系列服务，并保证其拥有合法的dm许可证件提供甲方展开__广告《dm》的相应组稿等工作。

2、乙方保证甲方作为该区域唯一的地图标注、广告、资讯采集及发行等各项业务的分公司，负责__网及《dm》在乙方所在区域的拓展工作。

3、负责__网业务拓展、《dm》商家分布图等的免费培训。

4、提供甲方开展工作所必须的各类资料、证明件，运营流程、dm许可等。

5、乙方负责dm相应审稿、广告审查、协调等工作。

三、甲方的责任与义务

1、甲方负责提供__网、__广告系列dm项目运作的基本运营场地、前期运营资金、以及在采集、编辑、印刷、发行、广告销售等工作中展开合法的经营活动。

2、甲方需保证__网网上商家、企业标注、系列dm的内容及广告的合法性，若由内容及经营活动中产生的违法、违规行为所造成的损失均由甲方承担，乙方并保留追究其相应名誉等损失的权利。

3、所在区域dm出版时，甲方每期提供样刊20份供相应管理机构参阅及工商管理机关、乙方存档。

4、甲方将尽可能的通过各种途径宣传所负责分网站、服务等，达到双赢之目的。

5、甲方可在其所负责区域设立营销点及招聘区域业务负责人即“区长”，但乙方将以甲方部门或工作人员对待，相应责、权、利只对甲方负责。

6、甲方在签定协议时向乙方交纳合作保证金(2—50000)元整，此款在合作期满乙方按本协议履行相应手续后无息全款退还。

四、收益分配方式

1、业务开展初期，乙方提供甲方一个月的筹备期，亦即本协议的正式有效期自协议签定日的下月该日生效。

2、甲方按其网站实际收入总额的30%上交乙方，在甲方收入额达到超出所交纳合作保证金时，即应及时上交乙方，否则乙方有权终止提供相应服务。

3、第1年合作期乙方按照甲方地图标注及用户实际充值费用(即实际收入总额)的30%收取网络维护及管理等方面的费用，第二年按照总额的40%收取，第三年后按照总额的45%收取。

4、甲方承揽或编制的区域dm，将根据不同合作方式另行商定。

备注：

1：若年总收入超过80万，乙方将按照总收入的1%返还甲方做为奖励，若年总收入超过150万，乙方将按照总收入的2%返还甲方做为奖励，而若年总收入超过300万，乙方将按照总收入的3%返还甲方做为奖励(dm运营收入不计在内)

2：_由本网用户通过网上推广方式在甲方区域成功拓展的标注会员，个人vip会员，以及甲方区域用户发布的固位置顶信息，企业。固位排名名片，以及固位工商，精品推荐等各类广告，乙方将按照25%支付甲方作为其区域管理费用(若甲方预先收取则应按照75%返还乙方，此比例各年相同)，除此外甲方有向所在区域会员收费的唯一性权利。

五、违约责任

1：甲方自协议生效起三月内要求达到如下工作成绩：拓展商企会员3000家以上、拓展个人有效会员10000人以上(指至少发布2条以上信息者，以下同)，或者在该区域达到5万元以上的有效收入，如若该两项成绩都未达到，则乙方有权取消合作，除扣除按照协议应该交纳乙方的相应费用外，合作保证金将全额无息退还。

2：乙方若无故终止本协议(因不可抗力导致该项目无法运转、以及甲方未能正常展开业务拓展除外)，甲方有权扣留已收取费用并加倍索赔保证金费用。

3：其它合作中的违约行为，双方应本着平等互利、相互谅解的原则协商解决问题，协商不成的，任何一方都可以向合同管理机关申请调解、仲裁，也可以直接向人民法院起诉。

六、合作期限

本合作协议自签定之日起生效，合作期暂定一年，在双方无异议时本协议自动顺延，在同等条件下，甲方有优先合作权。

七：未尽事宜，双方协商解决并作为本协议附件与本协议具同等法律效力。

小学英语师范毕业生实习报告

为期一个月的实习生活在不知不觉中落下了帷幕。在这段时间里，我学到了很多在大学课堂里学不到的东西，也体验到了很多人生中从未有过的经历。下面我从英语教学，实习班主任两个方面对自己的实习工作做一个简要的总结。

首先，在英语教学方面。实习的前两周我的主要任务是听课和评课，从中学习指导老师的教育精髓。第三周开始，我体验了几节正规的英语教学课。此次是在初一年级实习，一堂课的知识结构是十分紧凑的，只要一个环节出错或者中断，就会影响自己的整个教学流程。因此我在讲课的前一天就开始上网搜集材料，准备课件，为上好第一节课做好准备，刚开始有点紧张，但是慢慢的看到学生们那可爱的充满求知欲的目光，我的紧张就转变为动力了。课后，指导老师王老师帮我分析了一下这一堂课，在肯定成绩的同时也指出了我的缺点所在，比如，知识模块的衔接上还不够自然，学生的积极性还没有充分的调动起来，经过王老师的指点，我在后几天的教学过程中加以了改进，课堂教学的效果比之前有了较大的提高。这也让我明白了，教学成绩的提高不是一天两天的功夫，而是一个长期积累准备的过程。

其次，在实习班主任工作方面。在做班主任的日子中，我主要是检查他们的早操和早读以及值日生打扫卫生的情况。另外，我还召开了一次主题班会，对学生进行情感方面的教育。通过这一次的实习班主任工作，自己初步地领略到了如何去引导教育学生，不仅是在学习上，还包括思想文化品质方面。总结起来说，我把自己从第一节课开始意识到的不足都一一列了出来，包括：声音不够响亮，时间安排有时不够合理，教学重难点不够突出，引导学生进行讨论时表达不够详尽，给予学生独立思考的空间不够大„„我小心翼翼的记录着每一点，虽然看起来很多，但我并不为此失去信心，因为只有找出自己的不足，才能够有针对性的去改进，看到了自己的进步，我的自信自然就增加了。我决定要自我教育，扬长避短，把我的不足一一攻破，在不断进步中逐步完善自己,努力成为一名合格优秀的人民教师。

在改进自己的同时，我还花了些心思在研究学生方面。学生是个好动、思维活跃、好奇心强的年龄阶段，因此，他们的注意力很容易被转移。所以，如何来调动学生的学习兴趣成了首要任务。在课堂上，教师可以借助自己的人格魅力，再结合一些生动形象的表情、姿态、手势，使语言更具表现力，这样就能够让学生感受到学习的乐趣。此外，小学生也是需要重视的群体，他们爱表现，教师应该争取给每个人机会，并适当的进行奖惩，以优生带动后进生，营造一个良好的学习氛围。我想，只要用心关爱每个学生，就一定可以看到他们的进步。

短短的几个月很快就过去了，天下无不散筵席，我要感谢我的指导老师，你的点评让我受益良多，真所谓“听君一席话，胜读十年书。”还要谢谢我的第一批学生，虽然老师不能记住你们每一个人的名字，但是你们的欢声笑语、一举一动，你们的玲珑面孔会永远清晰地印在我的脑海里。以上就是自己对这一个月的实习生活所做的总结。除了上述两个方面外，我还收获了很多。这一次的实习是我人生当中最有纪念价值的阶段之一。实习不仅教会了我英语教学方面的知识，更重要的是它让我学会了生活中的点滴感动。只有自己经历过了才深深地感受到老师在学生心目中的伟大和神圣。这一个月中的所，无论自己将来从事何种职业，都将使我终身受益!实习，给我步向人生另一个阶段上了一节悠长而充实的公开课，是我人生路上一笔不可多得的财富，也给我留下了很多美好回忆，那些快乐、那些难得经历，我一定好好珍惜!

初中英语个人研修计划

一、指导思想

按照本学期英语教研计划和学校教务处工作计划，以全面、协调、可持续的科学发展观为指导，结合英语学科特点，制定本学期教研工作计划，旨在树立科学的质量观, 加强有效教学研究，提高课堂学习的有效性，促进教学质量的提高;以基础教育新课程改革实验工作为中心, 推动教育教学改革继续深入，组织教师围绕新课程实验中的重点、难点问题开展教研活动，加强和改进我校初中英语学科教育教学工作，推进初中英语新课程的实施，深入研究教学中存在的问题，精心营造有利于学生健康成长的学习环境，进一步加强组内教师的交流，努力探索和创造各种平台与合作交流机制，开展形式多样、注重实效的教研活动;创设宽松和谐的研究氛围，激励我在教学中研究，在研究中教学，提高专业水平和教学能力。

二、主要工作要点

1.以新教材的使用为重点开展校本教研，重点做好集体备课工作，提高效果，进一步发挥教研备课的作用。

2. 积极开展教学常规管理工作。特别是备课和作业批改等方面的检查工作。

3.继续开展“师带徒”活动，使新教师尽快适应教育教学工作。

4.结合新教材，树立新课程的基本理念和现代教育思想，提高教师的专业素养，以教研促课改，在课改中提高教科研能力。适时开展优秀教学论文研讨学习活动。

5.做好教育科研课题的研究工作。结合新教材实验和教改实践，积极开展课题研究工作，以科研带教研，促进教学改革，提高教学质量。本学期重点做好本组课题“初中生英语写作能力形成性研究”的课题工作。

6.抓好三四八年级的教学及复习研讨工作。

7.组织与辅导我校入围优秀学生参加兵团英语风采大赛。同时抓紧做好八年级英语竞赛的准备工作。
