⑦借款入主营企业或担保企业股东、董事和现任高级管理人员涉嫌重大案件或经济纠纷;

⑧借款人或担保人在其他合同项下发生违约事件;

⑨借款人或担保人发生重大经营损失、出现经营困难或财务状况发生恶化等一切影响贷款人权益的重大事项;

(6)借款人授权性承诺：

①借款人或担保人开具给贷款人的授权委托书是专门用于处分抵押、质押物的专项委托书，一旦借款人逾期还贷，贷款人可持借款人或担保人的授权委托书和抵押、质押物权凭证处分借款人或担保人抵押、质押物品，保证贷款人优先受偿，该授权委托书的效力一直延续到贷款人完全实现权利和保障为止;

②借款人或担保人开具给拍卖行的委托书是专门用以实现贷款人权利的专项委托书，负责办理此项事务的唯一代理人为贷款人，该委托书的权利效力一直延续到贷款人完全实现权利为止。任何公告、挂失、提前支取声明宣布授权委托书无效或否认授权委托书的方式均是无效的(若借款人或担保人采取此行为，将视为恶意侵占)。任何单位、个人企图以各种方式替代贷款人特殊资格的行为均无效。

(7)为了便于贷款人实现权利，借款人承诺贷款人有实现权利的选择权，如贷款人认为通过向法院申请支付令或通过办理强制执行公证文书更有利于实现到期权利，则贷款人可在借款人逾期还贷事实发生之日起，即刻向贷款人所在地有管辖权的人民法院申请支付令，或持具强制执行效力的公证文书直接请求人民法院执行庭申请强制执行，借款人将无条件放弃抗辩权。否则视为借款人为欺诈行为。

(8)借款人对贷款人寄出或以其他方式送达的各类通知及时签收。

(9)借款人承担因本合同订立和履行所发生的费用，以及贷款人为实现本合同项下债权已付和应付的费用，包括但不限于公证费、诉讼或仲裁费、财产保全费、律师费、执行费、鉴定费、评估费、拍卖费、公告费、保险费等。

(10)借款人承诺的其他事项： 。

3、贷款人承诺：

(1)按照本合同约定向借款人发放借款。

(2)对借款人提供的有关其身份、财务和生产经营方面的非公开资料及信息保密，但法律法规另有规定和本合同另有约定的除外。

第十一条 违约行为及违约责任

l、发生下列事项之一即构成或视为借款人在本合同项下违约：

(1)借款人未按本合同的约定履行对贷款人的支付和清偿义务;

(2)借款人未按本合同的约定方式支用贷款资金或未将获得的资金用于本合同约定的用途：

(3)借款人在本合同中所做的声明不真实，或违反其在本合同中所做的承诺;

(4)发生本合同第十条第2款第(3)项和第(4)项等规定的情况，贷款人认为可能影响借款人或担保人的财务状况和履约能力，而借款人不按贷款人的要求提供新的担保、更换保证人;

(5)借款人信用状况下降，或借款人的家庭收入、资产和负债情况发生重大变化，已经或可能影响到其在本合同项下义务的履行的;

(6)借款人在与贷款人之间的其他合同项下发生违约事件;借款人与其他金融机构之间的授信合同项下发生违约事件;

(7)借款人未经贷款人同意而将重大资产转让给第三人(包括无偿赠与和有偿转让)的：

(8)借款人生产经营、对外投资等发生重大不利变化，已经或可能影响到其在本合同项下义务的履行的;

(9)借款人与配偶或其经营企业股东、法定代表人或负责人、合伙人、主要投资者个人或关键管理人员涉及或可能涉及重大经济纠纷、诉讼、仲裁或其资产被查封、扣押或被强制执行，或被司法机关或税务、工商等行政机关依法立案或依法采取处罚措施，或因违反国家有关规定或政策被媒体曝光，已经或可能影响到其在本合同项下义务的履行的：

(10)借款人及其配偶或其经营企业主要投资者个人、关键管理人员异常变动、失踪或被司法机关依法调查或限制人身自由，已经或可能影响到其在本合同项下义务的履行的;

(II)借款人及其配偶或其经营企业因违反食品安全、安全生产、环境保护等相关法律法规、监管规定或行业标准而造成责任事故，已经或可能影响到其在本合同项下义务的履行的：

(12)借款人经营企业已经或可能歇业、解散、清算、停业整顿、被吊销营业执照、申请(或被申请)破产等;

(13)借款人及其配偶或其经营企业法定代表人或负责人、合伙人、主要投资者个人或关键管理人员有涉及黑社会活动、吸毒、赌博、走私等违法行为;

(14)借款人及其配偶或其经营企业发生欠税、欠费或经常性拖欠职工工资情况;

(15)担保人违反担保合同的约定，或在与贷款人之间的其他合同项下发生违约事件;

(16)借款人或担保人抵押、质押的财产或所有权凭证、担保资料不实，致使贷款人无法实现债权的;

(17)在合同履行的过程中，如果借款人或担保人具有转移、损害、拆卸、更换抵、质押物的重要部件的行为的;

(18)借款人虚构事实，故意骗取贷款的;

(19)借款人在本合同签订后，未按合同的规定向贷款人提供任何担保方式，或者借款人向贷款人提供的担保方式不符合本合同的约定;

(20)借款人发生危及、损害或可能危及、损害贷款人权益的其他事件。 借款人出现上述的行为涉嫌构成犯罪的，贷款人有权向有关部门举报。

2、当上述借款人违约事项发生时，以及在此之后任何时间，贷款人有权视具体情形分别或同时采取以下全部措施或者部分措施：

(1)要求借款人、担保人限期纠正其违约行为;

(2)要求借款人、担保人继续提供经贷款人认可的担保和担保物;

(3)全部、部分调减、中止或取消、终止对借款人的授信额度;

(4)全部、部分中止或终止受理借款人在本合同、借款人与贷款人之间的其他合同项下的提款等业务申请;对于尚未发放的贷款，全部、部分中止或取消、终止发放、支付和办理;

(5)宣布本合同、借款人与贷款人之间的其他合同项下尚未偿还的贷款本息和其他应付款项全部或部分立即到期，立即收回未偿还款项;

(6)终止或解除本合同，全部、部分终止或解除借款人与贷款人之间的其他合同;

(7)要求借款人赔偿因其违约而给贷款人造成的损失;

(8)行使担保物权;

(9)要求保证人承担保证责任;

(10)法律法规规定、本合同约定或贷款人认为必要的其他措施。

3、借款到期(含被宣布立即到期)借款人未按约偿还本息的，贷款人有权自逾期之日起按本合同约定的逾期罚息利率计收罚息。对借款人未按时支付的利息，按逾期罚息利率计收复利。

4、借款人未按期偿还借款本金、利息(包括罚息和复利)或其他应付款项的，贷款人有权通过媒体进行公告、向人民法院申请支付令、提起诉讼等方式催收。

第十二条 合同的生效、变更与终止

1、本合同经借款人签字(加盖指模)，贷款人的法定代表人(负责人)或其授权签字人签署并加盖公章之曰起生效，至借款人在本合同项下的义务全部履行完毕之日终止。

2、本合同签订后，任何一方需变更或修改合同时，须事先书面通知对方，经双方完全协商一致并签订书面协议后方有效，任何变更或修改均构成本合同不可分割的组成部分。除变更部分外，本合同其余部分依然有效，变更部分生效前原条款仍然有效。

3、本合同的变更和解除，不影响缔约各方要求赔偿损失的权利。本合同的解除.不影响有关争议解决条款的效力。

第十三条 法律适用和争议解决

1、本合同在中华人民共和国境内签订，适用中华人民共和国法律。

2、在本合同生效后，因订立、履行本合同所发生的或与本合同有关的一切争议，借款人与贷款人双方应协商解决，协商不成应采取以下第 种方式处理：

(1)向贷款人所在地有管辖权的法院提起诉讼：

(2)向广州仲裁委员会申请仲裁。

3、在争议解决期间，若该争议不影响本合同其他条款的履行，则该其他条款应继续履行。

第十四条 附件

下列附件及经双方共同确认的其他附件构成本合同不可分割的组成部分，具有与本合同相同的法律效力：

1、提款申请书;

2、借款借据;

3、委托扣款还贷协议。

第十五条 权利和义务转让

1、未经贷款人书面同意，借款人不得将本合同项下任何权利、义务转让予第三人：

2、贷款人有权将其在本合同项下的权利部分或全部转让给第三方，贷款人的转让行为无须征得借款人同意。

3、贷款人有权根据其经营管理需要授权其分支机构履行本合同项下权利及义务，或将本合同项下贷款债权划归其分支机构承接并管理，借款人对此表示认可，贷款人上述行为无须再行征得借款人同意。承接贷款人权利义务的分支机构有权行使本合同项下全部权利，有权就本合同项下纠纷以该机构名义提起诉讼、提请仲裁或申请强制执行。

第十六条 其他约定

1、贷款人未行使或部分行使或迟延行使本合同项下的任何权利，不构成对该权利或其他权利的放弃或变更，也不影响其进一步行使该权利或其他权利。

2、本合同任何条款的无效或不可执行，不影响其他条款的有效性和可执行性，也不影响整个合同的效力。

3、贷款人有权根据有关法律法规、监管规定，将与本合同有关的信息和借款人其他相关信息提供给中国人民银行征信系统和其他依法设立的信用信息数据库，供具有适当资格的机构或个人依法查询和使用，贷款人也有权为本合同订立和履行之目的，通过中国人民银行征信系统和其他依法设立的信用信息数据库查询借款人的相关信息;

4、本合同的条款标题仅用于参考，不构成对本合同的任何解释，对标题项下内容及其范围也不构成任何限制。

5、提款日、还款曰如遇法定节假日，则顺延至节假日后的第一个工作日;

6、贷款人因法律法规、监管规定变化或者监管部门要求，不能履行合同或不能按照合同约定履行的，贷款人有权终止或依据法律法规、监管规定变化或监管部门要求变更履行本合同及其项下单项协议。因该种原因致合同终止或变更使贷款人不能履行或不能按照合同约定履行的，贷款人免除责任。

第十七条 本合同未尽事宜，由甲乙双方另行签订补充协议，补充协议与本合同具有同等的法律效力。

第十八条 本合同一式 份，借款人执 份，贷款人执 份，登记机关执 份，每份均具有同等法律效力。

Education background

With the tool of OpenGL and Matlab, I designed a simulation program for transportation scheduling system. It is now widely used by different research groups in NUST. I assumed and fulfilled a sewage analysis & dispose project for Nanjing sewage treatment plant. This was my first practice to convert a laboratory idea to a commercial product.
