本合同由雷诺士烟草国际（亚洲太平洋地区）有限公司（以下简称“许证方”）一家根据香港法律成立和存在的公司，办事处设于香港湾仔新鸿基中心二十五楼，商业登记证号为：6906775- 000-12-b，和华美卷烟有限公司

（以下简称“受证方”）一家根据中华人民共和国法律成立的合资经营公司，主要办事处和营业地点为厦门，相互之间于1986年3月3日签订。

鉴于许证方已在中华人民共和国国内获准“____________”，“____________”，“____________”三种卷烟的商标注册，并有权出让上述商标的使用许可证；及

鉴于受证方愿意取得在中华人民共和国国内生产和销售有上述商标的卷烟的权利；及

鉴于许证方愿意按照雷诺士公司和厦门卷烟厂和厦门经济特区联合发展有限公司于1986年3月3日签订的合资经营合同，允许受证方生产和销售有上述商标的卷烟（以下简称“主合同”）。

双方特此同意下列条款：

第一条 定义

在使用本合同时，下列名词应有下述定义：

1.01 “许证商标”应为列于附表a中的商标及其相应的申请号码或注册号码，在本合同有效期间及终止以后，此等商标均应保持为许证方或它的附属公司的财产。

1.02 “许证牌号”应为在附表a的第二部分列明的卷烟牌号，以及根据本合同颁发的授权书中加以阐明的其他许证商标牌号卷烟。

1.03 “授权书”应是由许证方一位负责行政人员签署而写给受证方的总经理一封信，信中订明受证方将制造的许证牌号的特殊标准和规格，授权开始生产及其销售，并包含许证方认为对此等生产及销售有需要的资料，要求或条件。

1.04 “技术资料”的意义应为许证方向受证方透露，用于生产和销售的一切商业秘密，专门知识，经验，方法及规格，并假定所有许证方向受证方作出的透露都是技术资料。

1.05 “净销售量”的意义为受证方在中华人民共和国销出的每种许证牌号卷烟的总数量（包括未付款部分），减去因为损坏，不新鲜或其他原因不能售出而退回的卷烟数量。

1.06 “净特许权使用费”的意义为根据本合同受证方应付的特许权使用费，按照本合同中规定的比率及方法计算，不扣除任何种类的任何税金，费用或支出（本合同第

3.03节所述者除外）。

1.07 “中国”即是中华人民共和国的地理区域。

1.08 “组成材料”的意义为受证方生产许证牌号时使用的所有材料，包括烟草，香料及其他成份等。

第二条 授予及条件

2.01 许证方根据本合同的条款和条件，授予受证方在福建省制造和包装许可证牌号的独家权利。本授权的内容包括受证方有权在中国全国出售受证方制造和包装的“许证牌号”产品。

2.02 在本合同有效期内，受证方应以最大的努力在中国利用第2.01条授予的权利。

2.03 在本合同有效期内，受证方或许证方不应在福建省内协商，签订协议，或者参子任何对于不符合本合同的，或可能使受证方或许证方履行本合同规定的责任的能力减弱的商业交易。

上周，被戏称为“东莞女侠”的石龙女子徒手拆掉柜员机的图文被网友疯狂转评。经媒体报道后，更是登上各大门户网站的显眼位置，成为热点话题。监控录像显示，女子反复取钱不成，对着电脑显示屏狂拍，又徒手将取款设备的塑料胶框掰下，并将电脑显示屏用力拽了下来。警方称，女子疑似患有精神病，后由东莞市精神病院关押治疗。

虽然疑似精神病病人所为，由此或可解释光天化日拆卸ATM机或是其头脑不理智的举动。但事件的主角并不是这位女子，而是那个被拆得七零八落的ATM机。舆论热切关注的重点在于，印象中本该固若金汤的ATM机，却被一名女子徒手大卸八块，这与他们的认知相去甚远。

从铺天盖地的转评来看，不少网友对女子不可思议的动手能力表示“惊呆了”，纷纷调侃其是“武当传人”、“民间高手”。在调侃背后，更让他们担心的是，供大家存取现金的ATM机为何如此容易就被拆卸?他的使用年限以及日常保养情况如何?还有网友担心，“即使拆了ATM不能获得现金，也不排除有不法之徒去效仿，如果出现大规模人为破坏，无论是对银行还是对储户，都会带来损失和不便。”也有网友提醒，徒手拆ATM机一定程度上说明了这台机器的“脆弱”，银行方面应该提高警醒，加强对设备检修和管理。

然而面对舆论的热烈反应，涉事方的回应却显得不够积极。在此事发生后，这台ATM机的主人—东莞银行方面书面回复媒体称，“因取款未果，涉事女子行为失常，进而反复拉扯、恶意破坏ATM机具，导致机具操作台模块脱落。事件并未造成ATM内现金损失。”面对舆论持续的质疑，10月23日，东莞银行办公室负责人解释称，经过现场检查，被拆的ATM机只是机身上半部分用于操作模块脱落，而内部线路完好无损且ATM里的现金并未丢失，实际情况并不是网友图片中显示的那么“恐怖”。

不过，东莞银行方面并未就这台ATM机的使用年限以及日常保养维护的相关情况给予回复。有说，“我们关心的是为什么ATM机如此脆弱，但得到的回答是，虽然被拆但是资金安全。”目前能看到关于这个问题的的答案，只有该商场一名负责人的推论—有可能是该ATM机使用时间太长，周边的塑料配件老化脱胶，从而被轻易损坏。这或多或少都暴露出银行方面在日常设备维护、安全保卫上的不足，及公众公共责任意识的欠缺。

众所周知，东莞凭借其巨额的金融存款与不良贷率，一直被誉为“广东金融绿洲”。但就是这样的金融绿洲，却出现最基本的硬件系统却如此不堪一击。为什么ATM机如此容易被拆卸，日常的维护又如何进行?脆弱的ATM机是不是普遍现象?如何保证市民的使用安全?我们期待着答案。
