第二条协议期限

2.2如有特殊原因,在不影响翻译和制作工作的前提下,提前一个月通知甲方,在乙方处理好应该负责的后续服务后,可以解除此合同；但是如果由于乙方的过错给甲方及其翻译原始委托方造成损失,甲方将依然拥有根据本协议及有关管理条例追究赔偿的权利。

第三条服务费用标准及支付

3.1甲方付给乙方的工作酬金为甲方所得费用的60％,其它40％作为甲方的广告、管理、较审、翻译作品制作、技术创新、工商管理和税务费用、通讯费用等条项的开支。

3.2笔译工作酬金支付：在客户取稿后一星期支付工作酬金的50％,如无意外,在两星期后支付工作酬金剩余的50％。口译工作酬金支付：在工作完后二个工作日后的星期二或者星期六支付。

3.3本中心对于在我处连续工作________年的兼职翻译采取年终奖励的办法,予以奖励；奖励额度为完成翻译金额的39;2％。兼职翻译介绍的业务可以参照兼职业务员的管理条例获得业务费用。

3.4本中心对于在我处连续从事兼职翻译________年以上的人士,采取优先参股或者赠送股份的办法,予以鼓励。

第四条甲方义务、权利

4.1甲方负责提供完整无缺的原文内容（书面及电子版本）。

4.2甲方负责提供资料的相关版权事宜,承担与之有关的各类权利义务。

4.3甲方负责提供必要的工具书、通信工具和办公设备,协助乙方和专业人士取得联系,顺利完成翻译任务。

第五条乙方义务、权利

5.1乙方应按甲方要求完成委托工作,按时、保质、保量交稿；

5.2乙方按甲方要求的格式提交文件；

5.3乙方应对甲方提供的原文件资料保密；

5.4乙方在本中心指定的时间内完成翻译任务,承担因为翻译质量引起的责任。工作积极主动,能以高度的责任心完成本中心分派的翻译任务。

第六条保密条款 乙方为了对甲方提供的资料保密,但对于因其它不可确定的原因造成的外漏,乙方不承担相关或连带责任。甲方提供的资料保密期自每项业务开始之日起计算：时间为七个月；有关本协议的保密条款详见本协议之附件《保密协议》。

第七条协议的变更和解除 本协议经双方书面同意,可以予以变更或解除。

7.1本协议期间,任何一方违反本协议的相关规定,且经另一方书面通知其改正之日起一周内仍未改正的,另一方有权终止本协议。

7.2甲乙双方中任何一方未履行本协议条款,导致协议不能履行、不能完全履行或者协议履行成为不必要,未违约的另一方有权变更、解除本协议。

8.3乙方不得利用为甲方提供委托翻译服务的机会和客户发生不得体或者违反中心、政府有关法律法规的行为,否则甲方拥有扣除质量保障金和酬金、并进一步追究损失的权利。

8.4在甲方没有过错的情况下乙方不得利用甲方管理上的漏洞和业务的特殊性中途违反合同或施加压力,否则甲方拥有扣除质量保证金和酬金、并进一步追究损失的权利。

第九条译者对翻译作品质量的保证

9.1乙方应该自觉地尽自己最大的努力保证翻译件的质量,必须严格遵守甲方提供的有关规定、国家公布的质量保证规定。主要文件有：

（1）《翻译作业流程和质量控制》、《客户须知》、《翻译资费标准》和《确认单》；

（2）国家制定的《中华人民共和国行业标准翻译服务规范》和翻译成品的质量标准-10

9.2乙方从甲方领取的标准和规范资料必须签字表示以接受

9.1条的管制,其领取材料清单和签字将成为本协议的附件,具有法律证明作用。

9.3由于乙方的责任导致翻译件质量的问题导致客户不满或者造成损失,甲方可以采取扣除质量保障金和酬金、并进一步追究损失的权利。

9.4兼职翻译必须向本中心交纳质量保证金以杜绝以下情况：

（1）兼职翻译取走原稿件不译,甚至不再归还原稿和不再联系：

（2）兼职翻译冒用本中心名义在外承接业务；

（3）利用由于兼职翻译管理上的漏洞而对甲方的声誉造成影响和损失；

（4）剽取所知识产权归委托方的翻译稿件中的资料发表文章或者因知识成果而获得利益。质量保证金金额为X元人民币,甲方可以在此款中扣除因为乙方工作失误给甲方造成的损失；在执行完

2.2条、不可抗力条款、或者合同正常解除后,甲方财务归还保证金给乙方,并付给乙方相应的利息,利息按人民银行规定的同期利率计算。

Without Party As consent, Party B shall not render service elsewhere or hold concurrently any post unrelated to the work agreed on with Party A.

3. Party B shall complete the tasks agreed on schedule and guarantee the quality of work.

4. Party B shall respect Chinas religious policy, and shall not conduct religious activities incompatible with the status of an expert.

5. Party B shall respect the Chinese peoples moral standards and customs.

Ⅶ Revision, Cancellation and Termination of the Contract

1. Both parties should abide by the contract and should refrain from revising, canceling, or terminating the contract without mutual consent.

2. The contract can be revised, canceled, or terminated with mutual consent. Before both parties have reached an agreement, the contract should be strictly observed.

3. Party A has the right to cancel the contract with a written notice to Party B under the following conditions;

(1) Party B does not fulfill the contract or does not fulfill the contract obligations according to the terms stipulated, and has failed to amend after Party A has pointed it out.

(2) According to the doctors diagnosis, Party B cannot resume normal work after a continued 30 day sick leave.

4. Party B has the right to cancel the contract with a written notice to party A under the following conditions:

(1) Party A has not provided Party B with necessary working and living conditions as stipulated in the contract.

(2) Party A has not paid Party B as scheduled.

Ⅷ Breach Penalty

When either of the two parties fails to fulfill the contract or fails to fulfill the contract obligations according to the terms stipulated, that is, breaks the contract, it must pay a breach penalty of US$500 to 2,000 (or the equivalent in RMB).

If Party B asks to cancel the contract due to events beyond control, it should produce certifications by the department concerned, obtain Party As consent, and pay its own return expenses; If Party B cancels the contract without valid reason, it should pay its own return expenses and pay breach penalty to Party A. If Party A asks to cancel the contract due to events beyond control, with the consent of Party B, it should pay Party Bs return expenses; if Party A cancels the contract without valid reason, it should pay Party Bs return expenses and pay a breach penalty to Party B.

Ⅸ The appendix of this contract is an inseparable part of the contract and has equal effect

2019年南京旅游产业调查报告

作为一种新兴旅游产品，科技旅游是指与科技有关联，以科技过程或科技含量作为旅游吸引点的旅游产品和开发形式，形成集科普、生产与销售、观光、娱乐与体验为一体的旅游活动或产品，是一种高层次的文化旅游类型。通过游览和观赏科技景点，达到身体和精神层面的愉悦是科技旅游的初始目的，而通过了解和体验科技知识，达到思想和文化层面的升华则是科技旅游的核心内容和最终结果。科技旅游的类型主要分为自然科考游和人文科技旅游两大类，而人文科技旅游又包括工农业科技示范区、青少年科技活动场馆、大学科研机构等主要旅游场所。

目前，从国际上来看，科技旅游经过多年发展，产品已经处于成熟阶段，美国、法国等发达国家均拥有数量众多、种类齐全的科技场馆，闲暇时到科技场馆参观，在放松身心的同时进行科技知识充电，已经成为当地人生活中的一部分。我国科技旅游发展也已经取得一定成绩，在一些大型的旅游城市尤其是在北京和上海等地，已经先后开发了多条科技旅游精品路线，如北京中关村率先于XX年推出“中关村科技旅游活动”，上海建成了一批科普教育基地。南京科学文化发达，科技旅游资源丰富，科技旅游活动虽已经得到了初步发展，但作为一个整体还处于初级发展阶段，如何进一步加快南京科技旅游的发展，还需要进行具体研究。

南京科技旅游的swot分析

(一)优势条件分析

1.科技旅游资源丰富，类型多样。资源是发展旅游的基础要素，只有具有吸引力的旅游资源的存在，才能促成旅游活动的最终形成。作为历史名城和科教基地，南京的科技旅游资源相当丰富。不管自然科技旅游资源还是人文科技旅游资源都存在很大的优势。如汤山猿人洞等具有世界级的科考价值，专题科技馆种类多样，选择余地很大，尤其拥有一大批高等院校的研究机构和专门性的科研机构，科技资源更加显得独特和珍贵。目前开通的紫金山天文台、中山植物园、南京市博物院等科技旅游专线已经吸引了不少国内外游客。

2.分布范围广，可进入性良好。科技旅游资源分布范围较广，几乎遍布南京各个区县，尤其是科技馆和科研场所都分布在市中心及附近，地理位置明显，导向性好，且市内公交或旅游专线都能方便到达，为最大限度的挖掘客源提供了一个很好的平台。从对外交通来讲，南京已经形成一个四通八达的交通网络，为科技旅游的发展创造了良好的条件。

3.以本地游客为主，客源市场广阔。客源市场是旅游业赖以生存和发展的条件，也是实现旅游供求平衡的重要机制。因此具有广大的客源就成了发展一项旅游产品的必备条件。根据对南京的科技旅游游客的调查，85%的游客均来自南京本地，来自本省外市的只占8%，外省的占了7%，说明南京的科技旅游主要立足于南京当地市场。

从总人口来看，根据最新的统计表明，南京目前的常住人口总数为596万，而流动人口的总数为176万，两者相加，南京人口总数达到了772万。科技旅游立足南京，客源市场发展空间巨大。其次，理论研究表明，中间型年龄结构的社会发展稳定，是社会发展最优的年龄构成，有利于包括旅游业在内的社会各项事业的发展。从南京人口年龄结构来看，预计南京市到XX年15-64岁人口占总人口的比重将达到最高值80.36%。根据市场调查问卷显示，参加科技旅游的游客中，13—18岁的人数比例占调查总人数的43%，25—45岁之间的占总人数的34%，南京科技旅游形成了以青年为主的各个年龄阶段广泛参与的大众性旅游。

(二)劣势分析

1.产品资源开发程度不高。虽然南京的科技旅游资源丰富，但是也存在一定劣势。南京各种类型的科技旅游产品虽都已经具备，但是很多都没有得到很好的开发，造成资源闲置或是没有充分开发利用，虽然资源优势比较好，但是没有形成自己的特色，经营的主要项目上重叠、模仿效应严重，在很大程度上对科技旅游的发展形成了障碍。

2.科技场馆的配套设施不足。旅游设施包括基础性设施和辅助性设施。基础设施一般指旅游“六要素”相关部门，而辅助性设施则主要是城市基础设施，包括银行、供电、供水系统等等。两者缺一不可，共同形成一地旅游设施的完整体系。一般来看，大型的科技场馆都要花3—5个小时才能游遍，所以各项旅游基本设施尤显必要。问卷调查显示，目前在南京参加科技馆游的主要问题存在于配套设施的不足。以餐饮设施为例，被调查的游客大部分都是自带食品，占游客总数的82%，给游览尤其是参与性活动带来极大的不方便。旅游的基本生活设施不能得到保障，在很大程度上会流失客源。

3.管理体制存在问题。管理的体制直接关系到旅游产品的整体规划和整合营销是否成功。而旅游资源多头管理的现状，在全国来说十分普遍，在南京也是如此。具体来说，南京市旅游场馆的实际管理部门既包括旅游部门，也包括园林、文物、宗教、城建等部门，因此这给旅游资源的合理有效管理，以及旅游资源的综合开发造成了不小的困难。尤其是科技旅游这样一个特殊的旅游产品，资源性质并不仅仅是一般的旅游资源性质，大部分都带有科技考察、保护和珍藏的价值，根据不同类型隶属不同的机构管理，如高等院校的科研实验室等都归属所在学校，而一些自然科技旅游资源又归属当地部门直属管理。这样就对南京科技旅游资源的综合开发造成了一定影响。

4.科技旅游专业人才紧缺。根据对南京科技旅游游客的感知调查，科技旅游从业人员尤其是讲解员的服务有一半以上感觉一般或者不满意。科技旅游本来就是一个以获取更多知识为目的的专项旅游，目前的科技旅游讲解员由于文化素质等背景原因不具备良好的基础知识和专业服务技能，这样就不能很好的传达给游客，游客自然无法得到旅游的最大满足。

(三)机遇分析

1.科技吸引力大。随着知识经济时代的到来，知识将是发展经济的决定性因素。科学技术的发展和人民生活水平的提高，出游的人也越来越多，同时游客希望更新自己的知识，争取不同的方式学习知识，希望在休闲时间里能够学到知识，科技旅游正能满足游人的这种需求。从南京青少年科技活动中心的调查问卷中显示，关于参与科技旅游的最大吸引力调查可以得到证实，要求获得知识和新奇探险的两项达到了68%，而基本层次上的观光游览只占了8%左右。

2.政府大力支持。科教兴国战略是我国主要发展战略之一。在教育发展的同时，如何最大限度的促进科技的发展以及科技转化成生产力的速度是目前我国的一个重要发展目标。政府投入大量人力、物力和财力运用到科普、科教事业，出台各项鼓励政策推进科学技术的发展。科技旅游作为一个集科技、文化、娱乐为一体的新兴旅游产品，必将受到政府的重视和支持。南京市政府去年对科技旅游调查和规划工作进行了招标，将打造科技旅游产品正式列为重点工作项目。

3.顺应旅游产品结构调整的方向。旅游产品结构优化有利于整个旅游业产业结构的升级，促进旅游业的不断发展。目前国内旅游正处于一个转型期，主要表现在由观光旅游向休闲度假发展，从静态旅游向动态旅游转变，变被动旅游为主动旅游。而南京的旅游产品结构上仍保持着原有的传统结构，老产品没有更新，新产品虽有所开发，但没有得到长足的发展，致使这几年南京的旅游业发展一直处于淡中求稳的状态。从XX年的南京市旅游发展情况汇报可以看出，旅游相关部门已经意识到这一点，制定了下一步的发展思路，强抓项目推进，促进旅游产品结构由单一型向复合型协调发展。这就为科技旅游的发展提供了一个良好的机遇。

(四)威胁分析

1.旅游产品多样化竞争。随着国内旅游多年来的不断发展，南京作为主要的旅游城市，目前在旅游市场上已经形成了各式各样的旅游产品，“旅游产品整合热”精彩纷呈。红色旅游、晚间旅游、“博爱之旅--宁镇扬旅游精品线路”等各类产品更加丰富多彩。有些发展多年，成为南京的主打旅游产品，比如中山陵、总统府等，是主要目的景点。而游客的整个旅游时间又是有限制的，如何在有限的时间里争取科技旅游的推进和发展，竞争必然很激烈。

2.科技旅游发展对周边城市带来的冲击。同类产品的竞争在目前市场化的经济体制下越来越突出，竞争所带来的威胁也将越来越大。因此利用经济的发展推动高科技旅游已经广为旅游界接受并执行。南京地处长三角大旅游圈内，与苏州、上海等周边经济发达的城市旅游发展水平不相上下，但是科技旅游作为一种专项旅游产品已经在这些城市抢先一步发展起来，尤其是在上海，大型科技馆、博物馆游已经形成一定的气候，在产业结构、产品规划方面都已经具备一定的经验，对南京发展科技旅游造成一定的威胁。

3.科技本身更新换代快。科技的发展速度日新月异，科技成果产业化，这个转化过程将越来越快。科技旅游的主要载体科技资源必然也将受到更新速度的影响，一些产品的成本投入可能还没有回收效益，已经被更新的科技设备所淘汰，而这样的产品规模也不是在一朝一夕能改动完成的，游客参与科技旅游的目的却就是在于求新求异，获取更多更新的知识，如何适应以及更好的利用这样一种快速的变化，将是对科技旅游的一个重大的挑战与威胁。

南京科技旅游的发展对策研究

(一)科技旅游的发展定位

根据南京目前的科技旅游现状分析，结合国内科技旅游发展总体情况，发挥南京的科技旅游发展巨大潜力，为今后南京旅游创优创牌，打造“科技南京”、“让科技旅游引领南京旅游新潮流”，使之发展成为南京旅游的主打产品，逐渐形成“北——中——南”三强鼎立之势，并使南京的科技旅游逐步赶上并超越北京、广州等科技旅游已经发展初具规模的城市。

(二)科技旅游的发展对策

1.增加产品吸引力。从产品整体角度来讲，南京科技旅游资源数量众多、种类齐全，这就要求提供的服务内容和活动项目必须多种多样，进一步完善相关的服务设施，满足旅游者多层次的需求。比如自然科考游不仅要考虑知识性，也要从安全性与方便性等人性化服务角度考虑;科技场馆要提供给游客更多地参与性和体验性活动项目，增强其吸引力。

从产品更新与优化角度来看，科技旅游产品要跟上旅游市场和科学技术的发展脚步，尽可能快的更新换代。要深度挖掘产品内在价值，在产品设计上也要针对不同市场，设计精品路线，多类型共同投放市场，实现旅游产品多元化的要求，吸引游客消费向纵深发展。对于目前已有的尤其是同类型的科技旅游产品如科技馆等需要进行总体规划，调整产品结构，形成各自特色，打造重点产品。

2.加强政府宏观调控。改革开放以来我国的发展状况表明，企业参与市场经济活动只有结合宏观调控的指导才能得到稳定和长远的发展。

南京政府部门要对相关的部门建立统一的管理体制，督促各旅游部门和企业的密切配合，协调科研机构和旅游部门之间的关系，指导他们分工协作;制定促进科技旅游发展的税收等方面的相关优惠政策;组织科技旅游协会，制定行业的评价标准;领导相关部门和旅游企业研究科技旅游发展模式。

南京高校众多，要在高校旅游专业教育政策指导下，培训科技旅游专职人员，提高他们的科技专业知识和服务技能，尤其是导游人员的解说词和起说明指示作用的标牌等等都要做到规范、科学。

4.积极开展宣传促销活动。旅游产品的不可转移性和无形性决定了旅游产品不可能像其他产品一样直观地与旅游者得到沟通，宣传促销策略有利于提高产品的知名度，并树立产品形象和地位，所以旅游宣传促销更显必要。南京科技旅游的宣传促销策略，可考虑以下几个方面：

首先，对于科技旅游这个新产品，要利用广告、电视、宣传手册等不断强化科技旅游新理念，与新闻媒体加强合作，通过制作旅游宣传片、演示记录、旅游指南等介绍南京科技旅游。其次，引入ci形象系统理念，建立科技旅游整体形象，开展专题科技旅游活动，不断巩固老客源，并挖掘潜在市场。最后，要加强与旅行社之间的合作发展。南京旅行社众多，通过旅行社宣传，会达到事半功倍的效果。此外，建立科技旅游专业网站，进行网上预定、网上销售，并在网上公布最新的科技旅游信息，促进科技旅游信息系统的建设。

5.2.2 party a shall send twice its technical personnel to party b’s factory for

training， andthe total number of the participants shall not exceed 320 days/man

(excluding the inter-preter).

5.2.3 the first training shall be from the third to the fourth month after the

contract comes into effect. there shall be 4 technical persons and an interpreterto be

sent to party b for training for 16o working days/man (5 days week). the training shall

cover the design of the contracted products and manufacturing technology.

5.2.4 the second training shall be from the eighth to the nineth month. party a shall

sent 4 technical persons and an interpreter to party b’s factory for training for 160

working days/man  (5 days per week). the training shall cover the designing， the

manufacturing technology，erection and adjustment of the contracted products.

5.2.5 party a shall bear the travelling expenses of its trainees; party b shall

provide party a’s trainees free of charge with boarding， lodging and means of

conveyance for travel- ling between the lodging place and the factory.

翻译服务合同书

甲乙双方本着友好协商、共同发展的原则签订本翻译服务合同，其条款如下：

一、甲方委托乙方为其提供翻译服务，及时向乙方提交清晰、易于辨认的待译资料，提出明确要求，并对乙方的翻译质量进行监督。

二、乙方按时完成翻译任务(如发生不可抗力的因素除外)，向甲方提供已翻译好的打印件及电子文件各一份。具体交稿日期由双方商定。对于加急稿件，交稿期限由双方临时商议。

三、乙方对甲方提供的任何资料必须严格保密，不得透露给第三方。

四、翻译工作量统计：电子译稿：按电脑统计的中文版字符数计算(中文版word20__中“不计空格的字符数”);打印译稿：按中文原稿行数×列数统计计算(行×列)。

五、乙方按优惠价格向甲方收取翻译费用：英译汉为_________元/千字符(_________字以上)。

六、乙方可以在翻译开始前为甲方预估翻译费，甲方付款时则按实际发生的工作量支付给乙方翻译费用(工作量统计方法见本合同第四条)。

八、付款方式：甲方在收到乙方译稿的当日按实际费用先支付乙方翻译总费用的50%，余款应在交稿后的.______日内付清，如第___日余款还未付清，则甲方每延误一天需要向乙方交纳翻译总费用_________‰的滞纳金。
