一、合同期限

1、本合同自签订之日起生效，有效期为壹年

四、工作条件和业务培训

1、甲方根据医院医疗工作特点，规定乙方的工作时间，每天工作时间根据院方需要具体安排，每周休息1.5天。

2、甲方不负责乙方的社保、医保、失业保险。

3、甲方可根据工作需要组织、安排乙方参加必要的业务知识培训与外出学习，具体相关职责按照《进修合同书》执行。

五、劳动报酬

1、乙方的报酬按甲方规定的工资标准执行，效益提成、津贴等按照医院规定另计。

2、乙方享受规定的福利待遇：如乙方合同期内擅自离职，不享受任何福利待遇和绩效工资。

3、甲方根据乙方工种和工作岗位的变动，按相关规定可以调整乙方的劳动报酬，乙方无正当理由不得拒绝。

六、甲方对乙方的原则要求：

切实遵守医院制定的各项规章制度。

严格执行临床医疗操作规范，确保医疗安全。

爱护医院财产，保守医院机密，凡涉及到有关知识产权的内容，在未经医院同意前，不得应用、泄漏或转让。

不得以医院的名义进行个人经济往来，不进行或参与有损医院声誉和形象的活动。

乙方在本院期间发明、发现与本职工作有关的医疗成果，其所有权、试用权等参照国家相关法规之规定执行。

七、合同的变更、解除和违约责任

1、经甲、乙双方协商同意后方可变更合同，变更后的合同内容或有关条款经双方签章后即可生效。

2、有下列情况之一者，甲方可解除本合同：

乙方严重违反法律、法规及医院规章制度的;

乙方严重失职，使医院利益造成重大损失的;

因经济、政策等客观原因使甲方所在科室的设置已不可能或无必要时;

乙方在合同期内没能完成双方议定的工作任务;

双方协商一致同意解除的。

3、有下列情况之一者或其它原因，乙方可通知甲方解除本合同，但需于一月前提出书面申请。

甲方未按合同的约定支付工资报酬的;

因身体健康状况不能继续从事医院工作，并提供有效证明的;

甲方以暴力威胁或者采取非法手段限制人身自由强迫劳动的;

4、乙方严重失职使医院利益造成重大损失的，院方将依法追究其经济赔偿责任。

八、甲、乙双方在合同期内同意约定的其他事项：

1、根据甲方发展需要，乙方应服从医院工作调动。

2、甲方有权对本院的工资标准和其它待遇及绩效提成的分配比例进行调整。

3、乙方在合同期内的身体健康状况、人身安全由本人自行负责。其违法行为所造成的刑事和民事责任，概由本人承担，与甲方无关，但在工作时间内发生与本职工作有关的伤害除外。

4、医院不承担乙方的医疗费用，乙方在本院就诊，一律照章交费。工伤视具体情况区别对待。

5、如甲方为乙方所做的广告宣传，在本合同终止后如因客观原因无法停止，则甲方有权继续。

6、女职工在怀孕期间，考虑到身体原因及出于安全考虑，可以选择终止合同，回家休养;如自己坚持上班，发现任何安全事故与甲方无关。

7、乙方违反计划生育，甲方有权终止合同，给予辞退。

九、本合同未尽事宜，双方将本着友好协商的精神解决，或另行签订补充协议。

十、本院各种《规章制度》为本合同，与本合同具同等效力。

十一、本合同一式两份自甲、乙双方签字、盖章后生效，涂改或代签无效。

十二、劳动争论处理：如甲乙双方发生劳动争论，当事人可以依法申请调解、仲裁，也可协商解决。

6.3 在每批技术资料发运后24小时内，乙方应将合同号、空运提单号、空运报单日期、资料项目、件数、重量、航班号和预计抵达日期用电报或电传通知甲方。同时将空运提单和技术资料详细清单各一式2份寄给甲方。

6.4 若技术资料在空运中丢失、损坏、短缺，乙方应在收到甲方书面通知后30天内，免费外寄或重寄给甲方。在甲方收到技术资料后60天内，如果没有以书面形式提出资料不全或增补要求，则视为甲方验收。

6.5 技术资料采用英文，计量单位以公制表示。

第七条 考核与验收

7.1 合同产品的第一台样机，由甲、乙双方组成的联合考核小组，按附件七规定的时间和内容进行考核。如果符合附件一规定的技术要求，即可验收，并由双方代表签署合同产品考核验收合格证书一式4份，双方各执两份。

7.2 如果合同产品的技术性能达不到规定的技术标准，双方应友好协商，共同研究，分析原因，采取措施，消除缺陷，进行第二次性能考核。考核合格后，双方签署考核合格证书。

7.3 如果第一次考核不合格是乙方责任，乙方应自费再次派遣技术人员进特第二次考核。

7.4 经过第二次考核仍不能合格验收，若责任在于乙方，刚乙方须赔偿甲方遭受的直接损失。并采取措施艄除缺陷，进行第三次考核。

7.5 经过第三次考核仍不合格，如系乙方责任，则甲方有权终止合同，并接第九条的规定处理。若系甲方责任，则由双方协商合同进一步执行的问题。

第八条 技术改进

8.1 乙方提供的技术资料，如有不适合甲方生产条件的（如设计标准、原材料、外购配件及共他生产设备等一，乙方有责任帮助甲方修改技术资料，闪加以确认。在不影响合同产品性能情况下，应采用中国产的原材料、配套元器件和设备。

8.2 在合同有效期内，双方对合同产品的任何改进和创新，都免费将改进或创新的技术资料提供给对方。

8.3 改进或创新的技术所有权属于改进或创新一方，另一方不得对其申请专利或将其转让给第三者。

第九条 保证和索赔

9.1 乙方保证所提供的技术资料是乙方经过实际使用的最新技术资料，并保证向甲方及时提供任何改进和发明的技术资料。

9.2 乙方保证所提供的技术资料是完整的、正确的、清晰的，并保证按时交付。

9.3 如果乙方提供的技术资料不符合第六条规定，乙方必须在收到甲方书面通知后30天内免费将所缺的技术资料，或清晰、正确的资料寄给甲方。

9.4 如乙方的技术资料不能按本合同附件二规定的时间交付，乙方则须按下列比例支付罚款给甲方：

（1）迟交1至4周，罚款为合同总价的_________％；
