一、甲方______________向乙方______________授权的许可范围和保证义务

1.甲方对其自有版权的图片均应在下属范围内指定乙方享有完全的权利：

（1）授权乙方代理，同时乙方也接受该项授权，作为其自有版权的图片在全球范围内的使用权销售代理。乙方的销售平台为自主拥有的专业图片网站，网站的网址为_____________________________；

（2）授权乙方对其授权图片不改变图片内容的编辑权；

（3）授权乙方实行联合销售定价及独立终结定价权。

2.甲方其对授权图片须履行如下保证义务：

（1）保证授权乙方的图片为其专有版权的图片；如果授权图片为与他人共享著作权的图片，必须向乙方明确提示，并保证共享著作权人不再向乙方提出任何权利主张；

（2）保证授权乙方对其授权图片的一切合法使用，包括乙方授权客户的有偿使用；在本协议期间，须保证不发生任何阻碍乙方行使该权利的留置权或其它妨碍；

（3）保证授权乙方的图片和文字不涉及任何侵权事宜，不对任何民事主体造成诽谤、侵害隐私权，不触犯任何第三方的版权或商标权；

（4）对于乙方的预约拍摄图片，在向乙方交付该图片1个月内不得提供给与乙方存在竞争关系的其他任何一方；

（5）乙方原则不接受甲方提供的完全职务作品，如完全职务作品需要授权代理，必须具有职务作品所有者的授权文件；

（6）甲方因违反上述义务规定，给第三方或乙方造成经济损失，乙方有权根据有关事实扣除其应得之款项。

二、甲方的收益权利

1.甲方对授权乙方代理销售的图片，拥有合法版权保护期内的收益权利，此版权保护期自甲方向乙方提交图片、乙方在网站上公布该图片之日起开始计算，至50年之后的当日终止。甲方的收益为图片每次出售价格的50％版权费用，此款项不再扣除任何其他费用，为甲方净得利益。

2.乙方接受商业用户预约，指定甲方拍摄的商业性摄影项目，支付费率为该项目总标的额的40％，此支付费用为纯摄影费用，不包括履行此项目要支付的其他费用，比如耗材、模特费用、场地租用费用等。

3.结算方式：图片用户回款当月月底结算，同时乙方向甲方邮寄详细账单和支付凭据。

4.甲方对上述支付发生账目怀疑，可以向乙方提出账目审计，乙方在接到有关申请后应当在30天内安排其本人或其代表进行审计。经过审计，并由公共审计师出具符合法律规定的审计报告，如果金额差异超过应付总额的5％，乙方将赔付此差额2倍的违约金，并负担审计费用。否则乙方只支付差异金额，甲方负担审计费用。

三、乙方的义务

1.乙方须尽力推广甲方的授权图片。

2.乙方有义务协助甲方，使其摄影作品以合理的价格进行销售。乙方有义务保证任何通过乙方对其图片的使用都能得到本协议所规定的权益。

3.对甲方交付乙方的物理图片（指透光正负胶片，数码图片和高光相纸图片除外），乙方可以按其要求进行一定时间的干燥保存，并保证该图片不受任何损坏，乙方进行数码处理后，保证将原片及时返还甲方。

四、其他事项

此协议为有限代理协议，双方的权利义务以此协议为唯一合法陈述。乙方可能利用网站对本协议的内容进行更多的细节描述，只为了更深入地说明本协议，属描述性质。
