_________(以下简称乙方)

甲、乙双方本着发挥各自优势、互惠互利、共同发展的原则，就翻译合作的有关事项，经双方友好协商，就半年度乙方为甲方提供翻译和制作服务之事宜，现特订立本协议。具体条款如下：

第一条定义

项目内容：

甲方所委托的的翻译作业业务，分为笔译、口译和综译，还包含双方同意的其它业务合作。

翻译：

乙方按照甲方交付的原文内容，结合相关专业词准确地将原文的内容表达清楚。

文档的制作：

乙方按甲方要求，在计算机上按原文件图文并排的格式进行录入和排版，用印刷本(或者传真件)和email(或者存储介质提交的文本，包括软盘、光盘和其它移动存储介质)，如为口译，则用录音带、录像带和摄像带等介质提交，在保证翻译质量的前提下用计算机移动存储介质提交，但必须配合甲方的制作工作;乙方还应该负责有关的后续服务。

第二条协议期限

2.1本协议有效期为_________年，自双方签订之日起至_________年_________月_________日止;

2.2如有特殊原因，在不影响翻译和制作工作的前提下，提前一个月通知甲方，在乙方处理好应该负责的后续服务后，可以解除此合同;但是如果由于乙方的过错给甲方及其翻译原始委托方造成损失，甲方将依然拥有根据本协议及有关管理条例追究赔偿的权利。

第三条服务费用标准及支付

3.1甲方付给乙方的工作酬金为甲方所得费用的6%，其它4%作为甲方的广告、管理、较审、翻译作品制作、技术创新、工商管理和税务费用、通讯费用等条项的开支。

3.2笔译工作酬金支付：

在客户取稿后一星期支付工作酬金的5%，如无意外，在两星期后支付工作酬金剩余的5%。口译工作酬金支付：

在工作完后二个工作日后的星期二或者星期六支付。

3.3本中心对于在我处连续工作一年的兼职翻译采取年终奖励的办法，予以奖励;奖励额度为完成翻译金额的2%。兼职翻译介绍的业务可以参照兼职业务员的管理条例获得业务费用。

3.4本中心对于在我处连续从事兼职翻译三年以上的人士，采取优先参股或者赠送股份的办法，予以鼓励。

第四条甲方义务、权利

4.1甲方负责提供完整无缺的原文内容(书面及电子版本)。

4.2甲方负责提供资料的相关版权事宜，承担与之有关的各类权利义务。

4.3甲方负责提供必要的工具书、通信工具和办公设备，协助乙方和专业人士取得联系，顺利完成翻译任务。

第五条乙方义务、权利

5.1乙方应按甲方要求完成委托工作，按时、保质、保量交稿;

5.2乙方按甲方要求的格式提交文件;

5.3乙方应对甲方提供的原文件资料保密;

5.4乙方在本中心指定的时间内完成翻译任务，承担因为翻译质量引起的责任。工作积极主动，能以高度的责任心完成本中心分派的翻译任务。

第六条保密条款

乙方为了对甲方提供的资料保密，但对于因其它不可确定的原因造成的外漏，乙方不承担相关或连带责任。甲方提供的资料保密期自每项业务开始之日起计算：

时间为七个月;有关本协议的保密条款详见本协议之附件《保密协议》。

第七条协议的变更和解除

本协议经双方书面同意，可以予以变更或解除。

7.1本协议期间，任何一方违反本协议的相关规定，且经另一方书面通知其改正之日起一周内仍未改正的，另一方有权终止本协议。

7.2甲乙双方中任何一方未履行本协议条款，导致协议不能履行、不能完全履行或者协议履行成为不必要，未违约的另一方有权变更、解除本协议。

7.3乙方的特殊条款见

7.4甲方的特殊条款见不可抗力条款。

7.5除非另有规定，合同变解除后，依照合同规定和有关条例规定甲乙双方为履行完毕的责任应该继续履行完毕。

第八条译者的职业道德

8.1乙方不得利用为甲方提供委托翻译服务的机会和客户联系，并率开甲方为客户提供翻译业务，否则甲方可以采取扣除质量保障金和酬金、并进一步追究损失的权利。

8.2除非乙方告知甲方主要负责人，并经得甲方许可，否则乙方不得利用为甲方提供委托翻译服务的机会接受或者索要的小费和酬金。

8.3乙方不得利用为甲方提供委托翻译服务的机会和客户发生不得体或者违反中心、政府有关法律法规的行为，否则甲方拥有扣除质量保障金和酬金、并进一步追究损失的权利。

8.4在甲方没有过错的情况下乙方不得利用甲方管理上的漏洞和业务的特殊性中途违反合同或施加压力，否则甲方拥有扣除质量保证金和酬金、并进一步追究损失的权利。

第九条译者对翻译作品质量的保证

9.1乙方应该自觉地尽自己最大的努力保证翻译件的质量，必须严格遵守甲方提供的有关规定、国家公布的质量保证规定。主要文件有：

1)《翻译作业流程和质量控制》、《客户须知》、《翻译资费标准》和《确认单》;

2)国家制定的《中华人民共和国行业标准翻译服务规范》和翻译成品的质量标准tss1

9.2乙方从甲方领取的标准和规范资料必须签字表示以接受9.1条的管制，其领取材料清单和签字将成为本协议的附件，具有法律证明作用。

9.3由于乙方的责任导致翻译件质量的问题导致客户不满或者造成损失，甲方可以采取扣除质量保障金和酬金、并进一步追究损失的权利。

9.4兼职翻译必须向本中心交纳质量保证金以杜绝以下情况：_______________

1)兼职翻译取走原稿件不译，甚至不再归还原稿和不再联系：_______________

2)兼职翻译冒用本中心名义在外承接业务;

3)利用由于兼职翻译管理上的漏洞而对甲方的声誉造成影响和损失;

4)剽取所知识产权归委托方的翻译稿件中的资料发表文章或者因知识成果而获得利益。质量保证金金额为_________元人民币，甲方可以在此款中扣除因为乙方工作失误给甲方造成的损失;在执行完

2.2条、不可抗力条款、或者合同正常解除后，甲方财务归还保证金给乙方，并付给乙方相应的利息，利息按人民银行规定的同期利率计算。

第十条不可抗力

由于地震、台风、洪水、火灾、战争、罢工、政府禁令、法律要求或变化以及其他不可预见并且对其发生和后果不能防止或避免的不可抗力，致使影响协议有关条款的履行，双方应按照不可抗力对影响履行本协议的程度协商决定是否解除本协议，免除履行本协议的部分义务，或者延期履行本协议。

第十一条知识产权和署名权

甲方所提供的相关资料的知识产权不归乙方所有，并且其署名权共同所有;署名规定为_________，不得再署有其它的文字。

第十二条管辖法律和争议解决

12.1因本协议而产生的或与本协议有关的任何争议，双方应通过友好协商解决。不能通过协商解决的争议，就提交_________仲裁机构(如劳动部门)按其仲裁程序在_________仲裁。仲裁裁决是终局的，对双方均具有约束力;

12.2本协议受中华人民共和国法律管辖。

第十三条其它

13.1协议经甲乙双方的签字并加盖公章(乙方可以免此项)之日起生效;

13.3本协议一式三份，乙双方各执一份，便于财务和业务管理甲方执两份，具有同等法律效力;

20xx年X月，我终于踏进了梦寐以求的广交会展馆大门，担任参展商翻译工作，心情既兴奋激动也有些许忐忑不安。心情兴奋激动是因为我可以在这个广阔的外贸舞台上展现我十多年来学习到的英语与外贸知识了，还可以近距离接触到来自世界各地的客户;忐忑不安是因为我担心能力不够，听不懂外商与老板之间的洽谈。

老板是山东人，幽默风趣、平易近人，没有一点儿老板架子。他的工厂主要生产2mm—22mm规格的铁链与各种规格的宠物索具，产品远销世界各地。老板只略懂一些简单的英语，所以我的翻译责任更重大了。

后面几天都有来自世界各国的采购商来询问价格，他们为了避免产生错误，都会将他们想要的规格写在纸上，再让我们给他列出价格，报价都是报FOB青岛价。然而，由于平时上课听习惯了外教纯正的英语口语，所以当接待到来

自中东和印度的采购商时，不熟悉他们的口音，翻译起来非常吃力，他们能听懂我讲，但我却很难听懂他们讲。后来，我渐渐地总结到了经验，把他们说的关键词翻译给老板，如果确实听不懂，只要我们主动热情、耐心、微笑地对待他们，他们都会重复说几遍，甚至会用肢体语言或者用笔写下来直到我们理解为止。

下面就总结一下我的广交会感想：一、勤于思考、发现问题，不断总结。常常都会被客户问到一些我并不了解的问题。有的可能对于内行的人来说属于很简单的常识，可是我从来没听说过，于是我每天都把问题记下来，用空余时间问老板或者到网上查找。二、翻译过程中头脑要保持沉着冷静。在翻译过程中难免会遇到不懂得词汇或者专业术语，还会遇到各种口音的英语，这些原因可能会让我们听不懂对方说的话。即使碰到沟通上的问题，但也不要慌张，头脑要保持沉着冷静，可以互相用写或者肢体语言来交流，双方都明白易懂，合作起来自然也愉快。 三、与客人洽谈时要做好记录。 跟哪位客人谈了哪些内容，都要做详细的记录，什么规格，报价多少，须一一记录下来，重点客户做好标记，这将会对老板回公司后给客户发邮件有很大帮助。四、要保管好客户名片。客人的名片要及时订在笔记本上，不要乱放以免搞丢或者弄乱了。

总而言之，此次的广交会翻译实习开阔了我的视野，为我将来的外贸业务工作积累到了宝贵的经验和奠定了人脉基础，也更进一步地认识了自我，我一定会好好总结经验，不断积累知识，努力完善自我，在以后求职道路上争取有更好的表现和更大的收获。
