(六)协助合作公司对厂房和其他工程设施的设计和施工;

(八)协助合作公司为外籍工作人员办理所需的入境签证手续等;

(九)办理合作公司委托的其他事宜。

第十五条 乙方应负责完成的事项：

(一)依照本合同第十一条第二款、第十三条的规定，提供现金、机器设备、工业产权……并负责将其作为出资的机械设备等运至中国港口;

(二)办理合作公司委托在中国境外选购的机器设备、材料等有关事宜;

(三)提供需要的设备安装、调试以及试产的技术人员、生产和检验技术人员;

(四)培训公司的技术人员和工人;

(五)如乙方同时是技术转让方，则应负责合作公司在规定的期限内按设计能力稳定地生产合格产品;

(六)负责办理合作公司委托的其他事宜。

第七章 合作经营期限

第十六条 合作公司的经营期限为________年，公司营业执照签发之日，为该合作公司的成立日期。

第十二章 劳 动 管 理

第二十九条 合作公司员工的招聘、解雇或辞职一律实行合同制。员工的聘请由公司做出计划，报当地劳动部门核准后，由公司自行招聘，经考核择优录用。

第三十条 合作公司员工的劳动工资、劳动保险、生活福利和奖惩等事项，依照《中华人民共和国中外合作经营企业法》的有关规定，经董事会制订施行方案，由公司、公司工会与员工集体或个人订立劳动合同，按合同的规定执行。

第十三章 财务会计和审计

第三十一条 合作公司设总会计师和总出纳员各一人，负责公司总的会计工作;厂部、商场和维修服务部分别建立帐目，每个部门分别设会计师和出纳员各一个，负责各个部门的财务会计工作。

前款所列会计和出纳员的人选，均由甲、乙方协商推荐，董事会聘请。

第三十二条 合作公司的财务会计制度，根据有关规定，结合本合作公司的实际情况制定。并报当地财政部门和税务部门备案。

第三十三条 合作公司设审计师一人，由甲方推荐，董事会聘请。

审计师负责审查、稽核公司的财务收支和会计帐目，并向董事会报告。

第十四章 纳税与保险

第三十四条 合作公司应按中华人民共和国有关税法缴纳各种税款。

第三十五条 合作公司的各项保险均应向中国的保险公司投保。投保办法、投保险别、保险价值、保期等均按中国人民保险公司的规定由合作公司董事会决定。

第十五章 合同的修改、补充、变更与解除

第三十六条 本合同及其附件的修改或补充，必须经甲、乙方协商一致、签署书面协议，并报经对外经济贸易部(或其委托的审批机构)批准方能生效。

第三十七条 在合同有效期内由于本合同第四十二条规定的不可抗力，造成公司严重损失，或因公司连续亏损，致使合同不能继续履行，经合作公司董事会特别决议，并报原审批机关批准，可以提前终止合同或解除合同。

第十六章 违 约 责 任

第三十八条 由于一方不履行合同、章程规定的义务，或严重违反合同、章程规定，造成合作公司无法经营或无法达到合同规定的经营目的，视作违约方片面终止合同，对方除有权向违约的一方索赔外，并有权按合同规定报原审批机关批准终止合同。如甲、乙方同意继续经营，违约方仍应赔偿履约一方的经济损失。

第三十九条 甲、乙任何一方如未按本合同第十一条、第十二条以及第十三条的规定提供合作条件时，以逾期的第一个月算起，每逾期一个月，违约方应缴付____元违约金给守约的一方。(注：或按出资额的百分比计算)如逾期__个月仍未提供，除累计缴付违约金外，守约一方有权按照本合同第三十八条规定终止合同，并要求违约方赔偿损失。

第四十条 由于一方的过失，造成本合同及其附件不能履行或不能完全履行时，由过失的一方承担违约责任;如属双方的过失，根据实际情况，由双方分别承担各自应负的违约责任。

第四十一条 为保证本合同及其附件的履行，甲、乙方在合同生效后__天内相互提供履约的银行担保书。

第十七章 不 可 抗 力

第四十二条 在合作期间，由于地震、台风、水灾、火灾、战争或其他不能预见并且对其发生和后果不能防止和避免的不可抗力事故，致使直接影响合同的履行或者不能按约定的条件履行时，遇有上述不可抗力事故的一方，应立即将事故情况电报通知对方，并应在十五天内提供事故的详细情况及合同不能履行，或者部分不能履行，或者需要延期履行的理由的有效证明文件。此项证明文件应由事故发生地区的公证机构出具。按照事故对履行合同影响的程度，由双方协商决定是否解除合同，或者部分免除履行合同的责任，或者延期履行合同。

第十八章 争议的解决

第四十三条 凡因执行本合同所发生的或与本合同有关的一切争议，双方应首先通过友好协商解决，如果协商不能解决，应提请中国国际贸易促进委员会对外经济贸易仲裁委员会仲裁。仲裁的裁决是终局的，对双方都有约束力。

第四十四条 本合同的订立、效力、解释、履行和争议的解决均受中华人民共和国法律的保护和管辖。

第十九章 文 字

第四十五条 本合同用中文和__文写成，两种文字具有同等效力。上述两种文本如解释有矛盾，以中文本为准。

第二十章 合同生效及其他

第四十六条 按照本合同规定的各项原则所订立的合作公司章程、工程协议、技术转让协议、销售协议等，均为本合同的附属文件。

××，1983年1月24日上午11时15分出生于山东省无棣县小泊头镇卫生院。从小与土地亲近，与自然感情之久毋庸置疑。读书生涯以母亲的《中药学》和父亲的《储粮害虫》发端，与生物学结缘也始于此。

接受了正统的十二年中国基础教育，十二年寒窗乏善可陈。初中两次参加中学生物奥林匹克竞赛，分别取得省区一等奖和特等奖。高中三年，平心而论只拼了半年，用减肥八千克换了一张总分623的高考成绩单。怀着对生物学的一腔热情，力排众议报考了山东大学生命科学学院，并被录取。

进入大学，发现理想中之自由开放的象牙塔仍遥不可及，但对我来说已经是“如鳅得泥”。虽然与中学相比，课程的负担不止增加了倍余，但我更喜欢这种忙碌。基础课的教学，应该不能算得上理想，我想这是国内多数大学的通病。不过，课程本身的吸引力，远远大于我对教学方式的不满。虽然没有在拿到全部的优秀，但也算是顺利通过。英语轻松拿下四级六级，也似小马过河，不是一件异常恐怖的事情。

在顺利完成学习任务之余，课外阅读成了我的最大爱好，三年间省下了别人喝咖啡的钱全部买了书。2019年北京，2019年上海，每次都把钱包里的钱换成了更加充实的书包里的书。至今，床头的三层书架全部塞满了各种生物学读物，被同学戏称为山大图书馆生物学分馆。为了及时了解科技界特别是生物学界的动态，各种杂志成了我最大的涉猎品，《SCIENCE》《NATURE》千金难求，《SCIENTIFIC AMERICAN》的中文版三年来一期不缺。

在学校，最大的乐土莫过于实验室，即使基础实验成了理工科学生最为诟病的孱头。虽然无法完全掌控实验，但我力争求变，看到自己的思想被证实或被否定，实在是一件乐事。儿时与土地的亲近和十几年“住院”(live in THE hospital)生活让我对实验操作本身颇有体会。特别是动物实验，被同学叫去在扎满耳孔的兔子耳朵上寻找“立针之地”的往往是我。三年来，十几门实验课，门门都是优秀，每每成为实验同伴偷懒的理由，这也是大学时光里的一个美好的回忆。

说到进化，2019年的春天，非典疑云笼罩京城之际，我和几个朋友受邀到中央电视台科教频道与南京大学、天津大学的朋友一起参加关于恐龙灭绝的话题的讨论。我们提出的复原恐龙生殖生态模型的观点得到了著名古生物学家董枝明和甄朔南的一致肯定。从北京赶回济南后五天，非典隔离开始。同样因为非典，中央台的节目录制陷入停顿，我们的节目“有幸”被重播四次之多，希望我们的观点能够得到更多人的认可。

不过，比之讨论恐龙灭绝，我更喜欢探讨生命的诞生。在这里，进化不仅仅是一个生物学课题，更是一个哲学命题。我对进化生物学及进化基因组学的认识将在下面的一篇小文中展开，在此就不加赘述了。

一是在全面认真执行党支部工作条例、制度、规定、程序的基础上，制定出切合实际的 队党支部工作有关规定，规范了党支部工作的程序化及执行制度的组织性、严密性，加强党建工作基础建设。二是针对生产工作实际，积极参与重大问题决策，注重把参与工作贯穿于决策的全过程，坚持做到参与前多调研，参与中多论证，参与后抓落实，保证决策的正确性、科学性和实效性，有力促进了各项工作的开展。三是坚持正常的“三会一课”制度，强化党务工作目标管理，突出党课教育，不断研究新情况，解决新问题，使党课成为加强党员教育，强化组织建设的重要武器和有效阵地。四是积极开展党员“三岗”竞赛和党员责任区活动，建立了党员责任网络，在责任区内实行“五包五保”，较好地发挥了党员的先锋模范作用。

三、加强职工队伍建设，群众工作有了新进展

去年下半年以来，针对服务工作日益繁重的实际困难，我们从提高职工技术素质入手，积极开展技术比武、岗位练兵活动，通过业务考核与技能培训，职工的技术素质有了明显提高。特别是十余名新学员能够在较短的时间内熟练车辆驾驶，保证了全队生产服务任务的完成。车间工会积极开展建设职工小家和民主管理、厂务公开、班组民主管理等活动、团支部适时组织开展了青年文明岗和生产突击活动，充分调动了职工的生产工作积极性。在车况差、人员少和任务重的情况下，党政工团齐抓共管，带领全队职工发扬求真务实之风，敢于迎战困难，挑战极限，先后以拼搏精神，加班加点，较好地完成了工作面“六安五撤”和采掘转换及工作接续的运输任务，为全矿实现800万吨和一千万吨奋斗目标作出了应有的贡献。

四、构筑安全生产防线，生产服务工作得到健康发展

我们坚持以生产服务为中心，党政分工不分家，突出工作面安撤、支护材料供应和五十铃的人员接送等工作重点，首先把安全放在工作首位，针对服务面广、人员分散难管理的实际，突出“三个重点”（五十铃运人、胶轮车运输、车辆维护）、严把“四个关口”（人员接送的上下车、大件运输的装运、危险地段的行车、现场调度的协调），深入开展“严制度、严措施、防漏洞”安全生产整治活动，在全区形成了全员、全过程、全方位的安全监督和管理体系，筑牢了安全生产防线。其次，围绕生产工作中心，党支部通过抓思想发动、抓组织实施、抓措施保障，抓生产环节，充分发挥共产党员的模范带头作用，及时解决各类矛盾和问题，最大限度地调动职工群众的生产工作积极性，确保了安全生产和各项生产服务工作任务的完成，为提高原煤生产和加快掘进速度提供了有力保障。

五、加强思想政治工作，推动各项生产工作任务的完成

结合开展“诚信建设教育年”和“学习型区队”创建活动，我们积极探索思想政治工作新路子，定期开展谈心、走访和职工思想动态分析，努力做到及时掌握职工思想动态，有的放矢开展工作，增强了思想政治工作的针对性和实效性。今年初，由于奖金分配政策的调整，职工对收入降低产生不满情绪，一度影响了生产服务。队党政做了大量的工作，讲形势、讲任务，理顺情绪、化解矛盾，职工基本上能够理解和谅解，保持了工作积极性和主动性，在6300工作面运输中创出了班进支架10台的好成绩。与此同时，建立完善思想政治工作领导和网络体系，形成了以队领导为骨架，党团员、职工群众广泛参与的区队思想政治工作网络体系，把思想政治工作的重心转移到职工最集中的班组，注重发现和解决各类思想问题，取得了显著效果，保持了职工队伍的思想稳定。一是通过为职工做实事，开展送温暖活动，帮助等三名职工解决了经济困难；通过谈心走访，化解家庭纠纷和矛盾，使一名职工家庭保持了和睦，有三名职工减轻了思想包袱，能够以较好地心态投入工作。队党政还高度重视综合治理、普法教育、计划生育等工作，在各方面都得到相应的加强和提高，促进了队伍稳定，从而促进和保证了各项生产工作任务的圆满完成。

通过认真回顾和自检一年来的工作，我们已具备先进党支部的条件，特自荐申报**年度先进党支部。
