(14)凡以cif条件成交的业务,保额为发票价值的110%,投保险别以本售货合同中所开列的为限,买方如要求增加保额或保险范围,应于装船前经售方同意,因此而增加的保险费由买方负责。

(15)质量、数量索赔:如交货质量不符,买方须于货物到达目的港30日内提出索赔;数量索赔须于货物到达目的港15日内提出。 对由于保险公司、船公司和其它转运单位或邮政部门造成的损失卖方不承担责任。

(16)本合同内所述全部或部份商品,如因 人力不可抗拒的原因,以致不能履约或延迟交货,售方概不负责。

(17)仲裁:凡因执行本合同或与本合同有关事项所发生的一切争执,应由双方通过友好方式协商解决。 如果不能取得协议时,则在中国国际经济贸易仲裁委员会根据该仲裁机构的仲裁程序规则进行仲裁。 仲裁决定是终局的,对双方具有同等约束力。 仲裁费用除非仲裁机构另有决定外,均由败诉一方负担。 仲裁也可在双方同意的第三国进行。

第一章合同内容

第二章定义

第九条合同产品,指本合同附件一中所列的全部产品。

第十条蓝图,指乙方制造合同产品目前所使用的总图、制造图样、材料规范及零件目录等的复制件。

第十一条技术资料,是指为生产合同产品所必须具有的乙方目前正用于生产合同产品的全部专有技术和其他有关设计图纸、技术文件等。

第十二条标准,指为制造合同产品向甲方提供的技术资料中,由乙方采用制定的标准。

第十三条入门费,指由于乙方根据本合同第一章第二条、三条、四条、六条、七条规定的内容以技术资料转让的形式向甲方提供合同产品的设计和制造技术,甲方向乙方支付的费用。

第十四条提成费,指在本合同有效期内,由于乙方所给予甲方连续的技术咨询和援助,以及甲方在合同有效期内连续使用乙方的商标和专有技术,甲方向乙方支付的费用。

第十五条合同有效期,指本合同开始生效的时间到本合同第64条规定的本合同终止时间的时日。

第三章价格

第十六条按本合同第一章规定的内容,甲方向乙方支付的合同费用规定如下:

第十七条入门费为________美元(大写:________美元)这是指本合同产品有关的资料转让费和技术培训费,包括技术资料在交付前的一切费用,入门费为固定价格。

第十八条合同产品考核验收合格后,甲方每销售一台合同产品的提成费为基价的________%。甲方向乙方购的零件不计入提成费。

第十九条计算提成费的基价应是甲方生产合同产品当年12月31日有效的,乙方在________国________市公布和使用的每台目录价格的________%。

第四章支付和支付条件

(c)双方签署的“合同产品考核验收合格证书”影印本一份。

注:如果验收试验延迟并是甲方的责任,将不迟于合同生效之日支付。

第二十三条本合同第三章规定的提成费,甲方将在抽样产品考核验收合格后按下述办法和条件向乙方支付:

1.甲方在每日历年度结束后________天内,向乙方提交一份甲方在上一日历年度的每种型号的产品实际销售量的报告。

2.乙方每年可派代表到合同工厂检查和核实甲方合同产品实际销售量的报告,甲方将给予协助。乙方来华费用由乙方负担。如果汇总和/或报告中所列的合同产品数量在检查时发现出入很大,则甲乙双方应讨论此差距并洽商采取正确的措施。

3.甲方收到乙方下列单据并审查无误后的________天内向乙方支付提成费:

(a)即期汇票正、副本各一份。

(b)商业发票正本一份,副本三份。

(c)该年提成费计算书一式四份。

4.在合同期满年度内,甲方在合同终止后________天内将提交一份最后销售合同产品数量的报告,以便乙方计算提成费。

第五章技术资料交付

第二十五条乙方应按本合同附件二的规定向甲方提供技术资料。

第二十六条乙方应在________机场或车站交付技术资料,________机场或车站的印戳日期为技术资料的有效日期。甲方应在收到资料两周内,确认资料收悉。

第二十七条第一阶段产品的技术资料、样机、铸件和备件:

1.在合同生效后的________周内,乙方必须发出一套蓝图、一套二底图和一套标准。可以分批交货。

2.在合同生效后的____周内,乙方必须发出与第一阶段合同产品有关的全部技术资料、样机、铸件和备件。

第二十八条第二阶段产品的技术资料和样机:

1.第二阶段开始日期后的____周内,乙方必须发出与第二阶段产品有关的一套蓝图、一套二底图和一套标准。可以分期交货。

2.第二阶段开始后的____周内,乙方必须尽快发出与第二阶段合同产品有关的全部技术资料和样机、铸件和备件。

第二十九条在每批技术资料或样机、铸件和备件发运后的______小时内,乙方应将空运提单号、空运提单日期、资料编号、合同号、件数和重量电告甲方。同时乙方应以航空信将下列单据寄给甲方:

(a)空运提单正本一份,副本二份。

(b)所发运技术资料、样机、铸件和备件的详细清单五式二份。

第三十条若乙方提供的技术资料或样机、铸件和备件在运输途中,遗失或损坏,乙方在收到甲方关于遗失或损坏的书面通知后,应尽快不迟于____个月内免费补寄或重寄给甲方。

第三十一条交付技术资料应具有适用于长途运输、多次搬运、防雨、防潮的坚固包装。

在每件包装箱的内部和外表,都应以英文标明下列内容:

(a)合同号

(b)运输标记

(c)收货人

(d)技术资料目的地

(e)重量(公斤)

(f)样机、铸件和备件目的地

第六章技术资料的改进和修改

第三十二条为了适应甲方的设计标准、材料、工艺装备和其他生产条件,在不改变乙方基本设计的条件下,甲方有权对乙方的技术资料进行修改和变动。甲方必须将这些修改和变动通知乙方。乙方有责任在培训或技术指导时协助甲方修改技术资料,详见附件三、附件四。

第三十三条甲方必须在型号后加注尾标,以示区别那些影响形状、配合或功能的修改,并通知乙方。

第三十四条合同有效期内,双方在合同规定的范围内的任何改进和发展,都应相互免费将改进、发展的技术资料提交给对方。

第三十五条改进和发展的技术,所有权属改进、发展的一方。

第七章质量验收试验

第三十六条为了验证按乙方提供的技术资料制造的合同产品可靠性,由甲、乙双方共同在合同工厂对考核的合同产品的技术性能和要求进行考核验收。如果需要,也可以在乙方工厂进行试验或重做。甲方可派指定的人员验证重复试验,乙方负责重复试验和乙方人员的费用,甲方负责甲方参加重复试验的人员和翻译的费用。具体办法见本合同附件七。

第三十七条考核试验产品的技术性能应符合乙方提供的本合同中的标准规定,即通过鉴定。甲、乙双方签署“合同产品考核验收合格证明”一式四份,每方各执二份。

第三十八条如考核试验产品的技术性能达不到附件规定的技术参数,双方应友好协商,共同研究分析原因,采取措施,消除缺陷后进行第二次考核验收。

第三十九条如考核试验产品不合格是乙方的责任,则乙方派人参加第二次考核验收的一切费用,由乙方负担。如系甲方责任,该费用由甲方负担。

第四十条若考核试验产品第二次试验仍不合格时,如系乙方的责任,乙方应赔偿甲方遭受的直接损失,并采取措施消除缺陷,参加第三次考核,费用由乙方负担。如系甲方责任,该费用由甲方负担。

第四十一条若考核试验产品第三次考核试验不合格时,双方应讨论执行合同的问题,如系乙方责任,则按合同第五十三条规定,甲方有权修正合同。如系甲方责任,则由双方共同协商进一步的执行问题。乙方将根据甲方的要求,为改进不合格的样机提供技术咨询。

第八章“合同产品”的出口和商标

第四十二条甲方生产的“合同产品”可在国内销售/可根据下列条件出口到其他国家:

1.甲方应首先与乙方协商,要求在乙方的销售/分配网所在地区安排销售(销售,分配网包括乙方子公司和代理商)。

出口销售的数量和项目将通过友好协商决定,若无法安排,则甲方可以自由出口,但是,甲方必须在完成交易后一周内,将项目、数量和购买商名称通知乙方。

2.在乙方销售/分配网不包括的地区,甲方可以自由销售。

第四十三条对于甲方把“合同产品”装在甲方国的主机上出售到任何国家(包括在乙方销售/分配网所在地国家)的权利,乙方不得干涉。为维修甲方国出口的主机,甲方可以自由销售作为配件的“合同产品”。

第四十四条在合同期间,甲方可以在“合同产品”上使用乙方使用的商标和标上甲方的商标,并注上“____国________制造”。商标许可证应由甲方和________公司单独签订。

第四十五条当使用商标时,甲方生产的“合同产品”必须符合本合同项下由乙方提供的标准。在必要的时候,每年乙方可进行一次抽样试验,在抽样试验结果不符合乙方提供的标准时,乙方应建议甲方改进不合格的“合同产品”并在____个月内再次进行试验。若结果仍不符合,则乙方就可中止甲方使用其商标的权利。甲方可以再次提交另外的样品给乙方进行试验。再次抽样试验,结果符合乙方提供的标准时,乙方将再次给予甲方使用其商标的权利。

第九章保证

第四十六条乙方保证其提供的技术资料是在合同生效时乙方使用的最新技术资料,并与乙方拥有的技术资料完全一致。在合同期间,“合同产品”设计变化的技术通知书和技术改进、发展资料,乙方将及时地送至甲方。

第四十七条乙方保证其提供的技术资料是完整的、清晰的、可靠的,并按第五章的规定按时交付。有关定义如下:

1.“完整”系指乙方提供的资料是本合同附件中规定的全部资料,并与乙方自己工厂目前使用的资料完全一致。

2.“可靠”系指甲方按技术资料制造的合同产品应符合乙方按合同提供的合同产品技术规范。

3.“清晰”系指资料中的图样、曲线、术语符号等容易看清。

第四十八条如果乙方提供的技术资料不符合第四十六、第四十七条的规定时,乙方必须在收到甲方书面通知书后____天内免费将所缺的资料,或清晰、可靠的资料寄给甲方。

第四十九条当乙方不能按本合同第五章规定的时间交付资料,则乙方应按下列比例向甲方支付罚款:

迟交____至____周,每整周罚款为入门费总价的____%。

迟交____至____周,每整周罚款为入门费总价的____%。

迟交超过____周以上,每整周罚款为入门费总价的____%。

第五十条若发生第四十九条事项,乙方支付给甲方的罚款总数不超过________美元(大写:________美元)。

第五十一条乙方支付给甲方的第四十九条中规定的罚款,应以迟交的整周数进行计算。

第五十三条按第七章的规定,由于乙方的责任,产品考核经三次不合格时,则按以下办法处理:

1.若考核产品不合格以致甲方不能投产,则必须修改合同,采取有效措施将不合格的产品从合同中删除。乙方应退还甲方已经支付的那部分金额。这部分退还金额仅限于合同产品总的范围中不合格产品所占部分。并加年利____%的利息。

2.如果根据第四十一条修改合同,则甲方放弃只涉及不合格的那部分产品和零件的制造权,甲方将退回有助于制造这些不合格产品的全部文件,不可复制或销毁。

第十章许可证和专有技术

如果第三方提出侵权的控诉,则乙方应与第三方处理此控诉并负责法律和经济责任。

第五十五条与合同有关的完整的____国专利清单列入附件二,本合同生效一个月内,乙方将向甲方提供专利影印本一式二份。但不给予____国专利许可证或不应包括此许可证。

第五十六条本合同终止后,甲方仍有权使用乙方提供的许可证和专有技术,而不承担任何义务和责任。合同终止后,使用____商标的权利也将终止。

第五十七条双方都应履行本合同,不应以任何方式向第三方透露和公布双方提供的任何技术资料或商业情报。

第十一章税费

第五十八条凡因履行本合同而引起的一切税费,发生在甲方国以外的应由乙方承担。

第五十九条在执行合同期间,乙方在甲方国境内取得的收入应按甲方国税法缴税。此税费由甲方在每次支付时扣交,并将税务局的收据副本一份交乙方。

第十二章仲裁

第六十条

1.凡因执行本合同而引起的一切争执,应由双方通过友好协商来解决。在不能解决时,则提交仲裁解决。

2.仲裁地点

(1)由____国________仲裁委员会按该会仲裁规则进行仲裁。

(2)仲裁在瑞典的斯德哥尔摩进行,并由斯德哥尔摩商会仲裁院按仲裁院的程序进行仲裁。

3仲裁裁决应是终局裁决,对双方均有约束力,双方都应遵照执行。

4仲裁费应由败诉一方负担。

5在仲裁过程中,本合同中除了接受仲裁的部分外,仍应由双方继续执行。

第十三章不可抗力

第六十一条若签约的任何一方,由于战争及严重的火灾、水灾、台风和地震所引起的事件,影响了合同的执行时,则应延迟合同期限,延迟时间应相当于事故所影响的时间。

第六十二条责任方应尽快地将发生的人力不可抗拒的事故电告另一方,并在____天内以航空挂号将有关当局出具的证明文件提交另一方确认。

第六十三条若人力不可抗拒事故延续到____天以上时,双方应通过友好协商尽快解决合同继续执行问题。

第十四章合同生效及其他

第六十四条合同在甲方和乙方代表签字之后,双方需向各自政府申请批准,并以最后批准一方的日期作为生效日。双方应尽最大的努力在____天期限内获得批准。并用电报通知对方,随之以信件予以确认,若合同签字后____个月内不能生效,则本合同对甲方和乙方都无约束力,经双方同意,申请批准的期限可以延长。

第六十五条本合同用____、____文和____文书写各四份,____文文本和____文文本具有同等效力,双方执,____、____文文本各二份。

第六十六条本合同从合同生效之日起________年内有效。有效期满后,本合同即自动失效,除非在合同有效期内双方另有协议,第二阶段合同产品开始日期将由乙方来甲方指导时,双方签订备忘录予以确认。

1.合同期满前____个月之前的任何时候,甲方或乙方均可提出要求进行合同延期的谈判,届时签订合同延期的专门条款。

2.合同第一阶段在合同生效之日开始,合同第二阶段的开始日期预期为合同生效后的第____个月。

3.合同终止前,任何合同项下发生的未清理的赊欠和债务将不受合同终止的影响,合同的终止并不能解除债务赊欠一方对另一方的债务。

4.本合同附件均为本合同不可分割的部分,与合同正文具有同等效力。

5.合同签字前双方之间的所有来往通讯文电,从合同生效之日起自动失效。

6.只有根据双方授权代表签字的书面文件才能对本合同进行更改和补充。这些文件将成为合同不可分割的部分。

7.双方为履行本合同而进行的通讯应以____国文字书写一式二份。

8.在对方预先没有同意前,双方不应将本合同的任何权利或义务转让给第三方。

9.本合同中的任何条款并不影响____国和任何其他国家之间贸易。

2.5货物若需甲方负责商检,甲方则应及时认真作好商品的商检通关工作,以免延误通关等后续工作的进行。

2.6在甲方负责报关运输的方式下,积极联络货运代理公司进行定仓保险等事务,保证出口货物安全、及时顺利的出口清关,不延误指定装船日期,但对货物的真实性由乙方负责。

2.7及时做好货款在各种方式下的结汇工作,按约定的结算方式同乙方进行结算并规定比例收取代理费。

2.8作好货款的核销工作,催促乙方在指定的期限内收到外汇货款,及时收回外汇核销单及出口报关单,在规定的期限内完成外汇核销。

2.9若货物需退税的,在收到乙方提供的按退税机关规定的完整的退税凭证后应及时完成退税工作,按协议的结算款项同乙方结算。

2.10积极协助应由乙方完成的各项其他工作,在外贸上给予能力范围内的各种支持。

三、乙方的权利和义务:

3.1对甲方同外方及供货方签订的协议内容负责,并承担不能完成协议的一切后果。

3.2按时、按量、按质准备货物,货物备妥后及时把规格、数量、质量、包装、毛净重等数据告诉甲方,以便甲方及时制作各种单据。

3.3对需要出口配额及许可证的货物,应办理相关的申请手续,甲方予以协助完成。也可以委托甲方在能力范围内予以全权办理。但承担甲方不能及时取得该些单证的后果。

3.4若由乙方负责货物的商检、订仓、保险及海关清关等工作,乙方应同时承担由此所产生的各种费用。并保证报关单据上的货物与实际装船出口的货物在品质、规格、数量上的完全一致,负责承担由此产生的一切责任和后果。

3.5应积极催促外方在指定的期限内(出口报关后三个月内)将货款汇入甲方的指定账户,并承担不能收到外汇货款和收汇晚于规定期限的一切责任和后果。对于收汇超过三个月的应事先经甲方同意。实际收汇金额低于报关金额不得超过500美元。

3.6按协议规定与甲方进行货款计算和支付出口代理费(结算方式单独列项)。

3.7在出口清关后的收回出口外汇核销单和出口报关单(核销联)并交于甲方。交于甲方的时间必须在出口报关(以出口报关单上出口时间为准)后90天内,以便甲方及时进行外汇核销。

3.8对于要出口退税的业务,乙方必须在出口后4个月内保证甲方完成出口核销。对于核销所需要单据遗失或修改的业务必须在4个月内通知甲方,由甲方到税务机关办理出口退税延期手续;出口报关单(退税联)必须在出口报关(以出口报关单上的出口为准)后60天内交于甲方,对于出口报关单退税联遗失或修改的业务必须60天内通知甲方,由甲方到税务机关办理出口退税的延期手续;应在该货物清关后(以出口报关单出口的时间为准)最迟60天内将出口对应的增值税发票交于甲方,并且增值税发票开票时间在20天内。对于超出上述期限的,造成不能退税的,甲方不承担责任。对于各种退税单据由于有各种错误记录、未通过退税部门的验证及不符合税务机关关于出口退税的规定从而不能进行退税的由乙方自行负责,乙方必须退回甲方向乙方支付的退税款项。如国家出口退税政策变动的,双方应另行协商。

3.9积极协助甲方办理其他需甲方完成的工作,协调好中外各方的工作情况。

四、结算约定条款:

4.1纯代理方式:

4.1.1按货值的_____%征收出口代理费,最低不少于人民币___元。

4.1.2乙方同时承担货款在结算中我方所产生的银行费用和清关费用及运输费用。

4.1.3对于外汇的折人民币汇率按甲方在银行结汇时提供的结汇汇率为准。

4.1.4具体资金支付:

A.T/T方式下:甲方在收到外方的外汇货款后,按汇率折算人民币后两个工作日内将该笔货款扣除代理费后汇入乙方的指定账户。

B.在L/C和托收方式下,甲方将全套准确有效的单据交到指定的议付银行后,在外汇货款进账后,按汇率折算成人民币后两个工作日内将其扣除代理费后汇入乙方指定账户。甲方交给银行的单据不管是甲方还是乙方制作的必须通过乙方确认,同时乙方将对由于单据不符等原因造成不能得到银行偿付的情况承担责任和由此产生的一切后果。

4.2在出口退税的方式下:

4.2.1对于外汇的折人民币汇率按甲方在银行结汇时银行提供的结算汇率为准

4.2.2乙方同时承担货款在结算中我方所产生的银行费用和清关费用及运输费用

4.2.3甲方按照乙方出口货物价格RMB/USD收取代理费;在扣除双方约定的杂费后(如银行费用、利息、办证费等),甲方账面余额凭乙方开具的等额发票支付给乙方。

4.2.4甲方支付货款的前提条件是必须及时收到乙方开给甲方规定数额的经税务部门验证通过的增值税发票(乙方必须在货物出运清关后60天内收回)和在收到国外的外汇货款之后才能支付给乙方。否则甲方有权拒付该笔货款。

4.2.5具体资金支付:

A.T/T_____方式下:甲方在收到外方的外汇货款后,按汇率折算成人民币后在符合上述结算条件下在两个工作日内将货款支付给乙方。

B.在L/C_____和托收的方式下,甲方将全套准确有效单据交到指定的议付银行后,在外汇货款进账后,按汇率折算成人民币后两个工作日内将其扣除代理费后汇入乙方指定账户。甲方交给银行的单据不管是甲方还是乙方制作的必须通过乙方确认,同时乙方将对由于单据不符等原因造成不能得到银行偿付的情况承担责任和由此产生的一切后果。

4.3不管何种结算,若需甲方返还利润部分的,乙方都必须开来合法的发票后,甲方才能返还利润部分。

4.4但乙方将承担增值税票由于存在各种错误记录、未通过退税部门的验证及该发票和全套出口报关单未能按规定期限及时交给甲方从而不能进行退税的责任和后果,同时乙方也必须及时退还甲方之前所得到的大于收汇的那部分金额的货款。

五、其它约定条款:

5.1乙方保证出口的货物是遵守国家的各项法律、法规的合法的货物,否则承担由此产生的一切责任和后果。

5.2代理过程中货物的质量问题由乙方全权负责,发生质量问题时由乙方全权处理,甲方协助乙方处理各种索赔、赔付等事宜。

5.3甲方保证乙方的商业秘密,并保证不以任何形式擅自利用乙方的客户渠道及商业资料,否则将赔偿乙方由此造成的一切经济及法律后果。

5.4本协议在执行过程中由于产生各种双方无法预料的问题(如国家政策发生变化等),双方将及时进行协商解决,合理调整本协议的有关内容,或拟订补充协议加以规定,该补充协议也将视为本协议的有效部分。

5.5甲乙双方需终止本协议的,必须提前2个月以书面的形式通知对方,且之前所签订对外及对内协议必须执行完毕。

5.6若产生一方违反本协议条款或产生了争议和分歧,都应本着友好的态度进行协商解决,协商不成的任何一方都有权向法院提请法律诉讼。

5.7本协议经甲乙双方签字盖章后生效,正本协议一式贰份,甲乙双方各执一份,二份具有同等的法律效力。

甲、乙双方根据相关法律法规的有关规定,就甲方委托乙方代办货物进出境运输报关手续及相关事宜,甲、乙双方经友好协商,签定本《代理报关协议书》,甲、乙双方共同遵照执行。

第一条 代理事项

甲方委托乙方代理甲方货物进出境的运输报关手续,以及提货、送货至甲方指定地点等有关事项。

第二条 乙方代理权限

乙方的代理权限仅限于办理清关或者转关运输、报关、报检、验放,将甲方货物安全送达至甲方指定地点。

第三条 代理期限

第四条 甲方责任

2、乙方在代理甲方办理报关、检验、检疫、提货、送货等手续过程中,有义务保证甲方货物完整、安全,不得损坏或丢失(货物由于进出境运输过程中产生的破损除外);

3、乙方在代理报关过程中,应当为甲方保守秘密,不得向任何第三方泄漏甲方的技术资料、合同、协议书等法律文件和有关信息,也不得将该类信息用于与履行本协议无关的目的;

4、乙方有义务妥善保管甲方提交的文件和资料,乙方只有经过甲方书面授权后方可利用甲方的文件、资料或代理甲方行使权利;乙方应于履行完本协议项下服务后5个工作日内,向甲方返还该文件和资料;

5、因第三方原因导致甲方货物缺损或丢失,乙方有义务督促第三方出具书面证明;

6、乙方对所进口商品的质量等本身问题不承担责任。

7、未经甲方书面同意,乙方不得将甲方委托其的服务进行转委托。

若甲方书面同意转委托,乙方应对其转委托的第三方所提供的服务向甲方承担全部责任;

第六条 报关费用

报关费用见一报价单。

第七条 结算

乙方应将上月报关费用结算清单于次月五日前提供甲方,甲方自收到乙方结算清单之日起三个工作日内审核完毕。

经审核无误后,乙方开正规发票给甲方,甲方自收到乙方正规发票后五个工作日内与乙方结清各项费用。

第八条 违约责任

甲、乙任何一方违反本《代理报关协议书》的各项规定,即构成违约,违约方有义务纠正其违约行为,并应赔偿因违约行为而给守约方造成的实际损失。

如甲方未能在规定时间内支付乙方相关费用将根据日千分之5的违约金向甲方收取。

直至甲方付清所有费用为止。

同时,乙方有权停止办理甲方委托的事项,或对甲方所交付的文件和货物行使留置权,直至甲方付清所有欠款为止,由此产生的保管费、仓储费、以及风险和损失等相关费用由甲方承担。

第九条 争议仲裁

本《代理报关协议书》中任一条款与《代理报关委托书》背面委托报关协议通用条款不一致时,应以委托报关协议通用条款为准。

甲、乙双方因执行本《代理报关协议书》而发生的分歧,或与本协议书有关的一切争议,甲、乙双方应通过友好协商解决,协商未能达成一致时,甲、乙任何一方有权将争议提交北京仲裁委员会,根据该委员会的仲裁程序和仲裁规则进行裁决。

仲裁裁决为终局的,对双方均有约束力。

仲裁费用由败诉一方承担。

第十条 终止或变更

甲、乙任何一方终止或变更本《代理报关协议书》时,须提前三十日向对方发出终止或变更的书面申请,经甲、乙双方签定书面终止或变更协议书后,本协议书即可终止或变更。

任何一方无正当理由终止本协议给对方造成损失的应承担赔偿责任。

第十一条 效力

1、本《代理报关协议书》经甲、乙双方法定代表人或其授权委托人签字、盖章后生效;

2、本《代理报关协议书》一式二份,甲、乙双方各持一份,两份协议书具有同等法律效力。

第十二条 其它事宜本《代理报关协议书》的其它未尽事宜,甲、乙双方可另行签定补充协议,该补充协议为本协议的附件,与本协议具有同等法律效力。

买卖双方在平等、互利原则上,经充分协商一致,由买方购进,卖方出售下列货物,并按下列条款履行:

第七条 单据:各项单据均须使用与本合同相一致的文字,以便买方审核查对:

B发票:注明合同号、唛头、载货船名及信用证号;如果分批装运,须注明分批号。

C.装箱单及/或重量单:注明合同号及唛头,并逐件列明毛重、净重和货号。

D.制造工厂的品质及数量/重量证明书。

品质证明书内应列入根据合同规定的标准按货号进行化学成分、机械性能及其他各种试验的实际试验结果。数量/重量证明书应按货号列明重量。

E.按本合同规定的装运通知电报抄本。

第八条 装运条件:

A.离岸价条款:

(a)装运本合同货物的船只,由买方或卖方运输代理人________租船公司租订舱位。卖方负担货物的一切费用风险到货装到船面为止。

(b)卖方必须在合同规定的交货期限30天前,将合同号码、货物名称、数量、装运口岸及预计货物运达装运口岸日期,以电报通知买方以便买方安排舱位。并同时通知买方在装货港的船舶代理,若在规定期限内买方未接到前述通知,即作为卖方同意在合同规定期内任何日期交货,并由买方主动租订舱位。

(c)买方应在船只受载期12天前将船名、预计受载日期、装载数量、合同号码、船舶代理人,以电报通知卖方,卖方应联系船舶代理人配合,按期备货装船。如买方因故需要变更船只或更改船期时,买方或船舶代理人应及时通知卖方。

(d)买方所租船只按期到达装运口岸后,如卖方不能按时备货装船,买方因而遭受的一切损失包括空舱费、延期费及/或罚款等由卖方负担。如船只不能于船舶代理人所确定的受载期内到达,在港口免费堆存期满后第16天起发生的仓库租费、保险费由买方负担,但卖方仍负有载货船只到达装运口岸后立即将货物装船之义务并负担费用及风险,前述各种损失均凭原始单据核实支付。

B.成本加运费价条款:

卖方负责将合同所列货物由装运口岸装班轮到达目的口岸,中途不得转船。货物不得用悬挂买方不能接受的国家的旗帜的船只装运。载货船只在驶抵本合同规定的口岸前不得停靠________或________附近地区。

第九条 装运通知:卖方在货物装船后,立即将合同号、品名、件数、毛重、发票金额、载货船名及装船日期以电报通知买方。

第十条 保险:自装船起由买方自理,但卖方应按本合同规定通知买方。如卖方未能按此办理,买方因而遭受的一切损失全由卖方负担。

第十一条 检验和索赔:货卸目的口岸,买方有权申请____ 国商品检验局进行检验。如发现货物的品质及/或数量/重量与合同或发票不符,除属于保险公司及/或船公司的责任外,买方有权在货卸目的口岸后90天内,根据____ 商品检验局出具的证明书向卖方提出索赔,因索赔所发生的一切费用(包括检验费用)均由卖方负担。FOB价格条件时,买方有权同时索赔短重部分的运费。

第十二条 不可抗力:由于人力不可抗拒事故,使卖方不能在合同规定期限内交货或者不能交货,卖方不负责任。但卖方必须立即以电报通知买方,并以挂号函向买方提出有关政府机关或者商会所出具的证明,以证明事故的存在。由于人力不可抗拒事故致使交货延期一个月以上时,买方有权撤消合同,卖方不能取得出口许可证,不得作为不可抗力。

第十三条 延期交货及罚款:除不可抗拒原因外,如卖方不能如期交货,买方有权撤销该部分的合同,或经买方同意在卖方缴纳罚款的条件下延期交货。买方可同意给予卖方15天的优惠期。罚款率为每10天按货款总额的1%。不足10天者按10天计算。罚款自第16天起计算,最多不超过延期货款总额的5%。

第十四条 仲裁:一切因执行本合同或与本合同有关的争执,应由双方通过友好方式协商解决。如经协商不能得到解决时,应提交中国国际经济贸易仲裁委员会,按照该仲裁委员会仲裁程序进行仲裁。仲裁委员会的裁决为终局裁决。对双方均有约束力,仲裁费用除仲裁委员会另有决定外,由败诉一方负担。

一、本协议是平等主体的甲、乙双方之间的业务合作关系,甲、乙双方不存在劳动关系及其他任何人事隶属关系。

三、合作合作方式:

乙方应及时将客户的意见向甲方反映,由甲方进行调查核实,如确需退货、换货或赔偿损失的,由甲方书面委托的人员与客户谈妥解决方案后签订处理协议。处理上述争议过程中所需的差旅费、招待费、赔偿金等,作为经营成本。

八、凡乙方拓展的业务,乙方应负责按甲方与客户签订的合同所约定的收款期限及时把业务款收回并交至甲方。逾期未收回,该款暂列为亏损,在结算双方受益分配时从纯利润中扣除,待收回后另行按约定进行分配。

在收款过程中,应请客户一律以银行汇票、支票、电汇等方式把款项直接打入甲方银行帐户,不得收取现金。如遇特殊情况确需收取现金的,必须在收款后_______日内交(汇)给甲方。聘期届满,若双方未达成续聘协议的,乙方仍应按前述约定将其经手的业务款全部收回甲方。严禁以任何形式、理由挪用或侵占业务款,否则,一经发现,甲方除可依法追回该款项外,还有权解除与乙方签订的协议,情节严重的,还可请求公安机关追究其刑事责任。

十、乙方在与甲方合作期间以及解除合作关系后两年内,必须严格保守甲方的商业秘密(包括但不限于客户名单、销售渠道、销售策略等经营秘密和技术秘密);不得泄露、非法使用、转让或许可其他单位、个人使用。具体事宜,由双方签订的保密协议确定。

甲乙双方经过友好协商,就办理甲方货物海运出口订舱事宜达成如下合同:

1.乙方同意接受甲方的委托办理甲方有关货物的海运出口订舱事宜(具体货物品名、数量、装卸港等以甲方提交的订舱单为准)。

2.甲方按照乙方提供的格式订舱单如实地填写货物的品名、数量、质量、装卸港口等内容。对于填写错误而导致的损失或者责任,由甲方自行承担。

3.乙方应及时向甲方提供船期预报以及截止接单日期。上述船期预报不构成双方对船舶驶离装货港和抵达卸货港具体的时间约定,仅作为甲乙双方办理海运订舱事宜的参考。

4.甲方应根据船期预报,在截止接单日之前将订舱单送达乙方。对于超过截止接单日甲方要求加载的货物,乙方应积极配合甲方的要求,但是对于确实无法加载的货物,乙方不承担任何责任。

5.甲方的货物包装应适合海洋运输或者货物的特殊属性,包装外面应注明搬运、储存、防护等标识,具体的包装标准参见______。甲方如果对货物的储存、防护或者出口运输有特殊要求,应在订舱单上注明。在甲方货物包装明显不适应海洋运输或者货物特殊属性时,乙方对于货物在运输过程中的灭失或损坏不负责任。

对于货物本身以及货物包装不当造成的第三方的损失,仍应由甲方承担。

6.乙方在接到甲方的订舱单后,应立即办理配载等手续。除甲方能证明乙方在配载上有过错外,乙方不承担任何责任。如果货物未能如期配载,乙方应及时将有关情况通知甲方。

7.乙方接到甲方的订舱单后,甲方要求变更订舱单所列事项的,应在货物装船--天前向乙方出具书面更改单,注明日期并加盖甲方印章。因变更订舱事项所引起的各项费用,由甲方全部承担。

船舶在开航前,甲方要求解除订舱的,参照《海商法》的有关规定办理。

8.对于预付运费条款下的出口货物,乙方在配舱回单上应标注运费基价。甲方应于货物发运前,按照运费单价及货物数量向乙方指定的账户支付运费。如标注的运费单价有误, 甲方应在船舶开航前向乙方提出更正,否则视为接受乙方所标注的运费基价。

9.对于其他运费条款下的出口货物, 乙方在在配舱回单上应标注运费基价和运费支付的最后期限。甲方应于上述期限届满前,按照运费单价及货物数量向乙方指定的账户支付运费。如标注的运费单价有误,甲方应于上述期限届满前向乙方提出更正,否则视为接受乙方所标注的运费基价。

10.甲方应在运费支付期限届满之前,将运费支付至乙方指定的账户。对于逾期支付的款项,甲方应应按每日万分之五的比例向乙方支付违约金。

11.港杂费等其他费用,甲方应在收到乙方转来的帐单后五个工作日之内支付至乙方指定的账户。对于逾期支付的款项,甲方应按每日万分之五的比例向乙方支付违约金。

12.对于预付运费条款下的出口货物,在甲方未结清所有费用之前,乙方也有权滞留相应的运输单据,由此产生的所有损失和责任由甲方承担。甲乙双方对此另有约定的,从其约定。

13.乙方在办理甲方货物出口运输的过程中应尽心尽责,对于因乙方的过失而导致甲方遭受的损失和发生的费用承担责任,以上损失不包括货物因延迟等原因造成的经济损失。在任何情况下,乙方的赔偿责任都不应超出每件________元人民币或每公斤________元人民币的责任限额,两者以较低的限额为准。

14.如货物的灭失或者损坏是由于《海商法》第五十一条所列明的原因造成的,乙方不承担任何责任。

15.本合同项下发生的任何纠纷或者争议,应提交海事法院审理。

8、收到甲方按照乙方资金使用计划支付的相关款项后及时办理对外付款或按外贸合同催款,按照约定和甲方办理财务结算,办理清关、提运、_____、商检、入库以及国内外运输等事宜。

六、货款、费用及结算

合同号码: 签约日期: 买方: 卖方: 本合同由买卖双方缔结,用中、英文字写成,两种文体具有同等效力,按照下述条款,卖方同意售出买方同意购进以下商品: 「章名」 第一部分 1.商品名称及规格 2.生产国别及制造厂商 3.单价(包装费用包括在内) 4.数量 5.总值 6.包装(适合海洋运输) 7.保险(除非另有协议,保险均由买方负责) 8.装船时间 9.装运口岸 10.目的口岸 11.装运唛头,卖方负责在每件货物上用牢固的不褪色的颜料明显地刷印或标明下述唛头,以及目的口岸、件号、毛重和净重、尺码和其它买方要求的标记。如系危险及/或有毒货物,卖方负责保证在每件货物上明显地标明货物的性质说明及习惯上被接受的标记。 12.付款条件:买方于货物装船时间前一个月通过______银行开出以卖方为抬头的不可撤销信用证,卖方在货物装船启运后凭本合同交货条款第18条A款所列单据在开证银行议付贷款。上述信用证有效期将在装船后15天截止。 13.其它条件:除非经买方同意和接受,本合同其它一切有关事项均按第二部分交货条款之规定办理,该交货条款为本合同不可分的部分,本合同如有任何附加条款将自动地优先执行附加条款,如附加条款与本合同条款有抵触,则以附加条款为准。 「章名」 第二部分 「章名」 14.FOB/FAS条件 14.1.本合同项下货物的装运舱位由买方或买方的运输代理人___________租订。 14.2.在FOB条件下,卖方应负责将所订货物在本合同第8条所规定的装船期内按买方所通知的任何日期装上买方所指定的船只。 14.3.在FAS条件下,卖方应负责将所订货物在本合同第8条所规定的装船期内按买方所通知的任何日期交到买方所指定船只的吊杆下。 14.4.货物装运日前10-15天,买方应以电报或电传通知卖方合同号、船只预计到港日期、装运数量及船运代理人的名称。以便卖方经与该船运代理人联系及安排货物的装运。卖方应将联系结果通过电报或电传及时报告买方。如买方因故需要变更船只或者船只比预先通知卖方的日期提前或推迟到达装运港口,买方或其船运代理人应及时通知卖方。卖方亦应与买方的运输代理或买方保持密切联系。 14.5.如买方所订船只到达装运港后,卖方不能在买方所通知的装船时间内将货物装上船只或将货物交到吊杆之下,卖方应负担买方的一切费用和损失,如空舱费、滞期费及由此而引起的及/或遭受的买方的一切损失。 14.6.如船只撤换或延期或退关等而未及时通知卖方停止交货,在装港发生的栈租及保险费损失的计算,应以代理通知之装船日期(如货物晚于代理通知之装船日期抵达装港,应以货物抵港日期)为准,在港口免费堆存期满后第十六天起由买方负担,人力不可抗拒的情况除外。上述费用均凭原始单据经买方核实后支付。但卖方仍应在装载货船到达装港后立即将货物装船,交负担费用及风险。 「章名」 15.C&F条件 15.1.卖方在本合同第8条规定的时间之内应将货物装上由装运港到中国口岸的直达船。未经买方事先许可,不得转船。货物不得由悬挂中国港口当局所不能接受的国家旗帜的船装载。 15.2.卖方所租船只应适航和适货。卖方租船时应慎重和认真地选择承运人及船只。买方不接受非保赔协会成员的船只。 15.3.卖方所租载货船只应在正常合理时间内驶达目的港。不得无故绕行或迟延。 15.4.卖方所租载货船只船龄不得超过15年。对超过15年船龄的船只其超船龄额外保险费应由卖方负担。买方不接受船龄超过二十年的船只。 15.5.一次装运数量超过一千吨的货载或其它少于一千吨但买方指明的货载,卖方应在装船日前至少10天用电传或电报通知买方合同号、商品名称、数量、船名、船龄、船籍、船只主要规范、预计装货日、预计到达目的港时间、船公司名称、电传和电报挂号。 15.6.一次装运一千吨以上货载或其它少于一千吨但买方指明的货载,其船长应在该船抵达目的港前7天和24小时分别用电传或电报通知买方预计抵港时间、合同号、商品名称及数量。 15.7.如果货物由班轮装运,载货船只必须是______船级社最高船级或船级协会条款规定的相同级别的船级,船只状况应保持至提单有效期终了时止,以装船日为准船龄不得超过20年。超过20年船龄的船只,卖方应负担超船龄外保险费。买方绝不接受超过25年船龄的船只。 15.8.对于散件货,如果卖方未经买方事前同意而装入集装箱,卖方应负责向买方支付赔偿金,由双方在适当时间商定具体金额。 15.9.卖方应和载运货物的船只保持密切联系,并以最快的手段通知买方船只在途中发生的一切事故,如因卖方未及时通知买方而造成买方的一切损失卖方应负责赔偿。 「章名」 16.CIF条件 在CIF条件下,除本合同第15条C&F条件适用之外卖方负责货物的保险,但不允许有免赔率。 「章名」 17.装船通知 货物装船完毕后48小时内,卖方应即以电报或电传通知买方合同号、商品名称、所装重量(毛/净)或数量、发票价值、船名、装运口岸、开船日期及预计到达目的港时间。如因卖方未及时用电报或电传给买方以上述装船通知而使买方不能及时保险,卖方负责赔偿买方由此而引起的一切损害及/或损失。 「章名」 18.装船单据 18.A.卖方凭下列单据向付款银行议付货款: 18.A.1.填写通知目的口岸的__________运输公司的空白抬头、空白背书的全套已装运洋轮的清洁提单(如系C&F/CIF条款则注明“运费已付”,如系FOB/FAS条款则注明“运费待收”)。 18.A.2.由信用证受益人签名出具的发票5份,注明合同号、信用证号、商品名称、详细规格及装船唛头标记。 18.A.3.两份由信用证受益人出具的装箱单及/或重量单,注明每件货物的毛重和净重及/或尺码。 18.A.4.由制造商及/或装运口岸的合格、独立的公证行签发的品质检验证书及数量或重量证书各两份,必须注明货物的全部规格与信用证规定相符。 18.A.5.本交货条件第17条规定的装船通知电报或电传副本一份。 18.A.6.证明上述单据的副本已按合同要求寄出的书信一封。 18.A.7.运货船只的国籍已经买主批准的书信一封。 18.A.8.如系卖方保险需提供投保不少于发票价值110%的一切险和战争险的保险单。 18.B.不接受影印、自动或电脑处理、或复印的任何正本单据,除非这些单据印有清晰的“正本”字样,并经发证单位授权的领导人手签证明。 18.C.联运提单、迟期提单、简式提单不能接受。 18.D.受益人指定的第三者为装船者不能接受,除非该第三者提单由装船者背书转受益人,再由受赠人背书后方可接受。 18.E.信用证开立日期之前出具的单据不能接受。 18.F.对于C&F/CIF货载,不接受租船提单,除非受益人提供租船合同、船长或大副收据、装船命令、货物配载图及或买方在信用证内所要求提供的其它单据副本各一份。 18.G.卖方须将提单、发票及装箱单各两份副本随船带交目的口岸的买方收货代理人_______________。 18.H.载运货船启碇后,卖方须立即航空邮寄全套单据副本一份给买方,三份给目的口岸的对外贸易运输公司分公司。 18.I.卖方应负责赔偿买方因卖方失寄或迟寄上述单据而使买方遭受的一切损失。 18.J.中华人民共和国境外的银行费用由卖方负担。 「章名」 19.合同所订货物如用空运,则本合同有关海运的一切条款均按空运条款执行。 「章名」 20.危险品说明书 凡属危险品及/或有毒,卖方必须提供其危险或有毒性能、运输、仓储和装卸注意事项以及防治、急救、消防方法的说明书,卖方应将此项说明书各三份随同其他装船单据航空邮寄给买方及目的口岸的____________________运输公司。 「章名」 21.检验和索赔 货物在目的口岸卸毕60天内(如果用集装箱装运则在开箱后60天)经中国进出口商品检验局复验,如发现品质、数量或重量以及其它任何方面与本合同规定不符,除属于保险公司或船行负责者外,买方有权凭上述检验局出具的检验证书向卖方提出退货或索赔。因退货或索赔引起的一切费用包括检验费、利息及损失均由卖方负担。在此情况下,凡货物适于抽样及寄送时如卖方要求,买方可将样品寄交卖方。 「章名」 22.赔偿费 因“人力不可抗拒”而推迟或不能交货者除外,如果卖方不能交货或不能按合同规定的条件交货,卖方应负责向买方赔偿由此而引起的一切损失和遭受的损害,包括买价及/或买价的差价、空舱费、滞期费,以及由此而引起的直接或间接损失。买方有权撤销全部或部分合同,但并不妨碍买方向卖方提出索赔的权利。 「章名」 23.赔偿例外 由于一般公认的“人力不可抗拒”原因而不能交货或延迟交货,卖方或买方都不负责任。但卖方应在事故发生后立即用电报或电传告买方并在事故发生后15天内航空邮寄买方灾害发生地点之有关政府机关或商会所出具的证明,证实灾害存在。如果上述“人力不可抗拒”继续存在60天以上,买方有权撤销合同的全部或一部。 「章名」 24.仲裁 双方同意对一切因执行和解释本合同条款所发生的争议,努力通过友好协商解决。在争议发生之日起一个合理的时间内,最多不超过90天,协商不能取得对买卖双方都满意的结果时,如买方决定不向他认为合适的有管辖权的法院提出诉讼,则该争议应提交仲裁。除双方另有协议,仲裁应在中国北京举行,并按中国国际贸易促进委员会对外贸易仲裁委员会所制订的仲裁规则和程序进行仲裁,该仲裁为终局裁决,对双方均有约束力。仲裁费用除非另有决定,由败诉一方负担。 卖方: 买方: 「名称」 1. Contract No: Date: The Buyer: The Seller: The Contract, made out, in Chinese and English, both version being equally authentic, by and between the Seller and the Buyer whereby the Seller agrees to sell and the Buyer agrees to buy the undermentioned goods subject to terms and conditions set forth hereinafter as follows: 「章名」 SECTION 1 1 Name of Commodity and specification 2 Country of Origin & Manufacturer 3 Unit Price (packing charges included) 4 Quantity 5 Total Value 6 Packing (seaworthy) 7 Insurance (to be covered by the Buyer unless otherwise) 8 Time of Shipment 9 Port of Loading 10 Port of Destination mark shown as below in addition to the port of destination, package number, gross and net weights, measurements and other marks as the Buyer may require stencilled or marked conspicuously with fast and unfailing pigments on each package. In the case of dangerous and/or poisonous cargo (es), the Seller is obliged to take care to ensure that the nature and the generally adopted symbol shall be marked conspicuously on each package. 12 Terms of Payment: One month prior to the time of shipment the Buyer shall open with the Bank of _______an irrevocable Letter of Credit in favour of the Seller payable at the issuing bank against presentation of documents as stipulated under Clause 18. A. of SECTION II, the Terms of Delivery of this Contract after departure of the carrying vessel. The said Letter of Credit shall remain in force till the 15th day after shipment. 13 Other Terms: Unless otherwise agreed and accepted by the Buyer, all other matters related to this contract shall be governed by Section II, the Terms of Delivery which shall form an integral part of this Contract. Any supplementary terms and conditions that may be attached to this Contract shall automatically prevail over the terms and conditions of this Contract if such supplementary terms and conditions come in conflict with terms and conditions herein and shall be binding upon both parties. FOR THE SELLER FOR THE BUYER 「章名」 SECTION 2 「章名」 14 FOB/FAS TERMS 14.1 The shipping space for the contracted goods shall be booked by the Buyer or the Buyer‘s shipping agent __________. 14.2 Under FOB terms, the Seller shall undertake to load the contracted goods on board the vessel nominated by the Buyer on any date notified by the Buyer, within the time of shipment as stipulated in Clause 8 of this Contract. 14.3 Under FAS terms, the Seller shall undertake to deliver the contracted goods under the tackle of the vessel nominated by the Buyer on any date notified by the Buyer, within the time of shipment as stipulated in Clause 8 of this Contract. 14.4 10-15 days prior to the date of shipment, the Buyer shall inform the Seller by cable or telex of the contract number, name of vessel, ETA of vessel, quantity to be loaded and the name of shipping agent, so as to enable the Seller to contact the shipping agent direct and arrange the shipment of the goods. The Seller shall advise by cable or telex in time the Buyer of the result thereof. Should, for certain reasons, it become necessary for the Buyer to replace the named vessel with another one, or should the named vessel arrive at the port of shipment earlier or later than the date of arrival as previously notified to the Seller, the Buyer or its shipping agent shall advise the Seller to this effect in due time. The Seller shall also keep in close contact with the agent or the Buyer. 14.5 Should the Seller fail to load the goods on board or to deliver the goods under the tackle of the vessel booked by the Buyer. Within the time as notified by the Buyer, after its arrival at the port of shipment the Seller shall be fully liable to the Buyer and responsible for all losses and expenses such as dead freight, demurrage. Consequential losses incurred upon and/or suffered by the Buyer. 14.6 Should the vessel be withdrawn or replaced or delayed eventually or the cargo be shutout etc., and the Seller be not informed in good time to stop delivery of the cargo, the calculation of the loss in storage expenses and insurance premium thus sustained at the loading port shall be based on the loading date notified by the agent to the Seller (or based on the date of the arrival of the cargo at the loading port in case the cargo should arrive there later than the notified loading date)。 The abovementioned loss to be calculated from the 16th day after expiry of the free storage time at the port should be borne by the Buyer with the exception of Force Majeure. However, the Seller shall still undertake to load the cargo immediately upon the carrying vessel‘s arrival at the loading port at its own risk and expenses. The payment of the afore-said expenses shall be effected against presentation of the original vouchers after the Buyer’s verification. 「章名」 15 C&F Terms 15.1 The Seller shall ship the goods within the time as stipulated in clause 8 of this Contract by a direct vessel sailing from the port of loading to China port. Transhipment on route is not allowed without the Buyer‘s prior consent. The goods shall not be carried by vessels flying flags of countries not acceptable to the Port Authorities of China. 15.2 The carrying vessel chartered by the Seller shall be seaworthy and cargoworthy. The Seller shall be obliged to act prudently and conscientiously when selecting the vessel and the carrier when chartering such vessel. The Buyer is justified in not accepting vessels chartered by the Seller that are not members of the PICLUB. 15.3 The carrying vessel chartered by the Seller shall sail and arrive at the port of destination within the normal and reasonable period of time. Any unreasonable aviation or delay is not allowed. 15.4 The age of the carrying vessel chartered by the Seller shall not exceed 15 years. In case her age exceeds 15 years, the extra average insurance premium thus incurred shall be borne by the Seller. Vessel over 20 years of age shall in no event be acceptable to the Buyer. 15.5 For cargo lots over 1,000 M/T each, or any other lots less than 1,000 metric tons but identified by the Buyer, the Seller shall, at least 10 days prior to the date of shipment, inform the Buyer by telex or cable of the following information: the contract number, the name of commodity, quantity, the name of the carrying vessel, the age, nationality, and particulars of the carrying vessel, the expected date of loading, the expected time of arrival at the port of destination, the name, telex and cable address of the carrier. 15.6 For cargo lots over 1,000 M/T each, or any other lots less than 1,000 metric tons but identified by the Buyer, the Master of the carrying vessel shall notify the Buyer respectively 7 (seven) days and 24 (twenty-four) hours prior to the arrival of the vessel at the port of destination, by telex or cable about its ETA (expected time of arrival), contract number, the name of commodity, and quantity. 15.7 If goods are to be shipped per liner vessel under liner Bill of Lading, the carrying vessel must be classified as the highest ____________ or equivalent class as per the Institute Classification Clause and shall be so maintained throughout the duration of the relevant Bill of Lading. Nevertheless, the maximum age of the vessel shall not exceed 20 years at the date of loading. The seller shall bear the average insurance premium for liner vessel older than 20 years. Under no circum -stances shall the Buyer accept vessel over 25 years of age. 15.8 For break bulk cargoes, if goods are shipped in containers by the Seller without prior consent of the Buyer, a compensation of a certain amount to be agreed upon by both parties shall be payable to the Buyer by the Seller. 15.9 The Seller shall maintain close contact with the carrying vessel and shall notify the Buyer by fastest means of communication about any and all accidents that may occur while the carrying vessel is on route. The Seller shall assume full responsibility and shall compensate the Buyer for all losses incurred for its failure to give timely advice or notification to the Buyer. 「章名」 16 CIF Terms: Under CIF terms, besides Clause 15 C&F Terms of this contract which shall be applied the Seller shall be responsible for covering the cargo with relevant insurance with irrespective percentage. 「章名」 17 Advice of Shipment: Within 48 hours immediately after completion of loading of goods on board the vessel the Seller shall advise the Buyer by cable or telex of the contract number, the name of goods, weight (net/gross) or quantity loaded, invoice value, name of vessel, port of loading, sailing date and expected time of arrival (ETA) at the port of destination. Should the Buyer be unable to arrange insurance in time owing to the Seller‘s failure to give the above mentioned advice of shipment by cable or telex, the Seller shall be held responsible for any and all damages and/or losses attributable to such failure. 「章名」 18 Shipping Documents 18.A The Seller shall present the following documents to the paying bank for negotiation of payment: 18.A.1 Full set of clean on board, “freight prepaid” for C&F/CIF Terms or “Freight to collect” for FOB/FAS Terms, Ocean Bills of Lading, made out to order and blank endorsed, notifying ___________at the port of destination. 18.A.2 Five copies of signed invoice, indicating contract number, L/C number, name of commodity, full specifications, and shipping mark, signed and issued by the Beneficiary of Letter of Credit. 18.A.3 Two copies of packing list and/or weight memo with indication of gross and net weight of each package and/or measurements issued by beneficiary of Letter of Credit. 18.A.4 Two copies each of the certificates of quality and quantity or weight issued by the manufacturer and/or a qualified independent surveyor at the loading port and must indicate full specifications of goods conforming to stipulations in Letter of Credit. 18.A.5 One duplicate copy of the cable or telex advice of shipment as stipulated in Clause 17 of the Terms of Delivery. 18.A.6 A letter attesting that extra copies of abovementioned documents have been dispatched according to the Contract. 18.A.7 A letter attesting that the nationality of the carrying vessel has been approved by the Buyer. 18.A.8 The relevant insurance policy covering, but not limited to at least 110% of the invoice value against all and war risks if the insurance is covered by the Buyer. 18.B Any original document(s) made by rephotographic system, automated or computerized system or carbon copies shall not be acceptable unless they are clearly marked as “ORIGINAL.” and certified with signatures in hand writing by authorised officers of the issuing company or corporation. 18.C Through Bill of Lading, Stale Bill of Lading, Short Form Bill of Lading, shall not be acceptable. 18.D Third Party appointed by the Beneficiary as shipper shall not be acceptable unless such Third Party Bill of Lading is made out to the order of shipper and endorsed to the Beneficiary and blank endorsed by the Beneficiary. 18.E Documents issued earlier than the opening date of Letter of Credit shall not be acceptable. 18.F In the case of C&F/CIF shipments, Charter Party Bill of Lading shall not be acceptable unless Beneficiary provides one copy each of the Charter Party, Master‘s of Mate’s receipt, shipping order and cargo or stowage plan and/or other documents called for in the Letter of Credit by the Buyer. 18.G The seller shall dispatch, in care of the carrying vessel, two copies each of the duplicates of Bill of Lading. Invoice and Packing List to the Buyer‘s receiving agent, _______________at the port of destination. 18.H Immediately after the departure of the carrying vessel, the Seller shall airmail one set of the duplicate documents to the Buyer and three sets of the same to ______________________________ Transportation Corporation at the port of destination. 18.I The Seller shall assume full responsibility and be liable to the Buyer and shall compensate the Buyer for all losses arising from going astray of and/or the delay in the dispatch of the above mentioned documents. 18.J Banking charges outside the People‘s Republic of China shall be for the Seller’s account. 「章名」 19 If the goods under this Contract are to be dispatched by air, all the terms and conditions of this Contract in connection with ocean transportation shall be governed by relevant air terms. 「章名」 20 Instruction leaflets on dangerous cargo: For dangerous and/or poisonous cargo, the Seller must provide instruction leaflets stating the hazardous or poisonous properties, transportation, storage and handling remarks, as well as precautionary and first-air measures and measures against fire. The Seller shall airmail, together with other shipping documents, three copies each of the same to the Buyer and___________________ Transportation Corporation at the port of destination. 「章名」 21 Inspection & claims: In case the quality, quantity or weight of the goods be found not in conformity with those as stipulated in this Contract upon re-inspection by the China Commodity Import and Export inspection Bureau within 60 days after completion of the discharge of the goods at the port of destination or, if goods are shipped in containers, 60 days after the opening of such containers, the Buyer shall have the right to request the Seller to take back the goods or lodge claims against the Seller for compensation for losses upon the strength of the Inspection Certificate issued by the said Bureau, with the exception of those claims for which the insurers or owners of the carrying vessel are liable, all expenses including but not limited to inspection fees, interest, losses arising from the return of the goods or claims shall be borne by the Seller. In such a case, the Buyer may, if so requested, send a sample of the goods in question to the Seller, provided that sampling and sending of such sample is feasible. 「章名」 22 Damages: With the exception of late delivery or non-delivery due to “Force Majeure” causes, if the Seller fails to make delivery of the goods in accordance with the terms and conditions, jointly or severally, of this Contract, the Seller shall be liable to the Buyer and indemnify the Buyer for all losses, damages, including but not limited to, purchase price and/or purchase price differentials, deadfreight, demurrage, and all consequential direct or indirect losses. The Buyer shall nevertheless have the right to cancel in part or in whole of the contract without prejudice to the Buyer‘s right to claim compensations. 「章名」 23 Force Majeure: Neither the Seller or the Buyer shall be held responsible for late delivery or non-delivery owing to generally recognized “Force Majeure”causes. However in such a case, the Seller shall immediately advise by cable or telex the Buyer of the accident and airmail to the Buyer within 15 days after the accident, a certificate of the accident issued by the competent government authority or the chamber of commerce which is located at the place where the accident occurs as evidence thereof. If the said “Force Majeure” cause lasts over 60 days, the Buyer shall have the right to cancel the whole or the undelivered part of the order for the goods as stipulated in Contract. 「章名」 24 Arbitration: Both parties agree to attempt to resolve all disputes between the parties with respect to the application or interpretation of any term hereof of transaction hereunder, through amicable negotiation. If a dispute cannot be resolved in this manner to the satisfaction of the Seller and the Buyer within a reasonable period of time, maximum not exceeding 90 days after the date of the notification of such dispute, the case under dispute shall be submitted to arbitration if the Buyer should decide not to take the case to court at a place of jurisdiction that the Buyer may deem appropriate. Unless otherwise agreed upon by both parties, such arbitration shall be held in ________, and shall be governed by the rules and procedures of arbitration stipulated by the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade. The decision by such arbitration shall be accepted as final and binding upon both parties. The arbitration fees shall be borne by the losing party unless otherwise awarded.

Contract for Equipment Sales and Technology Licensing

This Contract (hereinafter referred to as the “Contract”) is made and entered into as of ________ (the date of signature ) in ________ (the place of signature) through friendly negotiation by and between _____________, a company incorporated and existing under the laws of ____________ with its registered address at ­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­_________________________________, and with its principal place of business at _________________________________ (hereinafter referred to as the “Buyer”), and ____________________, a company incorporated and existing under the laws of the People’s Republic of China with its registered address at ­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­_________________________________, and with its principal place of business at _________________________________(hereinafter referred to as the “Seller”).

Whereas, the Buyer desires to engage the Seller to provide the Equipment, related design, Technical Documentation, Technical Service and Technical Training and to obtain from the Seller a license of Patent and/or Know-how in relation to the Erection, Test Run, Commissioning, Performance Test,operation and maintenance for the Equipment, as well as manufacture of the Contract Products. Now it is hereby mutually agreed as follows:

Article 1 Definitions

1.1 “Acceptance ”means the Buyer accepted the Equipment in accordance with Article 11.5.

1.2 “Commissioning” means the operation of the Equipment in accordance with Article 11.4 for the purpose of carrying out Performance Test.

1.3 “Contract” means this Contract signed by and between the Buyer and the Seller, including Appendices attached which shall form an integral part of this Contract.

1.4 “Contract Products” refers to all types of the products manufactured with Patent and/or Know-how under the Contract, details of which are specified in Appendix 1.

1.5 “Destination Airport” refers to _____________Airport.

1.6 “Effective Date of the Contract” means the date when the Contract enters into force upon fulfillment of all the conditions stated in Article 18.1.

1.7 “Equipment” means the equipment, machinery, instruments, spare parts and materials supplied by the Seller as listed in Appendix 3.

1.8 “Erection” means placing the Equipment to the positions according to the design drawings, and connecting it with relevant equipment and utilities.

1.9 “Improvement” refers to new findings and/or modifications made in the validity period of the Contract by either party on Patent and/or Know-how in the form of new designs, formulas, recipes, ingredients, indices, parameters, calculations, or any other indicators.

1.10 “Job Site” means the site where the Equipment shall be located and/or erected, namely ____.

1.11 “Know-how” refers to any valuable technical knowledge, data, indices, drawings, designs and other technical information, concerning the Erection, Test Run, Commissioning, Performance Test,operation and maintenance for the Equipment as well as manufacture of the Contract Products, developed and owned or legally acquired and possessed by the Seller and disclosed to the Buyer by the Seller, which is unknown to either public or the Buyer before the Date of Effectiveness of this Contract, and for which appropriate protection measures have been taken by the Seller for keeping Know-how in secrecy. The specific description of Know-how is set forth in Appendix 3.

1.12 “Last Shipment” means the shipment with which the accumulated invoice value of shipped goods has reached ____ ( ) percent of the total Equipment price.

1.13 “Patent” refers to any and all of the effective patent rights possessed by the Seller and licensed to the Buyer under the Contract in connection with the Erection, Test Run, Commissioning, Performance Test,operation and maintenance for the Equipment, as well as manufacture of the Contract Products, the No. and list of which are set forth in Appendix 3.

1.14 “Performance Test” means the tests for examining whether the Equipment is able to meet guarantee figures specified in Appendix 1.

1.15 “Technical Documentation” means the technical indices and data, specifications, drawings, processes, technical and quality standards, and other documents carrying the descriptions and explanations of Patent, Know-how and other technical information, in connection with the Erection, Test Run, Commissioning, Performance Test,operation and maintenance for the Equipment, as well as manufacture of the Contract Products, to be provided by the Seller as listed in Appendix 4.

1.16 “Technical Service” means the technical instruction, assistance and guidance rendered by the Seller as per Appendix 6.

1.17 “Technical Training ” means the training rendered by the Seller as per Appendix 7.

1.18 “Test Run” means the initial run of a single machine or the whole system of the Equipment without materials.

1.19 “Warranty Period” means the period of the warranty given by the Seller as specified in Article 12.2, during which the Seller is responsible for the defects of the Equipment as per Article 12.

Article 2 Scope of the Contract

2.1 The Seller’s Obligation

2.1.1 The Seller shall supply the Equipment, provide the design, Technical Documentation, and conduct the Technical Service and Technical Training, and grant the Buyer a right to use the Patent and/or Know-how as set forth in the Contract.

2.1.2 The Seller shall supply the Equipment which is listed in Appendix 3, the specification is detailed in Appendix 1.

2.1.3 The Seller shall provide design in accordance with Appendix 5, and submit to the Buyer the Technical Documentation listed in Appendix 4.

2.1.4 The Seller shall conduct the Technical Services at the Job Site as per Appendix 6.

2.1.5 The Seller shall conduct the Technical Training as per Appendix 7.

2.2 The Buyer’s Obligation

2.2.1 The Buyer shall at his own costs and expenses, provide the Seller with all information and data concerning the design as per Appendix 2. The Buyer shall ensure the completeness, correctness and accuracy of all such information and data.

2.2.2 The Buyer shall at his own costs and expenses, obtain all necessary import permits, undertake customs clearance, take delivery of the Equipment to be supplied by the Seller and transport them to the Job Site in time.

2.2.3 The Buyer shall at his own costs and expenses, perform all the civil works, construction, Erection, Test Run, Commissioning and Performance Test in accordance with the Technical Documentation under the Technical Services rendered by the Seller as per Appendix 6.

2.2.4 The Buyer shall at his own costs and expenses, supply all the equipments, spare parts and facilities required, except for the Equipment supplied by the Seller as per Appendix 3.

2.2.5 The Buyer shall at his own costs and expenses, provide the qualified and appropriate technical personnel, labor, tools, utilities and the Job Site in time for Erection, Test Run, Commissioning, and Performance Test as specified in Appendix 2.

2.2.6 The Buyer shall at his own costs and expenses, perform necessary administration and security guard at the Job Site.

Article 3 Grant of License

3.1 The Seller agrees to grant to the Buyer and the Buyer agrees to obtain from the Seller a license to manufacture the Contract Products as well as to conduct Erection, Test Run, Commissioning, Performance Test, operation and maintenance for the Equipment with Patent and/or Know-how as well as to use and sell the Contract Products. The name, model, specification, and technical data of the Contract Products are detailed in Appendix 1. The Buyer shall not make use of Patent and/or Know-how for any purposes other than those stipulated in the Contract without prior written approval from the Seller. The annual output of the Contract Products manufactured by the Buyer shall in no case exceed _______________.

3.2 (Option 1) The license granted under the Contract shall be an exclusive license. The Seller shall not retain its right to grant the licenses to any third parties, or to explore Patent and/or Know-how as well as to sell the Contract Products by itself within the territory specified in Article 3.4.

(Option 2) The license granted under the Contract shall be a non-exclusive license. The Seller shall retain its right to grant the licenses to any third parties, and to explore Patent and/or Know-how as well as to sell the Contract Products by itself within the territory specified in Article 3.4.

3.3 The license granted under the Contract shall be a non-transferable and non-sublicensing license, under which the Buyer shall neither be entitled to transfer nor grant sub-license to any third party without prior written approval from the Seller.

3.4 Territory

3.4.1 The Seller agrees to grant the license to the Buyer only within the territory of _________________ (country or region). The Buyer shall not explore Patent and/or Know-how in any place other than the Job Site without previous written consent of the Seller.

3.4.2 The Seller agrees to grant a license to the Buyer to use and sell the Contract Products only within the territory of ________________________ (Country or region). In case the Buyer fails to perform its obligations under this Clause, all the actual losses and damages thus incurred to the Seller shall be borne by the Buyer, and the Seller shall have the right to terminate the Contract without prejudice to any remedies specified in the Contract.

Article 4 Price

4.1 The Buyer agrees to pay the total Contract price, Technical Training and Technical Service fee to the Seller.

4.2 The total Contract price, including price of the Equipment, design, Technical Documentation and a license fee in a fixed amount, shall be __________(say _______________________ only).

4.2.1 The total Contract price for the Equipment is for delivery CIF_____ Port, and the Technical Documentations is for delivery CIP (by air) ______ Airport. CIF and CIP term shall be interpreted in accordance with INCOTERMS 2019, issued by the INTERNATIONAL CHAMBER OF COMMERCE (ICC).

4.2.2 The total Contract price includes the price for spare parts listed in Appendix 3. However, the total Contract price does not cover the supply of any other spare parts. At the Buyer’s request, the Seller may provide with any other spare parts. A separate agreement shall be signed between the parties.

4.2.3 The above price is fixed and firm.

4.3 The total Contract price does not cover the Technical Service fee and Technical Training fee specified in Appendix 6,7.

4.4 The total Contract price as well as the Technical Training and Technical Service fee shall not be regarded or in any way be explained or interpreted as covering any of the custom duties, taxes, or charges, fees, and expenses unless expressly listed in the Contract.

Article 5 Payment

5.1 Down Payment

Within ____ ( ) days after signing the Contract, the Buyer shall pay ____ ( ) percent of the total Contract price amounting ____ by T/T to the Seller.

5.2 [Option One: Payment by Sight L/C]

The balance of the total Contract price amounting ___ ( says ___ only ) shall be paid by an irrevocable Letter of Credit at sight, issued within ___ ( ) days after signing the Contract by a reputable bank in ___ acceptable to the Seller in favor of the Seller. The Letter of Credit shall be available upon the presentation of the following documents till ______(specific expiration date or a specific circumstance for the expiration of the Letter of Credit).

5.2.1 ____ ( ) percent of the total Contract price amounting ____ (say ___ only) shall be paid by the Buyer to the Seller within _______ days after the following documents have been submitted by the Seller:

(a) Bill of Lading in one (1) original and ___ ( ) copies;

(b) Commercial Invoice in one (1) original and ___ ( ) copies;

(c) Packing list in one (1) original and ___ ( ) copies;

(d) Certificate of Origin in one (1) original and ___ ( ) copies;

(e) Insurance Policy in one (1) original and ___ ( ) copies;

5.2.2 ____ ( ) percent of the total Contract price amounting ____ (say ___ only) shall be paid by the Buyer to the Seller within _______ days after the following documents have been submitted by the Seller:

(a) One (1) copy of the Acceptance Certificate signed by the Buyer as per Article 11.5, or the Seller’s written statement specifying the lapse of more than seven (7) days after the Seller’s notice requesting the Buyer to issue the Acceptance Certificate in accordance with Article 11.5;

(b)One ( 1 ) copy of commercial invoice.

5.2.3 ____ ( ) percent of the total Contract price amounting ____ (say ___ only) shall be paid by the Buyer to the Seller within _______ days after the following documents have been submitted by the Seller:

a) One (1) original Letter of Retention Guarantee in the form of Appendix 10;

b) One (1) copy of Commercial Invoice.

5.2 [Option Two: Payment under a L/G]

The balance of the total Contract price amounting ___ (say ___ only ), plus interest for deferred payment in the amount of ___ (say ___ only ), totaling ___ (say ___ only ) as detailed in Appendix 12 shall be paid by the Buyer by installments as specified in Appendix 12 and backed by an irrevocable Letter of Guarantee in favor of the Seller as per the Appendix 11, issued within ___ ( ) days after signing the Contract by the reputable bank in ____ acceptable to the Seller.

5.3 All the banking charges incurred in the Seller’s bank shall be borne by the Seller while those incurred outside the Seller’s bank shall be borne by the Buyer.

Article 6 Delivery of Equipment and Technical Documentation

6.1 The Delivery of the Equipment

6.1.1 The delivery of the Equipment listed in Appendix 3 shall be completed within ____ ( ) months from the Effective Date of the Contract.

6.1.2 Within ____ ( ) months after the Effective Date of the Contract, the Seller shall send to the Buyer a preliminary delivery schedule by fax.

Not later than ____ ( ) days before the first shipment, the Seller shall submit to the Buyer the final delivery schedule in three (3) copies indicating Contract number, dispatch number, name of the Equipment, quantity, approximate dimensions, volume of each package and time of each shipment.

6.1.3 The port of shipment is ____, while the port of destination is ____.

6.1.4 Advance shipment, partial shipment and transshipment are allowed, however, the Seller shall inform the Buyer thirty (30) days before such shipment.

6.1.5 The date of Bill of Lading for each shipment shall be considered as the actual delivery date.

6.1.6 The Seller shall notify the Buyer by fax of the following within five (5) working days after each shipment is effected:

(a) Contract number

(b) Name of the vessel and loading port

(c) Name of the Equipment shipped

(d) Number and date of Bill of Lading

(e) Total volume

(f) Total gross and net weight

(g) Total number of packages/cases

6.1.7 The Seller shall airmail the following documents in duplicate to the Buyer:

(a) Bill of Lading

(b) Commercial Invoice

(c) Packing List

(d) Certificate of Origin

(e) Insurance Policy.

6.2 The Late Delivery of the Equipment

6.2.1 If the Seller fails to deliver the Equipment in accordance with the final delivery schedule, the Seller shall pay to the Buyer liquidated damages for such delay at the following rates:

(a) From the first week to the fourth week, the liquidated damages shall be

____ ( ) percent of the value of the delayed portion of the Equipment per

week

(b) From the fifth week to the eighth week, the liquidated damages shall be

____ ( ) percent of the value of the delayed portion of the Equipment per week

(c) From the ninth week, the liquidated damages shall be ____ ( ) percent of

the value of the delayed portion of the Equipment per week

6.2.2 The fractions of four days or more shall be counted as one week and fractions of less than four days shall be omitted. The total aggregate amount of the liquidated damages shall not exceed ____ ( ) percent of the value of the delayed portion Equipment.

6.2.3 The Seller shall be released from the liability to the Buyer whatsoever in respect of the late delivery after his payment of liquidated damages in accordance with Article 6.2. Notwithstanding the Seller’s payment of the liquidated damages for the late delivery Equipment, the Seller shall not be released from his obligation to deliver the Equipment.

6.3 The Delivery of the Technical Documentation

6.3.1 The Technical Documentation listed in Appendix 4 shall be delivered CIP ____airport by air within ____ ( ) months after the Effective Date of the Contract.

6.3.2 The date of airway bill shall be regarded as the actual delivery date of the Technical Documentation.

6.3.3 Within ____ ( ) working days after sending each lot of the Technical Documentation, the Seller shall inform the Buyer of the Contract number, item number, number and date of airway bill and the flight.

6.3.4 In case of shortage, loss of or damage to the Technical Documentation due to the Seller’s reason, the Seller shall make supplement to the Buyer within ____ ( ) days after receiving the Buyer’s written notification without any further charge.

Article 7 Packing and Marking

7.1 The Equipment shall be packed to withstand long distance transportation, multiple handling.

7.2 The Seller shall mark the following on two opposite sides of each package with indelible painted English words:

(a) Destination

(b) Consignee

(c) Contract number

(d) Shipping mark

(e) Gross/net weight (kg)

(f) Case/ bale number

(g) Dimensions: L x W x H (cm)

7.3 Each package shall contain one (1) copy of packing list.

7.4 The Seller shall mark on the package, if necessary, “Handle with Care", “Right Side Up", “Fragile" or other indicative marks according to the characteristics and feature of the goods as well as different requirement for transportation, loading and unloading of the goods.

7.5 If the goods weigh three (3) or more than three (3) metric tons, gravity, hoisting position and illustrative marks shall be marked so as to facilitate loading, unloading and handing.

Article 8 Technical Service and Technical Training

8.1 The Seller shall dispatch technical personnel to Job Site to render Technical Service in accordance with Contract according to a time schedule agreed upon between both parties. The number, specialty, rank, treatment of the personnel, and payment as well as the contents, and requirements of Technical Service are specified in Appendix 6.

8.2 The Buyer shall have the right to send its technical personnel to the relevant factory selected by the Seller for training. The number, speciality, treatment of the personnel, and payment as well as the contents, time schedule, and requirement of training, are specified in Appendix 7.

8.3 Either party shall provide assistance to the other party’s technical personnel in their application for visa, working permit, and/or other necessary formalities for rendering Technical Service or training under the Contract in the other party’s factory.

8.4 Either Party’s technical personnel shall abide by the laws of the other party’s country and the regulations of the other party during their stay in the other party’s country.

Article 9 Standards and Inspection

9.1 The Seller shall carry out the design, manufacture, inspection and test of the Equipment according to the existing standards of the People’s Republic of China, namely GB.

9.2 The Seller or the manufacturer shall, at his own costs and expenses, inspect the Equipment and issue the ex-work quality certificate.

9.3 The open-case inspection of the Equipment shall be performed by the Buyer in the presence of the Seller’s representatives on the Job Site in days after the arrival of the Equipment at the Job Site. The open-case inspection fee shall be borne by the Buyer.

The Buyer shall inform the Seller of the date one (1) month before the date of open case inspection and shall also render assistance to the Seller’s representatives in their inspection work.

9.4 During the joint open-case inspection, a detailed inspection record shall be made and signed by the representatives of both parties.

In case the Seller is responsible for any defect or shortage of the Equipment, the inspection record shall be taken as an effective evidence for the Buyer to claim repair, replacement or supplement to the Seller. Any of such claims shall be lodged by the Buyer within month(s) after the arrival of the Equipment at the Job Site.

9.5 If any shortage, defect of or damage to the Equipment is found in open-case inspection not attributable to the Seller’s responsibility, the Seller shall make repair, replacement or supplement at the Buyer’s expenses in accordance with the separate agreement signed by both parties.

9.6 The Buyer is not entitled to open the case, assemble and/or disassemble the Equipment without the Seller’s prior written consent.

If there is no joint open case inspection due to the reasons not attributable to the Seller, the quantity and apparent quality of the Equipment shall be deemed correct and in perfect condition.

Article 10 Design and Design Liaison

10.1 The Buyer shall provide to the Seller within ____ ( ) days after the Effective Date of the Contract, all the design data which shall be taken as the design basis. The Seller shall not be liable to the Buyer for, and the Buyer shall indemnify the Seller and hold the Seller harmless from any damages or failure caused by the incompleteness, incorrectness and/or inaccuracy of any such information and data.

10.2 A design liaison meeting shall be held in the ____ ( ) month after receiving above mentioned design data, the Seller will dispatch his technical personnel to the Job Site to participate in the meeting. During the meeting period, the Seller will discuss with the Buyer the relevant design details. Both parties shall sign an agreement outlining the design details.

10.3 During the design liaison meeting, the Seller and the Buyer shall provide assistance to the other’s dispatched personnel in arranging entry visas to the respective countries. The expense incurred on the dispatched personnel shall be borne by the party respectively.

Article 11 Erection, Test Run, Commissioning, Performance Test and Acceptance

11.1 The Erection, Test Run, Commissioning, Performance Test shall be conducted by the Buyer.

11.2 Chief Representatives

11.2.1 Each party shall nominate one (1) Chief Representative to deal with the technical matters during the period from the start of the Erection to Acceptance of the Equipment.

11.2.2 Detailed arrangements shall be made through friendly discussions by the Chief Representatives of both parties. The Chief Representatives of both parties shall fully cooperate to carry out their duties stipulated in the Contract, however they have no right to revise, alter or amend the Contract without the written authorization of both parties.

11.2.3 The Chief Representatives of both parties shall communicate through Linking Sheet for the matters relative to opinions, suggestions and information. The linking sheet shall be countersigned by the other party.

11.3 Erection and Test Run

11.3.1 The Erection shall be completed by the Buyer in ____ ( ) days from the effective date of the Contract. The Seller’s Chief Representative shall arrive at the Job Site ____ ( ) days prior to the beginning of the Erection.

11.3.2 When Erection is completed and in full conformity with requirements of the Technical Documentation, a Certificate of Completion for Erection of the Equipment shall be signed by the Chief Representatives of both parties in two (2) originals, one for each party, within three (3) days. The date of signing said Certificate shall be deemed as the date of completion of Erection.

11.3.3 As soon as the completion of Erection, Test Run for single machine and the whole system of the Equipment shall be started.

11.3.4 When Test Run has been successfully performed, a Certificate of Completion for Test Run of the Equipment shall be signed by the Chief Representatives of both parties in two (2) originals, one for each party, within three (3) days. The date of signing the said Certificates shall be deemed as the date of completion of Test Run of the Equipment.

11.4 Commissioning and Performance Test

11.4.1 Within ____ ( ) days after the completion of the Test Run, the Buyer shall make available qualified operation and maintenance personnel, raw materials, spare parts, utilities and other matters required for the Commissioning. Detailed procedures such as instrument calibrating, items of recording, sampling methods and analyzing methods, which are necessary for the Commissioning shall be discussed and agreed upon by the Chief Representatives of both parties.

If in the opinion of both parties, the Equipment is ready for the Commissioning, both parties shall confirm the readiness for the Commissioning in writing.

11.4.2 The Commissioning of the Equipment shall be started immediately after the confirmation of the readiness for the Commissioning. The Commissioning period shall ____ ( ) days after commencement of the Commissioning.

11.4.3 When the Seller and the Buyer consider that stable operation of the Equipment has been achieved, the date of Performance Test shall be fixed by Chief Representatives of both parties.

11.4.4 The Seller shall have the right to access to the laboratory and testing facilities in order to take samples and make analytical tests. The sample taking and analytical test during the Commissioning period will be done in the presence of the Chief Representatives of both parties.

11.4.5 During the period of Commissioning until Acceptance of the Equipment, the Seller may use the Buyer’s stored spare parts. Should the Buyer’s stored spare parts be used by the Seller due to the Seller’s responsibility, the Seller shall replenish the stores with the same in time at Job Site; otherwise the Seller shall provide the same at the Buyer’s costs upon the Buyer’s timely request.

11.4.6 If the result of Performance Test has reached the guarantee figures as per Appendix 1, the Acceptance Certificate of the Equipment shall be signed by the Chief Representatives of both parties in two (2) originals, one for each party, within three (3) days.

11.4.7 If the Performance Test cannot meet guarantee figures specified in Appendix 1, both parties shall jointly make investigations so as to find out the reason for clarifying the responsibility.

11.4.8 If the guarantee figures are not met due to the Seller’s reason, the Buyer shall agree to give an extension of ____ ( ) months so that the Seller can make improvement or adjustment to the Equipment and conduct further Performance Test. All the costs and expenses for making improvement or adjustment to the Equipment shall be borne by the Seller.

11.4.9 During the extension period, if the guarantee figures are still not met due to the Seller’s reason, the Seller shall pay the liquidated damages as per Appendix 1 to the Buyer against the Acceptance Certificate signed by both parties.

The Seller’s aggregate liability to pay liquidated damages for failure to attain the performance guarantees shall not exceed ____ ( ) percent of the Equipment price. The Seller shall have no further liability whatsoever to the Buyer in respect of such failure after payment of the liquidated damages.

11.4.10 If the non-achievement of the guarantee figures is due to the reasons not attributable to the Seller, the Seller shall agree to give an extension of ____ ( ) months. During the extension period all costs thereto incurred for the adjustment of the Equipment, as well as the costs and expenses for the Seller’s technical personnel shall be borne by the Buyer. In case the guarantee figures still can not be achieved due to the reasons not attributable to the Seller in the extension period, the Equipment shall be accepted by the Buyer. Both parties shall sign the Acceptance Certificate.

11.5 Acceptance

11.5.1 Acceptance shall occur in respect of the Equipment when :

(a) Performance Test has been successfully completed as per the Article 11.4.6.; or

(b) The Performance Test has not been completed due to the reasons not attributable to the Seller such as delayed civil construction, lack of and/or any other inconformity of raw materials, spare parts of the Buyer’s scope of supply under Appendix 2, and utilities with the requirements of the Contract in the ____ ( ) months from the date of Bill of Lading of the Last Shipment; or

(c) The Seller has paid the liquidated damages as per Article 11.4.9; or

(d) The guarantee figures still can not be reached due to reasons not attributable to the Seller’s reason in the extension period as specified in Article 11.4.10; or

(e) The Buyer takes the single machine and the whole system of the Equipment into use without the Seller’s approval.

11.5.2 At any time after any of the events set out in Article 11.5.1 has occurred, the Seller may give a notice to the Buyer requesting the issuance of the Acceptance Certificate.

11.5.3 The Buyer shall within seven (7) days after receipt of the Seller’s notice, issue such Acceptance Certificate.

11.5.4 If within seven (7) days after receipt of the Seller’s notice, the Buyer fails to issue the Acceptance Certificate or fails to inform the Seller in writing, with convincing evidence, of the reason why the Buyer has not issued the Acceptance Certificate, the Equipment shall be deemed having been accepted on the seventh day of the Seller’s said notice.

11.5.5 After the Acceptance, the Seller’s responsibilities and obligations under the Contract shall be deemed having been fulfilled except those as stipulated in Article 12 and 14.

Article 12 Guarantee and Warranty

12.1 The Seller guarantees that:

(a) The Equipment supplied by the Seller shall be new and made of adequate materials, and in conformity with the technical requirements of the Contract;

(b) The Technical Documentation shall be complete, clear and correct.

12.2 The period of warranty given by the Seller under Article 12.1 shall be ____ ( ) months from the date of Acceptance or ____ ( ) months from the date of Last Shipment, whichever comes earlier.

12.3 Defect of the Equipment

12.3.1 During the Warranty Period, should any defect due to inferior materials or bad workmanship of the Equipment be found under normal operation, the Buyer shall give the Seller a notice stating the details, together with all available evidence.

The Seller shall take immediate action to eliminate the defect at the Seller’s expenses within the period agreed by both parties.

12.3.2 If certain defect can not be eliminated despite of several attempts, the Seller shall replace the defective parts with non-defective parts at the Seller’s costs and expenses.

12.3.3 If the defect is eliminated by the Buyer himself, subject to the Seller’s prior written consent, all the direct costs and expenses thus incurred shall be borne by the Seller.

12.3.4 The Seller may reduce the price of the defective Equipment according to the degree of inferiority or extent of damage as agreed by both parties. After the reduction the Seller shall be released from its obligations and liabilities.

12.3.5 During the Warranty Period, should any defect due to the Buyer’s improper operation or maintenance be found, the Seller will provide technical assistance to eliminate the defect or replace the defected parts upon Buyer’s requests. All the costs and expenses thus occurred shall be borne by the Buyer.

12.3.6 Subject to Article 12.3.1, The Seller shall not be responsible for any defect or damage to the Equipment arising out of any circumstances including but not limited to the following causes:

(a) Combination of the Equipment with any machinery, and/or component other than those supplied by the Seller; or

(b) Alteration, modification or repair without the Seller’s prior written consent; or

(c) Failure of the Buyer to follow the Technical Documentation and instructions of the Seller, including the Buyer’s improper operation and maintenance; or

(d) Normal wear and tear.

12.4 During the Warranty Period, should the Technical Documentation supplied by the Seller be found incomplete, unclear or incorrect due to the Seller’s reason, the Seller shall be liable to supplement, replace or correct the Technical Documentation free of charge.

12.5 The Seller shall in no respect be understood or interpreted as liable for the commercial development of the Contract Products. The Buyer shall undertake the risk of the commercial development of the Contract Products.

12.6 In no circumstances, whether as a result of breach of contract, warranty, indemnity, tort (including negligence), strict liability, or otherwise, shall the Seller or its subcontractors or suppliers be liable for loss of profit or revenues, loss of production, loss of use, loss of information or data, cost of capital, cost of substitute equipment, facilities, services or replacement power, downtime costs, claims of the Buyer’s customers for such damages, or for any special, consequential, incidental, indirect or exemplary damages.

12.7 Notwithstanding anything to the contrary provided in the Contract, the aggregate liability of the Seller to the Buyer , on all claims of any kind, whether in contract, warranty, indemnity, tort (including negligence), strict liability, or otherwise, arising out of the performance or breach of the Contract or use of any Equipment or exploration of the Patent and/or Know-how shall not exceed ____ ( ) percent of the total Contract price.

12.8 All Contractual obligations of the Seller shall be deemed as having been fulfilled upon the expiry date of the Warranty Period.

Article 13 Intellectual Property Right

13.1 The Seller represents that it is entitled or authorized to grant the license to the Buyer to use the Patent and/or Know-how for the purpose as specified in Article 3.

13.2 The Buyer shall not use such Patent and/or know-how received from the Seller for any purpose other than that as specified in this Contract.

13.3 Any intellectual property right or other technical information granted by the Seller to the Buyer shall remain the property of the Seller. In no circumstances shall any terms and conditions in this Contract be construed, deemed, or interpreted as transfer of title to the Buyer of any information which may be delivered to or accessed by the Buyer.

13.4 Registration of the Contract and Maintenance of Patent

13.4.1 The Buyer shall, after the Contract is signed between both parties, make sure that the Contract is registered with or filed to the competent authorities in the Buyer’s country if it is required by law.

13.4.2 The Seller shall, during the validity period of the Contract, make all reasonable efforts to maintain Patent in force in the territory as stipulated in Article 3.4.1 and bear the costs thus incurred. The Buyer shall not make any action or inaction which may lead to invalidation or compulsory licensing of the Patent.

13.5 Improvement and Grant-back

13.5.1 Should any Improvement be made by the Seller on Patent and/or Know-how within the validity period of the Contract, which shall be the exclusive property of the Seller, the Seller shall grant the Buyer a non-exclusive license to exploit such Improvement at latest __________months from its improving, provided that the license fee is agreed upon between both parties.

13.5.2 The Buyer shall be entitled to make Improvement on Patent and/or Know-how within the validity period of the Contract. The Seller shall have the right to obtain and make use of the Improvement. The license fee shall be discussed between both parties in due time.

13.5.3 Both parties shall keep Improvement confidential. Neither party shall be entitled to grant any third party a sub-license on Improvement made and provided by the other party without previous written consent of the other party.

Article 14 Confidentiality

14.1 After signing of the Contract, both parties shall keep secret all the contents, terms, conditions of the Contract.

14.2 The Buyer shall take proper measures to keep strictly confidential of Know-how, Technical Documentation, Improvement and any other secret information obtained or accessible to from the Seller. The Buyer shall not disclose any of them to any third party, and shall not make use of them without prior written consent of the Seller except otherwise stipulated in the Contract.

14.3 The Buyer may disclose the secret information as described in Article 14.2 to the personnel of its own, or of any related parties engaged in the performance of the Contract subject to Article 14.2, strictly to the extent as essential for the implementation of the Contract, provided that the individuals and/or parties accessing or may access such secret information are engaged to undertake in written form the same confidential liability of the Buyer to the Seller. Any breach of confidentiality obligations by any personnel from the Buyer or the Buyer’s related parties shall be deemed as breach of the Contract by the Buyer.

14.4 Notwithstanding this Article 14, the Seller may furnish to its sub-contractor such documents, data, and other information received from the Buyer to the extent required for performing the Contract, in which event the Seller shall obtain from such sub-contractor an undertaking of confidentiality similar to that imposed on the Seller under the Article 14.

14.5 This Article 14 shall survive the expiration or termination of the Contract.

14.6 The confidential obligation shall not apply to the information which:

A. now or hereafter enters the public domain; or

B. can be proved to have been in the possession of the Party at the time of disclosure and which was not previously obtained, directly or indirectly, from the other Party hereto; or

C. otherwise lawfully becomes available to either party from a third party under no obligation of confidentiality.

Article 15 Taxes and Duties

15.1 All taxes and duties in connection with the signing and performance of the Contract, levied by Governments of the People’s Republic of China, including but not limited to customs duties, income tax, sales tax, value-added tax etc., shall be borne and paid by the Seller.

15.2. All taxes and duties in connection with the signing and performance of the Contract levied on the Buyer and Seller by the Buyer’s Governments, including but not limited to customs duties, income tax, sales tax, value-added tax etc., shall be borne and paid by the Buyer. The Buyer shall pay in due time and full amount and hold the Seller harmless from any taxes and duties in case incurred to the Seller in the signing and performance of the Contract.

15.3 All import taxes and duties for tools and/or instruments, which the Seller or the Seller’s personnel may bring to the Buyer’s country for the execution of the Contract, shall be borne and paid by the Buyer.

15.4 Any and all taxes and duties in connection with the signing and performance of the Contract levied in any place except the cases as specified in Article 15.1 are not included in the Contract price. Should the Seller make the relevant payment directly as the case may be, both Parties agree to amend the Contract price to fully compensate the Seller for the payment, and the Buyer shall fully refund the Seller for the relevant amount within_______( ) days from the Seller’s payment.

Article 16 Force Majeure

16.1 If either of the Contract parties is prevented from executing the Contract due to the event of Force Majeure such as war, riot, coup, embargo, flood, typhoon, tornado, snowstorm, earthquake and other events which could not be foreseen, avoided and overcome, the affected party shall notify the other party by fax within the shortest possible time of occurrences of the Force Majeure and send a certificate issued by competent authorities or agency certifying the event of the Force Majeure by registered or express mail within fourteen (14) days following its occurrence.

16.2 The affected party shall not be liable for any delay or failure in performing any of its obligations due to the event of Force Majeure. However the affected party shall inform the other party by fax the termination or elimination of the event of Force Majeure as soon as possible.

16.3 Both parties shall proceed with their obligations immediately upon the cease of the event of Force Majeure or the removal of the effects and the term of the Contract shall be extended correspondingly. Should the effect of the event of Force Majeure last for more than one hundred and twenty (120) days, either party shall have the right to terminate the Contract by a written notice.

Article 17 Applicable Law and Settlement of Disputes

17.1 The applicable law of the Contract shall be the laws of the People’s Republic of China.

17.2 All disputes arising from or in connection with the Contract shall be settled through friendly consultation between both parties. In case no agreement can be reached, the dispute shall be submitted for arbitration.

17.3 The arbitration shall be conducted by China International Economic and Trade Arbitration Commission (CIETAC) in Beijing in accordance with Arbitration Rules of the Commission in effect at the time of applying for arbitration. The tribunal shall be composed of three arbitrators.

17.4 The arbitral award shall be final and binding upon both parties.

17.5 During proceedings of arbitration, the undisputed part of the Contract shall be performed continuously by both parties regardless of such arbitration proceedings.

Article 18 Effectiveness, Term and Termination of the Contract

(a) The Seller and the Buyer sign the Contract;

(b) The Contract shall be approved by the competent authorities and/or banks of both parties (if applicable);

(c) The Seller receives the Down Payment;

(d) The Seller duly receives the L/C (or L/G ) issued by the Buyers Bank.

18.2 Each party shall use its best efforts to fulfill the above conditions for which it is responsible as soon as practicable.

18.3 If the Contract has not become effective pursuant to Article 18.1 within ____ ( ) months after the date of signing this Contract, the Seller has the right to make an equitable adjustment to the total Contract price and the time for delivery and/or other relevant conditions of the Contract. Should no agreement is reached for the above mentioned adjustment within ____ ( ) days from the Seller’s request of adjustment, the Seller shall be entitled to cancel the Contract.

18.4 The Contract shall be valid and remain in force for_____ (_____) years from the Date of Effectiveness, during which period the Buyer shall be entitled to manufacture the Contract Products with Patent and/or Know-how and sell the Contract Products within the licensed territory as specified in Article 3.4.

(Option 1) The Buyer shall not be entitled to manufacture with patent and/or know-how or sell the contract products after the aforesaid period unless the Buyer agrees to pay additional license fees in the amount and with the payment schedules and methods as agreed upon between both Parties in due time.

(Option 2) The Buyer shall be entitled to manufacture with Patent and/or Know-how or sell the Contract Products after expiration of the Contract term specified above, provided that the Buyer shall not be released from its confidential obligations under the Contract.

(Option 3) The Buyer shall not be entitled to manufacture with Patent and/or Know-how or sell the Contract Products after the expiration of the Contract term specified above, and shall return to the Seller all the Technical Documentations specified in Appendix 4 without remaining any duplicate copies. Nevertheless the confidential obligations of the Buyer under Article 14 shall survive the Contract term.

18.5 Either party may, without prejudice to any other remedy for the other party’s following breach of the Contract, terminate the Contract in whole or in part by a written notice send to the other party, if the other party

A. fails to perform its payment obligation under the Contract and does not remedy for its failure within a period of ______ (____) days upon receipt of the written notice or a period agreed upon between the parties; or

B. fails to perform its confidentiality obligation under the Contract; or

C. fails to perform any other obligations under the Contract except minor parts thereof, and does not remedy for its failure within a period of ______ (____) days upon receipt of the written notice or a period agreed upon between the parties; or

D. becomes bankrupt or insolvent, goes into liquidation, has a receiving or administration order made against him, compounds with his creditors, or carries on business under a receiver, trustee or manager for the benefit of his creditors, or dissolves, or ceases to do business, or be ordered to close down / to cease to do business / to dissolve, or has its business license revoked, or if any act is done or event occurs which (under applicable Laws) has a similar effect to any of these acts or events.

18.6 Either party may, without prejudice to any other remedy, terminate the Contract in whole or in part by a written notice send to the other party, if

A. The other party is prevented by the laws, statutes, rules or regulations of either country from performing its obligations under the Contract; or

B. The Seller is prevented by the relevant authority of the Buyer’s country from being paid in accordance with the Contract; or

C. The other party is prevented from performing its contractual obligations by any event of Force Majeure for more than one hundred and twenty (120) days.

18.7 In the event of termination of the Contract, without prejudice to any other remedies available according to the Contract and/or applicable laws,

The Buyer shall cease all its further exploitation of the Patent and/or Know-how and any acceptance of further orders from third parties for the Contract Products.

All the delivered literatures, drawings, samples, instruments, equipment, and other documents including the interpretations related to Patent and/or Know-how shall be returned to the Seller as the Seller’s requests.

All the contracts on sales of the Contract Products signed between the Buyer and third parties shall be terminated by the Buyer, otherwise the Seller shall be paid accordingly.

In case the termination is due to the Seller’s default, the Buyer shall be entitled to complete the performance of the contracts on sales of the Contract Products already signed between the Buyer and third parties before the termination.

The Seller shall be paid by the Buyer for all the contractual obligations performed by the Seller till the date of termination within _______days from receipt of the termination notice.

E. Termination of the Contract shall not release either party from its confidential obligations under the Contract

Article 19 Miscellaneous

19.1 The Contract is signed by the authorized representatives of both parties in ____ ( ) originals. Each party shall keep ____ ( ).

19.2 The Contract supersedes all communications, negotiations and agreements between the parties prior to the signing date of this Contract.

19.3 All amendments, supplements and alternations to terms of the Contract shall be made in written form and signed by the authorized representatives of both parties. These amendments, supplements and alternations shall form integral parts of the Contract.

If any costs occur or delivery delay due to amendment or explanation of the new law or statute or regulations enacted by the Buyer’s country after the effectiveness of the Contract,the Seller shall have the right to ask for necessary adjustment in relation to the Contract price and the delivery schedule.

19.4 No assignment, cession, novation, or transfer of any right or obligation under this Contract shall be made by either party to a third party without the prior written consent of the other party.

19.5 All communications between both parties in the course of implementation of the Contract should be in English language in written form at the address set forth below. The faxes concerning the important matters shall be confirmed in due time by registered or express mail or letter delivered by hand.

(17)仲裁:凡因执行本合同或与本合同有关事故所发生的一切争执,应由双方通过友好方式协商解决。如果不能取得协议时,则在中国国际经济贸易仲裁委员会根据该仲裁机构的仲裁程序规则进行仲裁。仲裁决定是终局的,对双方具有同等约束力。仲裁费用除非仲裁机构另有决定外,均由败诉一方负担。仲裁也可在双方同意的第三国进行。

经双方友好协商,就乙方委托甲方代理出口的有关事项达成如下协议:

第三条 双方的权利与义务

1、乙方在装船前10天以书面形式将出口货物明细传真给甲方,并最迟于货物装柜前将正确的装箱明细传真给甲方。在收到甲方进舱通知后,乙方应按出口包装要求将货物送到甲方指定地点,并以书面形式发给甲方送达通知。如果出口货物属于法定商检的货物,出口商检由乙方负责办理,甲方提供相应的报检单证协助乙方完成商检工作。出口货物涉及许可证的,乙方须在交货时办妥并向甲方提供许可证。乙方需承担由于资料错误或不全所引起的后果。

2、乙方必须保证委托甲方在海关申报的货物名称数量等数据与实际出口的货物相符,由于乙方原因造成数据不符而引起的海关查验、查封、罚款、没收等事宜由乙方承担并自行解决,甲方可以协助。对甲方造成直接或者间接损失的,乙方承担所有的责任。

3、在符合法规的前提下,甲方按照乙方的要求进行报关、申领原产地证书以及办理海运保险。

4、甲方在收到乙方出运通知后,应及时安排租船定舱、缮制出口单证等出运工作。

5、若货代为乙方指定,乙方应负责有关出口退单的跟踪工作,要求各货代能自货物出运后30天内将正确的退单退回甲方,如果改单的则要在45天内退回,以保证甲方的正常退税手续。否则由于退单未在上述规定时间内退回而造成甲方的经济和法律损失由乙方承担全部责任。

6、乙方必须自货物出运后20日内开具或督促其它指定的工厂开具符合甲方开票通知要求的货款增值税发票给甲方(无论是否收汇)。如未及时开票或开票不正确等原因引起的退税损失由乙方承担。在未完全收汇时,乙方或乙方指定工厂向甲方开具的增值税发票仅供甲方办理退税申报所用,如不能及时收汇,由此造成的一切损失由乙方承担,甲方不承担支付相应发票货款的责任。

7、因出口退税备案要求,甲方需要与乙方或者乙方指定工厂签订购销合同,该合同仅供甲方做退税单据之用,除此以外,无任何法律效力。由该合同引起的任何经济纠纷,甲方无任何义务受理和承担责任。

8、若乙方不开具相应的增值税发票则必须承担出口报关金额17%的增值税以及相应的核销等各项费用。

9、如乙方要求甲方以甲方名义与外商签订售货合同的,甲方应与外商签订售货合同,甲方可在售货合同中表明其是乙方代理人的身份,但应该事先取得乙方同意。

10、如乙方直接对外商签订销售合同或确认书,应在合同或确认书中表明甲方为其代理人,并向甲方提交一份原件;如乙方与外商不签订合同也不要求甲方与外商签订合同,则乙方应要求外商向甲方书面表明其向甲方汇入的款项系支付乙方的货款。

11、如系信用证方式付款,甲方收到外商开来的信用证后通知乙方,乙方必须审查信用证并保证信用证条款符合乙方要求;乙方必须在收到甲方通知后2天内审查完毕并书面确认接受信用证条款,如对信用证条款有异议,甲方仅出于善意,对信用证进行审核,并通知乙方改证意见,乙方自行联系客户修改相关信用证条款,在乙方认同信用证条款以后,乙方承担信用证项下收汇的全部风险。

12、甲方对乙方的信息,包括乙方个人信息、乙方客户信息、乙方货源信息负有保密的义务,甲方不得将上述信息泄露给任何第三方;同时甲方不得在没有乙方的委托下,与客户进行联系,从事商业交易。

第四条 货款和各项费用的结算

1、代理费

①甲方向乙方收取出口收汇美金金额的1%作为代理手续费。

②或先约定共计人民币________元,退税由乙方自行办理,甲方协助,退税款归乙方;

③或收汇后按适时退税率和外汇汇率折算到换汇比率为每净收汇1美元=_________人民币,将货款扣除费用、收到乙方开具的增值税发票后支付给乙方,退税款归甲方。如退税率和外汇汇率有变化,则上述换汇比率将作相应调整。

执行:双方同意按照上边三条中的第①条执行。

2、甲方收到国外货款和乙方开具的符合退税要求的增值税发票后5个工作日内,以银行结汇汇率作为换汇比,将货款先扣除代理费、运费、保险等实际发生费用,结算货款给乙方或乙方指定的工厂,甲方需在收汇核销后30天内申办退税业务,出口业务发票的退税款在实际退到甲方账户后5个工作日内甲方应与乙方结算清所有费用。

3、如果单笔(按报关单号统计)出口金额在USD7000以下的,甲方收取固定操作费RMB500.00/笔。单笔(按报关单号统计)出口金额在USD7000以上的不单独收操作费(不包括退税率为0%的货物),按照协议执行。

4、对于退税率为0%的货物:

①如果一份报关单里的货物全部是0%退税率的;额外收取每票RMB1000.00操作费。

②如果一份报关单里的货物即有0%退税率的,又有非0%退税率的;对于其中0%退税率的货物,如果其金额低于USD10000;额外收取每票RMB1000.00操作费.如果其金额高于USD10000,按照实际代理协议执行。

5、若由于货物质量、产品包装等原因发生折减货价等事宜,甲方因此无法全额收到合同金额的货款,乙方需将少收部分作为坏账处理,不再向甲方索取此部分货款,并承担由此产生的核销、退税等相关费用和损失。甲方可随时凭费用单据向乙方收取为乙方代垫的各类费用及代理费,乙方同意在收到甲方为乙方代垫费用的单据及代理费用通知后七个工作日内付清,逾期每天按代垫费用的0.1%向甲方支付滞纳金。

6、国内运输费用、港区费用、出口商检费、清关费、产地证费、国外运费、快递费、银行费用、甲方代理费等实际发生费用由乙方承担并从国外收款中先行扣除,甲方无垫付义务。如需甲方垫付各种费用或者货款,经甲方同意,甲方将另外收取垫付费用的利息(按照月息3%收取,垫付时间最长两个月。垫付费用在15天内乙方还清的,按半月利息结算;超过15天的,按照整月计算;以此类推)。如乙方超过两个月仍未还清垫付费用,甲方有权采取任何措施。另由于国家退税政策变化和外汇汇率变动,结算方式将随之作相应的调整,结算标准将作相应幅度的上升或下降。

第五条:

甲方为乙方只作代理。乙方对商品质量、包装、交货期、价格等负责,若由于商品质量不合格、包装不良、交货期延误、价实不符等原因造成的经济和法律责任,由乙方承担。由于国外客户信誉不良造成甲方不能收汇而发生的纠纷由乙方自行负责解决,如乙方不能解决而对甲方造成损失的,乙方承担全部责任。由于乙方指定的货代公司、船公司或航空公司发生过失而造成的损失由乙方承担。乙方除保证货物质量符合售货合同规定外,还必须担保其出口商品不侵犯中国或该批物品销售地国的知识产权法律,否则,由此产生的一切责任由乙方承担。涉及商品商标、专利,乙方应向甲方提供相应的权利证明文件备案,乙方对提交甲方的前述证件的真实性、合法有效性负责。甲方对外商违约不负责任,但应乙方要求,甲方可以代表乙方向外商追究违约责任,所有费用由乙方垫付,索赔所得归乙方所有。当外商提出索赔或因国内外纠纷有人主张权利时,甲方应及时向乙方转交外商提出的索赔函电或主张权利的复印件及有关证件,乙方收到后应及时弄清情况,通过甲方对外理赔,并向甲方提供有效证据及预先支付有关费用(包括出国费用、律师费、仲裁或诉讼费等)。甲方应及时向乙方通报对外理赔情况,乙方承诺负责赔偿甲方因外商或主张权利人的索赔而产生的一切损失。

第六条

在紧急情况下,若甲方无法及时与乙方取得联系时,甲方应尽到最大诚实信用义务帮助乙方处理相关事宜,但甲方不对因此给乙方造成的任何损失承担赔偿责任

第七条 违约责任

第1款

乙方违反本协议书时,应偿付甲方代垫的费用及利息,支付代理手续费及售货合同总价?30%的违约金,并承担甲方因此对外承担的责任。

第2款

甲方违反本协议书规定,赔偿乙方因此而受到的直接损失。

第八条

因不可抗力事件导致本协议书不能全部或部分履行,当事方必须在事发一周内通知对方,并在30天内向对方送交有关机构的书面证明,及时协商处理未尽事宜,逾期视作违约。

第九条 附则

1、如需乙方提供担保,应另立担保书,作为本协议书附件;必要时,乙方须提供有效的抵押。

2、出口商品金额的统计全部归甲方,由甲方上报,乙方不得重复统计。

3、双方在执行本协议书过程中如遇争议,应协商解决,如协商无效,任何一方都可向甲方所在地人民法院起诉。

第十条

本协议书正本一式两份,甲乙双方执一份,经双方签字盖章后生效。协议有效期从_________年____月____日至_________年____月____日止。期满后如双方同意继续续约,将另行签订协议。

依据有关法律法规的规定,双方经协商一致,签订本合同,以资共同遵守。

第一条本合同所称进口押汇是指银行根据开证申请人的要求,在单证一致的情况下,以进口货物做抵押,在付款到期日为其垫付资金的短期融资。

第二条进口押汇前提条件

乙方为甲方做进口押汇,甲方须满足以下条件:

1、向乙方预留与签署本合同有关的公司文件、单据、印鉴、相关人员名单和签字样本,并填妥有关凭证;

2、开立乙方要求的为完成本合同下业务所必需的账户;

3、办妥做业务所必备的法律和行政审批手续,按乙方要求提交相应审批文件的副本或与原件相符的复印件;

5、甲方已取得乙方的授信额度或单笔授信(如需要);

6、乙方认为甲方应予满足的其他条件。

第四条押汇期限

第五条利率和付息

2、逾期进口押汇的利率和付息

如截止于押汇到期日,乙方支付给甲方的押汇款项未获清偿,则该笔押汇款项的本金、利息构成甲方对乙方的逾期债务,乙方可按本条第一款确定的利率加20%的水平核算利息,并有权向甲方追偿包括但不限于公告费、送达费、鉴定费、律师费、诉讼费、差旅费、评估费、拍卖费、财产保全费、强制执行费等实现债权的费用。

第六条甲方声明与承诺

甲方声明如下:

1、甲方是依法设立和存续的企业法人,己经并将按期办理工商登记手续,具备所有必要的权利并能以自己名义履行本合同义务;

2、甲方已经充分知悉、理解本合同的全部条款内容,签署和履行本合同系基于甲方的真实意思表示,且已经按照公司章程或者企业的其它内部管理文件的要求取得股东会/股东大会或董事会的合法、有效的授权(如需授权),且不违反对甲方有约束力的任何协议、合同和其他法律文件;

3、甲方在本合同项下向甲方提供的全部文件、凭证等资料是真实、完整、准确和有效的;

4、甲方申请向乙方叙做的进口押汇交易背景真实、合法,未用于洗钱等非法的目的,甲方按乙方要求向乙方提供任何文件不得解释为乙方对于甲方从事交易的真实、合法性负有审查义务和责任;

5、甲方未向乙方隐瞒可能影响其和担保人财务状况和履约能力的事件;

6、甲方在变更住所、通信地址、联系电话、营业范围、法定代表人等事项时,保证在变更后10个工作日内书面通知乙方。

第七条违约事件

下列事项之一即构成甲方在本合同项下违约:

1、未按本合同的约定履行对乙方的支付和清偿义务;

2、甲方在本合同中所做的声明不真实或违反其在本合同中所做的承诺;

3、违反本合同中关于当事人权利义务的其他约定;

4、甲方在与乙方之间的其他合同项下发生违约事件;

5、因单据存在不符点或任何其他原因导致甲方要求拒付或迟付;

6、收款人所在地发生动荡、爆发战争、发生金融危机、收款人倒闭、发生不可抗力事件等可能导致甲方要求拒付或迟付;

7、因单据在邮寄中遗失或者延误、电讯失误等导致甲方拒付或迟付。

出现本条第一款约定的违约事件时,乙方有权分别或同时采取下列措施:

1、宣布本合同下的融资款项立即全部到期;

2、无须向甲方提前发出任何通知,直接从甲方开立在乙方和南海农村信用合作联社的辖属机构的账户中扣收甲方应予偿还的债务本金、利息、罚息及汇差损失及实现债权的费用;账户中的未到期款项视为提前到期。账户币种与乙方业务计价货币不同的,按扣款当天乙方确定的汇率折算;账户中的未到期款项视为提前到期。账户币种与乙方业务计价货币不同的,按扣款当天乙方确定的汇率折算;

3、处分担保财产,以所得价款优先受偿或者向保证人追索;

4、乙方认为必要和可能的任何其他措施。

第八条权利保留

乙方如未行使本合同项下部分权利,或未要求甲方履行部分义务,并不构成乙方对该项权利的放弃或对甲方该项义务的豁免,亦不构成乙方对本合同中其他权利的放弃或对甲方在本合同中其他义务的豁免。

乙方对甲方的任何宽容、展期或者延缓行使本合同项下的权利,均不影响乙方根据本合同及法律法规而享有的任何权利,亦不得视为乙方对上述权利的放弃。

第九条本合同是的子合同。

第十条合同的变更、解除和解释

本合同经双方书面同意可以修改、补充或解除。本合同的任何修改和补充均构成本合同不可分割的一部分。

本合同任何条款的无效均不影响其他条款的效力。

第十一条法律适用、争议解决及司法管辖

本合同适用中华人民共和国法律。

在合同履行期间,因履行本合同所发生的或与本合同有关的争议纠纷,双方可协商解决。协商不成的,任何一方可以采取如下第种方式加以解决:

1、依法向乙方住所地的人民法院起诉;

2、向佛山仲裁委员会申请仲裁。

第十二条甲、乙双方约定的其他事项。

第十三条生效条件

本合同一式份,甲、乙双方各执份,自甲方法定代表人、乙方授权签字人签字并加盖甲、乙双方公章之日生效。

技术转让设备、材料进口合同

中国_________产品进出口公司和_________产品生产厂(以下简称中方)与_________国_________公司(以下简投资人)和_________国_________有限公司(以下简称第三方)签订本合同,其条款如下:

第一条 技术转让

(1)中方为在_________生产投资人的甲型和乙型产品而引进必需的技术。这些产品以下简称为产品。

(2)投资人应中方要求按本合同提供其拥有的制造产品所需的技术和资料。

(3)产品的名称规格详见附件一。

(4)投资人应向中方提供制造产品所需的贸易秘密、制造技术和专有技术方面的资料。

(5)投资人向中方提供的资料详见附件二。

第二条 设备规划

(1)中方必须按照投资人的建议准备产品生产设施。

(2)为了帮助在_________准备生产设施,投资人应提供援助,包括供应下列资料:

a.生产线计划。

b.生产劳动力安排计划。

c.设备布局计划。

d.基础设施计划,如水电供应、空调、运输、通讯等。

e.设备安装操作计划。

f.生产管理计划。

g.推销计划。

上述资料应于本合同生效后_________天内由投资人提供中方。

(3)生产线必须按照附于本合同的生产细目表,即附件三。

(4)中方应自行准备生产计划,但必要时可要求投资人给予合作。

第三条 许可费的支付

(1)投资人向中方转让技术的许可费如下:

a.中方向投资人购买产品生产权应交入门费_________元。

b.每件出售的产品应向投资人交付售价_________%的提成费。

(2)一切付款应按照本合同及本条款的有关约定事项办理。

(3)一切付款应通过中国银行办理。

(4)支付方式采用不可撤销的即期信用证,用美元支付。

(5)中方应在本合同生效后_________天内,开立不可撤销的信用证向投资人支付入门费。

(6)投资人应在收到上述信用证后_________天内提供合同规定的一切技术资料。

(7)中方每次向投资人订购合同规定的材料时,应在信用证的金额中加上_________%的提成费;也可在支付货款时,为提成费另开一份信用证。

(8)中方负责在中国发生的一切费用;投资人负责在国外发生的一切费用。

第四条 销售

(1)投资人应帮助中方兴趣办展销会、研讨会、广告宣传等,以推销中方生产的产品。但费用应由中方负担。

(2)在开展广告宣传等活动中,中方如有需要可以使用投资人的广告标识。但投资人既不参与中方的盈亏,也不对此承担责任。

第五条 质量控制

(1)在_________制造产品的质量必须按照投资人的质量控制标准进行鉴定。

(2)_________制造产品的质量检验,在开始阶段应由双方工程是由联合进行,其细节详见附件四。

(3)_________制造产品的质量检验必要时应进行两次。如果第二次检验未能达到规格指标而且原因又是在投资人方面,则投资人应自费解决存在的问题。

(4)如果品质检验合格,双方工程是由应签署品质检验证明书一式_________份,每方各执_________份。

第六条 设备交货

(1)中方应向投资人购买生产产品所需的设备。

(2)生产产品所需设备的品名、规格详见附件五。

(3)中方投资人购买设备的价格细节由双方商定,并另签设备购买合同。

(4)投资人运交的设备应该是新型的、未用过的。

(5)投资人向中方运交设备的价款应以不可撤销的即期信用证按cif中国口岸条件用美元支付。

(6)投资人应按本合同的交货计划表运交设备。

(7)投资人应按合同的规定,向中方提供与设备有关的技术资料。

(8)设备正式交货日期为提单的日期。投资人应将提单号码、装船日期、装箱单、抵达日期等及时通知中方。同时,投资人还应将上述资料单据副本寄给中方。

(9)合同规定的设备和技术资料如有遗失,中方得要求投资人补交。

(10)投资人运交设备应使用坚固的包装,能以经受长途运输。

(11)投资人的装箱单应写明:

a.合同号码;b.收货人姓名;c.目的港;d.装船唛头;e.重量;f.箱号;g.收货人标记。

(12)投资人应将装货内容清单的副本放入包装内。

第七条 接收设备

(1)中方应准备设施和场地以接收和保管投资人运来的设备。

(2)投资人应在中方提出对运到的设备进行安装和试车的要求后三周内派出工程师。中方应为此事向投资人提供翻译之类的必要帮助。

(3)投资人的工程师应为安装试车任务停留两周。

(4)运交设备的验收工作,应由双方工程师和中国检验官员一起进行,详细规则见附件六。

(5)如果初次检验不合格,应进行第二次检验。如果第二次检验仍不合格,则投资人应在_________个月内自费调换有关设备。但是中方应该认识和接受这一点,即换货所需的时间长短要看所换的设备而定。

(6)如果检验合格,双方应签署检验证明书一式_________份,每方各执_________份。

(7)投资人派行往中方安装调试的工程师的居留费用均由投资人负担。

第八条 设备操作和保养的培训

(1)投资人在派遣工程到中方安装调试设备时,应兴举办关于设备操作和保养的培训。中方应为此事对投资人提供诸如翻译之类的帮助。

(2)培训的时间,包括前款所讲的安装调试在内不得超过_________天。

(3)培训主要用英文进行,也用_________作为辅助语言。中方如有需要应自费准备汉英翻译员。

(4)在中方进行设备操作保养培训的工程师的居留费用均由投资人负担。

第九条 对运交设备的保证

(1)按照国际习惯标准,运交设备的保证期为8个月,从中方完成验收工作起算。

(2)如果在保证期内发现运交的设备有缺点,投资人必须按中方的要求,及时适当解决。

(3)在上述情况下,该缺点经鉴定是由中方操作经验不足、搬运不当或某一物品的消耗所致,则投资人应要求中方支付实际运输费用。

(4)投资人应向中方提供与运交设备有关的最大限度的服务。

(5)保证期以后的设备保养需要向中方收取费用。但投资人应努力提供最大的合作和收取最低的费用。

第十条 物资的采购

(1)中方应按本合同的规定向投资人采购生产产品所需的材料。

(2)投资人应按本合同的规定向中方运交所需的材料。

(3)投资人应力求以尽可能低的价格供应这些材料。

(4)中方采购材料的实际详细品名,另以购买合同规定。

(5)投资人应该供应最新的材料,并保证质量。

(6)中方应提前_________个月向投资人送交月度生产计划和月度材料采购数量,以便材料的交货能以得到保证。

(7)投资人应尽力按照交货计划运交中方采购的材料;但是,中方应当理解和接受这样的事实,即由于市场供求不平衡等不能预见和不可避免的原因会使投资人无法按计划交货。

(8)中方对投资人运交材料的付款,必须采用不可撤销的信用证,以美元支付。

第十一条 材料的出口方法

(1)材料正式交货日期为提单的日期。投资人应将提单号码、装船日期、装箱单、抵达日期等及时通知中方。同时,投资人还应将上述资料单据副本寄给中方。

(2)投资人运交中方的材料如有任何遗失或缺点,应由投资人自费办妥。

(3)投资人运交材料应使用坚固的包装,能以经受长途运输。

(4)投资人的装箱单应写明:

a.合同号;b.收货人姓名;c.目的港;d.装船唛头;e.重量;f.箱号;g.收货人标记。

(5)投资人应将装货内容清单的副本放入包装内。

第十二条 接收材料

(1)中方应准备设施和场地以接收和保管投资人运交的材料。

(2)投资人应在材料经过品质检验之后发运。

(3)中方必须对运交的材料验收,如有缺陷或遗失,应及时通知投资人。如果投资人承认通知合理,应自费换货。但是,中方应当认识和接受这一点,即换货需要一段合理的时间。

(4)在上述情况下,该缺点经鉴定是由于中方的错误操作所致,投资人应要求中方支付一切实际费用。

(5)如果运交材料的坏遗失是由于存放或搬运不当所致,投资人应在收到中方通知后及时换货;但是,有关费用应由中方负担。

第十三条 培训中方的工程师

(1)投资人应接待_________名中方工程师,并提供_________个月的技术培训。

(2)投资人对中方工程师为此在_________国居留期间供给膳宿,但中_________之间的来回旅费除外。

(3)派出受训的中方工程师应懂得实用的英语,具有电子工程学的基础知识。

(4)教学主要用英语进行,但以_________为辅助语言。投资人应按中方要求准备一名汉英译员,费用由中方负担。

(5)投资人应立即编写教育计划并提前通知中方。有关技术教育计划项目详见附件七。

(6)第三方应同时派遣一名工程师去照料上述培训事宜。

第十四条 派遣投资人的工程师

(1)投资人应两次派遣多名工程师去中方,第一次派_________名去_________个月,以实施这项转让计划。第二次派_________名去_________个月,以达到产品生产指标。

(2)投资人派往中方的工程师主要用英语进行工作,但也以汉语为辅助语方。中方必要时应自费准备一名汉英翻译员。

(3)中方应负担投资人的工程师为此而在中国国内居留和旅行的各种费用,但中德之间的旅费除外。

(4)在投资人派遣工程师的任务完成以后,中方如有必要仍可要求投资人继续给予技术支持。但投资人应要求中方为这样增加的合作支付费用。合作的条款由双方将来讨论约定。

(5)中方要求投资人技术服务的细节,见附件八。

第十五条 将来的技术合作

(1)投资人应为将来的发展与中方进行合作,包括高分辩能力显示等在内。

(2)上述技术合的条款,包括它的费用,应由中方、投资人、第三方三方面商定并另签合同。

第十六条 第三方的作用

(1)第三方负责中方和投资人之间的信息传递、交往媒介等,并对中方提供必要的援助。

(2)第三方应为此适当向中方收取报酬。

第十七条 第三方的责任

(1)第三方应作为中方与投资人之间的桥梁。

(2)第三方应协助中方用展销会、研讨会、技术培训等办法在中国销售产品。

(3)第三方应在产品品质合格时考虑把这些产品销往欧洲和非洲(南非除外)。

(4)第三方应在中方派遣工程师到欧洲进行产品开发时,向他们提供免费使用的设施和工具。但中方应负担他们在欧洲的一切费用。

第十八条 仲裁

(1)中方和投资人应以合作的态度解决合同争端。如解决不成,则以仲裁方式最终解决。

(2)仲裁应在_________进行。

(3)中方和投资人都应受最终裁决的约束。

(4)仲裁费由败诉方负担。

(5)本合同如有某些问题仍在仲裁之中应该分开予以执行。

第十九条 税款

在合同有效期间,中国的税款由中方负责;欧洲的税款由投资人和第三方负责。

第二十条 合同的生效

(1)不可预见的问题不应影响本合同的执行。

(2)中方、投资人、第三方三方应向各自的政府申请允许有关商品的进口和出口。最后一方获知得批准之日即为本合同生效之日。三方应尽最大努力争取在_________天内取得批准。

第二十一条 合同的撤销

(1)如果在合同生效后_________个月没有见到效果,三方保留撤销本合同的权利。
