甲乙双方平等友好协商，根据《民法典》等相关法律，就甲方授权、委托乙方对甲方具有完全知识产权的网络游戏_____________（以下简称“本游戏”）进行运营、推广、发行、使用、销售等合作事宜，达成如下协议：

一、代理产品、期限

二、双方权利与义务

（一）甲方

1、甲方对于乙方代理的本游戏的冠名情况和代理情况有知情权，乙方须按照甲方要求随时向其提供该等信息，并保证所提供信息的真实性。

2、甲方对于与乙方代理本游戏相关的任何财务情况（收入、支出）都享有知情权，乙方须按照甲方要求按时向其提供该等信息，并保证所提供信息的真实性。

3、甲方负责研发和升级本游戏的服务器端和客户端软件及技术，并享有维护上述软件的权力。

4、甲方有权按合同约定获得来自协议区域的收益。

5、甲方允许乙方按照约定提供产品的服务，营销，推广和使用所有商标，标识。

6、甲方独立拥有提供本游戏的合法权利，并保证与本游戏运行相关的全部产品版权的合法性。甲方在开发本游戏及更新升级过程中不得有任何侵犯他人合法权益（包括但不限于知识产权）之行为（包括抄袭、非法复制、逆向工程等）。如因甲方原因开发的本游戏或本游戏发布的任何信息违反法律规定或者侵犯他人合法权益，甲方应当独立进行处理并承担全部法律责任。由此造成乙方经济损失的部分由甲方承担全部责任。

7、甲方应确保本游戏不含有任何恶意代码（包括计算机病毒、“流氓软件”），且运行稳定可靠。甲方负责本游戏的系统调试、开通、优化、升级和扩容工作，并保证前述工作不影响乙方运营游戏及用户的正常使用。

8、甲方应在本游戏提交乙方测试时，向乙方提供完整的产品说明文档及测试环境。甲方应确保其提供给乙方测试验收的本游戏新版本或新功能已通过甲方自身测试验收。

9、甲方授权乙方为履行本合同目的在推广本游戏时使用本游戏的商标、标识以及甲方的公司名称、LOGO，但不得侵犯甲方已存在的知识产权。

（二）乙方

1、乙方负责本游戏的商务推广，负责落实本游戏与合作平台沟通、接入的全部工作，甲方提供必要的技术配合，若确需甲方人员提供实地配合的，差旅费用由乙方承担。

2、乙方应当在合同期限内负责产品的运作，推广，发行，生产，使用，销售和服务。

3、为配合本游戏在全球范围内的推广，乙方有权审核本游戏的游戏功能、安全性以及在本游戏新版本中增加的应用方案和功能模块，并根据甲乙双方协商的产品发布流程，拥有进行本游戏或本游戏新版本在合作平台发布的权利。

4、乙方有义务利用自身现有渠道平台上的游戏和其他乙方社区游戏作为推广资源，投入不低于_______万元的费用或资源保证全力推广本游戏。

5、本合同不被理解成甲方享有的本游戏相关知识产权发生任何形式的转移或分割。乙方不得以任何非法方式（包括但不限于反汇编、反编译、跟踪、拷贝、或以其它方式获得中间结果）侵害甲方对本游戏的合法权益。

6、乙方对其发布在本游戏外的广告承担保证责任，若因此产生任何纠纷均由乙方负责解决并承担全部责任。

三、代理条件

1、乙方必须是注册合法的公司或经营单位，具有固定的经营场所，有一定的市场经营网络。

2、乙方必须向甲方提供企业有关资质（企业营业执照、工程施工资质证、销售许可证）。

3、不得同时经营其它同档次品牌的同类产品，不然代理权自动取消。

四、代理费用

乙方保证在合同有效期内本游戏正式在中国大陆运营后的前____月之内支付给甲方至少________________元的分成金额。如果乙方的经营状况无法达到这一计划，将视为乙方违反协议。

五、保密条款

1、任何一方对于因签署或履行本合同而了解或接触到的对方的商业秘密及其他机密资料和信息（以下简称“保密信息”）均应保守秘密；非经对方书面同意，任何一方不得向第三方泄露、给予或转让该等保密信息。

2、如对方提出要求，任何一方均应将载有对方保密信息的任何文件、资料或软件，按对方要求归还对方，或予以销毁，或进行其他处置，并不得继续使用这些保密信息。

3、在本协议终止或解除之后，双方在本条款项下的义务并不随之终止，双方仍需遵守本协议之保密条款，履行其所承诺的保密义务，直到对方同意解除此项义务，或事实上不会因违反本协议的保密条款而给对方造成任何形式的损害时为止。若违反保密义务给对方造成了损害，过错方应承担相应的责任。

4、除本合同规定之工作所需外，未经对方事先书面同意，任何一方不得擅自使用、复制对方的商标、标志、网址信息、商业信息、技术及其他资料。

六、违约责任

1、本合同对双方均有约束力，如任何一方无法履行其根据本协议所负义务或者任何一方根据本协议所做的陈述与保证是不真实的，该方应被视为违约。

2、如任何一方发生违约，守约方有权要求违约方赔偿守约方因此所受的全部损失或者违约金￥______________元（大写：______________）。

3、如游戏接入测试平台后，次日留存低于_____%，____日留存低于_____%。甲方有权无条件解除此协议，不支付任何费用，且在测试期间获得的任何收益均归属为甲方所有。

七、争议的解决

如在协议期内如发生分歧，应先友好协商，协商不成可诉至___________人民法院解决。

八、附则

1、在合同签订后，合同可到公证处公证，公证费由提出方承担。

2、签订本协议时，乙双方应提供企业营业执照，法人身份证明及法人授权委证书，企业有关资质证明。

3、未尽事宜，双方可另行商议。本协议一式贰份，甲、乙双方各执一份，具同等法律效力，双方签字盖章后可生效。
