四、合作分工

(一)甲方的权利与义务

1、保护开发者的信息的安全是甲方的一项基本原则，未经开发者的同意，甲方不会向甲方以外的任何公司、组织和个人披露、提供开发者的信息，但下列情形除外：

(1)据本协议或其他相关协议、规则等规定可以提供的;

(2)依据法律法规的规定可以提供的;

(3)行政、司法等政府部门要求提供的;

(4)开发者同意甲方向第三方提供;

(5)为解决举报事件、提起诉讼而需要提供的。

2、尽管甲方对开发者的信息保护做了极大的努力，但是仍然不能保证在现有的安全技术措施下，开发者的信息可能会因为不可抗力或非甲方因素造成泄漏、窃取等，由此给开发者造成损失的，开发者同意甲方可以免责。

3、甲方有权在包括但不限于甲方游戏平台介绍页或安装页面等，向用户阐述该游戏产品为开发者开发以及由开发者向用户提供客户服务等。

4、除了另行有约定外，甲方无需为按照本协议享有的权益而向开发者支付任何费用。

5、开发者理解并同意：为向更多互联网使用者推广开发者的游戏产品，甲方有权采取以下行为，而无须再取得开发者的同意。

(1)在甲方游戏平台以外的平台、网站等采取各种形式对游戏产品进行宣传、推广;

(2)甲方可根据整体运营安排，自主选择向整个或部分全世界范围内的互联网用户提供开发者的游戏产品;

(3)有权为本协议目的使用开发者游戏产品的LOGO、标识、名称、图片等相关素材。

(二)开发者的权利与义务

1、开发者具备使用本服务、接入和运营游戏产品或提供相关服务等行为的相关合法资质或经过了相关政府部门的审核批准。

否则，开发者应不使用甲方提供的相关服务，且应独自承担由此带来的一切责任及给用户、甲方造成的全部损失。

2、开发者依法及按照甲方要求提交使用本服务所必须的真实、准确的经过开发者签章确认的主体资质材料以及联系人姓名(名称)、地址、电子邮箱等相关资料。

3、开发者在甲方游戏平台上通过开发者的游戏产品提供的各种服务，依法已经具有相关的合法资质或获得了有关部门的许可或批准，并会向甲方提交相关资质或证明文件。

4、开发者在甲方游戏平台上通过开发者的游戏产品提供的各种服务，符合国家相关法规的规定，不违反任何相关法规及相关协议、规则，也不得侵犯任何人的合法权益。

5、开发者应自行负责开发者应用的创作、开发、编辑、加工、修改、测试、运营及维护等工作，并且自行承担相应的费用。

6、开发者的游戏产品，应符合相关法规、技术规范或标准等，同时，还应符合甲方游戏平台的对接入游戏产品在技术、安全等方面的统一要求，以确保应用可以在甲方游戏平台安全、稳定的运营。

7、开发者不得在游戏产品内宣传与本游戏产品无关的任何其他信息，包括但不限于广告、其他的游戏产品信息等(除非双方另有约定)，也不得在游戏产品内添加指向非甲方拥有或控制或甲方书面同意的网站链接。

8、开发者游戏产品在甲方游戏平台上运营期间，开发者需向用户提供及时有效的客户服务，并自行承担客服费用。

9、开发者应当在游戏产品中向相关权利人提供投诉途径，确保权利人在认为开发者侵犯其合法权益时可以向开发者主张权利。

10、如果开发者的游戏产品符合甲方的要求时，则可依相关规范、流程等接入到甲方的支付系统。

11、开发者不得从事任何包括但不限于以下的违反法规的行为，也不得为以下违反法规的行为提供便利(包括但不限于为开发者游戏产品的用户的行为提供便利等)：

(1)反对宪法所确定的基本原则的行为;

(2)危害国家安全，泄露国家秘密，颠覆国家政权，破坏国家统一的行为;

(3)损害国家荣誉和利益的行为;

(4)煽动民族仇恨、民族歧视，破坏民族团结的行为;

(5)破坏国家宗教政策，宣扬邪教和封建迷信的行为;

(6)散布谣言，扰乱社会秩序，破坏社会稳定的行为;

(7)散布淫秽、色情、赌博、暴力、凶杀、恐怖或者教唆犯罪的行为;

(8)侮辱或者诽谤他人，侵害他人合法权益的行为;

(9)侵害他人知识产权、商业秘密等合法权利的行为;

(10)恶意虚构事实、隐瞒真相以误导、欺骗他人的行为;

(11)发布、传送、传播广告信息及垃圾信息;

(12)其他法律法规禁止的行为。

五、技术、市场保密

合作期内未经项目合作各方同意，任何人不得将技术及客户资料转让，不得与项目合作双方以外的合作方进行合作或为他人谋取利益，不得将技术泄密。

违反约定的，项目合作方有权没收违约方相关收益，并追究违约方的经济法律责任。

六、收益分配

该项目所得利润根据合作方所占比例，在保证项目正常运作的情况下，每年进行年终分红一次(每年元月对上一年度红利进行分成)。

扩大业务运营如需要提留利润时，必须经过各方认可，且不得超过年度利润总额的_____%。

该提留按各方所占股权比例计为各方的股本金投入。

七、合作保障措施

1、在合作期内，项目合作双方中任一方未经其对方协商认可擅自退出该合作项目，违约方同时赔偿被侵害方的投入损失及其他合作期内应得收益(具体为：按合作之日起至产生变故时为止的被侵害方应得的收益平均值计算，违约方赔付被侵害方剩余协议期的总收益)。

并且必须遵守技术、市场保密条款，____年内不得经营本项目的同类技术内容及客户资源。

否则项目合作各方有权追究违约方的一切经济法律责任。

2、在合作期内因战争、灾害、疾病等不可抗力因素导致项目合作解散或合作期满各合作方不再合作，该项目技术内容归双方所有。

3、合作方如有一方违反本协议，则其他方有权取消与违约方的合作并追究违约方的一切经济法律责任。

八、其他未尽事宜经双方共同协商后作补充，补充条款同具本民法典律效力。
