五、实习内容：

鉴于甲方系以运营销售国内外电脑游戏、相关软件及产品为主的企业，并自主开发并维护了专用于各类卡的在线销售系统;

乙方为网络游戏点卡经销企业，并愿意同甲方合作，在双方指定的地区开展相关产品之点卡的在线销售服务;

甲乙双方根据各自专长特长，愿意共同合作，乙方同意使用甲方的相关在线销售系统，在双方商定的区域内开展的在线销售。

有鉴于此，为共同拓展网络游戏市场，为广大用户提供更多相关服务，充分发挥甲乙双方各自的优势。

经友好协商，并依据中华人民共和国有关法律法规的要求，就甲方在双方商定的区域内开展在线销售的相关事宜达成一致，并签订协议如下：

一、名词和定义

(一)本协议中所提及的有关在线销售的概念为：以点卡的形式，通过甲方在本协议生效时已开发并明示的在线销售系统，收取最终用户网络游戏信息内容服务使用费。

凡利用其他销售渠道，包括但不限于线下销售实物点卡(以下简称实物卡)，利用银行卡在线购买，以及利用有关专业运营企业如中国电信、中国移动、中国联通、中国网通等自有销售渠道进行销售的行为不包括本协议所规定的在线销售范围之内。

(二)甲方产品指：由甲方自主研发的_________网络版点卡产品，其具体内容由双方签订相关的协议附件加以明确。

(三)在线销售系统指：由甲方开发、明示的并拥有自主产权的，专用于在线方式销售各类点卡的，基于internet网络的在线销售系统，包括相关的网页、程序和技术支持服务。

二、合作项目和内容

(一)合作内容：____________________________________。

(二)条所规定的销售方式的区域经销商。

甲方不得将该指定区域的在线销售权授予或者转让第三方，区域内的经销商发展权交由乙方负责。

乙方承诺不向已获授权之外的地区进行销售，一旦乙方违反，将依照甲乙双方的约定进行处理;

同时甲方有权随时终止本协议，并扣缴本协议规定的销售保证金作为赔偿。

(三)销售方式：乙方可以采用的销售方式是上述之方式的在线销售，不可以涉及非网络方式的销售以及任何涉及具体物流的网上销售方式;

乙方获得授权，可使用甲方提供之在线销售系统。

但乙方如果利用上述方式之外的其它方式(包括但不限于利用甲方在线销售系统之外的销售渠道进行销售的行为进行销售)，甲方有权随时终止本协议，并扣缴本协议规定的销售保证金作为赔偿。

同时乙方应保证其下属经销商按照本协议约定的销售方式经销甲方产品，否则乙方对下属经销商违反本协议的行为承担连带担保责任。

(四)销售区域：双方同意乙方可使用相关在线销售系统，对甲方产品进行在线销售的总经营范围为甲乙双方约定的地理区域，同时乙方应保证其下属经销商资料的真实性，并同时担保其下属经销商的销售区域不得超过上述区域，否则乙方对下属经销商违反本协议的行为承担连带担保责任。

(五)双方承诺在此合作过程中，充分利用各自的优势(包括产品资源、服务能力、技术能力、市场资源等)，共同推广在线娱乐事业的发展，以达到双赢的目的。

三、时间安排和付款方式

(一)乙方作为指定区域的在线区域经销商，同意使用相关在线销售系统。

乙方承诺_________网络版游戏卡在线销售虚拟产品协议期内总承销金额不少于本协议约定的总承销金额。

乙方库存量不得低于总承销量的_________%，否则视为库存不足。

乙方在库存数量不足的情况下_________个工作日内必须补足库存数量，否则甲方有权随时终止本协议，并扣缴本协议规定的销售保证金作为赔偿。

(二)除协议规定的其它情况或双方另有书面约定外，双方同意的付款方式为款到付货，即：在协议期间内乙方每一次向甲方购买产品时，乙方应通过书面方式通知甲方购买相关产品的类型和数量，并依据双方约定的产品结算价格一次性结清全部货款。

甲方将在确认乙方相关款项到账的_________个工作日内，通过双方事先约定的方式，将相应数量的相关产品提供给甲方进行销售。

同时给乙方出具相应的增值税发票。

(三)如果甲方要对本协议相关产品的销售价格进行调整，应至少提前_________周以适当的方式通知乙方;

本协议相关产品调整后的销售价格自甲方发出通知之日起生效。

(四)乙方应严格遵循甲方制定的相关产品的销售价格策略，销售给终端用户的价格不得低于乙方规定的价格或者以低于甲方自身成本的价格进行销售，也不得高于乙方规定的建议零售价格。

如果违反上述规定，甲方有权随时终止本协议，并扣缴本协议规定的销售保证金作为赔偿。

四、权利与义务

为履行本协议所确定之合作内容，甲乙双方约定各自的权利与义务如下：

(一)甲方权利和义务：

1、甲方负责向乙方提供相关产品和协议规定区域内的独家在线经销权。

所有指定地区的第三方经销商应与该区域经销商联系，依据其制定的价格标准和销售政策拿货;

在乙方无违约行为的情况下，甲方不行无故停止本协议的执行;

2、甲方应在双方合作期间提供必要的技术支持以保证乙方可使用相关的在线销售系统进行相关产品点卡的销售服务;

3、甲方将保障相关产品的正常运行和维护，并对在游戏本身产生的投诉、纠纷等相关问题自行承担责任;

4、甲方将负责提供相关产品的客户服务机构，解答客户(游戏玩家)使用过程中的疑难问题;

5、甲方提供的游戏内容，不得违反国家有关法令、法规的要求;

6、甲方应利用自身的宣传渠道和其它市场资源，积极宣传此合作项目。

(二)乙方权利和义务：

1、乙方负责协议规定区域内甲方产品的在线销售与推广。

在甲方无违约行为的情况下，乙方不得无故停止本协议的执行;

甲方应确保乙方为协议规定区域内的独家在线区域经销商;

2、乙方应保障购货款项及时到账并积极主动向税务机关上缴税金，对由于乙方销售行为及对经销商销售方式管理不善所产生的投诉、纠纷等相关问题，由乙方独立承担全部责任，乙方不得要求退货;

3、乙方应按照本协议所规定销售方式进行在线销售方式，不进行任何其它形式的销售活动;

4、乙方应在整个销售过程中严格遵循甲方所规定的价格策略，不擅自抬高或降低甲方产品的销售价格，不得利用独家经销价格有优势变相要求下属经销商销售其它网络游戏产品;

5、乙方有义务不向任何第三方透露甲乙双方协议及附件中约定的折扣标准、价格标准、销售数量等情况;

6、乙方应利用自身的宣传渠道和其它市场资源，积极宣传此合作项目，不得以本产品经销商为筹码要求下属经营本产品经销商宣传、推广、销售其它网络游戏产品，在与甲方合作的市场宣传活动和渠道推广过程中，也不得利用本产品的市场和渠道资源进行其它网络游戏产品的宣传、推广和销售;

7、乙方应按照甲方的要求，配置必要的工作人员，并保证其履行相应的工作职责;

8、为有效完成相应销售区域的渠道覆盖工作，乙方必须在所辖区域范围内合理配置、设立相应的经销商。

为达成市场最佳覆盖，甲方可以在不影响市场覆盖的前提下，要求乙方对辖区内经销商布局、设置进行调整，调整后固定经销人员及权限;

9、乙方应完全无条件的执行《_________》，甲方保留对本规定的修订、增补和解释权;

10、乙方承诺配合甲方的有关安排，积极推进和协助所在区域的有关服务机构的建设，具体细节双方将进一步协商。

五、协议有效期限

乙方不得将甲方提供的当地在线销售网络泄露给未经授权人士之手，一经发现，甲方有权立刻终止协议，并追究乙方相关经济、法律赔偿责任，包括但不限于扣缴本协议规定的销售保证金作为赔偿。

(三)获取商业秘密的一方(下称获取方)不得将从提供商业秘密的一方(提供方)处所获得的商业秘密在未获得提供方授权，或本协议许可的情况下，进行部分或全部复制或复印;

在本协议终止后，将商业秘密悉数返还提供方，或在取得提供方书面同意的情况下，将商业秘密销毁。

(四)获取方应只在本协议规定范围内对商业秘密进行使用。

(五)双方同意对本次合作涉及的所有产品销量、产品结算价格、以及其它的敏感信息，应严格保守秘密，如因某一方的责任导致上述信息泄露，责任方应承担相应的赔偿责任。

(六)本条规定在本协议终止后_________年内仍然有效。

七、协议的终止

(一)除法律规定及本协议另有约定的终止情况外，若发生下列情况之一，本协议将立即终止。

在依据本条发生的协议终止情况下，守约方可以要求违约方承担违约责任并赔偿损失，赔偿损失的范围应包括守约方因违约方违约所受到的全部经济损失：

1、甲方或乙方拥有的相关从业资格被政府行政部门取消或注销;

2、甲方或乙方违反其各自在本协议中所做的陈述与担保;

3、本协议任何一方对本协议的任何违反，且在另一方以方面形式告知违约方违约事实_________日后，违约方仍未采取措施，改正其对的任何违反;

4、如一方无故拖延履行本协议，且在另一方以书面形式告知违约方拖延之事实_________日后，违约方仍未采取措施，则另一方仍可终止协议，并且违约方需承担全部经济损失的赔偿责任。

(二)不可抗力是指不能预见、对其发生和后果不能避免且不能克服的事件。

鉴于网络所具有之特殊性质，不可抗力包括但不限于下列任何影响网络正常经营之情形：

1、黑客攻击、计算机病毒侵入或发作;

2、计算机系统遭到破坏、瘫痪或无法正常使用而导致信息或纪录的丢失、甲方不能提供本协议项下之销售服务;

3、电信部门技术调整导致之重大影响;

4、因政府管制而造成的暂时性关闭等;

5、其它非甲方及其运营商造成的原因等。

八、陈述与保证

(一)乙方的陈述与保证：

1、乙方是一家依据中国正式颁布的法律设立并合法存续的有限公司。

乙方签字人已经获得充分有效的批准和授权;

2、有从事协议中所规定之销售行为的资格;

3、乙方对于本协议的签署和履行均符合法律和其公司章程的规定;

4、本协议对乙方构成有效的、带有约束力的、可强制执行的法定义务;

5、乙方对于本协议的签署和履行无须由任何第三方批准或在任何第三方备案。

(二)甲方的陈述与保证：

1、甲方是一家依据中国正式颁布的法律设立并合法存续的有限公司。

甲方签字人已经获得充分有效的批准和授权;

2、甲方对于本协议的签署和履行均符合法律和其公司章程的规定;

3、本协议对甲方构成有效的、带有约束力的、可强制执行的法定义务;

九、违约金或者损失赔偿额的计算方法

(一)在项目进行过程中，如任何一方违反协议约定或无故解除协议均应承担违约责任。

违约方除应赔偿守约方的直接经济损失外，守约方还可保留进一步追究的权利。

(二)除本协议其他条款另有约定的违约行为及违约责任外，其它违约行为的违约方在收到守约方要求纠正其违约行为的书面通知之日，应立即停止其违约行为，并在_________日内赔偿守约方因此受到的所有损失(包括直接损失、间接损失以及因此赔偿所引发的一切合理费用的支出)。

(三)如违约方继续进行违约行为或不履行上述义务，守约方除就其所有相关损失而获得违约方赔偿外，亦有权在书面通知违约方后，提前终止本协议。

(四)乙方违约的情况下，甲方可以采取的方式包括但不限于：立即中止和解除协议关系、暂时停止对甲方供货、封闭已售出给乙方的产品、扣缴本协议规定的销售保证金作为赔偿、向乙方授权销售区域内的第三方经销商直接供货、取消对乙方的销售奖励等，乙方对此没有异议，甲方亦无需承担任何责任。

十、反不正当竞争行为的条款

为防止可能出现的不正当竞争行为，双方约定以下条款：

(一)自本协议正式生效之日后开始商业化运作或收费的非甲方自主研发的竞争性网络游戏产品，如果乙方决定对其进行销售或其它代理销售行为，应在实际代理销售这一产品_________周之前以本协议约定的方式通知甲方，如果乙方已经实际操作其它网络游戏产品(不论是否签订协议)而没有向甲方通告，则视为乙方违约，甲方有权依据协议的规定加以处理。

(二)对于严重损害甲方利益的恶性竞争产品(恶性竞争产品指违反《反不正当竞争法》规定侵害甲方利益的单位经销商同类产品，或同甲方相关产品存在知识产权、商标权益等方面纠纷的相关产品)，凡是参与销售、推广、宣传的单位，或以不同名义但同乙方或乙方主要负责人员有密切产权关系的单位进行销售、推广、宣传的经销商，甲方有权视为乙方违约，并依据协议的规定加以处理。

(三)本条所指的不正当竞争行为包括但不限于以下类型：

1、故意泄露双方约定的商业秘密;

2、利用协议提供的产品销售权利谋取单方面的不正当利益;

3、恶意违反甲方指定的销售政策、进行相关产品的倾销和恶意流货;

4、对用户和经销商进行恶意宣传;

5、甲方的工作人员或其它经销商进行任何类型的行贿、收买、威胁;

6、其它有悖于商业规范和国家法律法规的行为。

(四)如本协议执行期间，如乙方进行了协议定义的不正当竞争行为，则不论其是否造成甲方的实际损失，甲方有权视为乙方违约，并依据协议的规定加以处理。

(五)如本协议执行期间，乙方未执行协议的规定，未及时以正确的方式通知甲方或未及时购买齐包销数量，则甲方可以确认乙方相应销售行为后，有权视为乙方违约，并依据协议的规定加以处理。

十一、其它

(一)双方理解并且同意，协议双方均为独立签约人。

(二)双方同意，乙方为本协议在合作区域的独家在线区域经销商，本协议含有唯一性与排他性规定，甲方不得在协议期内在乙方经营区域将此经营权授予第三方。

(三)未经协议双方书面确认，无论以任何方式或形式，各方均不得将本协议或其部分进行转让。

(四)通知：任何本协议要求或允许的通知应以书面形式并应通过邮寄或传真方式按协议载明的通讯地址寄达对方。

通知自收到之日起生效。

(五)相关产品的送达方式：双方同意采用甲方提供的相关网络在线销售系统中的传达方式。

(六)对于任何涉及在线销售系统的有关数据资料，双方同意以甲方提供的相应服务器数据记录为准。

(七)本协议在履行过程中如有未尽事宜，或因业务发展需要对本协议现有内容进行补充、变更、修改时，由双方或任何一方提出补充、变更、修改的建议和方案，经双方协商并达成统一意见后，以书面形式表达并经双方同意并签字盖章后，成为本协议的补充文件，与本协议具有同等法律效力。

(八)本协议任何部分被视作无效或不可执行，将不会因此而影响本协议其它条款或部分的有效性与可执行性。

(九)本协议的订立、效力、解释、履行和争议的解决均适用中华人民共和国法律。

因本协议所产生的以及因履行本协议而产生的任何争议，双方均应本着友好协商的原则加以解决。

协商解决未果，任何一方有权向_________人民法院提请审理。
