6.“合作伙伴”代表任何由运营公司直接或间接控制或由运营公司拥有控制权的任何公司、集团公司、合伙公司、合资公司等一切实体。

19.“服务器端程序”代表将被安装于运营公司服务器上用以使最终用户能够享受游戏服务的电脑软件程序，包括任何改进、升级及内容增加等。

20.“运营公司服务”由运营公司运营的包含但不仅限于以下内容的服务：宽带互联网接入、导航指南、收费内容服务、游戏及其他相关服务。

21.“付费用户”代表由运营公司认证并向运营公司付费以通过运营公司服务享受游戏服务的任何人。

22.“期限”代表________条款中描述的时间期限。

23.“数据记录”代表所有处理数据或记录，由游戏服务处理执行的一切信息，并且包括所有与付费用户相关的信息和通信。数据记录是运营公司的商业秘密。

25.“url”代表统一资源定位符，包括域名和二级以及其他任何用来访问或定位游戏服务的名称。

26.本协议中涉及的所有有关本产品的“出售、销售”都是代表允许使用此产品的授权过程。所有有关本产品“购买”都是代表购买允许使用此产品的授权。

27.协议有效地域：由双方约定协议有效地域范围。

四、经双方协商一致，研发公司与运营公司同意以下条款

1.开发与可交付使用

游戏的开发与支持 研发公司应向运营公司提供游戏的开发与设计、最终用户程、服务器端程序以及相关文件。同时，研发公司还应保证按照本协议规定的交付时间表进行同步的相关支持。

2.未能按时交货 如果研发公司不能依照交付时间表完成，运营公司有权暂时不支付本协议规定的任何费用，直到交货的问题得以解决。时间将不会成为本协议的根本问题。

3.可交付使用 研发公司应当依照交付时间表同步提供最终用户端程序、服务器端程序以及相关文件，包括所有结果代码、文档、列表、库、数据文件以及需用于游戏服务的所有相关程序软件。(”可交付使用”)

4.本地化 研发公司应当负担游戏中文简体版本地化的费用以及游戏内所有的详尽文字内容，运营公司应有机会评估本地化的结果，并且提供确认。

5.指定及授权

6.唯一指定 研发公司在本协议中提供给运营公司以下独家的唯一的权利：

(a)再生产、演示及展示本产品;

(b)对中国大陆的用户直接进行或通过经销商和分销商进行本产品的销售、市场行销、分销等活动;

(c)允许中国大陆的最终用户可以以结果代码的形式使用此产品; (d)提供维护与支持服务，包括但不仅限于：技术支持、软件支持、客户服务及在线客户服务，所有gm将对研发公司的专门gm负责人汇报。所有运营公司的gm必须依照研发公司提出的客户服务规范对中国大陆的最终用户进行服务;

(e)安装、拷贝、储存、编辑及修改服务器端程序以便提供必要的游戏服务。

整体统称“权利”

7.互联网权利 协议各方同意，尽管本协议限定的区域为中国大陆，运营公司仍然可以通过互联网进行本产品的市场行销及销售活动，但运营公司应该确定通过互联网访问的用户来自中国大陆。如果通过互联网对中国大陆以外地区进行的销售达到或超过了全部产品销售和收费的 0%，将视为运营公司违反了本协议。

8.urls. 研发公司同意所有用于访问限定区域内的游戏服务的url以及其他相关权利都为运营公司独家拥有。

9.进一步的保证 研发公司应当确保运营公司能够在不侵犯知识产权以及不必负担额外费用的情况下享受本协议规定的各项合法权利。研发公司应当独自负担第 子条款中为取得各项权利所须支付的额外费用。运营公司为进行本产品的销售、市场行销和分销所须获得的其他所有权利和授权费用以及在开发完善本协议规定的游戏服务过程中可能发生的获取授权费用也应由研发公司独自负担。

10.付款义务 运营公司对研发公司唯一的付款义务应与本协议中规定的所获得权利相对应。运营公司不需要对其他任何一方支付任何费用以获得本协议中规定其应获得的权利。

11.更新资料

12.在本协议的有效期内，所有关于游戏的升级资料、补订版本升级、服务器端程序的升级以及最终用户端程序的升级都将被认为是本产品及服务器端程序的补充。运营公司将对以上所有更新资料享有独家使用权而无须支付任何附加费用。

13.不定期更新 研发公司保证将建议运营公司在技术、市场法规等其他影响开发的因素下对最终用户端程序、服务器端程序、文件及游戏服务进行不定期的更新升级(“不定期升级”)。研发公司应当对运营公司提供同步的不定期更新。

三、费用支付

四、权利和义务

（一）甲方的权利和义务

1、根据本协议项目的实际需要和乙方的要求提供协助，并提供有关的资料，数据、报表及文档等，甲方保证提供的所有资料完整、真实、合法。

2、按本协议约定支付开发费用。

3、甲方应在项目启动前主动积极沟通开发需求，确认好美术风格，程序开发功能。确保研发过程中方案不会大的改动，节约开发中的时间，降低沟通协调成本。

（二）乙方的权利和义务

1、按照甲方提供的`材料，或经甲方由第三方提供的材料，按时完成本合同规定的软件开发工作。

2、根据“______________游戏”的需要完成系统开发工作。

3、依合同收取“______________游戏”开发费用；保证合理使用开发经费。

五、合同的补充、变更、终止

如因业务发展需要甲方需要新增合同以外的新增功能，新增功能费用由双方商议一致决定，并且需要重新给出新增功能的开发时间。双方以书面形式确认，并由双方签字后补充为本合同的附件，与本合同具有同等法律效力。

六、违约责任

1、甲方应按项目进展按时向乙方支付开发经费，如因甲方阶段付款时间延误，乙方有权停止下一阶段开发工作，直到甲方支付阶段开发经费，乙方重新启动继续开发下一阶段项目内容。由此造成的开发工作延误，乙方不承担连带责任。

2、乙方未按约定计划实施研究开发工作的，甲方有权要求其实施开发计划并采取相应的补救措施。乙方逾期_______天不实施研究开发计划的，甲方有权解除合同。

3、甲方应当及时支付乙方开发费，未及时支付的，按日承担合同标的额_______%的滞纳金。

4、因甲方不及时支付开发费导致合同解除或者终止的，甲方除应支付开发费用外，还应承担已支付开发经费_______%的违约金，对于甲方已经支付的开发费用，乙方不予退返。

5、因乙方原因造成合同终止的，乙方退还甲方已支付所有费用，并且乙方支付甲方已支付金额_______%的作为赔偿。

6、双方应严格履行本合同，任何一方违反本合同均应承担相应的违约责任。

1、若在履行本合同的过程中出现争议，双方应通过友好协商的方式解决。对于经协商不能解决的争议，任何一方均可将争议提交到甲方所在地____________人民法院进行诉讼。

omeone said “we are reading the first verse of the first chapter of a book, whose pages are infinite”. i don’t know who wrote these words, but i’ve always liked them as a reminder that the future can be anything we want it to be. we are all in the position of the farmers. if we plant a good seed ,we reap a good harvest. if we plant nothing at all, we harvest nothing at all.

we are young. “how to spend the youth?” it is a meaningful question. to answer it, first i have to ask “what do you understand by the word youth?” youth is not a time of life, it’s a state of mind. it’s not a matter of rosy cheeks, red lips or supple knees. it’s the matter of the will. it’s the freshneof the deep spring of life.

a poet said “to see a world in a grain of sand, and a heaven in a wild flower, hold infinity in the palm of your hand, and eternity in an hour. several days ago, i had a chance to listen to a lecture. i learnt a lot there. i’d like to share it with all of you. let’s show our right palms. we can see three lines that show how our love.career and life is. i have a short line of life.
