一、课前准备要充分

鉴于甲方系以运营销售国内外电脑游戏、相关软件及产品为主的企业，并自主开发并维护了专用于各类卡的在线销售系统；乙方为网络游戏虚拟卡经销企业，并愿意同甲方合作，在双方指定的地区开展相关产品之虚拟卡的在线销售服务；甲乙双方根据各自专长特长，愿意共同合作，乙方同意使用甲方的相关在线销售系统，在双方商定的区域内开展的在线销售。有鉴于此，为共同拓展网络游戏市场，为广大用户提供更多相关服务，充分发挥甲乙双方各自的优势。经友好协商，并依据中华人民共和国有关法律法规的要求，就甲方在双方商定的区域内开展在线销售的相关事宜达成一致，并签订合同如下：

一、名词和定义

（一）本合同中所提及的有关在线销售的概念为：以虚拟卡的形式，通过甲方在本协议生效时已开发并明示的在线销售系统，收取最终用户网络游戏信息内容服务使用费。凡利用其他销售渠道，包括但不限于线下销售实物虚拟卡（以下简称实物卡），利用银行卡在线购买，以及利用有关专业运营企业如中国电信、中国移动、中国联通、中国网通等自有销售渠道进行销售的行为不包括本合同所规定的在线销售范围之内。

（二）甲方产品指：由甲方自主研发的_________网络版虚拟卡产品，其具体内容由双方签订相关的协议附件加以明确。

（三）在线销售系统指：由甲方开发、明示的并拥有自主产权的，专用于在线方式销售各类虚拟卡的，基于internet网络的在线销售系统，包括相关的网页、程序和技术支持服务。

二、合作项目和内容

（一）合作内容：____________________________________。

（二）条所规定的销售方式的区域经销商。甲方不得将该指定区域的在线销售权授予或者转让第三方，区域内的经销商发展权交由乙方负责。乙方承诺不向已获授权之外的地区进行销售，一旦乙方违反，将依照甲乙双方的约定进行处理；同时甲方有权随时终止本合同，并扣缴本合同规定的销售保证金作为赔偿。

（三）销售方式：乙方可以采用的销售方式是上述之方式的在线销售，不可以涉及非网络方式的销售以及任何涉及具体物流的网上销售方式；乙方获得授权，可使用甲方提供之在线销售系统。但乙方如果利用上述方式之外的其它方式（包括但不限于利用甲方在线销售系统之外的销售渠道进行销售的行为进行销售），甲方有权随时终止本合同，并扣缴本合同规定的销售保证金作为赔偿。同时乙方应保证其下属经销商按照本合同约定的销售方式经销甲方产品，否则乙方对下属经销商违反本合同的行为承担连带担保责任。

（四）销售区域：双方同意乙方可使用相关在线销售系统，对甲方产品进行在线销售的总经营范围为甲乙双方约定的地理区域，同时乙方应保证其下属经销商资料的真实性，并同时担保其下属经销商的销售区域不得超过上述区域，否则乙方对下属经销商违反本合同的行为承担连带担保责任。

（五）双方承诺在此合作过程中，充分利用各自的优势（包括产品资源、服务能力、技术能力、市场资源等），共同推广在线娱乐事业的发展，以达到双赢的目的。

三、时间安排和付款方式

（一）乙方作为指定区域的在线区域经销商，同意使用相关在线销售系统。乙方承诺_________网络版游戏卡在线销售虚拟产品合同期内总承销金额不少于本合同约定的总承销金额。乙方库存量不得低于总承销量的_________％，否则视为库存不足。乙方在库存数量不足的情况下_________个工作日内必须补足库存数量，否则甲方有权随时终止本合同，并扣缴本合同规定的销售保证金作为赔偿。

（二）除合同规定的其它情况或双方另有书面约定外，双方同意的付款方式为款到付货，即：在合同期间内乙方每一次向甲方购买产品时，乙方应通过书面方式通知甲方购买相关产品的类型和数量，并依据双方约定的产品结算价格一次性结清全部货款。甲方将在确认乙方相关款项到账的_________个工作日内，通过双方事先约定的方式，将相应数量的相关产品提供给甲方进行销售。同时给乙方出具相应的增值税发票。

（三）如果甲方要对本合同相关产品的销售价格进行调整，应至少提前_________周以适当的方式通知乙方；本合同相关产品调整后的销售价格自甲方发出通知之日起生效。

四、权利与义务

为履行本合同所确定之合作内容，甲乙双方约定各自的权利与义务如下：

（一）甲方权利和义务：

1、甲方负责向乙方提供相关产品和合同规定区域内的独家在线经销权。所有指定地区的第三方经销商应与该区域经销商联系，依据其制定的价格标准和销售政策拿货；在乙方无违约行为的情况下，甲方不行无故停止本合同的执行；

2、甲方应在双方合作期间提供必要的技术支持以保证乙方可使用相关的在线销售系统进行相关产品虚拟卡的销售服务；

3、甲方将保障相关产品的正常运行和维护，并对在游戏本身产生的投诉、纠纷等相关问题自行承担责任；

4、甲方将负责提供相关产品的客户服务机构，解答客户（游戏玩家）使用过程中的疑难问题；

5、甲方提供的游戏内容，不得违反国家有关法令、法规的要求；

6、甲方应利用自身的宣传渠道和其它市场资源，积极宣传此合作项目。

（二）乙方权利和义务：

1、乙方负责合同规定区域内甲方产品的在线销售与推广。在甲方无违约行为的情况下，乙方不得无故停止本合同的执行；甲方应确保乙方为合同规定区域内的独家在线区域经销商；

2、乙方应保障购货款项及时到账并积极主动向税务机关上缴税金，对由于乙方销售行为及对经销商销售方式管理不善所产生的投诉、纠纷等相关问题，由乙方独立承担全部责任，乙方不得要求退货；

3、乙方应按照本合同所规定销售方式进行在线销售方式，不进行任何其它形式的销售活动；

4、乙方应在整个销售过程中严格遵循甲方所规定的价格策略，不擅自抬高或降低甲方产品的销售价格，不得利用独家经销价格有优势变相要求下属经销商销售其它网络游戏产品；

5、乙方有义务不向任何第三方透露甲乙双方合同及附件中约定的折扣标准、价格标准、销售数量等情况；

6、乙方应利用自身的宣传渠道和其它市场资源，积极宣传此合作项目，不得以本产品经销商为筹码要求下属经营本产品经销商宣传、推广、销售其它网络游戏产品，在与甲方合作的市场宣传活动和渠道推广过程中，也不得利用本产品的市场和渠道资源进行其它网络游戏产品的宣传、推广和销售；

7、乙方应按照甲方的要求，配置必要的工作人员，并保证其履行相应的工作职责；

8、为有效完成相应销售区域的渠道覆盖工作，乙方必须在所辖区域范围内合理配置、设立相应的经销商。为达成市场最佳覆盖，甲方可以在不影响市场覆盖的前提下，要求乙方对辖区内经销商布局、设置进行调整，调整后固定经销人员及权限；

9、乙方应完全无条件的执行《_________》，甲方保留对本规定的修订、增补和解释权；

10、乙方承诺配合甲方的有关安排，积极推进和协助所在区域的有关服务机构的建设，具体细节双方将进一步协商。

五、合同有效期限

本合同从双方正式签约之日起生效，合同有效期________年，即________年____月____日起至________年____月____日止。如任何一方提出异议，应在合同期满日前至少_________天提出，并共同商讨相关细节。

六、保密条款

（一）乙方承诺保守涉及在线销售系统的商业秘密，包括但不限于：加入在线销售系统的经销商、直销商名单和联络方式、在线销售系统的内部功能和使用手册、在线销售系统的内部管理政策等，如有违反将承担相应的违约责任。

（二）甲乙双方应共同采取一切必要措施，对双方因通过本次合作而从对方取得的商业秘密采取保密措施，以防止商业秘密被泄露、使用、被公开或落入未经授权人士手中。乙方不得将甲方提供的当地在线销售网络泄露给未经授权人士之手，一经发现，甲方有权立刻终止合同，并追究乙方相关经济、法律赔偿责任，包括但不限于扣缴本合同规定的销售保证金作为赔偿。

（三）获取商业秘密的一方（下称获取方）不得将从提供商业秘密的一方（提供方）处所获得的商业秘密在未获得提供方授权，或本合同许可的情况下，进行部分或全部复制或复印；在本合同终止后，将商业秘密悉数返还提供方，或在取得提供方书面同意的情况下，将商业秘密销毁。

（四）获取方应只在本合同规定范围内对商业秘密进行使用。

（五）双方同意对本次合作涉及的所有产品销量、产品结算价格、以及其它的敏感信息，应严格保守秘密，如因某一方的责任导致上述信息泄露，责任方应承担相应的赔偿责任。

（六）本条规定在本合同终止后________年内仍然有效。

七、合同的终止

（一）除法律规定及本合同另有约定的终止情况外，若发生下列情况之一，本合同将立即终止。在依据本条发生的合同终止情况下，守约方可以要求违约方承担违约责任并赔偿损失，赔偿损失的范围应包括守约方因违约方违约所受到的全部经济损失：

1、甲方或乙方拥有的相关从业资格被政府行政部门取消或注销；

2、甲方或乙方违反其各自在本合同中所做的陈述与担保；

3、本合同任何一方对本合同的任何违反，且在另一方以方面形式告知违约方违约事实____日后，违约方仍未采取措施，改正其对的任何违反；

4、如一方无故拖延履行本合同，且在另一方以书面形式告知违约方拖延之事实____日后，违约方仍未采取措施，则另一方仍可终止合同，并且违约方需承担全部经济损失的赔偿责任。

（二）不可抗力是指不能预见、对其发生和后果不能避免且不能克服的事件。鉴于网络所具有之特殊性质，不可抗力包括但不限于下列任何影响网络正常经营之情形：

1、黑客攻击、计算机病毒侵入或发作；

2、计算机系统遭到破坏、瘫痪或无法正常使用而导致信息或纪录的丢失、甲方不能提供本协议项下之销售服务；

3、电信部门技术调整导致之重大影响；

4、因政府管制而造成的暂时性关闭等；

5、其它非甲方及其运营商造成的原因等。

八、陈述与保证

（一）乙方的陈述与保证：

1、乙方是一家依据中国正式颁布的法律设立并合法存续的有限公司。乙方签字人已经获得充分有效的批准和授权；

2、有从事合同中所规定之销售行为的资格；

3、乙方对于本合同的签署和履行均符合法律和其公司章程的规定；

4、本合同对乙方构成有效的、带有约束力的、可强制执行的法定义务；

5、乙方对于本合同的签署和履行无须由任何第三方批准或在任何第三方备案。

（二）甲方的陈述与保证：

1、甲方是一家依据中国正式颁布的法律设立并合法存续的有限公司。甲方签字人已经获得充分有效的批准和授权；

2、甲方对于本合同的签署和履行均符合法律和其公司章程的规定；

3、本合同对甲方构成有效的、带有约束力的、可强制执行的法定义务；

4、甲方对于本合同的签署和履行无须由任何第三方批准或在任何第三方备案。

九、违约金或者损失赔偿额的计算方法

（一）在项目进行过程中，如任何一方违反合同约定或无故解除合同均应承担违约责任。违约方除应赔偿守约方的直接经济损失外，守约方还可保留进一步追究的权利。

（二）除本合同其他条款另有约定的违约行为及违约责任外，其它违约行为的违约方在收到守约方要求纠正其违约行为的书面通知之日，应立即停止其违约行为，并在____日内赔偿守约方因此受到的所有损失（包括直接损失、间接损失以及因此赔偿所引发的一切合理费用的支出）。

（三）如违约方继续进行违约行为或不履行上述义务，守约方除就其所有相关损失而获得违约方赔偿外，亦有权在书面通知违约方后，提前终止本合同。

（四）乙方违约的情况下，甲方可以采取的方式包括但不限于：立即中止和解除合同关系、暂时停止对甲方供货、封闭已售出给乙方的产品、扣缴本合同规定的销售保证金作为赔偿、向乙方授权销售区域内的第三方经销商直接供货、取消对乙方的销售奖励等，乙方对此没有异议，甲方亦无需承担任何责任。

十、反不正当竞争行为的条款

为防止可能出现的不正当竞争行为，双方约定以下条款：

（一）自本协议正式生效之日后开始商业化运作或收费的非甲方自主研发的竞争性网络游戏产品，如果乙方决定对其进行销售或其它代理销售行为，应在实际代理销售这一产品_________周之前以本合同约定的方式通知甲方，如果乙方已经实际操作其它网络游戏产品（不论是否签订合同）而没有向甲方通告，则视为乙方违约，甲方有权依据合同的规定加以处理。

（二）对于严重损害甲方利益的恶性竞争产品（恶性竞争产品指违反《反不正当竞争法》规定侵害甲方利益的单位经销商同类产品，或同甲方相关产品存在知识产权、商标权益等方面纠纷的相关产品），凡是参与销售、推广、宣传的单位，或以不同名义但同乙方或乙方主要负责人员有密切产权关系的单位进行销售、推广、宣传的经销商，甲方有权视为乙方违约，并依据合同的规定加以处理。

（三）本条所指的不正当竞争行为包括但不限于以下类型：

1、故意泄露双方约定的商业秘密；

2、利用合同提供的产品销售权利谋取单方面的不正当利益；

3、恶意违反甲方指定的销售政策、进行相关产品的倾销和恶意流货；

4、对用户和经销商进行恶意宣传；

5、甲方的工作人员或其它经销商进行任何类型的行贿、收买、威胁；

6、其它有悖于商业规范和国家法律法规的行为。

（四）如本合同执行期间，如乙方进行了合同定义的不正当竞争行为，则不论其是否造成甲方的实际损失，甲方有权视为乙方违约，并依据合同的规定加以处理。

（五）如本合同执行期间，乙方未执行合同的规定，未及时以正确的方式通知甲方或未及时购买齐包销数量，则甲方可以确认乙方相应销售行为后，有权视为乙方违约，并依据合同的规定加以处理。

十一、其它

（一）双方理解并且同意，合同双方均为独立签约人。

（二）双方同意，乙方为本合同在合作区域的独家在线区域经销商，本协议含有唯一性与排他性规定，甲方不得在合同期内在乙方经营区域将此经营权授予第三方。

（三）未经合同双方书面确认，无论以任何方式或形式，各方均不得将本合同或其部分进行转让。

（四）通知：任何本合同要求或允许的通知应以书面形式并应通过邮寄或传真方式按合同载明的通讯地址寄达对方。通知自收到之日起生效。

（五）相关产品的送达方式：双方同意采用甲方提供的相关网络在线销售系统中的传达方式。

（六）对于任何涉及在线销售系统的有关数据资料，双方同意以甲方提供的相应服务器数据记录为准。

（七）本合同在履行过程中如有未尽事宜，或因业务发展需要对本合同现有内容进行补充、变更、修改时，由双方或任何一方提出补充、变更、修改的建议和方案，经双方协商并达成统一意见后，以书面形式表达并经双方同意并签字盖章后，成为本合同的补充文件，与本合同具有同等法律效力。

（八）本合同任何部分被视作无效或不可执行，将不会因此而影响本合同其它条款或部分的有效性与可执行性。

一、前言：

很感谢荣幸有机会到浙江省义乌市掌坤电子有限公司实习。通过此次实践，我们初步认识了电子厂对一些简单零件的加工过程及装配工艺，了解了其市场营销环节及后勤人力资源管理方面的运作，同时也看到了它们发展中的一些问题，并思考了一些对策。此次活动意义重大，为我们进一步深化专业知识及业务流程打下基础。这次的实践时间虽然很短，但在这几个月的实习中学到了很多在课堂上根本就学不到的知识，受益非浅。

二、实习目的：通过企业认识实习，调查和了解企业产品、工艺、管理、工程布置、生存方式、营销方式等，培养感性认识，为学好专业课打好基础。

四、实习地点：浙江省义乌市国际商贸城，中国义乌国际商贸城是中国小商品城顺应市场国际化发展需要而建造的现代化批发市场。一期工程投资6亿多元，于xx年9月28日建成并投入使用。该工程占地420亩、建筑面积34万平方米，设主体市场、生产企业直销中心、商品采购中心、仓储中心、餐饮中心五大经营区，共有9000多个商位1万多户经营户。

五、实习内容：

一个偶然的机会我来到了浙江义乌有名的国际商贸城，应聘的工作跟我的实际专业并不对口，起初是对掌坤电子有限公司的基本情况进行了解，后来我从事的是电子商务，刚开始对业务都不熟悉，每天都是对着电脑跟客户聊天，让他们了解我们的产品，这时候就需要注意跟客户聊天时说话的语气，还考验了做生意的头脑，很多时候还要做对账单，所以工作起来很吃力，但是在老板和同事的关心和教导下我慢慢开窍了…因为这是一个国际化的商贸城，所以时常会有外国客户光顾，有美国的、韩国的、日本的、阿富汗的、非洲的…不得不说，来到这里我的英语口语也得到了很大的提高。在大学的时候，我们几乎很少跟外教对话，因为没有信心，又加上畏惧心理，所以自己的口语就没有得到很大的提高，来到这里之后环境让你容不得胆怯，其实真正跟外国人对话也不是很困难，只要克服了自己的心理压力，一定不要紧张，那样的话就你能流利的跟老外交谈，同时又提升了在老板心中的地位，这一点让我感到很欣慰…在义乌有一个惯例，就是每年都会举行一次大型的“义乌小商品博览会”，由于我是这里唯一一个学英语的，所以老板就把这个重任交给了我，义博会举行了5天，这5天中让我获益匪浅，跟老外交谈的过程中让我感觉到文化知识的可贵，也激发了我继续学习的动力….几个月的实习活动，我们听取了有关电子产品的历史与发展、有关其市场营销、技术生产、人力资源管理等方面的介绍，还参观了各个生产车间，对生产过程产生了感性的认识。
