1.开发与可交付使用

1.1 游戏的开发与支持 研发公司应向运营公司提供游戏的开发与设计、最终用户程、服务器端程序以及相关文件。同时，研发公司还应保证按照本协议规定的交付时间表进行同步的相关支持。

1.2 未能按时交货 如果研发公司不能依照交付时间表完成，运营公司有权暂时不支付本协议规定的任何费用，直到交货的问题得以解决。时间将不会成为本协议的根本问题。

1.3 可交付使用 研发公司应当依照交付时间表同步提供最终用户端程序、服务器端程序以及相关文件，包括所有结果代码、文档、列表、库、数据文件以及需用于游戏服务的所有相关程序软件。(”可交付使用”)

1.4 本地化 研发公司应当负担游戏中文简体版本地化的费用以及游戏内所有的详尽文字内容，运营公司应有机会评估本地化的结果，并且提供确认。

2.指定及授权

2.1 唯一指定 研发公司在本协议中提供给运营公司以下独家的唯一的权利：

(a)再生产、演示及展示本产品;

(b)对中国大陆的用户直接进行或通过经销商和分销商进行本产品的销售、市场行销、分销等活动;

(c)允许中国大陆的最终用户可以以结果代码的形式使用此产品;

(d)提供维护与支持服务，包括但不仅限于：技术支持、软件支持、客户服务及在线客户服务，所有GM将对研发公司的专门GM负责人汇报。所有运营公司的GM必须依照研发公司提出的客户服务规范对中国大陆的最终用户进行服务;

(e)安装、拷贝、储存、编辑及修改服务器端程序以便提供必要的游戏服务。整体统称“权利”

2.2 互联网权利 协议各方同意，尽管本协议限定的区域为中国大陆，运营公司仍然可以通过互联网进行本产品的市场行销及销售活动，但运营公司应该确定通过互联网访问的用户来自中国大陆。如果通过互联网对中国大陆以外地区进行的销售达到或超过了全部产品销售和收费的10%，将视为运营公司违反了本协议。

2.3 URLs. 研发公司同意所有用于访问限定区域内的游戏服务的URL以及其他相关权利都为运营公司独家拥有。

3.更新资料

3.1 在本协议的有效期内，所有关于游戏的升级资料、补订 版本升级、服务器端程序的升级以及最终用户端程序的升级都将被认为是本产品及服务器端程序的补充。运营公司将对以上所有更新资料享有独家使用权而无须支付任何附加费用。

3.2 不定期更新 研发公司保证将建议运营公司在技术、市场法规等其他影响开发的因素下对最终用户端程序、服务器端程序、文件及游戏服务进行不定期的更新升级(“不定期升级”)。研发公司应当对运营公司提供同步的不定期更新。

4.变更需求

4.1 变更需求 运营公司可能会不定期地要求研发公司对游戏的最终用户端程序、服务器端程序、文件等任何部分进行必要的更改、修正或删节(“变更需求”)研发公司应当在要求合理的情况下进行必要的变更工作。研发公司应当对运营公司提交变更的细节内容和所需时间的计划。一旦计划被运营公司核准，研发公司即应当开始进行变更需求的实施工作。

5.知识产权

5.3 研发公司无形资产的使用 “研发公司”这个商标是研发公司的独享资产“研发公司无形资产”)。在本协议有效期内，研发公司应当提供运营公司及/或运营公司的合作伙伴以在中国大陆范围内免费使用 研发公司的无形资产进行此产品和游戏服务的广告发布、市场行销、演示示范以及分销等活动的权利。所有将用到研发公司无形资产的市场活动都将事先获得研发公司的核准。发行人应当给研发公司提供合理的机会检查和监控发行人在协议有效期内依照本协议条款使用研发公司无形资产的行动。发行人不得在本协议规定的范围以外使用任何研发公司的无形资产。发行人不得采用或者注册任何与研发公司无形资产相近、容易混淆的产品名称或符号标记。当本协议终止之时，发行人应当停止以任何方式使用研发公司无形资产。

5.4 第三方侵权通告 任何一方都有义务通报其他方由第三方进行的针对本产品或服务器端程序的任何侵权行为。

5.5 第三方侵权对策行动

(a)由运营公司通报的关于对本产品或服务器端程序的第三方侵权、非法使用或滥用行为，或者由研发公司了解到的类似情况，研发公司有权，但并非义务，采取旨在保护本产品或服务器端程序免受非法侵害的对策行动。

(b)如果研发公司不采取任何对第三方侵权的对策行动，运营公司有权，但并非义务，采取旨在保护本产品或服务器端程序免受非法侵害的对策行动。同时运营公司有权对该行动进行评论，但运营公司将保留对行动的完全控制权。

(c)针对各方损失的经济赔偿应在扣除各方发生的实际费用之后，按照所受侵害的损失程度公平地进行分配。

6.内部测试

6.1 当获得由研发公司提供的游戏简体中文版母盘后，运营公司将根据内部测试标准对其中包含的最终用户端程序进行由双方认可的内部测试，内部测试标准与时间双方应在附录中约定。

6.2 如果最终用户端程序不能达到内部测试标准，测试将由研发公司在适当的时间内再次进行，直到最终用户端程序达到内部测试标准的要求。

6.3 当内部测试结束之后，运营公司必须向研发公司提供确认最终用户端程序和服务器端程序达到内部测试标准的书面认证。研发公司将不对在本地化过程中由运营公司自己进行的任何改动导致内部测试失败的后果负责。

7.技术要求

7.1 技术要求 研发公司将保证最终用户端程序及/或服务器端程序是依照运营公司随时发布的各项技术规格完成。

(a)协助运营公司架设用以提供游戏服务的服务器;

(b)协助进行服务器的维护;

(c)软件维护;

(d)问题(bug)修正;

(e)协助运营公司防止对游戏服务的黑客攻击和非法修改;

(f)协助运营公司进行本游戏的市场宣传工作;

(g)完成所有对本游戏/产品的本地化需求，并且提供所有对于本游戏/产品的更新、补订

9.2 支持与维护，在本协议的有效期之内，运营公司应当负责以下事务：

(a)采购所有游戏服务及本游戏/产品所必须的所有硬件设备和带宽资源;

(b)所有的服务器维护工作;

(c)架设服务器并安装相关的软件以提供游戏服务;

(d)运营公司将保留________组测试服务器，用以在正式发布前测试任何更新资料;

(e)运营公司将妥善保管任何管理/客服软件的拷贝，包括GM工具，并且确保这些工具的绝对安全性。

10.付款

10.1 版权金 为获得以下描述的权利以及研发公司提供的支持与维护，运营公司同意支付给研发公司 _____________________美元的版权金“版权”)：

10.2 运营公司保证在协议有效期内本游戏正式在中国大陆运营后的前________月之内支付给研发公司至少________________美元的分成金额。如果运营公司的经营状况无法达到这一计划，将视为运营公司违反协议。

10.3 分成比例 除去版权金之外，运营公司将支付给研发公司相当于来源于付费用户收入的________%，

10.4 运营公司保证尽最大努力来通过付费用户获取收入。并保持实际收入不低于市场零售价格的________%。

10.5 分成金额支付 分成金额应于每月支付，最晚不得超过收入发生的当月结束后________天内付清。所有金额支付都应遵循之前条款中的设定。

10.6 支付完成 所有应当支付给研发公司的分成金额应当汇出到研发公司指定专用账户，研发公司在每次收到款项后与运营公司书面确认。

10.7 税金分担 研发公司与运营公司协商确定税金分担方式。

10.8 滞纳金 如果运营公司超过 ________工作日仍未支付到期款项，研发公司有权选择终止协议， 和要求获得应付款项的每日________%的滞纳金。由此产生的一切费用应由研发公司承担。

11.担保

11.1 保证金 运营公司应当在正式收费之前将保证金共计 US$ ____________________支付给研发公司指定银行账户。 保证金不包括在版税内，并抵扣运营公司的到期未付款项。在协议期限内，研发公司可以选择退还保证金，或者依照双方商定条款和条件保留保证金。

12.数据记录

12.1月报 运营公司应当每月向研发公司根据下列约定提供书面报告：

(a)游戏产品销售数量;

(b)游戏点卡，月费卡销量;

(c)通过传统渠道和网络渠道出售的游戏产品的销售收入;

(d)通过固定电话和移动电话出售的游戏产品的销售收入;

(e)其他研发公司应当知道的信息;

(f)所有上述信息应当以传真或电子邮件形式并同时交递同样的书面副本。

12.2 运营公司应提供给研发公司管理人员“Admin” 或最高权限访问账号，供研发公司访问游戏计费系统、服务器、用户数据库。 运营公司还应提供2个生效的游戏管理员账号。

12.3 运营公司应当正确记录数据记录，包括但不限于发生事件、处理日期、处理结果，并允许研发公司提出书面请求________日内访问使用该日志。

12.4 运营公司应当在协议终止后继续维护所有相关记录、协议、账户________年以上，并允许研发公司需要时查阅和复制。

13.5 审计权利在协议生效期间和协议终止________年内，研发公司和运营公司均享有在本协议约定范围内审计对方财务的权利。

(a)如果研发公司或运营公司账册审计显示有应付而未付款项，未付款一方应当在收到书面通知的________日内补足该欠款。

(b)如果研发公司或运营公司账册审计显示有应付而未付款项，未付款项达到或超过了10%，未付款一方应当在收到书面通知的________日内补足该欠款并同时支付该次审计费用。

13.协议期限与终止

13.1 期限 本协议应与签订之日起开始生效，于本游戏正式收费起的第________个月之后终止。

13.2 协议终止 协议任何一方有权在以下情况下终止本协议：

(a)如果任何一方违反了本协议的任何约定，并且未能在接到指出违约行为的通告起________天之内对违约行为进行补救;

(b)如果任何一方破产;

(c)如果运营公司由于任何原因停止了运营公司服务的提供。

13.3 由运营公司终止 运营公司有权在以下情况下终止本协议或协议中的任何部分：

(a)如果研发公司未能按照协议规定的日程向运营公司提供本产品及/或服务器端程序，或者出现类似的违约行为累计达________天。

14.声明、担保及赔偿

14.1 研发公司声明 研发公司声明并担保运营公司如下事项：

(a)最终用户端程序、服务器端程序及相关文件应当符合协议中约定的内容、特点、功能、容量和操作方式;

(b)最终用户端程序及服务器端程序应当没有重大的程序错误(Bug);

(c)研发公司提供给运营公司销售和运营的游戏软件不会侵犯第三方的知识产权，运营公司不承担任何因此产生的费用。

(d)研发公司应当保证运营公司依照协议使用商标，不受第三方的留置，控诉，阻碍。

(e)运营公司依照协议提供游戏服务，不会侵犯第三方的知识产权或其他权益。

(f)研发公司已经获得所有许可、允许，保证运营公司行使权利。

14.2 违约金 研发公司与运营公司协商违约赔偿方式;

15.保密信息

15.1 双方因本协议的签属而获得的另一方的商业或活动信息为保密信息，双方应尽最大可能对相关信息保密。双方不得将本协议中提及的任何保密资料泄露给第三方。

15.2 双方应享有同等权利控制及使用数据库。

16.其他

16.1 完整协议：本协议即为研发公司与运营公司关于本产品的经销及游戏服务运营的完整协议。本协议取代所有之前口头或书面达成的共识或协议，或者其他任何研发公司与运营公司之前进行的沟通内容。

16.2 不可转让性：若非与运营公司的事先约定，研发公司或者运营公司不得指派、转让、再授权任何本协议规定的各自的权利和义务。

16.3 不可抗力因素：由于不可抗力造成运营公司无法履行协议规定义务的情况，运营公司将不承担任何违约责任。在此类情况下，运营公司应当在________天内向研发公司提供书面的免责声明，说明详细的原因。同时，运营公司应当积极地进行挽回损失的工作。应付款项结算时间应当按照由于不可抗力造成损失的时期顺延。

16.4 协议各方关系：本协议中的协议双方不形成合伙关系、领导关系或雇佣关系。

16.5 协议语种：________语应当是本协议的唯一正式语言。本协议的其他语言版本翻译仅供参考，并不具有任何法律效力。
