3、遵守施工材料质量制度,严格监督控制进场材料的质量、型号和规格,坚决杜绝不合格材料进入施工现场,对材料管理引起的质量问题负责。

4、参与图纸会审和技术交底,配合基建工程部经理安排好每天的生产工作,对班组成员进行全面的技术交底。

5、组织项目部技术人员编制单位工程的施工组织设计与施工方案,并进行审批。

6、按规范及标准组织施工,保证进度及施工质量和施工安全。

7、配合基建工程部经理组织工程验收和分项工程质量评定。对因设计或其它变 更引起的工程量的增减和工期变更进行签证,并及时调整部署。

8、每周填写上报各种报表,并作好人员的考勤及施工工作记录填写施工日志。

9、组织好施工过程的各种原始记录及统计工作,保证各种原始资料的完整性、 准确性和可追溯性。

10、填写施工进度日志、质量报表、工程进度表、施工过程的各种原始记录、施 工责任人签到表、工程领料单等进行核对、整理、收集,保证其完整性、准确性 和可追溯性。

11、完成领导交办的其他任务。

三、劳动报酬

(1)元/月,试用期满后工资为 乙方试用期工资为元/月。甲 方承诺,乙方如按时完成施工进度、质量、安全防范,均能达标。将额外获得甲方提供元奖金。

(2) 甲方每月—日发放当月工资的60% 元。

一、指导思想

三、情况分析

(1)学生基本情况:

本计划针对八年级全体学生,通过上年的学习,学生对办公软件例如powerpoint、计算机基础及应用有一定了解,但是由于每一学期信息技术课时比较少,每周只有一节课,学生的遗忘性大,大多数学生学后没有注意巩固,学生掌握的情况不是很理想,参差不齐。有条件的学生家中有电脑或父母单位有电脑,上机时间相对多一些,操作较熟练,有大部分学生纯粹是上课时间听课,课后就没有练习巩固的机会,所以,这一部分学生对所学知识遗忘较大,操作生疏;

学生对本学科的学习积极性还是比较高,因为信息技术课并不像语文、数学那么枯燥、单调,也不像历史、政治需要死记硬背。相对来说学生觉得比较新鲜。但是这又存在一个问题就是学生感兴趣的并不是学习,而是打游戏、上网聊天。所以,学生对计算机的认识还有待提高。要进一步对他们进行正确的引导。

(2)教材分析:

本学期教材是使用海南省中小学《信息技术》编写组出版的八年级信息技术(下册),内容包括:网页制作、用计算机处理多媒体信息、图像处理等,其中网页制作占教材的50%,可见制作网页是本学期教学的重点,也是难点。

四、教学内容

教学内容包括:第一单元《大家一起来运动》、第二单元《感受精彩艺术节》、第三单元《设计班级网站》、第四单元《制作班级网站》

五、具体措施

本期主要采取课堂教师授课方式、学生自学方式和动手操作三种方式进行学习,适当进行一些小竞赛及课堂评价的方式进行教学。其中学生自学和动手是最主要的。

八年级的信息技术教学,以计算机基础知识和基本技能训练为主。在教学过程中要加强对学生自学能力、信息处理能力和创造力的培养,强调从信息技术的知识与技能,过程与方法,情感、态度与价值观等方面培养学生的信息素养。主要有:

1、借助范例,从兴趣出发,让学生在动手实践中理解基本原理,掌握基本知识,培养基本技能。利用各种和现实有密切联系的软件进行教学,并尽可能多的安排学生用所学知识进行创作的机会,这样既可提高学习兴趣,又利于培养学生的创新、自学能力和信息处理能力,有利于促进学生的主动发展。

2、通过“活动”教学方式,培养学生获取、加工、管理、表达与交流信息的能力。

3、将评价作为促进教与学的一种手段融入教学过程中。

不仅要关注学生的学习成绩,而且要发现和发展学生多方面的潜能,了解学生发展中的要求,帮助学生认识自我,建立自信。发挥评价的教育功能,促进学生在原有水平上的发展。对学生学习进行多元化评价,激励学生发展特长,在使学生学会信息技术基础知识的同时,培养和发展学生的创新精神和实践能力,以及获取知识的能力。

本次信息技术培训虽然只有短短二天的时间,但是每一天的培训都使我在观念上有一个更新。计算机的使用在往常对我而言就是一个进行文本操作的工具而已,本来我平时也不太注意对计算机技能的学习,总是有了问题就打电话求助,从没有想过要自己去掌握这样的技术。

4.细节上的渗透

本次培训中,授课教师注重细节上的教学渗透,他们不仅教给我技巧,更在无形中用自己的言行来引导大家,在一些细节的讲解上十分细致,恰当地渗透一些旧知识,使不同程度的老师都能得到提高。

首先,必修课的学习让我对信息技术的认识更进了一步,信息技术应用能力也有了很大提高。以前听说过微课程,以为微课程也就是课堂教学中的一小段,通过培训才意识到原来自己竟是井底之蛙。现在我不仅明白了什么叫微课程,知道了如何设计和制作微课程,更明白了微课程在未来学习中的重要性,也激起了我认真学习和培训的热情,以使自己能跟上时代的步伐,在不远的将来能成为一名合格的教师。除以之外,我还学到了图片、音频、视频的一些使用技巧,学会了制作精美、实用的多媒体课件。并尝试运用所学到的知识自己设计制作多媒体课件,教学效果良好。

其次,进一步明确了信息技术在实际的教学过程中如何运用。比如何时使用,以何种方式呈现,才能更好地激发学生的学习兴趣、提高教学效果等。清楚了如何运用信息技术导入新课能第三,起到事半功倍的效果;清楚了信息技术支持的探究学习任务如何设计才能行之有效,清楚了多种形式的媒体各在什么情况下才能发挥各自最大的优越性,为课堂教学锦上添花……通过观看优秀课例,使我信息技术在课堂中的运用理解得更深刻。

二、综合素质评价工作

作为教师,教学工作是主要的,但除了教学工作外,我还承担着学校学生综合素质评价工作。每次评价初都要对学生、教师进行培训。指导学生、教师顺利进行综合素质评价。在综合素质评价进行的过程中,每天都要牺牲休息时间,陪着学生、教师进行评价,从旁指导,提高了综合素质评价的进度、效率。

三、学籍管理工作

本学期开始,学籍管理工作走入正规,开始电子管理,对班主任进行培训,班任录入完电子文档之后,帮忙校正,改错。很快的完成了上级布置的学籍管理工作。

四、微机室管理工作

微机室管理工作相对于教学来说也是重要的。由于信息技术教材每年都在变,使用的软件不同,学校的机器使用频率高,老化,为了上课效果更好,每学期都要重新做一次系统。家里的电脑,做一次系统只要二十几分钟就能做完,而学校的机器要一个上午才能做完,再传送到每一台机器上,基本就是一天。

五、兴趣小组

一、思想方面

在这学期里,我从思想上,利用师德师风教育活动端正自己;从行动上学电脑技术,学教学技能等;在生活上注意形象,为人师表。一学期来,我积极参加政治学习,努力提高自身的思想觉悟,服从学校的工作安排,默默无闻地配合领导和老师们做好校内外的各项工作,得到了领导和同事的肯定。这些肯定使我在以后的工作中变得更有信心、有动力去做好每一样工作。

二、工作方面

这学期主要的工作主要包括在三个方面:一是担任九年级共4个班的信息技术课的教学,二是学校远程教育资源的接收、整理、运用及设备的检修、维护等工作,三是学校相关文件资料的打印及各项数据的录入、核算等。

为了做好微机室管理工作,更好地完成教学任务、为教学服务,本学期继续以发现和培养具有综合素质的学生为小组长,具体分工,连带促进,使各班每个组在上课时都能相互配合,共同遵守微机室的规章制度,按老师要求进行正确操作,养成良好的学习习惯和卫生习惯。

Contract for Equipment Sales and Technology Licensing

This Contract (hereinafter referred to as the “Contract”) is made and entered into as of ________ (the date of signature ) in ________ (the place of signature) through friendly negotiation by and between _____________, a company incorporated and existing under the laws of ____________ with its registered address at ­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­_________________________________, and with its principal place of business at _________________________________ (hereinafter referred to as the “Buyer”), and ____________________, a company incorporated and existing under the laws of the People’s Republic of China with its registered address at ­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­_________________________________, and with its principal place of business at _________________________________(hereinafter referred to as the “Seller”).

Whereas, the Buyer desires to engage the Seller to provide the Equipment, related design, Technical Documentation, Technical Service and Technical Training and to obtain from the Seller a license of Patent and/or Know-how in relation to the Erection, Test Run, Commissioning, Performance Test,operation and maintenance for the Equipment, as well as manufacture of the Contract Products. Now it is hereby mutually agreed as follows:

Article 1 Definitions

1.1 “Acceptance ”means the Buyer accepted the Equipment in accordance with Article 11.5.

1.2 “Commissioning” means the operation of the Equipment in accordance with Article 11.4 for the purpose of carrying out Performance Test.

1.3 “Contract” means this Contract signed by and between the Buyer and the Seller, including Appendices attached which shall form an integral part of this Contract.

1.4 “Contract Products” refers to all types of the products manufactured with Patent and/or Know-how under the Contract, details of which are specified in Appendix 1.

1.5 “Destination Airport” refers to _____________Airport.

1.6 “Effective Date of the Contract” means the date when the Contract enters into force upon fulfillment of all the conditions stated in Article 18.1.

1.7 “Equipment” means the equipment, machinery, instruments, spare parts and materials supplied by the Seller as listed in Appendix 3.

1.8 “Erection” means placing the Equipment to the positions according to the design drawings, and connecting it with relevant equipment and utilities.

1.9 “Improvement” refers to new findings and/or modifications made in the validity period of the Contract by either party on Patent and/or Know-how in the form of new designs, formulas, recipes, ingredients, indices, parameters, calculations, or any other indicators.

1.10 “Job Site” means the site where the Equipment shall be located and/or erected, namely ____.

1.11 “Know-how” refers to any valuable technical knowledge, data, indices, drawings, designs and other technical information, concerning the Erection, Test Run, Commissioning, Performance Test,operation and maintenance for the Equipment as well as manufacture of the Contract Products, developed and owned or legally acquired and possessed by the Seller and disclosed to the Buyer by the Seller, which is unknown to either public or the Buyer before the Date of Effectiveness of this Contract, and for which appropriate protection measures have been taken by the Seller for keeping Know-how in secrecy. The specific description of Know-how is set forth in Appendix 3.

1.12 “Last Shipment” means the shipment with which the accumulated invoice value of shipped goods has reached ____ ( ) percent of the total Equipment price.

1.13 “Patent” refers to any and all of the effective patent rights possessed by the Seller and licensed to the Buyer under the Contract in connection with the Erection, Test Run, Commissioning, Performance Test,operation and maintenance for the Equipment, as well as manufacture of the Contract Products, the No. and list of which are set forth in Appendix 3.

1.14 “Performance Test” means the tests for examining whether the Equipment is able to meet guarantee figures specified in Appendix 1.

1.15 “Technical Documentation” means the technical indices and data, specifications, drawings, processes, technical and quality standards, and other documents carrying the descriptions and explanations of Patent, Know-how and other technical information, in connection with the Erection, Test Run, Commissioning, Performance Test,operation and maintenance for the Equipment, as well as manufacture of the Contract Products, to be provided by the Seller as listed in Appendix 4.

1.16 “Technical Service” means the technical instruction, assistance and guidance rendered by the Seller as per Appendix 6.

1.17 “Technical Training ” means the training rendered by the Seller as per Appendix 7.

1.18 “Test Run” means the initial run of a single machine or the whole system of the Equipment without materials.

1.19 “Warranty Period” means the period of the warranty given by the Seller as specified in Article 12.2, during which the Seller is responsible for the defects of the Equipment as per Article 12.

Article 2 Scope of the Contract

2.1 The Seller’s Obligation

2.1.1 The Seller shall supply the Equipment, provide the design, Technical Documentation, and conduct the Technical Service and Technical Training, and grant the Buyer a right to use the Patent and/or Know-how as set forth in the Contract.

2.1.2 The Seller shall supply the Equipment which is listed in Appendix 3, the specification is detailed in Appendix 1.

2.1.3 The Seller shall provide design in accordance with Appendix 5, and submit to the Buyer the Technical Documentation listed in Appendix 4.

2.1.4 The Seller shall conduct the Technical Services at the Job Site as per Appendix 6.

2.1.5 The Seller shall conduct the Technical Training as per Appendix 7.

2.2 The Buyer’s Obligation

2.2.1 The Buyer shall at his own costs and expenses, provide the Seller with all information and data concerning the design as per Appendix 2. The Buyer shall ensure the completeness, correctness and accuracy of all such information and data.

2.2.2 The Buyer shall at his own costs and expenses, obtain all necessary import permits, undertake customs clearance, take delivery of the Equipment to be supplied by the Seller and transport them to the Job Site in time.

2.2.3 The Buyer shall at his own costs and expenses, perform all the civil works, construction, Erection, Test Run, Commissioning and Performance Test in accordance with the Technical Documentation under the Technical Services rendered by the Seller as per Appendix 6.

2.2.4 The Buyer shall at his own costs and expenses, supply all the equipments, spare parts and facilities required, except for the Equipment supplied by the Seller as per Appendix 3.

2.2.5 The Buyer shall at his own costs and expenses, provide the qualified and appropriate technical personnel, labor, tools, utilities and the Job Site in time for Erection, Test Run, Commissioning, and Performance Test as specified in Appendix 2.

2.2.6 The Buyer shall at his own costs and expenses, perform necessary administration and security guard at the Job Site.

Article 3 Grant of License

3.1 The Seller agrees to grant to the Buyer and the Buyer agrees to obtain from the Seller a license to manufacture the Contract Products as well as to conduct Erection, Test Run, Commissioning, Performance Test, operation and maintenance for the Equipment with Patent and/or Know-how as well as to use and sell the Contract Products. The name, model, specification, and technical data of the Contract Products are detailed in Appendix 1. The Buyer shall not make use of Patent and/or Know-how for any purposes other than those stipulated in the Contract without prior written approval from the Seller. The annual output of the Contract Products manufactured by the Buyer shall in no case exceed _______________.

3.2 (Option 1) The license granted under the Contract shall be an exclusive license. The Seller shall not retain its right to grant the licenses to any third parties, or to explore Patent and/or Know-how as well as to sell the Contract Products by itself within the territory specified in Article 3.4.

(Option 2) The license granted under the Contract shall be a non-exclusive license. The Seller shall retain its right to grant the licenses to any third parties, and to explore Patent and/or Know-how as well as to sell the Contract Products by itself within the territory specified in Article 3.4.

3.3 The license granted under the Contract shall be a non-transferable and non-sublicensing license, under which the Buyer shall neither be entitled to transfer nor grant sub-license to any third party without prior written approval from the Seller.

3.4 Territory

3.4.1 The Seller agrees to grant the license to the Buyer only within the territory of _________________ (country or region). The Buyer shall not explore Patent and/or Know-how in any place other than the Job Site without previous written consent of the Seller.

3.4.2 The Seller agrees to grant a license to the Buyer to use and sell the Contract Products only within the territory of ________________________ (Country or region). 4.2.2 The total Contract price includes the price for spare parts listed in Appendix 3. However, the total Contract price does not cover the supply of any other spare parts. At the Buyer’s request, the Seller may provide with any other spare parts. A separate agreement shall be signed between the parties.

4.2.3 The above price is fixed and firm.

4.3 The total Contract price does not cover the Technical Service fee and Technical Training fee specified in Appendix 6,7.

4.4 The total Contract price as well as the Technical Training and Technical Service fee shall not be regarded or in any way be explained or interpreted as covering any of the custom duties, taxes, or charges, fees, and expenses unless expressly listed in the Contract.

Article 5 Payment

5.1 Down Payment

6.1.2 Within ____ ( ) months after the Effective Date of the Contract, the Seller shall send to the Buyer a preliminary delivery schedule by fax.

Not later than ____ ( ) days before the first shipment, the Seller shall submit to the Buyer the final delivery schedule in three (3) copies indicating Contract number, dispatch number, name of the Equipment, quantity, approximate dimensions, volume of each package and time of each shipment.

6.1.3 The port of shipment is ____, while the port of destination is ____.

6.1.4 Advance shipment, partial shipment and transshipment are allowed, however, the Seller shall inform the Buyer thirty (30) days before such shipment.

6.1.5 The date of Bill of Lading for each shipment shall be considered as the actual delivery date.

6.1.6 The Seller shall notify the Buyer by fax of the following within five (5) working days after each shipment is effected:

(a) Contract number

(b) Name of the vessel and loading port

(c) Name of the Equipment shipped

(d) Number and date of Bill of Lading

(e) Total volume

(f) Total gross and net weight

(g) Total number of packages/cases

6.1.7 The Seller shall airmail the following documents in duplicate to the Buyer:

(a) Bill of Lading

(b) Commercial Invoice

(c) Packing List

(d) Certificate of Origin

(e) Insurance Policy.

6.2 The Late Delivery of the Equipment

6.2.1 If the Seller fails to deliver the Equipment in accordance with the final delivery schedule, the Seller shall pay to the Buyer liquidated damages for such delay at the following rates:

(a) From the first week to the fourth week, the liquidated damages shall be

____ ( ) percent of the value of the delayed portion of the Equipment per

week

(b) From the fifth week to the eighth week, the liquidated damages shall be

____ ( ) percent of the value of the delayed portion of the Equipment per week

(c) From the ninth week, the liquidated damages shall be ____ ( ) percent of

the value of the delayed portion of the Equipment per week

6.2.2 The fractions of four days or more shall be counted as one week and fractions of less than four days shall be omitted. The total aggregate amount of the liquidated damages shall not exceed ____ ( ) percent of the value of the delayed portion Equipment.

6.2.3 The Seller shall be released from the liability to the Buyer whatsoever in respect of the late delivery after his payment of liquidated damages in accordance with Article 6.2. Notwithstanding the Seller’s payment of the liquidated damages for the late delivery Equipment, the Seller shall not be released from his obligation to deliver the Equipment.

6.3 The Delivery of the Technical Documentation

6.3.1 The Technical Documentation listed in Appendix 4 shall be delivered CIP ____airport by air within ____ ( ) months after the Effective Date of the Contract.

6.3.2 The date of airway bill shall be regarded as the actual delivery date of the Technical Documentation.

6.3.3 Within ____ ( ) working days after sending each lot of the Technical Documentation, the Seller shall inform the Buyer of the Contract number, item number, number and date of airway bill and the flight.

6.3.4 In case of shortage, loss of or damage to the Technical Documentation due to the Seller’s reason, the Seller shall make supplement to the Buyer within ____ ( ) days after receiving the Buyer’s written notification without any further charge.

Article 7 Packing and Marking

7.1 The Equipment shall be packed to withstand long distance transportation, multiple handling.

7.2 The Seller shall mark the following on two opposite sides of each package with indelible painted English words:

(a) Destination

(b) Consignee

(c) Contract number

(d) Shipping mark

(e) Gross/net weight (kg)

(f) Case/ bale number

(g) Dimensions: L x W x H (cm)

7.3 Each package shall contain one (1) copy of packing list.

7.4 The Seller shall mark on the package, if necessary, “Handle with Care", “Right Side Up", “Fragile" or other indicative marks according to the characteristics and feature of the goods as well as different requirement for transportation, loading and unloading of the goods.

7.5 If the goods weigh three (3) or more than three (3) metric tons, gravity, hoisting position and illustrative marks shall be marked so as to facilitate loading, unloading and handing.

Article 8 Technical Service and Technical Training

8.1 The Seller shall dispatch technical personnel to Job Site to render Technical Service in accordance with Contract according to a time schedule agreed upon between both parties. The number, specialty, rank, treatment of the personnel, and payment as well as the contents, and requirements of Technical Service are specified in Appendix 6.

8.2 The Buyer shall have the right to send its technical personnel to the relevant factory selected by the Seller for training. The number, speciality, treatment of the personnel, and payment as well as the contents, time schedule, and requirement of training, are specified in Appendix 7.

8.3 Either party shall provide assistance to the other party’s technical personnel in their application for visa, working permit, and/or other necessary formalities for rendering Technical Service or training under the Contract in the other party’s factory.

8.4 Either Party’s technical personnel shall abide by the laws of the other party’s country and the regulations of the other party during their stay in the other party’s country.

Article 9 Standards and Inspection

9.1 The Seller shall carry out the design, manufacture, inspection and test of the Equipment according to the existing standards of the People’s Republic of China, namely GB.

9.2 The Seller or the manufacturer shall, at his own costs and expenses, inspect the Equipment and issue the ex-work quality certificate.

9.3 The open-case inspection of the Equipment shall be performed by the Buyer in the presence of the Seller’s representatives on the Job Site in days after the arrival of the Equipment at the Job Site. The open-case inspection fee shall be borne by the Buyer.

The Buyer shall inform the Seller of the date one (1) month before the date of open case inspection and shall also render assistance to the Seller’s representatives in their inspection work.

9.4 During the joint open-case inspection, a detailed inspection record shall be made and signed by the representatives of both parties.

In case the Seller is responsible for any defect or shortage of the Equipment, the inspection record shall be taken as an effective evidence for the Buyer to claim repair, replacement or supplement to the Seller. Any of such claims shall be lodged by the Buyer within month(s) after the arrival of the Equipment at the Job Site.

9.5 If any shortage, defect of or damage to the Equipment is found in open-case inspection not attributable to the Seller’s responsibility, the Seller shall make repair, replacement or supplement at the Buyer’s expenses in accordance with the separate agreement signed by both parties.

9.6 The Buyer is not entitled to open the case, assemble and/or disassemble the Equipment without the Seller’s prior written consent.

If there is no joint open case inspection due to the reasons not attributable to the Seller, the quantity and apparent quality of the Equipment shall be deemed correct and in perfect condition.

Article 10 Design and Design Liaison

10.1 The Buyer shall provide to the Seller within ____ ( ) days after the Effective Date of the Contract, all the design data which shall be taken as the design basis. The Seller shall not be liable to the Buyer for, and the Buyer shall indemnify the Seller and hold the Seller harmless from any damages or failure caused by the incompleteness, incorrectness and/or inaccuracy of any such information and data.

10.2 A design liaison meeting shall be held in the ____ ( ) month after receiving above mentioned design data, the Seller will dispatch his technical personnel to the Job Site to participate in the meeting. During the meeting period, the Seller will discuss with the Buyer the relevant design details. Both parties shall sign an agreement outlining the design details.

10.3 During the design liaison meeting, the Seller and the Buyer shall provide assistance to the other’s dispatched personnel in arranging entry visas to the respective countries. The expense incurred on the dispatched personnel shall be borne by the party respectively.

Article 11 Erection, Test Run, Commissioning, Performance Test and Acceptance

11.1 The Erection, Test Run, Commissioning, Performance Test shall be conducted by the Buyer.

11.2 Chief Representatives

11.2.1 Each party shall nominate one (1) Chief Representative to deal with the technical matters during the period from the start of the Erection to Acceptance of the Equipment.

11.2.2 Detailed arrangements shall be made through friendly discussions by the Chief Representatives of both parties. The Chief Representatives of both parties shall fully cooperate to carry out their duties stipulated in the Contract, however they have no right to revise, alter or amend the Contract without the written authorization of both parties.

11.2.3 The Chief Representatives of both parties shall communicate through Linking Sheet for the matters relative to opinions, suggestions and information. The linking sheet shall be countersigned by the other party.

11.3 Erection and Test Run

11.3.1 The Erection shall be completed by the Buyer in ____ ( ) days from the effective date of the Contract. The Seller’s Chief Representative shall arrive at the Job Site ____ ( ) days prior to the beginning of the Erection.

11.3.2 When Erection is completed and in full conformity with requirements of the Technical Documentation, a Certificate of Completion for Erection of the Equipment shall be signed by the Chief Representatives of both parties in two (2) originals, one for each party, within three (3) days. The date of signing said Certificate shall be deemed as the date of completion of Erection.

11.3.3 As soon as the completion of Erection, Test Run for single machine and the whole system of the Equipment shall be started.

11.3.4 When Test Run has been successfully performed, a Certificate of Completion for Test Run of the Equipment shall be signed by the Chief Representatives of both parties in two (2) originals, one for each party, within three (3) days. The date of signing the said Certificates shall be deemed as the date of completion of Test Run of the Equipment.

11.4 Commissioning and Performance Test

11.4.1 Within ____ ( ) days after the completion of the Test Run, the Buyer shall make available qualified operation and maintenance personnel, raw materials, spare parts, utilities and other matters required for the Commissioning. Detailed procedures such as instrument calibrating, items of recording, sampling methods and analyzing methods, which are necessary for the Commissioning shall be discussed and agreed upon by the Chief Representatives of both parties.

If in the opinion of both parties, the Equipment is ready for the Commissioning, both parties shall confirm the readiness for the Commissioning in writing.

11.4.2 The Commissioning of the Equipment shall be started immediately after the confirmation of the readiness for the Commissioning. The Commissioning period shall ____ ( ) days after commencement of the Commissioning.

11.4.3 When the Seller and the Buyer consider that stable operation of the Equipment has been achieved, the date of Performance Test shall be fixed by Chief Representatives of both parties.

11.4.4 The Seller shall have the right to access to the laboratory and testing facilities in order to take samples and make analytical tests. The sample taking and analytical test during the Commissioning period will be done in the presence of the Chief Representatives of both parties.

11.4.5 During the period of Commissioning until Acceptance of the Equipment, the Seller may use the Buyer’s stored spare parts. Should the Buyer’s stored spare parts be used by the Seller due to the Seller’s responsibility, the Seller shall replenish the stores with the same in time at Job Site; otherwise the Seller shall provide the same at the Buyer’s costs upon the Buyer’s timely request.

11.4.6 If the result of Performance Test has reached the guarantee figures as per Appendix 1, the Acceptance Certificate of the Equipment shall be signed by the Chief Representatives of both parties in two (2) originals, one for each party, within three (3) days.

11.4.7 If the Performance Test cannot meet guarantee figures specified in Appendix 1, both parties shall jointly make investigations so as to find out the reason for clarifying the responsibility.

11.4.8 If the guarantee figures are not met due to the Seller’s reason, the Buyer shall agree to give an extension of ____ ( ) months so that the Seller can make improvement or adjustment to the Equipment and conduct further Performance Test. All the costs and expenses for making improvement or adjustment to the Equipment shall be borne by the Seller.

11.4.9 During the extension period, if the guarantee figures are still not met due to the Seller’s reason, the Seller shall pay the liquidated damages as per Appendix 1 to the Buyer against the Acceptance Certificate signed by both parties.

The Seller’s aggregate liability to pay liquidated damages for failure to attain the performance guarantees shall not exceed ____ ( ) percent of the Equipment price. The Seller shall have no further liability whatsoever to the Buyer in respect of such failure after payment of the liquidated damages.

11.4.10 If the non-achievement of the guarantee figures is due to the reasons not attributable to the Seller, the Seller shall agree to give an extension of ____ ( ) months. During the extension period all costs thereto incurred for the adjustment of the Equipment, as well as the costs and expenses for the Seller’s technical personnel shall be borne by the Buyer. In case the guarantee figures still can not be achieved due to the reasons not attributable to the Seller in the extension period, the Equipment shall be accepted by the Buyer. Both parties shall sign the Acceptance Certificate.

11.5 Acceptance

11.5.1 Acceptance shall occur in respect of the Equipment when :

(a) Performance Test has been successfully completed as per the Article 11.4.6.; or

(b) The Performance Test has not been completed due to the reasons not attributable to the Seller such as delayed civil construction, lack of and/or any other inconformity of raw materials, spare parts of the Buyer’s scope of supply under Appendix 2, and utilities with the requirements of the Contract in the ____ ( ) months from the date of Bill of Lading of the Last Shipment; or

(c) The Seller has paid the liquidated damages as per Article 11.4.9; or

(d) The guarantee figures still can not be reached due to reasons not attributable to the Seller’s reason in the extension period as specified in Article 11.4.10; or

(e) The Buyer takes the single machine and the whole system of the Equipment into use without the Seller’s approval.

11.5.2 At any time after any of the events set out in Article 11.5.1 has occurred, the Seller may give a notice to the Buyer requesting the issuance of the Acceptance Certificate.

11.5.3 The Buyer shall within seven (7) days after receipt of the Seller’s notice, issue such Acceptance Certificate.

11.5.4 If within seven (7) days after receipt of the Seller’s notice, the Buyer fails to issue the Acceptance Certificate or fails to inform the Seller in writing, with convincing evidence, of the reason why the Buyer has not issued the Acceptance Certificate, the Equipment shall be deemed having been accepted on the seventh day of the Seller’s said notice.

11.5.5 After the Acceptance, the Seller’s responsibilities and obligations under the Contract shall be deemed having been fulfilled except those as stipulated in Article 12 and 14.

Article 12 Guarantee and Warranty

12.1 The Seller guarantees that:

(a) The Equipment supplied by the Seller shall be new and made of adequate materials, and in conformity with the technical requirements of the Contract;

(b) The Technical Documentation shall be complete, clear and correct.

12.2 The period of warranty given by the Seller under Article 12.1 shall be ____ ( ) months from the date of Acceptance or ____ ( ) months from the date of Last Shipment, whichever comes earlier.

12.3 Defect of the Equipment

12.3.1 During the Warranty Period, should any defect due to inferior materials or bad workmanship of the Equipment be found under normal operation, the Buyer shall give the Seller a notice stating the details, together with all available evidence.

The Seller shall take immediate action to eliminate the defect at the Seller’s expenses within the period agreed by both parties.

12.3.2 If certain defect can not be eliminated despite of several attempts, the Seller shall replace the defective parts with non-defective parts at the Seller’s costs and expenses.

12.3.3 If the defect is eliminated by the Buyer himself, subject to the Seller’s prior written consent, all the direct costs and expenses thus incurred shall be borne by the Seller.

12.3.4 The Seller may reduce the price of the defective Equipment according to the degree of inferiority or extent of damage as agreed by both parties. After the reduction the Seller shall be released from its obligations and liabilities.

12.3.5 During the Warranty Period, should any defect due to the Buyer’s improper operation or maintenance be found, the Seller will provide technical assistance to eliminate the defect or replace the defected parts upon Buyer’s requests. All the costs and expenses thus occurred shall be borne by the Buyer.

12.3.6 Subject to Article 12.3.1, The Seller shall not be responsible for any defect or damage to the Equipment arising out of any circumstances including but not limited to the following causes:

(a) Combination of the Equipment with any machinery, and/or component other than those supplied by the Seller; or

(b) Alteration, modification or repair without the Seller’s prior written consent; or

(c) Failure of the Buyer to follow the Technical Documentation and instructions of the Seller, including the Buyer’s improper operation and maintenance; or

(d) Normal wear and tear.

12.4 During the Warranty Period, should the Technical Documentation supplied by the Seller be found incomplete, unclear or incorrect due to the Seller’s reason, the Seller shall be liable to supplement, replace or correct the Technical Documentation free of charge.

12.5 The Seller shall in no respect be understood or interpreted as liable for the commercial development of the Contract Products. The Buyer shall undertake the risk of the commercial development of the Contract Products.

12.6 In no circumstances, whether as a result of breach of contract, warranty, indemnity, tort (including negligence), strict liability, or otherwise, shall the Seller or its subcontractors or suppliers be liable for loss of profit or revenues, loss of production, loss of use, loss of information or data, cost of capital, cost of substitute equipment, facilities, services or replacement power, downtime costs, claims of the Buyer’s customers for such damages, or for any special, consequential, incidental, indirect or exemplary damages.

12.7 Notwithstanding anything to the contrary provided in the Contract, the aggregate liability of the Seller to the Buyer , on all claims of any kind, whether in contract, warranty, indemnity, tort (including negligence), strict liability, or otherwise, arising out of the performance or breach of the Contract or use of any Equipment or exploration of the Patent and/or Know-how shall not exceed ____ ( ) percent of the total Contract price.

12.8 All Contractual obligations of the Seller shall be deemed as having been fulfilled upon the expiry date of the Warranty Period.

Article 13 Intellectual Property Right

13.1 The Seller represents that it is entitled or authorized to grant the license to the Buyer to use the Patent and/or Know-how for the purpose as specified in Article 3.

13.2 The Buyer shall not use such Patent and/or know-how received from the Seller for any purpose other than that as specified in this Contract.

13.3 Any intellectual property right or other technical information granted by the Seller to the Buyer shall remain the property of the Seller. In no circumstances shall any terms and conditions in this Contract be construed, deemed, or interpreted as transfer of title to the Buyer of any information which may be delivered to or accessed by the Buyer.

13.4 Registration of the Contract and Maintenance of Patent

13.4.1 The Buyer shall, after the Contract is signed between both parties, make sure that the Contract is registered with or filed to the competent authorities in the Buyer’s country if it is required by law.

13.4.2 The Seller shall, during the validity period of the Contract, make all reasonable efforts to maintain Patent in force in the territory as stipulated in Article 3.4.1 and bear the costs thus incurred. The Buyer shall not make any action or inaction which may lead to invalidation or compulsory licensing of the Patent.

13.5 Improvement and Grant-back

13.5.1 Should any Improvement be made by the Seller on Patent and/or Know-how within the validity period of the Contract, which shall be the exclusive property of the Seller, the Seller shall grant the Buyer a non-exclusive license to exploit such Improvement at latest __________months from its improving, provided that the license fee is agreed upon between both parties.

13.5.2 The Buyer shall be entitled to make Improvement on Patent and/or Know-how within the validity period of the Contract. The Seller shall have the right to obtain and make use of the Improvement. The license fee shall be discussed between both parties in due time.

13.5.3 Both parties shall keep Improvement confidential. Neither party shall be entitled to grant any third party a sub-license on Improvement made and provided by the other party without previous written consent of the other party.

Article 14 Confidentiality

14.1 After signing of the Contract, both parties shall keep secret all the contents, terms, conditions of the Contract.

14.2 The Buyer shall take proper measures to keep strictly confidential of Know-how, Technical Documentation, Improvement and any other secret information obtained or accessible to from the Seller. The Buyer shall not disclose any of them to any third party, and shall not make use of them without prior written consent of the Seller except otherwise stipulated in the Contract.

14.3 The Buyer may disclose the secret information as described in Article 14.2 to the personnel of its own, or of any related parties engaged in the performance of the Contract subject to Article 14.2, strictly to the extent as essential for the implementation of the Contract, provided that the individuals and/or parties accessing or may access such secret information are engaged to undertake in written form the same confidential liability of the Buyer to the Seller. Any breach of confidentiality obligations by any personnel from the Buyer or the Buyer’s related parties shall be deemed as breach of the Contract by the Buyer.

14.4 Notwithstanding this Article 14, the Seller may furnish to its sub-contractor such documents, data, and other information received from the Buyer to the extent required for performing the Contract, in which event the Seller shall obtain from such sub-contractor an undertaking of confidentiality similar to that imposed on the Seller under the Article 14.

14.5 This Article 14 shall survive the expiration or termination of the Contract.

14.6 The confidential obligation shall not apply to the information which:

A. now or hereafter enters the public domain; or

B. can be proved to have been in the possession of the Party at the time of disclosure and which was not previously obtained, directly or indirectly, from the other Party hereto; or

C. otherwise lawfully becomes available to either party from a third party under no obligation of confidentiality.

Article 15 Taxes and Duties

15.1 All taxes and duties in connection with the signing and performance of the Contract, levied by Governments of the People’s Republic of China, including but not limited to customs duties, income tax, sales tax, value-added tax etc., shall be borne and paid by the Seller.

15.2. All taxes and duties in connection with the signing and performance of the Contract levied on the Buyer and Seller by the Buyer’s Governments, including but not limited to customs duties, income tax, sales tax, value-added tax etc., shall be borne and paid by the Buyer. The Buyer shall pay in due time and full amount and hold the Seller harmless from any taxes and duties in case incurred to the Seller in the signing and performance of the Contract.

15.3 All import taxes and duties for tools and/or instruments, which the Seller or the Seller’s personnel may bring to the Buyer’s country for the execution of the Contract, shall be borne and paid by the Buyer.

15.4 Any and all taxes and duties in connection with the signing and performance of the Contract levied in any place except the cases as specified in Article 15.1 are not included in the Contract price. Should the Seller make the relevant payment directly as the case may be, both Parties agree to amend the Contract price to fully compensate the Seller for the payment, and the Buyer shall fully refund the Seller for the relevant amount within_______( ) days from the Seller’s payment.

Article 16 Force Majeure

16.1 If either of the Contract parties is prevented from executing the Contract due to the event of Force Majeure such as war, riot, coup, embargo, flood, typhoon, tornado, snowstorm, earthquake and other events which could not be foreseen, avoided and overcome, the affected party shall notify the other party by fax within the shortest possible time of occurrences of the Force Majeure and send a certificate issued by competent authorities or agency certifying the event of the Force Majeure by registered or express mail within fourteen (14) days following its occurrence.

16.2 The affected party shall not be liable for any delay or failure in performing any of its obligations due to the event of Force Majeure. However the affected party shall inform the other party by fax the termination or elimination of the event of Force Majeure as soon as possible.

16.3 Both parties shall proceed with their obligations immediately upon the cease of the event of Force Majeure or the removal of the effects and the term of the Contract shall be extended correspondingly. Should the effect of the event of Force Majeure last for more than one hundred and twenty (120) days, either party shall have the right to terminate the Contract by a written notice.

Article 17 Applicable Law and Settlement of Disputes

17.1 The applicable law of the Contract shall be the laws of the People’s Republic of China.

17.2 All disputes arising from or in connection with the Contract shall be settled through friendly consultation between both parties. In case no agreement can be reached, the dispute shall be submitted for arbitration.

17.3 The arbitration shall be conducted by China International Economic and Trade Arbitration Commission (CIETAC) in Beijing in accordance with Arbitration Rules of the Commission in effect at the time of applying for arbitration. The tribunal shall be composed of three arbitrators.

17.4 The arbitral award shall be final and binding upon both parties.

17.5 During proceedings of arbitration, the undisputed part of the Contract shall be performed continuously by both parties regardless of such arbitration proceedings.

Article 18 Effectiveness, Term and Termination of the Contract

(a) The Seller and the Buyer sign the Contract;

(b) The Contract shall be approved by the competent authorities and/or banks of both parties (if applicable);

(c) The Seller receives the Down Payment;

(d) The Seller duly receives the L/C (or L/G ) issued by the Buyers Bank.

18.2 Each party shall use its best efforts to fulfill the above conditions for which it is responsible as soon as practicable.

18.3 If the Contract has not become effective pursuant to Article 18.1 within ____ ( ) months after the date of signing this Contract, the Seller has the right to make an equitable adjustment to the total Contract price and the time for delivery and/or other relevant conditions of the Contract. Should no agreement is reached for the above mentioned adjustment within ____ ( ) days from the Seller’s request of adjustment, the Seller shall be entitled to cancel the Contract.

18.4 The Contract shall be valid and remain in force for_____ (_____) years from the Date of Effectiveness, during which period the Buyer shall be entitled to manufacture the Contract Products with Patent and/or Know-how and sell the Contract Products within the licensed territory as specified in Article 3.4.

(Option 1) The Buyer shall not be entitled to manufacture with patent and/or know-how or sell the contract products after the aforesaid period unless the Buyer agrees to pay additional license fees in the amount and with the payment schedules and methods as agreed upon between both Parties in due time.

(Option 2) The Buyer shall be entitled to manufacture with Patent and/or Know-how or sell the Contract Products after expiration of the Contract term specified above, provided that the Buyer shall not be released from its confidential obligations under the Contract.

(Option 3) The Buyer shall not be entitled to manufacture with Patent and/or Know-how or sell the Contract Products after the expiration of the Contract term specified above, and shall return to the Seller all the Technical Documentations specified in Appendix 4 without remaining any duplicate copies. Nevertheless the confidential obligations of the Buyer under Article 14 shall survive the Contract term.

18.5 Either party may, without prejudice to any other remedy for the other party’s following breach of the Contract, terminate the Contract in whole or in part by a written notice send to the other party, if the other party

A. fails to perform its payment obligation under the Contract and does not remedy for its failure within a period of ______ (____) days upon receipt of the written notice or a period agreed upon between the parties; or

B. fails to perform its confidentiality obligation under the Contract; or

C. fails to perform any other obligations under the Contract except minor parts thereof, and does not remedy for its failure within a period of ______ (____) days upon receipt of the written notice or a period agreed upon between the parties; or

D. becomes bankrupt or insolvent, goes into liquidation, has a receiving or administration order made against him, compounds with his creditors, or carries on business under a receiver, trustee or manager for the benefit of his creditors, or dissolves, or ceases to do business, or be ordered to close down / to cease to do business / to dissolve, or has its business license revoked, or if any act is done or event occurs which (under applicable Laws) has a similar effect to any of these acts or events.

18.6 Either party may, without prejudice to any other remedy, terminate the Contract in whole or in part by a written notice send to the other party, if

A. The other party is prevented by the laws, statutes, rules or regulations of either country from performing its obligations under the Contract; or

B. The Seller is prevented by the relevant authority of the Buyer’s country from being paid in accordance with the Contract; or

C. The other party is prevented from performing its contractual obligations by any event of Force Majeure for more than one hundred and twenty (120) days.

18.7 In the event of termination of the Contract, without prejudice to any other remedies available according to the Contract and/or applicable laws,

The Buyer shall cease all its further exploitation of the Patent and/or Know-how and any acceptance of further orders from third parties for the Contract Products.

All the delivered literatures, drawings, samples, instruments, equipment, and other documents including the interpretations related to Patent and/or Know-how shall be returned to the Seller as the Seller’s requests.

All the contracts on sales of the Contract Products signed between the Buyer and third parties shall be terminated by the Buyer, otherwise the Seller shall be paid accordingly.

In case the termination is due to the Seller’s default, the Buyer shall be entitled to complete the performance of the contracts on sales of the Contract Products already signed between the Buyer and third parties before the termination.

The Seller shall be paid by the Buyer for all the contractual obligations performed by the Seller till the date of termination within _______days from receipt of the termination notice.

E. Termination of the Contract shall not release either party from its confidential obligations under the Contract

19.4 No assignment, cession, novation, or transfer of any right or obligation under this Contract shall be made by either party to a third party without the prior written consent of the other party.

2.我校一些电教装备设备已经略显落后,需要进一步加大投入。

鉴于:“_________”关键技术(以下称“CDMA20__”或技术成果)系经过转让方长时间的开发和实际项目的应用,技术上已完全成熟并得到特种行业用户的肯定,且具有广大的市场前景:鉴于受让方在市场开拓方面的完整商务能力,为更好地将成果应用于社会和行业用户,转让方愿意将该项技术成果转让给受让方,且受让方同意接受该技术成果。现本协议双方经过详细磋商,依据我国现行、有效的有关法律、法规之规定,就技术成果转让事宜达成协议如下:

1.第三代CDMA20__移动通信基站射频子系统及CDMA20__移动通信系统基站线性化放大器关键技术(以下称“CDMA20__”或技术成果)是指:包括但不限于有关第三代CDMA20__移动通信基站射频子系统及CDMA20__移动通信系统基站线性化放大器关键技术的软件(组件)、技术档案和技术资料。“CDMA20__”后继开发技术成果是指:包括但不限于现有CDMA20__技术的后续开发及相关的技术档案和技术资料。 “CDMA20__”关联技术成果及其后继开发技术成果是指:与现有CDMA20__技术有关的其他技术成果及技术档案和技术资料,及在此基础上的后继开发及相关的技术档案和技术资料。

2.转让方于本协议生效日将本协议所涉技术成果独家转让与受让方。于该转让日起,受让方拥有技术成果的所有权,但法律规定禁止转让的权益除外。

技术成果的转让包括但不限于在技术成果的相关权利保护期内下列各项权利:

(1)使用权,即以复制、展示、发行、修改、翻译、注释等方式使用技术成果的权利;

(2)使用许可权和获得报酬权,即许可他人以前项中规定的部分或者全部方式使用其技术成果的权利和由此获得报酬的权利;

(3)修改权,即修改或者授权他人修改技术成果的权利;

(4)其它法律、法规规定所享有的权利。

3.转让方应于本协议生效日将所转让的技术成果全部内容的详尽资料交付于受让方

(1)该技术资料包括但不限于:___________________________________。

(4)除在本协议签订前已购得该技术成果的合法权利人外(如有)(以转让方提供给受让方的权利人名单为限),转让方并未将技术成果以任何方式许可或泄露给任何第三方使用或获得利益。

(5)转让方保证所提供的资料是完整、正确、清晰的并保证及时交付。

5.转让方声明并保证在本协议技术成果转让后

(1)非经受让方书面同意,转让方不以任何方式使用技术成果、授权他人使用技术成果、为他人非法使用技术成果提供任何条件。

(2)转让方应保证技术成果/著作的开发者和转让方及其具有雇佣关系的人员(以下合称雇员)和转让方的关联企业不使用、不许可他人使用技术成果、不为他人非法使用技术成果提供任何条件。如前述雇员或其关联企业有前列任何行为,转让方应就上述该等行为对受让方直接承担责任。

(3)转让方应就所转让的技术成果和技术成果使用者的有关情况以及其他与该技术成果市场有关的商业信息承担保密义务,上述保密义务同样适用于转让方雇员及/或关联企业。

6.受让方的承诺和保证

按本协议约定的转让金额在约定的付款时间内,全额支付给转让方。

7.转让方应就CDMA20__的关联技术给予受让方优先选择权,在同等条件下,受让方有优先购买权。

8.受让方应于本协议生效后三日内向转让方支付转让费人民币_________元整。

9.协议一方违约,应向另一方支付相当于全额转让费10%的违约金,如违约金不足以赔偿守约方因此所遭受的损失,违约方并应赔偿不足部分。

转让方未按第3条的要求向受让方提供资料,受让方有权要求转让方改正;至改正之日止,每逾期一日转让方应向受让方支付相当于全额转让费0.2‰的延期转让违约金。

10.协议一方有下列情形之一,另一方有权单方解除本协议,除执行上述第9条之约定外,并应返还从协议对方取得的的财产

(1)转让方违反第4条任何一项;

(2)未能履行前述第3、6条之约定;

(3)发生战争、自然灾害、政府行为等不可抗力,致使不能实现协议目的。

11.转让方应按受让方要求提供技术成果的技术培训、辅导等相关服务,直至受让方能够独立、正确地使用该技术成果。

12.因技术成果转让所需缴纳的有关费用,依法由各方承担。

13.本协议生效后,受让方基于本协议所涉之技术成果的后继开发、改进等技术成果的著作权及相关权利归受让方享有。

14.双方因履行本协议而提供之文件/资料作为本协议之附件,构成本协议的必要组成部分,与本协议具同等法律效力。

15.未尽事宜经协议双方协商一致并签订书面补充协议,该补充协议与本协议具同等法律效力。

根据《中华人民共和国合同法》、《建设项目环境保护管理条例》(国务院[1998]第253号令)、《中华人民共和国环境保》、《中华人民共和国环境影响评价法》、《山东省实施〈中华人民共和国环境影响评价法〉办法》中的有关规定,合同双方就《*项目环境影响报告书》项目进行“环境影响评价”的专项技术服务,经协商一致,签订本合同,由双方共同恪守,甲方委托乙方进行技术服务的内容如下:

一、标的内容、形式和要求

为掌握该建设项目的环境保护基本情况及建设期和投产后对建设项目周围环境的影响,预防因规划和建设项目实施后对环境造成不良影响,促进经济、社会和环境的协调发展,潍坊X有限公司委托潍坊市环境科学研究设计院按照国家相关法律法规及标准、环保主管部门对该项目环境影响评价的有关要求,编制完成《*项目环境影响报告书》。

二、履行的期限、地点和方式

甲方提供的技术资料齐全的情况下,合同签订及预付款后70个工作日内,编制完成《*项目环境影响报告书》总量申请版,如甲方不能及时向乙方提供环评所需资料及经费,则评价进度顺延。

三、主要协作事项

为保证乙方有效进行技术服务工作,甲方应当向乙方提供的工作条件:

1、甲方应向乙方准确提供与工程有关的基本情况资料(工程概况、企业简介、总平面布置、资源、能源的储运、工艺流程、工艺参数、污染物排放参数,污染治理措施等)及与工程有关的专业技术资料(周围环境的地质、地形地貌、水文、气象、社会情况、工农业情况、土地利用规划等)。

2、提供环评执行标准的批文批复和总量申请指标确认书;提供经发局(委)的项目立项(备案)文件,项目的可行性研究报告。

3、乙方负责与地方有关部门的协调工作(如污染源调查;用水、用电、供汽等证明;污水处理接收证明;固废(危险废物)处置协议等)。

4、甲方负责提供公众参与调查材料。

5、甲方应为乙方现场踏勘、环境现状监测提供方便条件。

6、合同签订之日起实施,由甲方委派专人同乙方项目负责人协调落实。

四、技术资料的提供和保密

双方均应保护对方的知识产权和技术成果,未经对方同意,任何一方均不得对对方的资料及文件擅自修改、复制或向第三人转让或用于本合同项目外的其他建设项目。如发生以上情况,泄密方承担一切由此引起的后果并承担赔偿责任。

五、验收标准和方法

由乙方协助甲方将编制完成的《*项目环境影响报告书》上报山东省环境保护厅批复。乙方将负责根据各有关部门、专家组的意见,修改送审版环评报告书达到质量要求。

六、价款及其支付方式

根据国家计委、国家环境保护总局关于规范环境影响咨询收费有关问题的通知(计价格[20xx]12号),该项目技术服务费总额共计人民币壹拾捌万圆整(¥180000)(包括监测费,不包括会务费、专家评审费和评估费)。合同签订后预付人民币玖万圆整(¥90000),报告书通过专家组评审,报告书(报批版)完成后付清余款。

因工程内容导致环评内容改动较大的,甲方要求评价时间加急等其他特殊情况,评价经费另行协商。

七、合同生效及其他

1、环评期间遇到的其他相关问题,双方协商解决。环评涉及的项目名称如需修改,在报告书、报告表完成前由甲方及时通知乙方进行修改。

2、本合同双方签字盖章即生效,一式贰份,甲方一份,乙方一份。

3、未尽事宜,经双方协商一致,可签订补充协议,补充协议与本合同具有同等效力。

一、观念新颖

此次信息技术应用能力提升培训者培训,虽然时间短暂,但是每一天紧张有序的培训都使我在观念上有一个更新。在平时我都停流在基本应用上,然而通过此培训,才真正的认识到自我在专业方面还有许多的不足,在今后的业务提升方面还有大量的知识要学习,只有这样随时的自我更新、自我补充、从根本上提升才能和专业素质。

随着信息化快速发展,作为一名美术教师,必须具备良好的信息素养是终生学习、不断完善自身的需要。应具有现代化的教育思想、教学观念,掌握现代化的教学方法和教学手段,熟练运用信息工具(网络、电脑等)对信息资源进行有效的收集、加工、组织、运用;这些素质的养成就要求教师不断地学习,才能满足现代化教学的需要。

二、有力提升专业知识

通过远程网络聆听专家教授对“中小学教师信息技术能力的标准解读”,“信息化教学环境的专题报告和案例分析”的学习。让自己充分认识到教师作为孩子们的领导者,首先要具备最基本的信息技术的素养、掌握信息技术的操作的基本能力和应用处理信息技术的综合能力。深刻认识到深刻的认识到教育信息的重要性,明白什么是教育信息化发的发展情况,真正理解了信息化教学环境在教育教学中的作用使我真正的知道了什么是办公软件强大的功能,平时我只会对办公软件进行简单的应用,没有更进一步去学习,听了教授老师的解析与演示操作,深刻的认识到什么专业知识,我将在今后的工作中不断学习来丰富自我专业知识。

远程研修教育不再局限在课堂,教师可以通过网络媒体通讯技术进行自主学习,可以随时将自己的薄弱环节强化学习,直到完全巩固.更加便于对每个知识内容的融会贯通,使原来想做而做不到的事情成为现实。通过这个平台,与教育专家进行了一次“零距离”的接触,“面对面”聆听他们的辅导讲座、鲜活的案例和丰富的知识内涵,让我开阔了视野。专业方面,通过论坛与同仁们的谈美术、探迷惑,使我在思想、专业方面都得到很大的提高。这种平台,使我们的距离变得更近、更方便交流。

通过看视频,视频答疑让我们有了一次与专家学者进行近距离探讨问题的机会。专家学者们奉献了他们的经验和研究成果,提高了我们的教学水平,让我们获取知识的同时,也让我们增长了见识。通过观看答疑,我得到了很大启发,学会了许多解决问题的方法和窍门,让我在今后的教学中更加游刃有余,对今后的教育教学来说受益匪浅!与老师交流,在班级论坛中发帖、回贴,进行论坛研讨等活动,我学到了很多新知识,并为以后的教学工作奠定了坚实的基础。

四、教学方法更新

此次远程教育培训,教育观念有所更新,教学方法更新,让我们农村教师也充分享受了运用远程教育培训的成果。结合专家讲座、作业练习、教师间相互交流等学习方式,更新教学理念,也明确了今后教学努力的方向。

本次培训让我在技术答疑篇模块中收获颇多:一是教学PPT设计入门;二是Flash教学动画应用基础;三是小学美术课堂提问与反思的教学策略;四是对小学美术教材资源提高教学效益和策略。这将对我的知识更新,能力提高具有很大的帮助。通过学习使我认识到在美术教学中,教师要关注教学目标、关注学生参与、关注课堂效益和质量。因此,教师应努力为学生的美术活动创造条件。

这次研修,使我耳目一新。通过深入学习,知道了作为一名教师必须不断的提高自己,充实自己,具有丰富的知识含量,扎实的教学基本功,才能适应社会,适应学生。这次培训我感觉增强了自身学习的紧迫性,危机感和责任感,只有不断进行教学观念的更新,树立新的教学观,转变教学方法,才能上出好课。上好一节课,不仅是知识信息的传播过程,更是一个心灵交汇的心理场。如果教师在教学中的表现只是平平淡淡,没有激情, 那么学生的情绪也不会特别高涨。因此我觉得在教学中激发学生的情感,教师自我的情感体现是非常重要的。

培训是短暂的,效益是明显的,收获是充实的。总之,这是收获丰厚的一次培训,充实和完善了自己,我很荣幸,但更多感到的是责任、是压力,也是促进我教学上不断成长的一次培训。这次培训使我站在了一个崭新的平台上审视了我的教学,使我对今后的教学工作有了明确的方向。我要把所学的教学理念,咀嚼、消化,内化为自己的教学思想,指导自己的教学实践。

七、乙方的违约责任 1、乙方如不按合同规定的时间、数量向甲方支付技术转让和培训费,应按本合同全部技术转让和培训费的40%向甲方偿付违约金,并赔偿相关损失。

1 概述

1.1 实习目的 通过教师和工程技术人员的当堂授课以及工人师傅门的现场现身说法全面而详细的了解相关材料工艺过程。实习的过程中,学会从技术人员和工人们那里获得直接的和间接地生产实践经验,积累相关的生产知识。通过实习,学习本专业方面的生产实践知识,为专业课学习打下坚实的基础,同时也能够为毕业后走向工作岗位积累有用的经验。

1.2实习单位基本情况

1.2实习岗位基本情况

精电是控股股份有限公司的一个部门,主要生产各种pcba。其产线有dip线和smt.smt产线分为印刷、上料、炉前目检、炉后目检和aoi测试五个岗位,此外,每条产线上还有线长和技术员各一名。我所在的岗位是炉后目检。这个岗位需要目检生产出的pcba,目检出不良现象要及时送往维修区要保证流入下到工序的pcba没有不良现象。

2实习内容

2.1实习过程

(1)了解过程

起初,刚进入车间的时候,车间里的一切对我来说都是陌生的,呈现在眼前的一幕幕让人的心中不免有些茫然,即将在这里工作3个月。第一天进入车间开始工作时,所在产线的线长、技术员给我安排工作任务,分配给我的岗位是炉后目检,我按照技术员教我的方法,拿起电路板开始慢慢学着识别各种不良现象,在是识别的同时注意操作流程及有关注意事项等。毕业实习的第一天,我就在这初次的工作岗位上目检产品,体验首次在社会上工作的感觉。在工作的同时慢慢熟悉车间的工作环境。

作为初次到社会上去工作的学生来说,对社会的了解以及对工作单位各方面情况的了解都是甚少陌生的。一开始我对车间里的各项规章制度,安全生产操作规程及工作中的相关注意事项等都不是很了解,于是我便阅读实习单位下发给我们的员工手册,向产线上的员工同事请教了解工作的相关事项,通过他们的帮助,我对车间的情况及各个岗位等有了一定的了解。车间的工作实行两班制(a、b班),两班的工作时间段为:早上8:00至晚上8:00;晚上 8:00至早上8:00。车间的所有员工都必须遵守该上、下班制度。

(2)摸索过程

对车间里的环境有所了解熟悉后,开始有些紧张的心开始慢慢平静下来,工作期间每天按时到厂上班,上班工作之前先到指定地点等待产线线长集合员工开会强调工作中的有关事项,同时给我们分配工作任务。明确工作任务后,则要做一下工作前的准备工作,于是我便到我们产线的工具存放区找来一些工作中需要用到的相关用具(比如:放大灯、镊子、标记笔等)。在指定岗位上根据员工作业指导书上的操作流程进行正常作业,我运用工作所需的用具对机器生产出的产品进行认真的目检,并打好标记将其流入下道工序。另外在工作中,机器生产出的产品有时会出现不良(比如:错件、偏移、侧立、空焊、少件、多件等)。出现上述情况时,要及时告知产线线长、技术员,让他们帮助解决出现的问题,线长、技术员通过对机器的调节让生产出的产品恢复正常,符合检验的要求。

现代远程教育为广大教师提供了一个学习、交流、合作、创新的平台,我积极利用远程网络资源,刻苦学习,努力提高自身的师德素养和教育教学水平。因此,我非常珍惜这个难得的学习机会,把远程教育研修作为提升自身素养,促进专业发展的一个主要学习方式。

1、学习的目的要有实效。

我几乎每天都安排了一定的学习时间和内容,把学习、作业、交流、讨论互相穿插,保证足够的时间与空间,获取最大的学习效益。我用课余时间和双休日完成了多项选修课程的学习,在网上向全国各地的教育专家、名师学习,就自己教育教学中出现的问题及困惑向网上发帖量达到多次,有效解决了问题。在学习中,我还做了大量的学习笔记,注重突出重点,突破难点,能够根据网上提供的一些案例发表自己的见解,探索更有效的方式与途径。

2、积累与运用。

学习的过程是一次知识积累与运用、创造的过程,因此要会学、善用。远程教育资源库中提供了大量的课堂实录和专家点评,我每次看后,总要有一个思考,即如何将这些优秀的、先进的教育教学经验及典型的案例带进自己的课堂,有针对性的运用到自己的教育教学实践中,从而收到事半功倍的效果,缩短同发达地区学校教学上的差距。通过实践对理论、经验的检验,寻找这些方式方法上的不同点、相同点与衔接点,完善自己的课堂教学方法,提升自身的课堂教学艺术。远程教育资源是十分丰富的,我经常把这些优势资源变成自己学校的有效资源,把资源库中的动画、图片、各种有用的资料下载下来,做成课件,运用于课堂,有效的弥补了本地教学资源的不足与缺乏。资源库中的资源不一定都是现成的,很符合本地教学使用,而需要一定的整合。我刻苦钻研计算机知识,结合教材所需,将一些抽象的教材内容通过多媒体技术具体化、形象化,并创设出身临其境的教学情景,开阔学生的视野,激起学生强烈的求知欲望,激活学生的思维,从而把一个个教学重点、难点进行实质性的突破。

3、共享资源,互帮互学。

远程教育学习是一个互动平台,需要大家共同参与,促进广大教师共同提高。我在参加远程教育学习中积极领先,模范带头,同年级组教师积极开展学习活动,把网上所学的优秀案例、课件同教师们共同分享,共同探讨,把自己的学习体会经常同教师们交流,把自己撰写的案例、运用所学经验所上的课积极向老师们征求意见,积极修正,取长补短,不断地提高自己,完善自己的教学风格,提升自己的教学水平。
