消防设备买卖合同

根据《中华人民共和国合同法》及相关法律法规的规定，经甲、乙双方友好平等自愿协商，就乙方为甲方 项目供应 消防设备 事宜达成一致意见，为明确双方的权利、义务和责任，特订立本合同，以资双方共同遵守。

一、产品名称、规格、数量、单价

说明：1、本报价为现金价，不含税(另含普通税票，需加6%税金)：

2、电机采用肇丰电机或士林电机;轴承采用东莞TR轴承;保修期为壹年(非人为因素); 3、轴流风机内喷红色油漆，外喷蓝色追纹油漆;柜式风机内外喷蓝色追纹油漆; 4、也可按客户要求颜色订制。

二、质量技术要求

乙方所出卖的产品为符合国家标准及行业相关生产工艺质量之优等产品，并符合消防相关验收验收标准及保证通过消防验收。

三、产品的包装

按出厂标准包装，所有产品必须分类标识清楚，标识内容应与送货清单上的内容一致，包装物不回收。

四、产品的交(提)货期限

乙方收到甲方订金之日起 15 日内具备开始交货条件，具体交货时间以甲方书面通知为(如遇节假日仍应供货)。

五、交货地点及收货人

1、交货地点：X项目工地指定位置。

六、产品运输及相关费用承担

七、产品验收

1、乙方必须严格按照甲方要求供货，以确保货物的质量。施工过程中甲方如对乙方所供产品品种、型号、规格和质量有异议，乙方应于接到甲方通知后24小时内到甲方施工现场核实，并将不合格的货物及时回收，同时必须按甲方要求在 48 小时内更换合格货物送达至甲方指定的工地，由此产生的一切费用及因产品质量问题给甲方造成的相关损失均由乙方承担。

2、乙方应在送货的同时向甲方提供产品质量保证书、产品合格证、检验报告、送货清单(送货清单应包含产品的生产批号、名称、品牌、数量、型号、规格等内容，并加盖乙方公章)等在内的完整的报验资料原件。

3、甲方指定人员初步验收只是对货物数量、重量、包装等验收，不是质量验收，质量以当地消防部门送检结果为准。

4、因甲方使用、保管、保养不善等造成产品质量下降的，不得提出异议。 5、产品已开箱使用或已安装以及交货时间超过二个月的不允许退货。 6、系统未通过消防验收甲方提前使用的，有关责任由甲方承担。 八、结算办法及付款方式 (一)结算办法：

1、合同生效后7日内，甲方向乙方支付合同总金额的 %作为订金。 2、货到工地，验收合格后，甲方再向乙方支付合同总金额的 %。 (二)付款方式：

2、乙方在收取货款时，应向甲方开具相同金额的有效发票或财务收据。 九、质量保证

1、乙方对产品向甲方提供“三包”，保修期内，对保修范围内的保修服务所发生费用，均由乙方承担.

2、质量保证期：自甲方消防分项工程通过竣工验收之日起起算，时间为24个月，如因非乙方原因导致交货后三个月仍未能验收或未通过验收的，质量保证期自交货之日起起算。

十、违约责任

1、乙方应按甲方订单要求的交货日期按时交货，如造成甲方停工或工期延误时，每迟延一天乙方应按当批货物总款的 1 % 向甲方支付违约金，违约金不足以弥补甲方损失的，乙方仍应当向甲方承担赔偿责任。

2、乙方应按甲方订单要求的数量按时交货，如因供货能力不能满足甲方生产的需要，从而造成甲方的停工、窝工或工期延误时乙方应承担给甲方造成的损失。

3、乙方所提供的产品质量、型号、规格等不符合合同约定或者国家及行业标准时，供方应及时无条件予以退换货物，由此产生的一切费用由乙方承担。因乙方供货不及时影响甲方生产进度，乙方应当赔偿甲方的损失。

十一、不可抗力

当事人双方的任何一方由于不可抗力的原因不能履行合同时，应及时向对方通报不能履行或不能完全履行的理由，并应在20天内提供证明，允许延期履行、部分履行或者不履行合同，并根据情况可部分或全部免予承担违约责任。

十二、争议的解决

合同履行过程中发生争议，甲乙双方应当友好协商;协商不成的，依法向人民法院起诉并由原告方所在地人民法院起诉。

十三 其他

1、本合同所涉及标的物的所有权在买受人按照合同规定支付完毕全部合同款后由出卖人转移到买受人。

2、双方应向对方提供如下资料：营业执照和税务登记证复印件(加盖公章)、法人代表证明书、签约代表授权委托书、被授权签约代表的身份证明等文件。

3、本合同未尽事宜，双方可另行协商解决。甲、乙双方的任何协议应形成书面文字，并经双方签字确认后作为合同的附件，与合同具有同等的效力。

4、本合同一式肆份，甲方执三份，乙方执一份。自双方签字盖章之日生效，均具有同等法律效力。

5、展览期间组织书画珠宝艺术品拍卖，开展慈善公益事业专场捐助活动，国外巡回展，拍卖。

6、拍卖后所得减去运营成本，分展馆组委会与(合作单位包括画家)按5：5分成。分配由乙方负责。

7、双方在具体操作本专案过程中应自觉遵守国家法律法规和世博会的有关规定，如有违反，甲方有权中止同乙方的合作。

8、双方一致同意按本协议确定的合作框架和原则认真履行，在合作中建立互信互利的原则，如一方违约给守约方造成不良社会影响和经济损失的，违约方应承担相应的经济赔偿责任。
