1、合作内容

(1)双方将在互联网服务及增值电信服务领域进行合作。

(2)乙方向甲方提供拥有百分百版权或具有合法许可使用权的内容资源，供甲方制作成合作产品，具体的内容资源以附件约定为准。

2、甲方的权利义务

(1)甲方将利用乙方提供的内容资源制作合作产品。

(2)甲方负责互联网及无线信道的畅通，并提供相关的技术支持与维护。

(3)甲方全面负责与电信运营商商谈接入电信运营商平台的商务事宜和技术接入事宜，因此所产生的费用由甲方承担。

(4)甲方将合作产品利用自己的下载平台、甲方合作伙伴的推广平台、合作电信运营商平台等供用户浏览、下载。

(5)甲方负责通过各种渠道对合作产品进行推广，包括但不限于如下方式：_________________

1)过互联网、wap、ivr等方式将合作产品提供予用户试听;

2)通过互联网为用户提供歌曲的在线卡拉ok应用;

3)通过平面媒体、电视媒体、广播媒体、手机终端等途径或载体进行推广;

4)通过flash、mv等形式进行推广;

5)通过cd、dvd、卡带等载体，以在专辑封底印刷或夹带宣传单页等方式宣传双方合作业务;

6)使用乙方艺人的肖像图片及相关资料制作宣传页、体验卡等宣传品，以各种途径进行发放。

(6)乙方授权甲方有权对乙方提供的授权内容通过改编等方式制作成个性手机铃声、个性彩铃等合作产品。

(7)甲方负责就合作产品所产生的信息费收益与电信运营商进行结算，并按本协议第4条的约定向乙方支付收益分成。

(8)甲方负责就合作产品为用户提供客户服务，处理相应的客户咨询和投诉。

3、甲乙双方将按本协议第4条的约定对本协议项下合作所产生的收益进行分乙方的权利义务

(1)乙方应按本协议约定或甲方要求为甲方提供内容资源，并按甲方要求为甲方及其各关联公司就授权内容分别出具授权证明。

(2)本协议期间如乙方增加任何新签约艺人，或签约艺人有任何新专辑或新增内容/歌曲，乙方可将新签约艺人的歌曲/内容，新专辑及新增内容/歌曲授权予甲方使用，并出具相应的授权证明。

(3)乙方负责在其签约艺人发布新专辑的cd、dvd、卡带等载体中，以在专辑封底印刷或夹带宣传单页等方式宣传双方合作业务(包括但不限于双方合作产品代码、歌迷俱乐部专用代码和指令、ivr号码及其它相关合作业务)。

(4)乙方保证对向甲方提供的内容资源拥有全部版权或已获得权利人或权利人代理人的合法授权，并保证该内容资源不侵犯任何第三方的合法权益，也不违反任何法律法规，可以授权甲方用于本协议项下合作业务。如乙方所提供的内容资源导致任何法律纠纷，由乙方负责解决，并应赔偿甲方由此遭受的损失。

(5)若乙方提供的内容资源的使用期与本协议有效期存在冲突，以内容资源的使用期为准。其到期前一个月内乙方将向甲方出具书面的《下线通知》，甲方收到通知后如无异议，须按照《下线通知》约定的时间将内容资源下线。

(6)授权人、演唱者、词曲作者之间的纠纷，甲方不负责。

应明确约定合作方式，尤其涉及到资金、技术、劳务等不同投入方式的。同时，应明确各自的权益份额，否则很容易在项目实际经营过程中就责任承担、盈亏分担等产生纠纷。

4、合作分成与结算方式

(1)甲乙双方将对本协议项下合作产品产生的纯收益进行分成，纯收益指用户使用合作产品产生的全部信息费收入扣除电信运营商呆坏账、代收手续费或信息费分成、通讯成本后乘以实际结算比例所得到的收益(各项成本费用及实际结算比例根据电信运营商每月实际执行政策进行调整)。

(2)结算：_________________甲乙双方将按月结算，甲方每月__________日将上月结算对账单提供乙方确认无误后，将乙方税后应得款项支付到乙方指定账号。

5、税务

(1)甲乙双方应按中国法律之规定，各自缴纳与自身经营有关之任何税款。

(2)若根据相关法律法规，付款方需为收款方代扣代缴相关税款，付款方将在应向对方支付的款项中直接扣除相应税款。

6、声明与保证

(1)甲乙双方互相向对方声明、陈述和保证如下：_________________

1)其是合法设立并有效存续的独立法人;

2)其有资质从事本协议项下之合作，而该合作符合其经营范围之规定;

3)其授权代表已获得充分授权可代表其签署本协议;

4)其有能力履行其于本协议项下之义务;并且该等履行义务的行为不违反任何对其有约束力的适用法律的限制，也不会侵犯任何第三方之合法权益。

(2)任何一方违反了上述声明、陈述和保证即被视为违反了本协议的约定，应按本协议的规定承担违约责任。

应约定保密及竞业禁止义务，特别是针对项目所涉及的技术、客户资源，以免出现合作一方在项目外以此牟利或从事其他损害项目权益的活动。

7、保密条款

(1)未经对方书面许可，任何一方不得向第三方(有关法律、法规、政府部门、问、授权雇员除外)泄露本协议的条款的任何内容以及本协议的签订及履行情况，以及通过签订和履行本协议而获知的对方及对方关联公司的任何信息。

(2)本协议有效期内及终止后2年内，本保密条款仍具有法律效力。

合同的约定虽然细致，但无法保证合作方不违约。因此，必须明确约定违约条款，一旦一方违约，另一方则能够以此作为追偿依据。

8、违约责任

(1)任何一方直接或间接违反本协议的任何条款，或不承担或不及时、充分地承担本协议项下其应承担的义务即构成违约行为，守约方有权以书面通知要求违约方纠正其违约行为并采取充分、有效、及时的措施消除违约后果，并赔偿守约方因违约方之违约行为而遭致的损失。若违约方在收到守约方关于其违约行为的上述通知后10日内未纠正其违约行为，守约方有权以书面通知的方式单方提前终止本协议，并追究违约方之违约责任。

(2)在违约事实发生以后，经守约方的合理及客观的判断，该等违约事实已造成守约方履行本协议项下其相应的义务已不可能或不公平，则守约方有权以书面形式通知违约方提前终止本协议，违约方应赔偿守约方因违约方之违约行为而遭致的损失。

9、不可抗力

(1)“不可抗力”是指甲乙双方不能合理控制、不可预见或即使预见亦无法避免的事件，该事件妨碍、影响或延误任何一方根据协议履行其全部或部分义务。该事件包括但不限于政府行为、自然灾害、战争或任何其它类似事件。

(2)出现不可抗力事件时，知情方应及时、充分地向对方以书面形式发通知，并告知对方该类事件对本协议可能产生的影响，并应当在合理期限内提供相关证明。

(3)由于以上所述不可抗力事件致使协议的部分或全部不能履行或延迟履行，则甲乙双方于彼此间不承担任何违约责任。

10、协议期限与终止

(1)本协议自各方法定代表人或授权代表签字盖章之日起生效，签字盖章日期不一致的，按后签字盖章日期为生效日期。本协议有效期为__________年，协议期满前三十日内，甲乙双方将就本协议续签或变更事宜进行协商。

(2)本协议的提前终止不应影响甲乙双方于本协议提前终止日之前根据本协议已产生的权利和义务。

11、争议解决与适用法律

(1)如甲乙双方就本协议内容或其执行发生任何争议，甲乙双方应进行友好协商;协商不成时，任何一方均可向_______________人民法院提起诉讼。

(2)本协议的订立、执行和解释及争议的解决均应适用中华人民共和国法律。

12、其它条款

(1)本协议的任何一方未能及时行使本协议项下的权利不应被视为放弃该权利，也不影响该方在将来行使该权利。

(2)如果本协议中的任何条款无论因何种原因完全或部分无效或不具有执行力，或违反任何适用的法律，则该条款被视为删除。但本协议的其余条款在不影响协议目的的情况下仍应有效并且有约束力。
