四、作品投稿

(一)投稿要求：

1、参赛者须提供本人拍摄创作的图像格式为JPG、照片要求原创，手机或相机拍摄、单幅或组照均可，组照每组不超过6张。每张照片要注明标题、拍摄地点时间、作者姓名、联系电话。作品内容要求健康向上，题材、形式、风格不限，彩色黑白均可。

2、乙方未按照合同约定支付款项的，逾期每天则按照1%的标准支付违约金。

九、不可抗力

本合同所称不可抗力是指不能预见、不能克服、不能避免的对一方当事人造成重大影响的客观事件，包括不限于自然灾害如洪水、地震、火灾和风暴等，以及社会事件如战争、动乱、政府行为等。

如遇不可抗力事件发生，导致合同无法正常履行，发生一方应及时告知对方，并及时协商合同终结或延期协议，并书面做出合同附件。

十、补充与附件

本合同未尽事宜，应按照国家相关法律法规执行，未做规定的，甲乙双方经过友好协商达成书面补充协议。协议与其他补充材料作为合同的组成部分，与本合同具有同等法律效力。

十一、合同效力

9.3.如果乙方提供的技术资料不符合第六条规定，乙方必须在收到甲方书面通知后30天内免费将所缺的技术资料，或清晰、正确的资料寄给甲方。

9.4.如乙方的技术资料不能按本合同附件二规定的时间交付，乙方则须按下列比例支付罚款给甲方:

(1)迟交1至4周，罚款为合同总价的x%;

(2)迟交5至8周，罚款为合同总价的x％；

(3)迟交超过8周，罚款为合同总价的x%;

9.5.乙方按本条规定被罚款时，并不解除其继续交付技术资料的义务。

9.6.如果动方迟交技术资料6个月以上，甲方有权终止合同。乙方须将甲方已给交付的全部金额，并加年利x％的利息，一并退还甲方。

9.7.由于乙方责任，验收不合格，造成甲方有能正常投产而终止合同时，乙方应退还甲方已经支付给乙方的全部金额，并加年利x％的利息。

9.8.如因乙原因，产品部分性能指标没能达到合同产品的规定时，机具体情况，乙方须按合同总价x％予以赔偿，但是，若因甲方原因产品没能达到性能指标时，甲方应按合同规定支付金部金额。

第十条 保密

10.1.乙方根据本协议所提供的一切图纸、设计、说明书及其他技术资料，甲方均须严格保密;未得到乙方的书面同意，不得以任何方式出售、转让或泄露给任何人，但不包括甲方为生产合同而使用技术资料的雇员。但是，甲方可以向分包合同人提供生产合同产品部件所必须的技术资料，分包人须书面保证对其所得到产技术资料承担严格的保密义务。

10.2.若上述技术资料由乙方或任何第三方部分或全部公开，则甲方对已公开的技术不再承担保密义务。

10.3.本合同终止后，甲方有权使用乙方所提供的专利，即甲方可以继续设计、制造、使用、销售和出口合同产品。

第十一条 侵权

11.1.乙方保证，它是依本合同条款转让给甲方的专利权的合法所有人，在法律上享有向甲方转让专利权的权利。若发生侵犯任何第三者权利的事件，则乙方应对侵权事件负责，并承担由此而产生的全部法律和经济责任。

第十二条 税费

第十三条 不可抗力

13.1.签约的任何一方，由于战争、严重水灾、火灾、台风、地震以及双方同意的其他不可抗力事故而无法按期执行合同时，则可延长合同的期限，延长期相当于事故所影响的时间。

13.2.受影响的一方应尽快将发生不可抗力事故的情况以电传或电报通知对方，并于此天内以航空挂号邮件将有关当局出具的证明文件提交另一方确认。

13.3如不可抗力事故延续到120天以上，双方应通过友好协商尽快解决合同继续执行的问题。

第十四条 仲裁

14.1.因执行本合同所发生的或与本合同有的一切争议，双方应通过友好协商解决。如经协商仍达不成协议时，则应提交仲裁解决。

14.2.仲裁将在瑞典斯德哥尔摩进行，由斯德哥尔摩商会仲裁院根据该院的章程进行仲裁。

4、在本协议生效之前，甲方针对该转让作品所签署的相关许可协议及授权文件，所涉及的权利和义务均由乙方概括承受;必要时，甲方应协助和配合乙方履行上述许可协议及授权文件所涉及的有关义务。

第五条权利担保

1、甲方承诺不须经其他单位或个人同意，或已取得此项同意，而有权签订此合同。

2、甲方保证该作品确系为本人原创，如甲方创作作品中涉及对第三方作品的使用，则甲方应取得相关的许可并由甲方向第三方付酬。

3、若甲方擅自采用第三方作品，导致侵犯他人著作权或其他权益，则由甲方自行承担全部法律责任。

1、双方约定，对于音乐作品(电子版或纸介版)均负有保密不对外泄露的责任。

2、其他商业秘密的保密：甲乙双方承诺关于双方往来期间所获知的对方之商业、财务信息等往来资料、文件、图片、档案，无论口头或书面，均不得对第三人泄露，也不利用其做本合同以外目的使用，此约定于本合同终止后仍然有效。

第七条提前终止本合同：

本合同有效期间内，遇到下列情况之一，合同终止自书面通知发出后3日内生效。

1、因不可抗力事件，无法继续履行本合同的;

2、一方严重违反合同有关条款，另一(守约)方可以单方面解除本合同;

3、根据合同规定行使单方合同解除权，并不表明其放弃向违约方追索违约金和赔偿金。

第八条甲方单方面终止合同：

1、若乙方工作不能达到甲方要求，导致本合同不能继续履行时，甲方有权单方面终止合同;

2、甲方单方面终止合同后，乙方已收的款项不再退还甲方，甲方已经支付报酬的剧本或半成品及相关著作权归甲方所有;

3、甲方有权委托其它方进行进一步创作。

第九条乙方单方面终止合同：

1、乙方提交创作成果后，甲方未能在约定时间内给予乙方修改意见，并且未能在乙方提交创作成果两周内支付相关稿酬，乙方有权单方面终止合同;

2、乙方单方面终止合同后，已收的款项不再退还甲方，乙方创作的剧本或半成品著作权归乙方所有;

3、合同终止后甲方不得再行使本合同之权利。

第十条违约责任：

1、如果乙方未按照约定的履行期间完成工作的，每延迟一天，甲方有权扣发报酬总额的‰作为违约金。

超过履行期限日，甲方有权解除合同，乙方应向甲方双倍返还已支付的金额。

2、除不可抗力因素外，任何一方如严重违反本合同之约定，另一方有权解除合同，并要求对方赔偿造成的实际损失及救济的合理支出费用。

第十一条不可抗力：
