二、授权改编内容

(一)授权改编形式：

(六)改编署名：

2、乙方对所改编作品，可署名改编作者姓名或名称。

三、授权费用

(一)双方同意，乙方须向甲方支付税后许可费用________元(以下简称协议总费用)，并且仅在乙方全额支付协议总费用后，方可取得甲方对其授权，否则视为乙方未经授权并构成违约或侵权。

(二)乙方须于本合同签署后________个工作日一次性支付协议总费用，逾期每日按照协议总费用的万分之________支付违约金;逾期____日以上时，甲方还有权单方解除本合同。

四、衍生作品相关权益

(一)乙方根据甲方授权进行改编，所取得的改编作品的著作权归乙方所有。

(三)乙方根据甲方授权进行改编所取得的作品，应依照本合同约定使用;如乙方将改编作品版权转让、赠予或以其他方式处置给他人，乙方亦应在处置时要求受让、受赠方或其他权利方尊重本作品版权并遵守本合同约定。

(四)乙方须在改编完成后，及时将其改编完成的作品(及重大修改内容)向甲方提交一份供甲方备存。

(五)评奖：

1、乙方有权决定以改编作品申报参加国内外相关文学艺术评奖活动。

2、乙方决定申报参加评奖时，参加评奖的费用由乙方承担。以改编作品参加评奖所获荣誉归甲乙双方共同所有，所获物质奖励在扣除乙方承担的申报费用后由甲乙双方按________%∶________%的比例分配。

五、其他事项

(一)违约责任：

1、本合同上述各项条款对违约责任另有特别约定的，则优先适用相应特别约定。

2、除出现不可抗力，双方全面履行协议的义务至履行完毕时终止。任何一方违反约定义务(含保证义务、协助义务)，每项或每次违约行为均应向另一方支付本合同总费用的________%的违约金，并赔偿损失。

3、任何一方严重违约，致使本合同继续履行无法达到约定目的，守约方有权单方解除本合同并向违约方发出解除通知时终止;这些严重违约行为包括但不限于：

(1)超出本合同范围、期限、方式或版权等约定使用本作品。

(2)侵害本作品版权或者因此遭受本作品作者等权利人向甲方主张权利、追究违约责任。

(3)乙方将本合同约定权利的全部或部分转让、转委托或以其他方式交由其他人享有或行使。

(4)乙方对其所改编作品的使用不符合本合同约定。

4、本合同中约定的解除情形出现，有权解除方行使解除权并向另一方发出解除通知时终止。

5、如乙方超出约定改编本作品或者超出约定使用改编作品，则乙方除将因此所获收益归甲方外，还应向甲方支付________元违约金并赔偿损失(含甲方向他人支付的违约金、赔偿金)。

(二)联络：本合同双方的联络方式如下，任何一方改变其联络方式，均须书面提前通知另一方，否则送达至原授权代表或以原联络方式送达即视为有效送达：

The Seller shall advise by cable or telex in time the Buyer of the result thereof. Should, for certain reasons,it become necessary for the Buyer to replace the named vessel with another one,or should the named vessel arrive at the port of shipment earlier or later than the date of arrival as previously notified to the Seller, the Buyer or its shipping agent shall advise the Seller to this effect in due time.

第一章总则

第十四条质物有损坏或者价值明显减少的可能，足以危害乙方权利的，乙方有权要求甲方提供相应的担保。甲方不提供的，乙方有权拍卖或者变卖质物，并与甲方协议将拍卖或者变卖所得的价款用于提前清偿所担保的债权或者向与甲方约定的第三人提存。

第十五条质权因质物灭失所得的赔偿金，视为出质财产。乙方有权优先抵偿甲方所担保的债权，不足以抵偿的部分，乙方有权另行追索。

第十六条出现下列情况之一时，乙方有权按协议转让方式或其它法定方式处分质押动产/权利：_________________

7.3.如果第一次考核不合格是乙方责任，乙方应自费再次派遣技术人员进特第二次考核。

Looking back at my review for , one of the biggest lessons I learned is that our reactions to life’s situations is a choice, and it’s up to how we make out of situations we encounter. This realization came after a highly intense period at my job. At that time I was already a positive person, but the situation was so out of control that it really made me negative. It was after a short period of feeling miserable that I realized that the reality was such and it was up to me to make the best out of it. I could either sit and bi-tc-h about it which would do absolutely nothing to change the situation, or I could take action and make the best out of it. This small shift in my mindset created a big shift in my reality – it made me a lot more proactive and solution-oriented. After working for a few years, you’d find that the years sort of just start to blend into each other. Soon it’s hard to tell one year apart from the next. Subsequently, it’s so easy to fall into a routine without being conscious of it. Sometimes I hear people commenting that they’re not sure what exactly they’ve been doing with the past few years of their lives, because everything just seems like the same.

工作了几年后你会发现，每年似乎开始有些混在一起的感觉，很难把它们区分开来。然后不知不觉，工作就很容易变成例行公事的老套路。有时候我会听到人们在说，不知道过去的几年具体都干了些什么，因为一切看起来都一样。

It’s just like driving. When you’re driving in a car, it can be hard to see where you are and where you’re heading to. On the other hand, pausing for a short moment to look at the map can be amazingly helpful. Where are you right now? How far have you traveled? Where do you want to go to? Doing so helps you to regain focus.

Like I mentioned above, doing my annual review is like getting the report card for my life. How do I grade myself for this year? Do I give myself an A+? A? B? C? D? or even F? This assessment reminds me if I have lived this year the way I had wanted to.

Last but not least, your annual review will help you to start the next year on a high note. As I’m going to share later in the post, doing your review includes setting your goals for the next year. For this year , my one single biggest goal was to build this blog. So this year, while other people were figuring out what to make out of their year, I was a person on a mission. By mid-year I had already exceeded some of my goals, and now that it’s the end of the year, I’ve accomplished what I had set out to do at the beginning, and more.
