根据《中华人民共和国民法典》、《中华人民共和国着作权法》及其他相关法律法规，双方就甲方委托乙方设计___________作品事项，在真实、充分表达各自意愿的基础上，经过平等协商，达成如下协议(简称本合同)，由双方共同恪守。

第一条 合同标的

1.本合同委托作品的要求：

(1)设计作品的内容;

(2)设计作品的用途及使用范围;

(3)设计作品的交付时间;

(4)甲方对乙方主要设计工作人员的要求。

2.在本合同履行过程中，如甲方提出新的设计要求，双方可就设计费的调整、设计成果的交付时间等相关事宜另行签订协议。

3.乙方保证所交付的设计作品具有独创性、不存在任何权利瑕疵，包括但不限于知识产权瑕疵，否则因此引起的任何法律责任由乙方负责;乙方为完成本合同委托事项而需要使用他人作品的，应保证得到该作品着作权人的有效授权。

第二条 基础资料

1.甲方应向乙方提供的基础资料及协作事项如下：

(1)基础资料清单;

(2)提供时间和方式;

(3)其他协作事项。

2.甲方保证所提供的基础资料不存在任何权利瑕疵，包括但不限于知识产权瑕疵，否则因此引起的任何法律责任由甲方负责。

3.乙方在收到基础资料后应立即检查签收。如乙方认为基础资料不符合本条要求，应向甲方说明理由，要求甲方尽快重新提供。

4.在设计过程中，如果乙方发现基础资料存在错误或前后不符的情况，应当及时通知甲方。如确属基础资料存在错误或前后不符而产生的延误及损失由甲方负责。

5.无论乙方是否书面通知甲方，告知基础资料存在错误或前后不符的情况，均不免除甲方就其基础资料存在错误或前后不符应承担的责任。

第三条 工作计划

1.乙方应在本合同生效后____日内向甲方提交设计工作计划。设计工作计划应包括以下主要内容，乙方应严格按照工作计划开展设计工作：

第五条 工作转让

未经甲方同意，乙方不得将本合同委托作品设计的主要工作转让第三人承担，但在紧急情况下乙方为维护甲方的利益需要转委托的除外。

第六条 成果转让

乙方不得在向甲方交付委托设计作品之前，自行将委托设计作品转让给第三人。双方另有约定的除外。

第七条 交付方式

乙方应当按以下方式向甲方交付委托作品：

1.交付时间：______年___月___日前交付。

2.交付地点为以下第____种：

(1)甲方住所地当面交付;

(2)乙方住所地当面交付;

(3)其他。

3.交付的载体选择以下第__种形式：

(1)纸质版本;

(2)电子版本;

第八条 评审验收

1.双方同意将验收委托设计作品的评审标准、评审人员组成、评审程序作为本合同的附件，另行约定。

2.双方同意选择以下第 种方式对乙方完成的委托设计作品进行验收：

(1)对任一阶段的设计成果，甲方应在收到后____日内将评审意见提交乙方，如甲方认为不符合要求，应提供书面修改意见。双方另行约定完成修改并交付的时间，届时再次评审。对任一阶段的设计成果，如甲方在收到后____日内未提出评审意见，即视为该阶段的设计成果已通过验收;

(2)甲方应在收到任一阶段的设计成果后____日内安排双方召开评审会议，具体时间和地点由甲方安排，由此产生的相应费用由甲方负担，评审意见应由双方代表签字确认。对任一阶段的设计成果，如甲方在收到后____日内未安排评审会议，即视为该阶段的设计成果已通过验收;

如果评审确认设计成果不符合要求，双方另行约定完成修改并交付的时间，届时再次安排评审会议;

(3)其他。

第九条 权利归属

1.设计完成作品的着作权归__________方所有。

2.委托作品着作权归属乙方的，甲方在约定的使用范围内享有使用作品的权利;双方没有约定具体使用作品范围的，甲方可以在委托创作的特定目的范围内免费使用该作品，但使用前需付清合同中约定的价款。

第十条 合同价款

1.甲方按以下约定支付合同价款：

(1)设计完成的作品的着作权归甲方所有的，价款总额为人民币：__________元整(大写)，即RMB：__________(小写);

(2)设计完成的作品的着作权归乙方所有的，价款总额为人民币：__________元整(大写)，即RMB：__________(小写)。此价款应包括委托作品设计工作报酬和委托作品着作权许可费用。

第十一条 诚信保密

双方应遵守的诚信义务和保密义务如下：

(1)不得假借订立合同恶意进行磋商，否则给对方造成损失的，应当承担损害赔偿责任;

(2)对本合同的内容、双方的合作关系、来往的任何协议、文件、信函、通知中的内容及任一阶段的设计成果予以保密。双方同意，即使是本方管理人员和员工，也只能是在为履行本合同而必须知道的基础上知悉上述信息;

(3)双方同意，在甲方足额支付全部合同价款前，甲方应对乙方交付的设计成果严格保密，除为评审设计成果外，甲方不得使用，也不得披露给任何第三方。乙方在接受委托作品设计过程中接触到甲方的商业秘密，应当遵守保密义务，否则给对方造成损失的，应当承担损害赔偿责任。

第十二条 违约责任

任何一方违反本合同，给对方造成损失的，按以下约定承担违约责任：

(1)甲方迟于合同约定的期限付款的，每日按应支付价款的万分之 ________(万分之一至万分之五)向乙方支付违约金;

(2)乙方迟于合同约定的期限交付委托作品的，每日按未交付作品应收价款的万分之______(万分之一至万分之五)向甲方支付违约金。因乙方迟于合同规定的期限交付委托作品导致合同目的不能实现的，应返还已收取的价款，给甲方造成损失的，还应承担赔偿责任;

(3)未经乙方同意，甲方为评审设计成果以外的目的使用本合同项下的设计成果或违反本合同的约定披露乙方设计成果的，应按合同价款的____倍(1 10倍)向乙方支付违约金;

(4)未经甲方同意，乙方将本合同项下的设计成果披露给他人或用于本合同以外目的的，应按合同价款的___倍(1 10倍)向甲方支付违约金;

(5)如一方违反其义务、承诺和保证，则应赔偿另一方的损失，以及另一方为保护其合法权益而支付的合理费用，包括但不限于律师费和诉讼费，另有约定的除外。

第十三条 合同变更

对本合同内容的变更和补充均应由双方另行签署书面文件，变更和补充后的内容若与原合同有冲突的，以修改后的文件为准。

第十四条 合同解除

1.发生下列情况之一，甲方可以单方解除本合同，并有权要求赔偿损失：

(1)非因甲方原因或不可抗力，乙方延迟交付任一阶段的设计成果，经甲方催告后____日内仍未履行的;

(2)乙方将本合同项下的设计成果未经甲方同意披露给第三人或用于本合同以外目的的。

2.发生下列情况之一，乙方可以单方解除本合同，并有权要求赔偿损失：

(1)非因乙方原因或不可抗力，甲方延迟交付任一阶段的设计费，经催告后____日内仍未履行的;

第十六条 争议解决

双方因履行本合同发生的争议，应当协商解决，协商不成的，按照以下第___种方式解决：

第五条借款利率和计息。

3、乙方在使用转让作品时，应尊重和保护甲方的署名权(甲方网名只限在网络上发表作品时使用，甲方真实姓名则在除网络发表以外的制作唱片等方面使用)。

4、在本协议生效之前，甲方针对该转让作品所签署的相关许可协议及授权文件，所涉及的权利和义务均由乙方概括承受;必要时，甲方应协助和配合乙方履行上述许可协议及授权文件所涉及的有关义务。

第五条权利担保

1、甲方承诺不须经其他单位或个人同意，或已取得此项同意，而有权签订此合同。

2、甲方保证该作品确系为本人原创，如甲方创作作品中涉及对第三方作品的使用，则甲方应取得相关的许可并由甲方向第三方付酬。

3、若甲方擅自采用第三方作品，导致侵犯他人著作权或其他权益，则由甲方自行承担全部法律责任。

第六条保密：

1、双方约定，对于音乐作品(电子版或纸介版)均负有保密不对外泄露的责任。

2、其他商业秘密的保密：甲乙双方承诺关于双方往来期间所获知的对方之商业、财务信息等往来资料、文件、图片、档案，无论口头或书面，均不得对第三人泄露，也不利用其做本合同以外目的使用，此约定于本合同终止后仍然有效。

第七条提前终止本合同：

本合同有效期间内，遇到下列情况之一，合同终止自书面通知发出后3日内生效。

1、因不可抗力事件，无法继续履行本合同的;

2、一方严重违反合同有关条款，另一(守约)方可以单方面解除本合同;

3、根据合同规定行使单方合同解除权，并不表明其放弃向违约方追索违约金和赔偿金。

第八条甲方单方面终止合同：

1、若乙方工作不能达到甲方要求，导致本合同不能继续履行时，甲方有权单方面终止合同;

2、甲方单方面终止合同后，乙方已收的款项不再退还甲方，甲方已经支付报酬的剧本或半成品及相关著作权归甲方所有;

3、甲方有权委托其它方进行进一步创作。

第九条乙方单方面终止合同：

1、乙方提交创作成果后，甲方未能在约定时间内给予乙方修改意见，并且未能在乙方提交创作成果两周内支付相关稿酬，乙方有权单方面终止合同;

2、乙方单方面终止合同后，已收的款项不再退还甲方，乙方创作的剧本或半成品著作权归乙方所有;

3、合同终止后甲方不得再行使本合同之权利。

第十条违约责任：

1、如果乙方未按照约定的履行期间完成工作的，每延迟一天，甲方有权扣发报酬总额的‰作为违约金。

超过履行期限日，甲方有权解除合同，乙方应向甲方双倍返还已支付的金额。

2、除不可抗力因素外，任何一方如严重违反本合同之约定，另一方有权解除合同，并要求对方赔偿造成的实际损失及救济的合理支出费用。

第十一条不可抗力：

因战争、叛乱、火灾、爆炸、地震、天灾、洪水、干旱或恶劣天气，以至于无法送达、无法供给、无法生产、或者政府法令、而造成之破坏、损失、迟延等耗损，双方各自的损失自行负担，直至不可抗力事件结束为止。

第十二条合同修改：

本合同非经甲乙双方书面同意，不得任意修改或变更，如需修改或变更，双方应通过协商达成一致后签订补充合同，作为本合同附件。

第十三条法律适用：

本合同适用中华人民共和国相关法律，有关本合同的解释、履行等相关事宜皆适用中华人民共和国法律。

第十四条争议解决：

双方因合同的解释或履行发生争议，由双方协商解决。

协商不成，采用下列第种方式解决：
