9.3.如果乙方提供的技术资料不符合第六条规定，乙方必须在收到甲方书面通知后30天内免费将所缺的技术资料，或清晰、正确的资料寄给甲方。

9.4.如乙方的技术资料不能按本合同附件二规定的时间交付，乙方则须按下列比例支付罚款给甲方:

(1)迟交1至4周，罚款为合同总价的x%;

(2)迟交5至8周，罚款为合同总价的x％；

(3)迟交超过8周，罚款为合同总价的x%;

9.5.乙方按本条规定被罚款时，并不解除其继续交付技术资料的义务。

9.6.如果动方迟交技术资料6个月以上，甲方有权终止合同。乙方须将甲方已给交付的全部金额，并加年利x％的利息，一并退还甲方。

9.7.由于乙方责任，验收不合格，造成甲方有能正常投产而终止合同时，乙方应退还甲方已经支付给乙方的全部金额，并加年利x％的利息。

9.8.如因乙原因，产品部分性能指标没能达到合同产品的规定时，机具体情况，乙方须按合同总价x％予以赔偿，但是，若因甲方原因产品没能达到性能指标时，甲方应按合同规定支付金部金额。

第十条 保密

10.1.乙方根据本协议所提供的一切图纸、设计、说明书及其他技术资料，甲方均须严格保密;未得到乙方的书面同意，不得以任何方式出售、转让或泄露给任何人，但不包括甲方为生产合同而使用技术资料的雇员。但是，甲方可以向分包合同人提供生产合同产品部件所必须的技术资料，分包人须书面保证对其所得到产技术资料承担严格的保密义务。

10.2.若上述技术资料由乙方或任何第三方部分或全部公开，则甲方对已公开的技术不再承担保密义务。

10.3.本合同终止后，甲方有权使用乙方所提供的专利，即甲方可以继续设计、制造、使用、销售和出口合同产品。

第十一条 侵权

11.1.乙方保证，它是依本合同条款转让给甲方的专利权的合法所有人，在法律上享有向甲方转让专利权的权利。若发生侵犯任何第三者权利的事件，则乙方应对侵权事件负责，并承担由此而产生的全部法律和经济责任。

11.2.本合同附件一列明乙方关于合同产品的专利和专利申清。合同生效后一个月内，乙方将向甲方提供2份专利证书和专利申请的影印本。

第十二条 税费

12.1.凡因履行本合同而发生在甲方国家以外的一切税费，均由乙方负担。

12.2.乙方因履行本合同而在中国境内获得的收入，必须按中国税法纳税。

第十三条 不可抗力

13.1.签约的任何一方，由于战争、严重水灾、火灾、台风、地震以及双方同意的其他不可抗力事故而无法按期执行合同时，则可延长合同的期限，延长期相当于事故所影响的时间。

13.2.受影响的一方应尽快将发生不可抗力事故的情况以电传或电报通知对方，并于此天内以航空挂号邮件将有关当局出具的证明文件提交另一方确认。

13.3如不可抗力事故延续到120天以上，双方应通过友好协商尽快解决合同继续执行的问题。

第十四条 仲裁

14.1.因执行本合同所发生的或与本合同有的一切争议，双方应通过友好协商解决。如经协商仍达不成协议时，则应提交仲裁解决。

14.2.仲裁将在瑞典斯德哥尔摩进行，由斯德哥尔摩商会仲裁院根据该院的章程进行仲裁。

二、质量标准及验收

三、包装要求及费用负担

1、加工产品由甲方负责包装，以加工产品不受损坏为标准。

2、甲方对乙方所加工的产品进行商标贴牌，但乙方依据本合同所要求贴牌的商标必须为乙方合法使用的注册商标，(包括经核准的使用类别符合商标法律法规要求)乙方有义务在本合同履行之前提供相应的注册证明、合法使用证明等。

3、甲方负责包装箱图案制版，但乙方应当向甲方缴纳每版/次押金费用___________元，制版效果图案由乙方签字确认。因乙方需要对印刷版面进行更改的，乙方自担费。

4、具体包装要求是：乙方依据本合同订购的产品数量每种、每次的型号规格数量不低于___________箱;否则制版押金不予退还。

四、交货(运输)时间、办法及地点要求

3、时间要求：甲方收到乙方要货清单后，并收到乙方该批次预付款后___________日交货。委托承运人运输的，以交加工物时承运人签发的戳记日期为交货日期。

五、预付款要求

乙方应于要货清单送达甲方之日，向甲方支付该批次货物______%预付款，该预付款在该批加工物交付时冲抵货款。

六、加工款结算办法及期限

1、甲方完成加工产品后，在乙方订货清单确定的交货日期交货前，乙方必须将该批次货物的剩余尾款全额支付甲方，甲方履行合同交货义务。

2、如乙方未按约定付清定作款项，未付清加工款的产品所有权由甲方所有。甲方可对定作物行使留置、处分等权利。

3、乙方由于其他非法定原因，未能在订货清单约定的日期支付甲方货物全款，每延迟1日支付甲方___________元保管费，该保管费累计达到该批次预付款额时，该要货清单自动解除，预付款不再退还。

七、违约责任

1、乙方的违约责任。

(1)中途变更加工产品品种、数量、设计、质量或包装的规格给承揽方造成损失的，应偿付甲方因此造成的损失，如果损失难以确定，则至少为___________元人民币。

(2)未按合同规定日期付款的，除应该继续付清全部加工款外，每延期一天，还应偿付甲方以延期付款总值千分之一的违约金，直至依据第七条扣完保管费为止。

(3)无故拒绝接收定作物的，应赔偿甲方因而造成的损失;错填到货地点或接货人的，或者变更交付货物地点或者接收人的，应该承担因此多支出的费用并赔偿甲方因此造成的损失。

2、甲方的违约责任。

(1)违反本合同第一条和第九条规定的数量而少交的，甲方应照数补交，否则应支付乙方以少交货物价款百分之_________的违约金 。

(2)包装不符合合同规定的，应重新包装，并承担因此而支付的费用;

(3)甲方无故提前交付加工产品的，除非取得乙方同意，否则乙方有权拒收，产生的损失由甲方负责。

(4)因为甲方原因导致货物错发到货地点或接货人的，除按合同规定负责运到指定的到货地点或接货人外，并承担因此多付的运杂费和造成的延期交货责任。

八、争议解决方式

本合同履行过程中的任何争议，由双方协商解决，协商不成，任何一方均可向原告所在地人民法院起诉。

九、特殊性规定

因生产特殊性，乙方允许甲方在供应加工物数量上有±___________%的浮动时在交付时间上有±___________天的浮动。同时鉴于加工产品的特殊性，甲方在交货时赠送乙方订货清单确定的每种规格产品___________%的损耗管。

甲方将本作品的音像制品、电子出版物的专有使用权和网络出版权（以下统称电子版版权）授予乙方，乙方可以出版，也可以转让第三方出版，合同另签。

第二条 甲方交付乙方的作品，不得违反宪法和法律，不得损害公共利益。

第三条 甲方保证拥有第一条授予乙方的权利。因上述权利的行使侵犯他人著作权及名誉权、肖像权、署名权等人身权内容的，甲方承担全部责任并赔偿因此给乙方造成的经济损失，乙方可以终止合同。

第四条 甲方有责任将作品中引用他人拥有著作权的内容以页下注的形式标注清楚。

第六条 上述作品的内容、篇幅、体例、图表、附录等应符合乙方《作译审编校须知》的有关要求。

第七条 甲方应于年月日前将上述作品的齐、清、定稿交付乙方（尽可能附软盘）。双方约定版面字数（包括图表）为万字。未经乙方同意，甲方交稿时的字数与双方约定的字数之差不能超过5%，如不符合这一要求，乙方有权拒绝收稿。甲方因故不能按时交稿，应在交稿期满前__________乙方，双方可以另行约定交稿日期。甲方到期仍不能交稿，应按本合同第十二条约定的报酬总额的10%向乙方支付违约金，并赔偿因此给乙方造成的经济损失，乙方可以终止合同。如乙方不终止合同，图书出版后，上述违约金从稿酬中扣除。若乙方终止合同，甲方应按乙方实际投入的费用，向乙方支付赔偿金。
