甲方在本合同签订之日起____日内向乙方交付本作品初步设计方案。乙方可以在收到该初步设计方案____日内提出修改意见，甲方应根据乙方的意见进行修改。

第二条甲方在收到乙方批准本作品初步设计方案书面通知后，即着手本作品的正式创作工作。为此乙方须交付甲方酬金共____元人民币，并按照下列办法分期交付：

乙方发出批准初步设计方案书面通知后交付百分之________，本作品完成百分之____后交付百分之____，本作品全部完成后交付百分之____。本作品创作过程中，甲方所付出的下列费用应当由乙方及时交付：________。

本作品是否正式完成应由甲方决定。甲方应及时将创作进度通知乙方，乙方在收到进度通知两周内，按本条规定的付款方式付款，逾期未能付款，未交付部分款项应按百分之____利率计算利息，乙方在向甲方发出合理的.通知条件下，有权视察正在创作中的本作品。

第三条甲方同意在收到乙方初步设计方案书面批准书____日内完成本作品。遇有甲方因疾病延误作品的创作情形，及材料短缺等甲方无法控制的情况发生时，本作品的完成日期顺延。

第四条在本作品交付乙方前，作品因火灾、_____或其他损失风险的投保费用由甲方负责。本作品受到火灾、_____等损失时，甲方应利用_____金重新创作作品。作品完成后，应运往________，交付乙方。

作品的运输费由________承担。甲方应协助乙方完成安装本作品任务。

第五条在下列条件下，可以解除本合同：

1.根据本合同第一条规定，乙方未批准初步设计方案，甲方有权保留已收取酬金，解除本合同。

2.乙方在根据本合同第二条规定按照作品的完成进度付清相应的酬金后，有权解除本合同。乙方可以要求甲方就本作品的情况提出准确的评估报告。

3.乙方延期60日未按照本合同第二条规定的时间向甲方交付应当交付的酬金，甲方有权解除本合同，同时还可以对乙方的行为提起诉讼。

4.甲方在本合同第三条规定的本作品完成日期届满90日后仍无正当理由未能完成本作品，乙方有权解除本合同。在此情况下，甲方应当向乙方返还根据本合同第二条所取得的一切酬金。

5.根据本合同第三条规定，甲方因疾病推迟完成本作品超过6个月，或者因甲方无法控制的原因逾期1年后仍未完成本作品，乙方有权解除本合同。但是甲方可以占有根据本合同第一条和第二条规定所取得的酬金。

6.甲方（艺术家）死亡，本合同自动终止。但甲方的财产继承人可以占有根据本合同第一条和第二条规定甲方所取得的酬金。

7.根据本条规定行使合同解除权时，须书面通知对方，以作为解除合同的凭据。

第六条甲方未取得全部酬金前，本作品所有权归甲方。根据本合同第五条第1、2、3、4款规定解除本合同时，甲方保留本作品的一切权利，并且有权继续完成、展览和出售本作品，根据本合同第五条第5、6款规定解除本合同时，不论本作品的完成情况如何，本作品的所有权归乙方，乙方有权继续完成、展览和出售本作品。

第七条本作品为委托作品。甲方在按照第二条规定取得全部酬金后，甲方对本作品、本作品初步设计方案只享有署名权，其他权利由乙方享有。

第八条乙方在按照第二条规定向甲方交付全部酬金后，在涉及本作品、本作品的初步设计方案的复制和销售方面，可以利用包括展览、广告、销售等各种形式，在任何媒体上，以任何方式使用甲方的姓名、照片、肖像，不构成对甲方的隐私权和其他人身权利的侵犯。

第九条乙方在接收本作品后，如有修改，不论出于有意还是无意，也不论由乙方直接所为还是由他人所为，未经甲方书面同意，本作品都不能继续代表甲方的作品。乙方应保证本作品得到适当的维护。

第十条在甲方（艺术家）有生之年，本作品的一切修复工作都应得到甲方的书面同意。在切实可行的条件下，甲方应当优先得到完成本作品修复工作的机会，并取得相应的报酬。

第十一条本作品原件及本作品初步设计方案原件的所有权归乙方。甲方确认本作品是惟一的，甲方承诺不对本作品全部或部分复制或变相复制。

第十二条甲方有权为非营利目的接触本作品，对本作品摄影拍照，乙方无正当理由不得拒绝，但甲方须事先通知乙方；甲方如借展本作品，须与乙方另外签订书面协议。

第十三条本合同的任何一方未事先取得对方的书面同意，不得转让本合同。但是甲方有权转让根据本合同所取得的酬金。

第十四条双方因本合同的解释和履行发生争议，由双方协商解决。协商不成，按以下第____种方式解决：
