合同基本内容

一、甲方是依法注册成立并取得合法从事电视和电影制作资格的法人单位，甲方计划摄制电视电影《____________》（下称电影）；乙方是依法注册成立并取得合法从事电视和电影制作资格的法人单位。（或乙方是一位资深的编剧，曾在多部影视作品中担任编剧）。双方具有履行合同的能力，并对违反本合同有承担相关责任的能力。

第四条 报酬及支付

甲方应向乙方支付（税前/税后）酬金￥____________元，酬金的支付时间安排如下：

三、乙方应确保甲方购买的版权的真实性有效性，若出现任何版权的纠纷应由乙方承担相关责任，并对甲方的损失予以赔偿。

四、乙方若无法按照甲方意见对剧本进行修改，甲方可另聘其他作者在乙方现有剧本之上进行修改，聘请的费用在应向乙方支付的稿酬中适当扣除，另聘作者署名在乙方之后。

第六条 著作权的归属

一、剧本的著作权：文学剧本的著作权由甲乙双方享有，甲方行使此摄制权无需另行向乙方支付酬金。若甲方对文学剧本重新拍摄电影、将文学剧本改编成电视剧剧本或话剧、广播剧剧本并进行摄制，应征得乙方同意并另行签署补充合同。

二、影片的著作权：电影片的著作权由甲方依法享有。若电影片得以拍摄并成功发行，乙方依法享有在电影片及相关衍生产品中的署名权。乙方署名的格式、具体位置及字体大小由甲乙双方根据国家的相关规定协商决定。

第七条 违约责任

一、甲方未按约定向乙方支付委托编剧费，每迟延一日，甲方应向乙方按总酬金的千分之五支付违约金；

二、乙方应按约定时间向甲方交稿，若不能按时交稿，除应继续履行合同外，每迟延一日，按编剧费总金额千分之五支付违约金，由甲方在第三期应支付款项中扣除；

三、乙方未经甲方同意中途停止创作，影响甲方的拍摄计划，应向甲方退还全部稿酬，并承担甲方因此而受到的实际损失。

四、因不可预见的原因导致创作无法进行时，甲方应提前3日向乙方正式提出终止创作。已支付的稿酬乙方无需退还，未支付的部分甲方不再承担。

4. 由于战争、地震、水灾、火灾、疫情等其他不可抗力原因而不能履行本协议或延迟履行本协议的一方可不负有违约的责任，但应立即以可行的方式通知对方，并及时向对方提供有权机关出具的证明书。

第六条 双方应遵守

6.1 甲方负责提供加工所需的所有原料、辅料、包装材料以及相关的工艺技术资料，乙方提供加工所需的场地、设备、人员和能源，保证按甲方的要求和出产品的时间组织生产。

6.2 甲方必须向乙方提供《卫生许可证》、《营业执照》代加工产品的生产批准文号的复印件，乙方必须向甲方提供《卫生许可证》、《生产许可证》、《营业执照》的复印件，甲方有权在包装盒上打印委托生产厂家乙方的厂名全称、生产许可证号。

6.3 为便于甲乙双方生产的合理安排，甲方进行一批产品加工时，提前5天内以书面或口头形式向乙方提出加工计划，乙方须于收到甲方提出计划之日起3日内给予回复并安排生产计划。

6.4 甲方在乙方回复并安排生产计划后的5天内将本批生产所需物料送到乙方仓库进行备料。

6.5 物料的质量检验和控制：加工所学的原料、辅料由甲方负责取样检验合格放行，生产过程的质量参数控制由乙方派人现场进行监控;生产管理和设备的操作严格按乙方的管理规定进行。

6.6 物料的运输和交接：委托加工所需的物料、加工后的产品运输由甲方负责，盛装容器由甲方负责提供;特殊情况下，如需使用乙方的容器须保证在5个工作日内归还乙方，物料交接双方现场进行交接，对质量和数量有异议者可拒绝交接。

6.7 技术资料的提供与保密：甲方须向乙方提供有关加工产品的加工工艺、条件等信息，乙方须对甲方提供的材料予以保密，乙方如私自泄露甲方的工艺、技术等信息，需赔偿由此造成的甲方的全部损失。

6.8 根据双方的协商结果，甲方每批加工物料的投料量不得低于 kg (以每次投料的各种原辅料总量计)，甲方承诺在乙方进行的代加工，合同期间产品不得在其它厂家加工，如果出现此情况而造成的损失乙方不承担任何责任。但乙方必须保证在甲方要求的时间内交付合格产品，否则甲方有权在其它厂家加工。

6.9 生产记录的填写与保管：生产记录与检验报告由乙方在交产品时一同提供给甲方，乙方应如实填写批生产记录，当批生产结束及时交甲方技术人员进行审核与保管，如出现生产记录或物料由于乙方原因造成不合格的情况，甲方有权拒绝验收。

第七条 双方责任

7.1 如果由乙方的原因(如不服从甲方技术人员的指导、工艺设备、工艺用水等所致)造成加工产品不符合要求，乙方应承担甲方受损物料的价值、运输费用的全部损失，物料的价值按甲方提供的购货发票(符合市场价)计，甲方有权拒付加工费用;如由于甲方原因(如物料、生产工艺等)造成的加工产品不符合要求，由甲方自行负责，并且甲方须按合同规定及时付清加工费用。

7.2 如果出现不可抗拒因素，如突然停电、自然灾害、战争等导致的加工过程出现问题，由甲乙双方协商解决。

第八条 其他约定事项

8.1 合同期内甲乙双方任意乙方提出修改合同条款，可以补充合同的形式商定。

第九条 不可抗力

任何一方因有不可抗力致使全部或部分不能履行本合同或延迟履行本合同，应自不可抗力事件发生之日起三日内，将事件情况以书面形式通知另一方，并至事件发生之日起三十日内，向另一方提交导致其全部或部分不能履行或延迟履行的证明。

第十条 争议的解决

本合同书适用中华人民共和国有关法律，受中华人民共和国法律管辖。

本合同双方当事人对本合同有关条款的解释或履行发生争议时，应通过友好协商的方式予以解决。如果协商为达成书面合同，则任何一方当事人均有权向有管辖权的人民法院提起诉讼。

第十条：乙方有权为推广以上作品为蓝本摄制的电影片，根据电影剧本编写和发表内容提要、海报。

第十一条;乙方向甲方支付版权使用费的方式和标准为：

(一)一次性负酬： 元;或

(二)版税：每拷贝 元;或

(三)基本稿费加拷贝发行版税： 元/每千字 千字+版税拷贝 元。

第二条 房屋权属

该房屋为甲方的家庭共同财产。甲方保证其全部家庭成员同意甲方出卖该房屋给乙方，且房屋没有产权纠纷，不存在房屋抵押，债权债务，以及其他权利瑕疵。自本协议生效之日起，如发生上诉未清事项，概由甲方负责清理，并承担相应法律责任，由此给乙方造成的损失，由甲方负责赔偿。

第三条 房屋面积和价格：

房屋面积为80.98平方米，按3470元/每平方米计价，共计人民币281000元整(大写：贰拾捌万壹仟元整)。

第四条 付款时间与方式：

第六条 关于产权登记及过户的约定：

1、买卖房屋办理到甲方名下所有权证、土地使用权证及其他手续所需缴纳的税收和费用均由甲方承担。办理到甲方名下后，甲方应自领取之日起三日内，将领到的产权证书交由乙方。

2、在已办理到甲方名下房屋产权证，土地证等其它手续之后，甲方应告知乙方，并自甲方办理房屋产权证到自己名下后的3日内甲方须无条件协助乙方办理房屋产权证、土地证及其过户手续，所须相关费用(包含双方交易费、营业税等)全部由乙方承担。甲方应该提供一切与之有关的手续及资料(原房屋产权人的产权证及国土证，原房屋产权人结婚证及复印件，原房屋产权人夫妻双方身份证复印件，其他房屋共有人同意出售的书面意见等)，不得用任何方式拒绝阻挠。

第七条 补偿费和建筑差价的享有和承担

1、根据甲方和晋江市土地储备中心签订的安置补偿协议，指挥部应给付给甲方的临时安置补助费，每平方米每个月10元，由乙方享有，并从首付款中预先扣除一年的安置补助费(9720元)，超过一年的安置补助费由甲方再补给乙方，不足一年乙方应返还差价给甲方。

第八条 违约责任条款：

1、乙方没有按照约定的期限内将房款交付给甲方，逾期达到一个月的，甲方有权解除本合同，乙方并承担逾期付款的购房款日万分之五的违约金;

2、甲方在交房后未按约定将房屋及其附带的钥匙全部交付给乙方的，视为甲方违约，甲方应支付违约金人民币叁拾万元整给乙方。

3、甲方在接到办理房屋产权通知后逾期10日不去相应机构办理产权证和土地证的，视为甲方对乙方的违约，甲方应支付违约金人民币叁拾万元整给乙方。

4、甲方不得擅自解除合同或再次将该房屋出售给他人，否则，乙方有权要求甲方继续履行合同或要求甲方退还乙方已付房款，并有权要求甲方按照同期银行贷款利率支付利息款，同时有权要求甲方支付违约金人民币叁拾万元整给乙方。

5、甲方不根据本合同的约定将房屋和产权证书交付给乙方，视为甲方违约，乙方有权要求甲方交付房屋和产权证书，并有权要求甲方支付违约金人民币叁拾万元整。

6、甲方根据本合同的约定在出证后超过30天不协助乙方办理房产过户手续的，视为甲方违约，乙方有权要求甲方履行合同或要求甲方退还已付房款，并有权要求甲方支付违约金人民币叁拾万元。

第九条、合同无效的特别约定：

若本合同无效，甲方特别声明在本合同确认无效的十日内赔偿乙方经济损失叁拾万元整。

第十条、本合同发生争议的解决方式：
