合同基本内容

一、甲方是依法注册成立并取得合法从事电视和电影制作资格的法人单位，甲方计划摄制电视电影《____________》（下称电影）；乙方是依法注册成立并取得合法从事电视和电影制作资格的法人单位。（或乙方是一位资深的编剧，曾在多部影视作品中担任编剧）。双方具有履行合同的能力，并对违反本合同有承担相关责任的能力。

二、甲方决定买断乙方的文学剧本《____________》全部著作版权。

鉴于此，双方本着自愿、平等、互惠互利、诚实信用的原则，经充分友好协商，订立如下合同条款，以资共同恪守履行：

第一条 工作内容及要求

一、根据甲方要求，乙方为甲方提供的《____________》为原创的、完整的文学剧本，并负责提供原编剧的作品授权证明。

二、电影文学剧本《____________》的所有版权归属乙方或乙方聘用的编剧所有，不得出现以任何形式的任何一方参与，乙方确保版权转让时的单纯性和真实可靠性。

三、乙方编剧对未定稿的电影文学剧本进行修改、润色直至定稿。

电影片片长分秒，文学剧本不应少于字，有效画面不应少于__________________。

第二条 工作期限

签订本合同之日起5日内。甲方立项公示乙方文学剧本并经甲方审核并送报批机关核查无误之日，经双方认可，《____________》版权全部归属甲方即完成买断工作。

第三条 审核与修改

一、文学剧本全部创作完成后，甲方应于接到乙方上述文学剧本之日起日内进行审核并将审核结果通知乙方，若甲方未在此期限内将审核结果通知乙方，视为甲方对乙方的创作成果予以认可，乙方工作即告结束。

二、甲方对剧本提出修改意见，应以书面形式通知乙方。乙方应根据甲方书面修改意见，于年月日前完成文学剧本的修改稿并提交给甲方的授权代理人，甲方应于该日起日内审核完毕，并将是否继续修改的决定及修改意见（若决定继续修改）书面通知乙方。

三、若甲方决定不再要求乙方对上述文学剧本的修改稿进行修改，此修改稿即为文学剧本的定稿，乙方收到甲方决定当日视为文学剧本定稿的提交日。

三、甲方对文学剧本的审核通过以甲方签字认可为准。

第四条 报酬及支付

甲方应向乙方支付（税前/税后）酬金￥____________元，酬金的支付时间安排如下：

一、甲乙双方签订本合同日起5日内向乙方支付酬金的50%即元

二、甲方送交相关机关报审通过之日起5日内向乙方支付酬金的30%即元；

三、拍摄工作结束，甲方内向乙方支付20%尾款。

第五条 甲乙双方的权利和义务

一、甲方应按规定时间向乙方支付编剧酬金，乙方应按本合同约定完成剧本工作；

二、甲方有组织人员对剧本进行讨论，提出供乙方参考的修改意见的责任，乙方有参考甲方提出的修改意见进行修改的责任；

三、乙方应确保甲方购买的版权的真实性有效性，若出现任何版权的纠纷应由乙方承担相关责任，并对甲方的损失予以赔偿。

四、乙方若无法按照甲方意见对剧本进行修改，甲方可另聘其他作者在乙方现有剧本之上进行修改，聘请的费用在应向乙方支付的稿酬中适当扣除，另聘作者署名在乙方之后。

第六条 著作权的归属

一、剧本的著作权：文学剧本的著作权由甲乙双方享有，甲方行使此摄制权无需另行向乙方支付酬金。若甲方对文学剧本重新拍摄电影、将文学剧本改编成电视剧剧本或话剧、广播剧剧本并进行摄制，应征得乙方同意并另行签署补充合同。

二、影片的著作权：电影片的著作权由甲方依法享有。若电影片得以拍摄并成功发行，乙方依法享有在电影片及相关衍生产品中的署名权。乙方署名的格式、具体位置及字体大小由甲乙双方根据国家的相关规定协商决定。

第七条 违约责任

一、甲方未按约定向乙方支付委托编剧费，每迟延一日，甲方应向乙方按总酬金的千分之五支付违约金；

二、乙方应按约定时间向甲方交稿，若不能按时交稿，除应继续履行合同外，每迟延一日，按编剧费总金额千分之五支付违约金，由甲方在第三期应支付款项中扣除；

三、乙方未经甲方同意中途停止创作，影响甲方的拍摄计划，应向甲方退还全部稿酬，并承担甲方因此而受到的实际损失。

四、因不可预见的原因导致创作无法进行时，甲方应提前3日向乙方正式提出终止创作。已支付的稿酬乙方无需退还，未支付的部分甲方不再承担。

第八条 补充与附件

本合同未尽事宜，依照有关法律、法规执行，法律、法规未作规定的，甲乙双方可以达成书面补充合同。本合同的附件和补充合同均为本合同不可分割的组成部分，与本合同具有同等的法律效力。第九条合同的效力

鉴于：

1.甲方是依法注册成立并取得合法从事电影制作资格的法人单位;

2.乙方依法享有文字作品《___________》(下称“文字作品”)的著作权;

3.乙方自愿将文字作品提交给甲方，以供甲方决定是否采用文字作品拍摄电影片。

甲乙双方根据平等、自愿、诚实信用的原则，经友好协商，特达成如下条款，以资共同遵守：

第一条 乙方应于本合同签署之日起____日内将文字作品的电子版本和打印稿或者文字作品手稿的复印件提交给甲方，因此而产生的相关费用由乙方自行承担。

第二条 甲方阅读文字作品后，可就是否采用文字作品及其他相关事项与乙方进一步协商。

第三条 乙方有权将与文字作品相同或类似的文字材料提交给除甲方以外的任何第三方。

第四条 乙方保证其依法享有文字作品的著作权，有权许可他人行使文字作品的有关权益。

乙方若违反上述保证，应赔偿甲方因此而遭受的相应损失。

第五条 若甲方有意采用文字作品，应当与乙方协商，另行签订书面合同。

第六条 未经乙方同意，甲方不得使用乙方提供的文字作品。甲方擅自使用乙方提供的文字作品的，应当向乙方支付补偿金，补偿金的数额不得低于相同情况下乙方许可他人使用文字作品能够获得的酬金。

第七条 甲方使用自己或任何第三方享有著作权的、与文字作品相同或类似的文字材料，不属于本合同第六条中的“擅自使用文字作品”，不必向乙方支付补偿金。

第八条 甲乙双方应当签署并遵守有关文字作品的保密协议。保密协议由甲乙双方另行签署。

第九条 甲方应于乙方向其提交文字作品之日起____日内决定是否愿意采用文字作品并书面告知乙方。

若本条规定的期限届满，甲方仍未告知乙方是否愿意采用文字作品，视为甲方决定不采用文字作品，但经乙方同意，甲方仍可采用文字作品。

第十条 若甲方决定不采用文字作品或依据本合同第九条的规定视为甲方决定不采用文字作品，甲方应于作出决定之日或本合同第九条规定的期限届满之日起___日内将乙方向其提交的所有资料退还乙方或按照乙方要求予以销毁，由此产生的费用由甲方承担。

第十一条 若甲方不慎将乙方向其提交的有关资料丢失，甲方不必因此向乙方承担任何责任，但应将资料丢失情况及是否需要乙方重新提交相关资料书面告知乙方。

第十二条 甲乙双方因履行本合同而相互发出或者提供的所有通知、文件、资料等，均应按照本协议扉页所列明的通讯地址、传真以邮寄或传真方式送达;一方如果迁址或者变更电话，应当书面通知对方。

通过传真方式的，在发出传真时视为送达;以邮寄方式的，挂号寄出或者投邮当日视为送达。

第十三条 未经甲乙双方签署书面文件，不得对本合同进行更改。

第十四条 事先未经对方书面同意，一方不得将其在本合同中的权利或义务全部或部分转让给任何第三方。

第十五条 在本合同履行过程中发生的争议，由双方当事人协商解决;协商不成的，按下列第___种方式解决：

1.任何一方均有权将争议提交____________仲裁委员会，按照提交仲裁时该会现行有效
