甲、乙双方根据中华人民共和国法律、法规，在平等互利的基础上，经友好协商就著作权授权使用专有事宜，特签署协议如下：

三、授权内容

1、甲方将其对其作品享有的(根据下述序号选择)许可给乙方使用，乙方同意使用。

(1)复制权，仅限形式的复制权;

(2)发行权;

(3)出租权;

(4)展览权;

(5)表演权;

(6)放映权;

(7)广播权;

(8)信息网络传播权，仅限形式的信息网络传播权;

(9)摄制权;

(10)改编权;

(11)翻译权;

(12)汇编权;

(13)双方约定的其他权利，限。

2、乙方保证充分尊重甲方对本合约之作品的署名权和保护作品完整权。

3、甲方同意乙方在适当的范围内基于合理使用之目的自主对本协议涉及音乐作品做适当修改或授权做适当修改。

四、双方权利义务

1、甲方保证对授权内容拥有合法曲著作权，并保证授权内容不违反任何法律法规，也不侵犯任何第三方的合法权益，包括但不限于著作权、肖像权、名誉权或有导致法律纠纷的情形。

甲方违反前述保证的，甲方应承担全部责任。

乙方根据本协议对该授权内容的使用无须另行取得任何第三人的同意和支付任何费用。

2、若乙方如约使用授权作品，而导致第三人(包括但不限于词著作权人、编曲著作权人、录音制作权人、演唱者等)就授权作品及授权内容提出异议或主张权利，乙方应于知晓该异议或主张后尽快告知甲方;若导致乙方涉诉或乙方用于商业行为的本授权音乐作品无法正常运营，甲方应如数退还乙方已支付的使用权利金及其他相关费用;因此所产生的一切法律纠纷由甲方负责解决，给乙方造成损失的，甲方负责赔偿乙方全部损失，承担乙方因此而支出的全部费用，包括但不限于任何的赔偿金、补偿金、罚款、诉讼费、律师费等。

3、甲方对本协议涉及音乐作品如发生任何转让、继受之行为，必须事前书面告知乙方，且权利义务的转移不影响乙甲双方已签署协议的任何条款，乙方所获授权依本协议所载条款继受。

五、使用费用及支付方式

1、乙方采取下述第种方式向甲方支付本合同项下音乐作品使用费用。

六、商业秘密

甲乙双方承诺关于双方往来所获知对方之商业秘密、其他机密信息，以及合约内容细则，无论口头或书面，均不得对第三者泄露，也不可利用其做本协议以外目的使用，此约定自协议生效日起永久有效。

七、合同的变更

本合同履行期间，发生特殊情况时，甲、乙任何一方需变更本合同的，要求变更一方应及时书面通知对方，征得对方同意后，双方在规定的时限内(书面通知发出天内)签订书面变更协议，该协议将成为合同不可分割的部分。

未经双方签署书面文件，任何一方无权变更本合同，否则，由此造成对方的经济损失，由责任方承担。

八、合同的终止

本合同在下列任一情形下终止：

1.甲乙双方通过书面协议解除本合同;

2.因不可抗力致使合同目的不能实现的;

3.在合同期限届满之前，当事人一方明确表示或以自己的行为表明不履行合同主要义务的;

4.当事人一方迟延履行合同主要义务，经催告后在合理期限内仍未履行;

5.当事人有其他违约或违法行为致使合同目的不能实现的;

九、违约责任

1、甲乙双方应正当行使权利，履行义务，保证本协议的顺利履行。

2、任何一方违反本协议项下的任何规定，均应当承担违约责任;给对方造成经济损失的，违约方的损失赔偿应当相当于因违约所造成的损失，包括协议履行后可以获得的利益。

十、争议解决

1、双方因本合同的解释或履行发生的争议，双方应友好协商解决。

协商不成的，双方同意选择第种方式解决：

(1)向仲裁委员会申请仲裁;

(2)向(①甲方;②乙方;③其他)所在地人民法院提起诉讼。

2、任何本合同有关事宜的联系，包括但不限于发出通知、提供资料，均应按照本合同所列下述通讯信息以上门、快递、传真或电邮方式送达，除非一方书面通知对方变更通讯信息。

以上门方式送达的，在对方签收时视为送达;以传真或电邮方式送达的，在传真或电邮进入指定的特定系统时视为送达;以快递方式送达的(快递公司应为合法注册公司，快递进程可通过网络或电话进行查询)，在快递发出后第五日视为送达。

3、本合同双方应遵守中国法律法规之规定，照章纳税。

十一、不可抗力

1.如果本合同任何一方因受不可抗力事件影响而未能履行其在本合同下的全部或部分义务，该义务的履行在不可抗力事件妨碍其履行期间应予中止。

2.声称受到不可抗力事件影响的一方应尽可能在最短的时间内通过书面形式将不可抗力事件的发生通知另一方，并在该不可抗力事件发生后日内向另一方提供关于此种不可抗力事件及其持续时间的适当证据及合同不能履行或者需要延期履行的书面资料。

声称不可抗力事件导致其对本合同的履行在客观上成为不可能或不实际的一方，有责任尽一切合理的努力消除或减轻此等不可抗力事件的影响

3.不可抗力事件发生时，双方应立即通过友好协商决定如何执行本合同。

不可抗力事件或其影响终止或消除后，双方须立即恢复履行各自在本合同项下的各项义务。

如不可抗力及其影响无法终止或消除而致使合同任何一方丧失继续履行合同的能力，则双方可协商解除合同或暂时延迟合同的履行，且遭遇不可抗力一方无须为此承担责任。

当事人迟延履行后发生不可抗力的，不能免除责任。

4.本合同所称不可抗力是指受影响一方不能合理控制的，无法预料或即使可预料到也不可避免且无法克服，并于本合同签订日之后出现的，使该方对本合同全部或部分的履行在客观上成为不可能或不实际的任何事件。

此等事件包括但不限于自然灾害如水灾、火灾、旱灾、台风、地震，以及社会事件如战争(不论曾否宣战)、动乱、罢工，政府行为或法律规定等。

十二、合同的解释

本合同的理解与解释应依据合同目的和文本原义进行，本合同的标题仅是为了阅读方便而设，不应影响本合同的解释

十三、补充与附件

本合同未尽事宜，依照有关法律、法规执行，法律、法规未作规定的，甲乙双方可以达成书面补充合同。

本合同的附件和补充合同均为本合同不可分割的组成部分，与本合同具有同等的法律效力。

十四、合同的效力

本合同自双方或双方法定代表人或其授权代表人签字并加盖单位公章或合同专用章之日起生效。
