第二条 委托生产的工序范围

乙方严格按甲方提供的生产工艺从原料与辅料进行生产制造、内包、外包的整个过程(混合、插囊、压板/装瓶、包装、装箱、打包)进行组织生产，生产过程中由甲方派技术人员及质量管理员配合乙方指导和监督整个生产过程直至生产处合格产品，由乙方负责提供产品生产记录和检验报告。

第三条 物料验收

甲方提供的原料、辅料、包装材料在乙方仓库进行核查并对数量进行清点、验收。乙方向甲方提供验收入库单，乙方每月底向甲方提供原料、辅料、包装材料余料清单，以便甲方做生产成本核算用。

第四条 成品验收

甲方根据乙方提供的生产记录及乙方检验结果进行收货验收，验收数量由双方进行确认，合格的产品由甲方负责运输，并由乙方向甲方提供本批产品合格产品出库单及生产记录和检验报告单。鉴于原料、辅料、包装材料由甲方提供，并负责质量情况，乙方检验报告单只负责乙方生产过程中水分、装量等的控制和成品常规微生物限度的控制，其他项目由甲方负责。

同时声明：装车前的产品一切毁损风险由乙方承担，产品装车后，产品的一切毁损风险责任由甲方承担。

第五条 加工单价及付款方式

产品验收合格后，先付款后提货，乙方收到款后向甲方出具增值税发票。

第六条 双方应遵守

6.1 甲方负责提供加工所需的所有原料、辅料、包装材料以及相关的工艺技术资料，乙方提供加工所需的场地、设备、人员和能源，保证按甲方的要求和出产品的时间组织生产。

6.2 甲方必须向乙方提供《卫生许可证》、《营业执照》代加工产品的生产批准文号的复印件，乙方必须向甲方提供《卫生许可证》、《生产许可证》、《营业执照》的复印件，甲方有权在包装盒上打印委托生产厂家乙方的厂名全称、生产许可证号。

6.3 为便于甲乙双方生产的合理安排，甲方进行一批产品加工时，提前5天内以书面或口头形式向乙方提出加工计划，乙方须于收到甲方提出计划之日起3日内给予回复并安排生产计划。

6.4 甲方在乙方回复并安排生产计划后的5天内将本批生产所需物料送到乙方仓库进行备料。

6.5 物料的质量检验和控制：加工所学的原料、辅料由甲方负责取样检验合格放行，生产过程的质量参数控制由乙方派人现场进行监控;生产管理和设备的操作严格按乙方的管理规定进行。

6.6 物料的运输和交接：委托加工所需的物料、加工后的产品运输由甲方负责，盛装容器由甲方负责提供;特殊情况下，如需使用乙方的容器须保证在5个工作日内归还乙方，物料交接双方现场进行交接，对质量和数量有异议者可拒绝交接。

6.7 技术资料的提供与保密：甲方须向乙方提供有关加工产品的加工工艺、条件等信息，乙方须对甲方提供的材料予以保密，乙方如私自泄露甲方的工艺、技术等信息，需赔偿由此造成的甲方的全部损失。

6.8 根据双方的协商结果，甲方每批加工物料的投料量不得低于 kg (以每次投料的各种原辅料总量计)，甲方承诺在乙方进行的代加工，合同期间产品不得在其它厂家加工，如果出现此情况而造成的损失乙方不承担任何责任。但乙方必须保证在甲方要求的时间内交付合格产品，否则甲方有权在其它厂家加工。

6.9 生产记录的填写与保管：生产记录与检验报告由乙方在交产品时一同提供给甲方，乙方应如实填写批生产记录，当批生产结束及时交甲方技术人员进行审核与保管，如出现生产记录或物料由于乙方原因造成不合格的情况，甲方有权拒绝验收。

第七条 双方责任

7.1 如果由乙方的原因(如不服从甲方技术人员的指导、工艺设备、工艺用水等所致)造成加工产品不符合要求，乙方应承担甲方受损物料的价值、运输费用的全部损失，物料的价值按甲方提供的购货发票(符合市场价)计，甲方有权拒付加工费用;如由于甲方原因(如物料、生产工艺等)造成的加工产品不符合要求，由甲方自行负责，并且甲方须按合同规定及时付清加工费用。

7.2 如果出现不可抗拒因素，如突然停电、自然灾害、战争等导致的加工过程出现问题，由甲乙双方协商解决。

第八条 其他约定事项

8.1 合同期内甲乙双方任意乙方提出修改合同条款，可以补充合同的形式商定。

8.2 本合同的有效期限为：

第九条 不可抗力

任何一方因有不可抗力致使全部或部分不能履行本合同或延迟履行本合同，应自不可抗力事件发生之日起三日内，将事件情况以书面形式通知另一方，并至事件发生之日起三十日内，向另一方提交导致其全部或部分不能履行或延迟履行的证明。

第十条 争议的解决

本合同书适用中华人民共和国有关法律，受中华人民共和国法律管辖。

本合同双方当事人对本合同有关条款的解释或履行发生争议时，应通过友好协商的方式予以解决。如果协商为达成书面合同，则任何一方当事人均有权向有管辖权的人民法院提起诉讼。

（1）甲方可自己或另行授权他人进行相同形式和内容的改编权。

（2）如乙方在授权期限内未完成改编，则乙方不得再改编；如乙方在授权期限内完成了改编，则乙方对所改编的作品享有版权。同时，甲方可在授权期限届满后再授予其他人享有独占性改编权。

（五）转授权：

1、乙方不得将甲方对其授权的全部或部分，转授权、再授权或转让给他人享有和行使。

2、乙方对于其所改编的作品进行发表、出版或以其他方式使用时，可授权相关方对改编作品进行发表、出版或以其他方式使用。

（六）改编署名：

1、乙方在其所改编的作品上，必须在改编作品的首页或首部对本作品作者予以署名，并注明系根据本作品改编而成。

2、乙方对所改编作品，可署名改编作者姓名或名称。

三、授权费用

（一）双方同意，乙方须向甲方支付税后许可费用________元（以下简称“协议总费用”），并且仅在乙方全额支付协议总费用后，方可取得甲方对其授权，否则视为乙方未经授权并构成违约或侵权。

（二）乙方须于本合同签署后________个工作日一次性支付协议总费用，逾期每日按照协议总费用的万分之________支付违约金；逾期________日以上时，甲方还有权单方解除本合同。

四、衍生作品相关权益

（一）乙方根据甲方授权进行改编，所取得的改编作品的著作权归乙方所有。

（二）乙方根据甲方授权进行改编，须尊重本作品著作权及本作品的基本风格、情调等。

（三）乙方根据甲方授权进行改编所取得的作品，应依照本合同约定使用；如乙方将改编作品版权转让、赠予或以其他方式处置给他人，乙方亦应在处置时要求受让、受赠方或其他权利方尊重本作品版权并遵守本合同约定。

（四）乙方须在改编完成后，及时将其改编完成的作品（及重大修改内容）向甲方提交一份供甲方备存。

（五）评奖：

1、乙方有权决定以改编作品申报参加国内外相关文学艺术评奖活动。

2、乙方决定申报参加评奖时，参加评奖的费用由乙方承担。以改编作品参加评奖所获荣誉归甲乙双方共同所有，所获物质奖励在扣除乙方承担的申报费用后由甲乙双方按________%∶________%的比例分配。

五、其他事项

（一）违约责任：

（3）乙方将本合同约定权利的全部或部分转让、转委托或以其他方式交由其他人享有或行使。

（4）乙方对其所改编作品的使用不符合本合同约定。

4、本合同中约定的解除情形出现，有权解除方行使解除权并向另一方发出解除通知时终止。

5、如乙方超出约定改编本作品或者超出约定使用改编作品，则乙方除将因此所获收益归甲方外，还应向甲方支付________元违约金并赔偿损失（含甲方向他人支付的违约金、赔偿金）。

（二）联络：本合同双方的联络方式如下，任何一方改变其联络方式，均须书面提前通知另一方，否则送达至原授权代表或以原联络方式送达即视为有效送达：
