3.1按照第二条规定的内容和范围。本合同采用提成方式计算价格，计价的货币为＿＿＿。

3.2本合同提成费的计算时间从合同生效之日后的第xx个月开始，按日历年度计算，每年的十二月三十一日为提成费的结算日。

第四条 支付条件

三、权利与义务

3.1甲方不能以色情，诽谤，损坏名誉，欺诈，侵犯的方式或其他违法方式使用图片。

3.2在本合同签署后，甲方应在合同约定时间内支付本合同约定的图片授权使用费用及相关费用。

3.3若甲方代表其委托人签署本合同，该许可和条款中所有权利和义务同时适用于甲方与甲方的委托人。

3.4乙方授予甲方拥有排他性的使用图片的权利。

四、知识产权

4.1本合同项下图片的所有权，著作权属于乙方以及乙方所代表的授权人，甲方只享有在约定范围内的使用权，乙方不得干涉。

4.2乙方承诺保证向甲方授权使用的图片，乙方具有合法版权、肖像权等知识产权及可转让的合法授权等，不出现版权问题，否则，责任由乙方承担并负责解决，乙方还须赔偿甲方遭受的一切损失(包括但不限于第三方索赔金额、撤换图片产生的费用、为处理纠纷支付的诉讼费用、律师费用等)。

4.3乙方负责支付摄影作者稿费，甲方不与摄影作者发生稿费支付关系。

五、违约责任

5.1合同一方或双方当事人不履行或不完全履行合同任一条款均构成违约行为，除另有规定外，违约方应赔偿对方因此而致的损失，并向对方额外支付合同价款总额50%的违约金。

六、免责条款

6.1 因地震、火灾、水灾、叛乱、爆炸、罢工、运输中断、政府禁令等不可抗力的原因致使不能按合同约定进行，乙方免予承担违约责任;在上述影响合同履行的原因消除后，乙方应在三日内以书面形式通知对方;如甲方要求提交有关部门证明文件的，乙方应及时向对方提交有关证明文件。

乙方保证对在讨论、签订、执行本协议过程中所获悉的属于甲方的且无法自公开渠道获得的文件及资料(包括商业秘密、公司计划、运营活动、财务信息、技术信息、经营信息及其他商业秘密)予以保密。未经该资料和文件的原提供方同意，另一方不得向任何第三方泄露该商业秘密的全部或部分内容。但法律、法规另有规定或双方另有约定的除外。保密期限为_________年。

4.该文字作品不会侵犯任何自然人、法人或其他组织的著作权、名誉权、隐私权以及其他合法权益;

5.在本合同签署之前，不存在任何针对文字作品的权利纠纷、索赔或者诉讼;

第十一条 合同的解除

发生下列情形之一，甲乙双方可以通过书面形式解除本合同：

1.乙方未按本合同第三条的规定向甲方提供相关资料，经甲方催告后_________日内仍未提供的;

2.甲方未按照本合同第二条的规定向乙方支付酬金，经乙方催告后_________日内仍未支付;

3.甲方破产、解散或被依法吊销企业法人营业执照;

4.甲乙双方在本合同所作的保证不真实或未实现。

第十二条 合同的终止

1.合同期限届满，甲乙双方不再续签本合同;

2.甲乙双方通过书面协议解除本合同;

3.因不可抗力致使合同目的不能实现的;

4.在委托期限届满之前，当事人一方明确表示或以自己的行为表明不履行合同主要义务的;

5.当事人一方迟延履行合同主要义务，经催告后在合理期限内仍未履行;

6.当事人有其他违约或违法行为致使合同目的不能实现的;

第十三条 通知

1.根据本合同需要一方向另一方发出的全部通知以及双方的文件往来及与本合同有关的通知和要求等，必须用书面形式，可采用_________(书信、传真、电报、当面送交等)方式传递。以上方式无法送达的，方可采取公告送达的方式。

第十四条 合同的变更

本合同履行期间，发生特殊情况时，甲、乙任何一方需变更本合同的，要求变更一方应及时书面通知对方，征得对方同意后，双方在规定的时限内(书面通知发出_________天内)签订书面变更协议，该协议将成为合同不可分割的部分。未经双方签署书面文件，任何一方无权变更本合同，否则，由此造成对方的经济损失，由责任方承担。

第十五条 合同的转让

第十六条 争议的处理

1.本合同受中华人民共和国法律管辖并按其进行解释。

2.本合同在履行过程中发生的争议，由双方当事人协商解决，也可由有关部门调解;协商或调解不成的，按下列第_________种方式解决：

第十七条 不可抗力

1.如果本合同任何一方因受不可抗力事件影响而未能履行其在本合同下的全部或部分义务，该义务的履行在不可抗力事件妨碍其履行期间应予中止。

2.声称受到不可抗力事件影响的一方应尽可能在最短的时间内通过书面形式将不可抗力事件的发生通知另一方，并在该不可抗力事件发生后_________日内向另一方提供关于此种不可抗力事件及其持续时间的适当证据及合同不能履行或者需要延期履行的书面资料。声称不可抗力事件导致其对本合同的履行在客观上成为不可能或不实际的一方，有责任尽一切合理的努力消除或减轻此等不可抗力事件的影响。

3.不可抗力事件发生时，双方应立即通过友好协商决定如何执行本合同。不可抗力事件或其影响终止或消除后，双方须立即恢复履行各自在本合同项下的各项义务。如不可抗力及其影响无法终止或消除而致使合同任何一方丧失继续履行合同的能力，则双方可协商解除合同或暂时延迟合同的履行，且遭遇不可抗力一方无须为此承担责任。当事人迟延履行后发生不可抗力的，不能免除责任。

4.本合同所称不可抗力是指受影响一方不能合理控制的，无法预料或即使可预料到也不可避免且无法克服，并于本合同签订日之后出现的，使该方对本合同全部或部分的履行在客观上成为不可能或不实际的任何事件。此等事件包括但不限于自然灾害如水灾、火灾、旱灾、台风、地震，以及社会事件如战争(不论曾否宣战)、动乱、罢工，政府行为或法律规定等。

第十八条 合同的解释

本合同的理解与解释应依据合同目的和文本原义进行，本合同的标题仅是为了阅读方便而设，不应影响本合同的解释

第十九条 补充与附件

本合同未尽事宜，依照有关法律、法规执行，法律、法规未作规定的，甲乙双方可以达成书面补充合同。本合同的附件和补充合同均为本合同不可分割的组成部分，与本合同具有同等的法律效力。

第二十条 合同的效力
