时间的火车继续前行，鸦片战争一触即发，随之中国人民便开始了顽强不屈的抗争史，为的是臂膀上的龙图腾，心中的中国梦。面对西方先进的武器炮弹，炎黄子孙并没有低下头颅任人宰割。虎门硝烟的林则徐，甲午战争的邓世昌，舍身炸碉堡的，抗美援朝的等等，这些英雄们无不为了自己心中的中国梦奉献出了自己宝贵的生命，龙图腾最终才坚毅的飘扬在世界上空。
随着屈辱史的完美谢幕，中华人民共和国成立了。多么光辉的岁月，多么荣耀的时刻，似乎每个人身上都洋溢着无尽的快乐。第一个五年计划的顺利实施使我国的经济水平随之上升，或许在建设过程的错误是难免的，但知错就改的精神却是难能可贵的，吸取了文化大革命、大跃进和人民公社化运动的经验教训，改革的春风的吹遍神州大地。时间缓缓地前行，改革开放的脚步走到了今天，它为我们实现了无数的中国梦，国际地位的提高，航空事业的发展，经济的迅猛增长等等这些都是它带给我们的。
而如今聚光灯却打在我们新一代人的身上，万众瞩目。或许龙图腾还没勾勒在我们的心中，或许中国梦还没有在我们心中绽放，但是这样的时刻已经到来，我们不能躲避。好好学习天天向上这样的口号或许我们已很陌生，肩负创建美好祖国的责任对于我们或许太过沉重，努力，奋斗或许对于我们叛逆的90后很难做到。但是这样的时刻真的已经到来，我们不能退缩。为了飘扬的龙图腾，为了心中的中国梦。

鉴于：
甲方是依法注册成立并取得合法从事影视剧制作资格的法人单位，乙方是艺术作品 的所有权人。甲方有意在其计划/正在摄制的影视剧中使用乙方的艺术作品;乙方同意甲方使用其艺术作品。
甲乙双方依据《中华人民共和国民法典》、《中华人民共和国著作权法》等法律、法规的规定以及平等自愿、诚实信用、等价有偿的原则，经友好协商，达成本合同，以资共同遵守。
第一条 许可安排
1.1本合同所指艺术作品(以下简称“艺术作品”)包括但不限于舞蹈、杂技、歌剧、魔术、相声、小品等艺术形式，其具体描述详见本合同附件一。
1.2乙方同意甲方在其计划/正在拍摄的影视剧《 》中使用艺术作品。
1.3甲方应于合同签订之日起日内一次性向乙方支付税前税后许可使用费人民币 元整(大写： )。如为税前款的，则费用中含 %的税款由乙方承担，甲方为代扣代缴义务人;或根据法律法规规定由各方自行承担相关税负。如为税后款的则甲方应当在款项支付后 日内为乙方出具完税证明。
1.4甲方使用乙方艺术作品的期限为 日，自本合同签署生效之日起至 年 月 日止。
1.5乙方应于本合同签署之日起 日内向甲方提供艺术作品，由此产生的费用由甲方承担。
1.6甲方独立依法享有含有该艺术作品的影像在内的影视剧的完整著作权。该影视剧创作完成后，该艺术作品的影像即构成影视剧内容及画面不可分割的组成部分，甲方因此所获之全部权益，与乙方无关。
1.7若影视剧得以公开发行且乙方履行了本合同下的全部义务，无论甲方以何种方式使用艺术作品，乙方皆依法享有相应的署名权。乙方署名采用下列方式：

1.8艺术作品自交付甲方之日起损坏、灭失的风险由甲方承担。
1.9甲方应于本合同第1.4条约定的到期日前将艺术作品归还乙方，同时应将其制作的艺术作品全部复制品或除影视剧以外的影像资料一并归还或按照乙方要求进行销毁。
1.10乙方有权查验甲方对艺术作品的使用情况，但不得干扰甲方正常的拍摄工作，甲方应予以配合。
1.11在影视剧的宣传或发行过程中，甲方有权在有关宣传或销售资料中使用艺术作品。
第二条 声明与保证
2.1双方互相向对方声明、陈述和保证如下：该方是合法设立并有效存续的独立法人或有完全行为能力的自然人;该方有法定资格签署本合同。本合同所述的许可符合法律法规的规定;该方有能力履行其于本合同项下之义务，并且该等履行义务的行为不违反任何对其有约束力的法律文件或约定的限制。本合同一经合法签署及交付，即构成对该方合法有效的约束，并可强制执行。
2.2甲方需按照合同约定的目的使用该艺术作品，未经乙方同意，不得将该艺术作品出租、出借给他人使用。甲方在该艺术作品的使用过程中，应注意维护乙方的财产权益和人身权益，保证含有该艺术作品影像在内的影视剧内容及画面不对乙方产生侮辱、诽谤等不良影响。
2.3乙方保证甲方不会因该艺术作品的使用而侵犯到他人名誉权、隐私权、肖像权、著作权等合法权益。如果因甲方在合理范围内使用该艺术作品而侵犯他人合法权益或引起任何纠纷、争议、诉讼或其他法律程序的，应由乙方承担相关法律责任，并赔偿甲方因此而产生的任何及所有损失，包括但不限于合理的法律费用及支出等。
第三条 违约责任
3.1甲乙双方应正当行使权利，履行义务，保证本合同的顺利履行。任何一方违反本合同项下的任何规定，均应当承担违约责任;给对方造成损失的，应赔偿对方由此所遭受的全部经济损失。
3.2甲方未履行或未按约定履行本合同规定的义务，应分别承担相应的违约责任，具体如下：
①若甲方未如期向乙方支付许可使用费，每逾期一日，应向乙方支付逾期许可使用费的千分之 作为违约金;
②若因甲方原因导致本合同解除的，则不论工作的进度如何，甲方应向乙方支付尚未支付的许可使用费。
③若艺术作品在交付甲方后损坏或丢失，甲方应赔偿乙方因此而遭受的经济损失人民币 元(大写： )。
3.3乙方未履行或未按约定履行本合同规定的义务，应分别承担相应的违约责任，具体如下：
①乙方未依据本合同的规定如期向甲方提供符合约定的艺术作品，每逾期一日，乙方应向甲方支付违约金人民币 元(大写： );
②若因乙方原因导致本合同解除的，则合同解除后 日内，乙方需将已收取的许可使用费加算银行同期存款利率按照甲方指定的方式返还甲方，并赔偿甲方因此遭受的经济损失。
第四条 合同的变更
4.1本合同履行期间，发生特殊情况时，甲、乙任何一方需变更本合同的，要求变更一方应及时书面通知对方，征得对方同意后，双方在规定的时限内(书面通知发出 天内)签订书面变更合同，该合同将成为本合同不可分割的组成部分。
4.2未经双方签署书面文件，任何一方无权变更本合同，否则，由此造成对方的一切经济损失，由责任方承担。
第五条 合同的解除
5.1在本合同履行过程中发生下列情形之一，甲方可以通过书面形式通知乙方而解除本合同：
5.1.1乙方未能按本合同的规定向甲方提供符合约定的艺术作品，经甲方催告后 日内仍未予以交付;
5.1.2乙方部分或完全丧失民事行为能力致使其不能继续履行本合同;
5.1.3乙方在本合同第二条中所做的保证不真实。
5.2在本合同履行过程中发生下列情形之一，乙方可以通过书面形式通知甲方而解除本合同：
5.2.1甲方迟延支付乙方的许可使用费，经乙方催告后 日内仍未予以支付;
5.2.2甲方破产、解散或被依法吊销企业法人营业执照且无权利、义务承受人的。
5.3除本合同规定的情形之外，甲乙双方皆不得擅自解除本合同。
第六条 保密义务
6.1未经对方书面同意，任何一方不得向任何第三方泄露本合同以及与本合同相关的一切信息。若本合同未生效，任何一方不得向任何第三方泄露其在签约过程中知悉或取得且无法自公开渠道获得的另一方的文件及资料(包括商业秘密、公司计划、运营活动、财务信息、经营信息及其他商业秘密等)。
6.2甲乙双方保证对其在讨论、签订、执行本合同过程中所获悉的属于对方的且无法自公开渠道获得的文件及资料(包括商业秘密、公司计划、运营活动、财务信息、技术信息、经营信息及其他商业秘密)予以保密。但法律、法规另有规定或双方另有约定的除外。
6.3在本合同终止之后，甲乙双方在本条款项下的义务并不随之终止，双方仍需遵守本合同之保密条款，履行其所承诺的保密义务，直到对方同意其解除此项义务，或事实上不会因违反本合同的保密条款而给对方造成任何形式的损害时为止。
6.4任何一方若违反上述保密义务，应赔偿对方因此而遭受的一切经济损失。
第七条 不可抗力
7.1如果本合同任何一方因受不可抗力事件影响而未能履行其在本合同下的全部或部分义务，该义务的履行在不可抗力事件妨碍其履行期间应予中止。
7.2声称受到不可抗力事件影响的一方应尽可能在最短的时间内通过书面形式将不可抗力事件的发生通知另一方，并在该不可抗力事件发生后 日内向另一方提供关于此种不可抗力事件及其持续时间的适当证据及合同不能履行或者需要延期履行的书面资料。声称不可抗力事件导致其对本合同的履行在客观上成为不可能或不实际的一方，有责任尽一切合理的努力消除或减轻此等不可抗力事件的影响。
7.3不可抗力事件发生时，双方应立即通过友好协商决定如何执行本合同。不可抗力事件或其影响终止或消除后，双方须立即恢复履行各自在本合同项下的各项义务。如不可抗力及其影响无法终止或消除而致使合同任何一方丧失继续履行合同的能力，则双方可协商解除合同或暂时延迟合同的履行，且遭遇不可抗力一方无须为此承担责任。当事人迟延履行后发生不可抗力的，不能免除责任。
7.4本合同所称不可抗力是指受影响一方不能合理控制的，无法预料或即使可预料到也不可避免且无法克服，并于本合同签订日之后出现的，使该方对本合同全部或部分的履行在客观上成为不可能或不实际的任何事件。此等事件包括但不限于自然灾害如水灾、火灾、旱灾、台风、地震，以及社会事件如战争(不论曾否宣战)、动乱、罢工，政府行为或法律规定等。
第八条 通知与送达
8.1甲乙双方因履行本合同而相互发出或者提供的所有通知、文件、资料等，均应按照本合同首部所列明的通讯地址、传真、电子邮件以邮寄或传真或电子邮件方式送达;一方如果迁址或者变更电话、电子邮件应当书面通知对方，否则发至本合同首部所列明的通讯地址或者传真、电子邮件系统的通知、文件、资料均视为有效送达。
8.2以邮寄方式送达的，另一方签收之日视为送达;签收之日不明确的，以信件寄出或者投邮之日起算 日视为送达。通过传真、电子邮件方式送达的，通知、文件、资料等数据电文进入另一方系统之时视为送达;通知、文件、资料等数据电文进入另一方系统之时不明确的，以传真、电子邮件发出后的第 日视为送达。
第九条 争议解决与适用法律
9.1本合同的订立、效力、解释、履行和争议的解决均适用中华人民共和国的法律。
9.2.凡因本合同引起的或与本合同有关的任何争议，由双方协商解决;协商不成的，按下列第□1/□2种方式(二选一)解决：

12.3如果本合同中的任何条款无论因何种原因完全或部分无效或不具有执行力，或违反任何适用的法律，则该条被视为删除。但本合同的其余条款仍应有效并且有约束力。
12.4本合同一式 份，双方各执 份，具有同等法律效力。
12.5本合同经双方签字、盖章，以最后签字、盖章日期为本合同生效日期。本合同未尽事宜，需修订或变更时由双方签署补充合同，补充合同与本合同具有同等法律效力。
12.6本合同之任何修改除非经双方以书面形式签署确认，否则均属无效。
第十三条 合同附件
13.1本合同未尽事宜，依照有关法律、法规执行，法律、法规未作规定的，甲乙双方可以达成书面补充合同。本合同的附件和补充合同均为本合同不可分割的组成部分，与本合同具有同等的法律效力。
13.2本合同及本合同的附件和补充合同内空格部分填写的文字与印刷文字具有同等法律效力。
