第五条作品的交付及验收

风险提示：履行期限、地点和方式

履行期限、地点和方式要明确，履行方式是送货还是自行提货这不仅涉及运输费用的承担，而且还将涉及货物在运输途中发生毁损、灭失风险的承担问题;履行期限约定不明将会严重影响到合同内容的顺利履行、实施，产生逾期交货等纠纷。同样的合同履行地点不明也会容易引发争议。

如：有的合同对履行期限作出模糊约定，如“一个月内履行完毕”，但从何时起算一个月没有约定，这就容易使双方产生歧义，都作出对自己有利的解释;如果将期限明确化，约定在“某年某月某日前履行完毕”则就避免了歧义的产生。

甲方应自本合同签订之日起___日内将作品交付给乙方。甲、乙双方应于交付时进行验收：

1、验收方法：双方书面确认。

2、验收标准：符合本合同第一条所列作品概况，包括作者、年代、规格尺寸、质地、保存现状、瑕疵及备注内容。

3、验收结束后，甲、乙方应通过以下方式对交付的作品进行确认：甲、乙方应于作品的正视、俯视、左视照片进行签字确认。

第六条交易的中止

乙方于以下情形有权中止交易：有证据表明作品在权属、真伪、瑕疵披露等方面存在不实之处。上述情形经查证属实的，乙方有权解除合同，如乙方已支付交易款项，则甲方应于___日内退回，逾期则应按日___分之___的标准承担违约金。

第七条甲方的取回责任

本合同解除的，甲方应于___日内取回作品;逾期未取回的，乙方可收取合理的保管费。甲方要求采用邮寄方式取回的，应以书面形式向乙方提出，邮寄、保险的费用由甲方承担，乙方不承担货交承运人之后的损失赔偿责任。

第八条违约责任

风险提示：违约责任

违约责任要条款化，在出现违约情形时，能有效执行，避免纠纷。很多合同对违约责任没作约定或约定太过含糊，不具可操作性。比如有的合同约定“违反合同约定，支付违约金10万元”，这个约定就太过笼统，实务中很难操作。

具体应明确，违反合同的哪条约定，应承担何种违约责任，如：质量不符、数量不符、未按时足额付款、未及时交货等等，不同违约情况应制定相应的违约责任，另外，违约金的数额要具体化、数字化，以便于向违约方主张。

1、甲方在作品权属、真伪、瑕疵披露等方面存在不实之处的，应按本合同约定的交易价格双方向乙方进行赔偿。

2、乙方未按约定支付交易款项的，逾期不支付则应按日___分之___的标准支付违约金。

第九条不可抗力

本合同所称不可抗力是指不能预见、不能克服、不能避免并对一方当事人造成重大影响的客观事件，包括但不限于自然灾害如洪水、地震、火灾和风暴等以及社会事件如战争、动乱、政府行为等。

如因不可抗力事件的发生导致合同无法履行时，遇不可抗力的一方应立即将事故情况书面告知另一方，并应在不可抗力事件结束后____日内，提供事故详情及合同不能履行或者需要延期履行的书面资料，双方认可后协商终止合同或暂时延迟合同的履行。

第十条通知

1、根据本合同需要发出的全部通知以及双方的文件往来及与本合同有关的通知和要求等，必须用书面形式，可采用____(书信、传真、电报、当面送交等方式)传递。以上方式无法送达的，方可采取公告送达的方式。

2、一方变更通知或通讯地址，应自变更之日起____日内，以书面形式通知对方;否则，由未通知方承担由此而引起的相应责任。

第十一条解释

本合同的理解与解释应依据合同目的和文本原义进行，本合同的标题仅是为了阅读方便而设，不应影响本合同的解释。

第十二条补充与附件

本合同未尽事宜，依照有关法律、法规执行，法律、法规未作规定的，甲乙双方可以达成书面补充协议。本合同的附件和补充协议均为本合同不可分割的组成部分，与本合同具有同等的法律效力。

第十三条争议的处理

风险提示：争议解决方式

合同双方一旦发生争议，协商不成的只能求助于仲裁机构或法院。那么具体选择哪一种方式，则需要当事人双方约定，如果选择仲裁机构就一定要明确是哪个仲裁委员会，否则就会因约定不明而致约定条款无效。

当然双方也可以约定管辖的法院，而约定法院则只能在被告所在地法院、原告所在地法院、合同履行地法院、合同签订地法院、标的物所在地法院中选择其一，而不能随意选择，否则该条款无效。

本合同在履行过程中发生的争议，由双方当事人协商解决，也可由有关部门调解;协商或调解不成的，按下列第____种方式解决：

i am honored to address you tonight. on behalf of the graduating masters and doctoral students of washington universitys school of engineering and applied science, i would like to thank all the parents, spouses, families, and friends who encouraged and supported us as we worked towards our graduate degrees. i would especially like to thank my own family, eight members of which are in the audience today. i would also like to thank all of the department secretaries and other engineering school staff members who always seemed to be there when confused graduate students needed help. and finally i would like to thank the washington university faculty members who served as our instructors, mentors, and friends.

as i think back on the seven-and-a-half years i spent at washington university, my mind is filled with memories, happy, sad, frustrating, and even humorous.

tonight i would like to share with you some of the memories that i take with me as i leave washington university.

i take with me the memory of my office on the fourth floor of lopata hall - the room at the end of the hallway that was too hot in summer, too cold in winter, and always too far away from the womens restroom. the window was my offices best feature. were it not for the physics building across the way, it would have afforded me a clear view of the arch. but instead i got a view of the roof of the physics building. i also had a view of one corner of the roof of urbauer hall, which seemed to be a favorite perch for various species of birds who alternately won perching rights for several weeks at a time. and i had a nice view of the physics courtyard, noteworthy as a good place for watching people run their dogs. its amazing how fascinating these views became the longer i worked on my dissertation. but my favorite view was of a nearby oak tree. from my fourth-floor vantage point i had a rather intimate view of the tree and the various birds and squirrels that inhabit it. occasionally a bird would land on my window sill, which usually had the effect of startling both of us.

i take with me the memory of two young professors who passed away while i was a graduate student. anne johnstone, the only female professor from whom i took a course in the engineering school, and bob durr, a political science professor and a member of my dissertation committee, both lost brave battles with cancer. i remember them fondly.

i take with me the memory of failing the first exam in one of the first engineering courses i took as an undergraduate. i remember thinking the course was just too hard for me and that i would never be able to pass it. so i went to talk to the professor, ready to drop the class. and he told me not to give up, he told me i could succeed in his class. for reasons that seemed completely ludicrous at the time, he said he had faith in me. and after that my grades in the class slowly improved, and i ended the semester with an a on the final exam. i remember how motivational it was to know that someone believed in me.

第三条收到符合本合同和评选办法要求的完整的参选作品后，本组委会将接受参选作品参加评选活动。

第四条参加人同意，在评选活动期间内，按照本组委会要求参加本组委会指定的有关宣传活动，具体活动时间安排参见附件二，时间如有改动，以实际通知为准，本组委会提前三日通知。

第五条参加评选活动和签署本合同，表明参加人同意接受本组委会的专门委托，为本组委会创作具有著作权的参选作品以及需要与参选作品一并提交的所有其他材料(在本合同中，参选作品和所有其他该等材料统称为参选作品资料)。

第六条对于参选作品资料而言，无论是由参加人直接制作或通过参加人的雇员和其他人员制作，都应当是按照本组委会的要求和委托而制作出来的。

第七条本合同对参加人、本组委会及其继受人和受让人有效。参加人同意，对于任何参选作品，参加人或参加人的任何继承人或受让人均不得行使或对本组委会或本组委会的任何被许可人、继受人和受让人强制执行参选作品的任何权利。上述规定的普遍性前提下，本组委会及其被许可人、继受人和受让人对参选作品资料享有全球范围的永久性权利，可以对任何或全部参选作品资料进行修改、删除或增添，无须为此向参加人或任何其他方支付任何款项或取得其批准或认可。

第八条参加人理解并认可，参选作品并不具有保密性质，且本组委会也无须为此保密。参选作品当中出现的或作为其组成部分的任何限制、专有或保密说明均无任何效力。

第九条参加人理解并同意，所有参选作品资料将不退还参加人。此外，将参选作品资料提交评选活动后，参加人将不再享有任何参选作品资料的使用权(包括但不限于参加其他评选活动，发表，修改，复制，发行，展出，出租等活动)，而且也不得以任何方式或任何目的使用或授权使用任何全部或部分参选作品资料。除获相关奖励外，不得提出其他任何报酬要求。

第十条参加人确认，参选作品可能会与本组委会独立开发的或其他参加人向评选活动提交的参选作品相似或相同。参加人同意，如果与该参选作品相似或相同的其它任何作品被选定为评选活动入围候选作品或中标作品，参加人无权为此而获得任何报酬，并不得提出任何异议。

第十一条参加人声明并保证：1、参加人为申请参加评选活动所提交的所有资料均完整、真实、准确、合法;2、如果参加人为个人，参加人应至少年满18岁并具有完全民事行为能力(如果参加人年龄不足18岁或不具有完全民事行为能力，则本合同应当由参加人本人及其家长或法定监护人共同签署);3、参加人在其他方面具有订立本合同并履行其在本合同项下义务的全部权利或授权;4、除了参加人以外，没有任何其他方为参选作品和所有其他参选作品资料有过贡献;5、参选作品的所有内容均属原创，此前未以任何形式发表，未曾以任何方式公开展示，也不属于公开作品;6、参选作品资料的任何部分均不违反或侵犯任何第三方的任何著作权、商标权或其他知识产权或专有权利，也不含有任何诽谤、中伤、淫秽或非法材料;7、参选作品资料不存在任何权利瑕疵，且本组委会有权按照本合同规定的方式使用参选作品资料，无须向任何第三方取得任何许可或认可，也无须向其支付任何费用。违反上述约定的，甲方有权解除本协议，并按相关的评选办法撤销相关资格。

第十二条参加人确认并同意，参加评选活动中的费用(包括但不限于资料费、邮寄费、差旅费等)由参加人自行承担。

第十三条参加人确认以下地址为本组委会通知其地址，若地址发生变更，应在变更后两日内，书面通知本组委会。
