组委会(以下简称本组委会)面向社会征集会徽、吉祥物和主题语(以下简称“评选活动”)，并从中评选出会徽、吉祥物、主题语的候选作品。以下签字的个人或实体(以下简称“参加人”)愿意向本次评选活动提交参选作品(以下简称“参选作品”)。为此，本组委会与参加人达成一致意见，签订如下合同(本合同)并接受其法律约束：

第一条评选活动将依照会徽、吉祥物和主题语征集评选办法(以下简称评选办法)举行。参加人确认，参加人已经阅读了评选办法，并同意遵守评选办法、接受其约束力，评选办法详见附件一。

第二条为了参加评选活动，参加人必须签署本合同并将本合同、参选作品和评选办法要求的其他文件及资料一并提交本组委会。如果参加人提交参选作品时未同时提交签署后的本合同，则参选作品将不会被接受也不会得到评审。如果参选作品由一个以上的个人或实体提交，则其中每一个人或实体都应当分别签署本合同。

第三条收到符合本合同和评选办法要求的完整的参选作品后，本组委会将接受参选作品参加评选活动。

第四条参加人同意，在评选活动期间内，按照本组委会要求参加本组委会指定的有关宣传活动，具体活动时间安排参见附件二，时间如有改动，以实际通知为准，本组委会提前三日通知。

第五条参加评选活动和签署本合同，表明参加人同意接受本组委会的专门委托，为本组委会创作具有著作权的参选作品以及需要与参选作品一并提交的所有其他材料(在本合同中，参选作品和所有其他该等材料统称为参选作品资料)。

第六条对于参选作品资料而言，无论是由参加人直接制作或通过参加人的雇员和其他人员制作，都应当是按照本组委会的要求和委托而制作出来的。

第七条本合同对参加人、本组委会及其继受人和受让人有效。参加人同意，对于任何参选作品，参加人或参加人的任何继承人或受让人均不得行使或对本组委会或本组委会的任何被许可人、继受人和受让人强制执行参选作品的任何权利。上述规定的普遍性前提下，本组委会及其被许可人、继受人和受让人对参选作品资料享有全球范围的永久性权利，可以对任何或全部参选作品资料进行修改、删除或增添，无须为此向参加人或任何其他方支付任何款项或取得其批准或认可。

第八条参加人理解并认可，参选作品并不具有保密性质，且本组委会也无须为此保密。参选作品当中出现的或作为其组成部分的任何限制、专有或保密说明均无任何效力。

第九条参加人理解并同意，所有参选作品资料将不退还参加人。此外，将参选作品资料提交评选活动后，参加人将不再享有任何参选作品资料的使用权(包括但不限于参加其他评选活动，发表，修改，复制，发行，展出，出租等活动)，而且也不得以任何方式或任何目的使用或授权使用任何全部或部分参选作品资料。除获相关奖励外，不得提出其他任何报酬要求。

第十条参加人确认，参选作品可能会与本组委会独立开发的或其他参加人向评选活动提交的参选作品相似或相同。参加人同意，如果与该参选作品相似或相同的其它任何作品被选定为评选活动入围候选作品或中标作品，参加人无权为此而获得任何报酬，并不得提出任何异议。

第十一条参加人声明并保证：1、参加人为申请参加评选活动所提交的所有资料均完整、真实、准确、合法;2、如果参加人为个人，参加人应至少年满18岁并具有完全民事行为能力(如果参加人年龄不足18岁或不具有完全民事行为能力，则本合同应当由参加人本人及其家长或法定监护人共同签署);3、参加人在其他方面具有订立本合同并履行其在本合同项下义务的全部权利或授权;4、除了参加人以外，没有任何其他方为参选作品和所有其他参选作品资料有过贡献;5、参选作品的所有内容均属原创，此前未以任何形式发表，未曾以任何方式公开展示，也不属于公开作品;6、参选作品资料的任何部分均不违反或侵犯任何第三方的任何著作权、商标权或其他知识产权或专有权利，也不含有任何诽谤、中伤、淫秽或非法材料;7、参选作品资料不存在任何权利瑕疵，且本组委会有权按照本合同规定的方式使用参选作品资料，无须向任何第三方取得任何许可或认可，也无须向其支付任何费用。违反上述约定的，甲方有权解除本协议，并按相关的评选办法撤销相关资格。

第十二条参加人确认并同意，参加评选活动中的费用(包括但不限于资料费、邮寄费、差旅费等)由参加人自行承担。

第十三条参加人确认以下地址为本组委会通知其地址，若地址发生变更，应在变更后两日内，书面通知本组委会。

第十六条如果本合同的有关规定和评选办法不一致，以本合同的规定为准。

第十七条如果本组委会的工作由其组建的经济实体承担，则本合同中本组委会的权利和义务均由新组建的经济实体承担。

第十八条本合同自参加人签字之日起生效。

(2)该录制费用包括单不限于：聘请词作者的费用、租用录音棚的费用、音乐录制设备费用、音乐录音师的费用、相关人员的住宿、饮食和交通费。

第四条 著作权及相关权利

如果甲乙双方选择按照第4.1款第(2)项的方式确定音乐作品著作权归属，则甲方享有电影(电视剧)全部音乐以及委托乙方创作音乐的完整版权，以及电影(电视剧)音乐之、卡拉、其他音视频流媒体等产品及其他载体的全世界范围之出版权音乐的版权及其收益权，甲方可以在各类节目、任何载体上使用或者改编该作品，而无须征得乙方同意。

在不与本合同约定相冲突的前提下，乙方有权无偿使用其为本片创作的音乐内容。

4.4根据第4.1款所确定的著作权归属方式，甲方所取得的摄制权的范围仅限于：电影/电视剧，甲方依法享有摄制完成的电影(电视剧)的著作权。

4.5乙方履行了本合同约定的全部义务后，依法享有在电影(电视剧)及相关衍生产品中的署名权。

4.6若甲方另行委托第三人对乙方创作完成的音乐作品进行修改，不得因此影响乙方的署名权和其他合法权益。

但因乙方存在违约或过错情形，甲方解除本合同的，甲方有权另行聘请他人在乙方创作的基础上继续完成作品的创作工作，在此情况下，乙方不再享有其已提交部分音乐作品的著作权。

4.7为宣传、推广电影(电视剧)的需要，甲方有权无偿使用或许可播放者、发行者使用乙方的姓名和肖像，并及于相关衍生产品或服务。

5.3乙方保证和承诺

(4)乙方承诺：乙方原创的音乐已取得原著作权人的相关授权，不存在侵犯任何第三方的著作权以及其他合法权益，否则，由此引起的纠纷由乙方承担全部责任，并赔偿甲方因此遭受的全部经济损失。

第六条 甲方的权利义务

6.1甲方享有音乐作品的最终修改权，如对作品持有异议，甲方有权要求乙方按照甲方的意见进行修改。

6.2甲方有权决定是否在电影(电视剧)中使用乙方提交的音乐作品，但乙方按照本合同第一条和第三条约定的要求和标准履行合同义务的，甲方应按照合同约定支付相应酬金。

6.3如果甲方要求乙方到指定地点工作，甲方应承担乙方的住宿、饮食及往返交通费用。

6.4为宣传、推广电影(电视剧)的需要，甲方有权要求乙方参加电影(电视剧)的开机仪式、首映式以及其他宣传活动，无须就此向乙方支付酬金;如果该类活动发生在本合同约定的乙方工作期限之后，乙方仍应积极参与和配合。

6.5甲方要求乙方参加的宣传活动最多不超过_____次;否则，每超过一次应向乙方支付税前(税后)人民币_____元，乙方亦有权拒绝甲方的要求。

7.2乙方在工作期间内应接受甲方合理指导和建议，及时、勤勉、经济、高效地完成本合同约定的工作。

7.3乙方应当保持和甲方的沟通、联系，但甲方不得干预乙方的正当权限或违反行业惯例。

第八条 违约责任

第十一条 保密

11.1双方互相承诺对其本人以及公司、雇员、代理人或顾问等因为签订本合同而收到或获取的所有资料、信息(以下简称“保密信息”)，包括与本合同条款相关、与谈判有关的、与剧情以及摄制有关的、与另一方的商业或事件有关的等与电影(电视剧)有关的一切资料和信息，严格加以保密;除了本合同第11.3款的规定外，将不得在电影(电视剧)公映前利用或披露或泄露给任何人任何上述保密信息。

11.2乙方应妥善保管甲方交予的与电影(电视剧)相关的全部资料、文件，并于完成本合同约定工作或解除本合同后返还甲方。

保密信息一旦泄露，泄露方应及时通知。

11.3若其中一方因法律、法规、主管部门或相关监管机构的要求或规定而需要披露任何保密资料，该一方将在法律许可的情况下，尽快把这种要求或规定通知对方，以使对方可寻求适当补救方法防止披露或豁免该一方遵守本协议的条款。

若未能取得适当的补救或本协议项下的豁免，而必须披露保密资料，该一方可以将保密资料中必须披露的部分予以披露。

11.4一方违反本合同第十一条约定的保密义务给另一方造成损失的，应赔偿给另一方造成的全部经济损失。

第十二条 不可抗力(通用条款)

12.1本合同所称不可抗力，是指任何一方在签署本合同时不可预见的，不能克服的，且无法避免的，并阻碍该方全部或部分履行本合同义务的情形，包括地震、天灾、叛乱、暴动、内乱、战争、任何政府政策、法律法规的调整以及政府行为等其他事由或因素。

12.2发生不可抗力事件，导致受影响的一方因此无法履行任何本合同项下义务的，则在不可抗力事件持续期间，因此受阻履行的义务应予中止，履行期限应自动延长，且受阻履行义务的一方免除相应违约责任。

12.3声称受到不可抗力事件影响的一方应尽可能在最短的时间内通过书面形式将不可抗力事件的发生通知另一方，并在该不可抗力事件发生后_____日内向另一方提供关于此种不可抗力事件及其持续时间的适当证据及合同不能履行或者需要延期履行的书面资料。

当事人迟延履行后发生不可抗力的，不能免除责任。
