鉴于甲方作品为自创歌曲或拥有其版权及相关邻接权(作品具体名称见附件《作品登记表》).鉴于乙方具有版权保护职能,接受委托后具有版权认证,版权保护,版权代理等相关权限.基于上述方面，为使甲方作品得到相应的版权保护和维权措施以及作品更好的发展、传播。

甲方决定将作品交由乙方进行版权认证和代理，经协商一致，达成协议如下：

1.甲方权利及义务(1)甲方需将认证作品相关资料如：歌词，曲谱，歌曲MP3，作者资料等上传至乙方指定合并授权原创天下将甲方歌曲在本站进行展示、播放、推广。

(2)甲方需支付乙方每首30元版权登记认证费，在资料上传后的三日内银行汇款至帐户名：______________________________开户行：_______________帐号：_______________或邮局汇款：_______________收款人：_______________地址：_______________(3)甲方在得到版权登记认证证书日起，如发现有他人侵权现象，可向乙方举报。

乙方将在5个工作日内取证，并提供律师协助维权。

(4)甲方同意将其作品授权乙方代理其作品与第三方进行商业合作。

所得利润扣除营业税后，70%归甲方所有，30%归乙方所有。

所得税由各自承担。

(5)甲方保证享有授权乙方委托的权利，并无以相同的方式授权于其他管理部门。

(6)甲方可以对已经面临、或者可能发生的纠纷，向乙方提出要求，进行论证提出解决方案，或者参与非诉讼谈判、协调、调解。

(7)甲方保证拥有上述授予乙方的权利。

如因上述权利的行使侵犯他人权益，甲方承担全部责任，并赔偿因此给乙方造成的全部损失，2.乙方权利及义务(1)乙方需在甲方版权费到帐起30个工作日，完成对甲方音乐作品的登记认证工作，并将登记认证证书邮寄给甲方保存。

(2)乙方需负责对甲方登记认证作品进行推广及宣传。

(3)乙方同意甲方授权，为乙方代理其作品与第三方进行商业合作。

所得利润扣除营业税后，70%归甲方所有，30%归乙方所有。

所得税由各自承担。

(4)乙方在实施本协议的过程中，应尊重甲方享有的参与权、知情权，同时甲方可向乙方提出合理的建议和意见。

(5)乙方为了有效保护甲方授权的权利，有权聘请律师代替甲方向侵权者提起诉讼。

如何诉讼及诉讼成本等，根据实际情况与甲方共同商议决定。

(6)乙方受托甲方授权的权利带来的收益(含诉讼收益)，按实际收益扣除10%服务费后，及时支付给甲方。

(税收各自承担)(7)乙方根据《著作权法》规定使甲方授权的权利得到尽可能有效的保护。

3.所得利润支付方式：(1)乙方在每次实际收到款项后十个工作日之内，将应付甲方金额按甲方指定付款方式付给甲方。

(2)甲乙双方按《税法》规定各自缴纳税收。

4.本合同有效期为5年，至期满前60天甲方未提出书面异议的，本合同自动延续5年，之后照此办理。

5.甲方有权通过终止本合同收回授权乙方代理的权利，但应书面通知，在通知前签订的合同仍然有效，直至履行完毕止。

6.在本合同履行过程中发生的争议，由双方当事人协商解决;协商不成的任何一方均有权向乙方所在地人民法院起诉。

7.本合同变更及未尽事宜由双方另行约定，与本合同有同等法律效力。

8.本合同自双方签订之日生效。

本合同一式二份，各执一份。

9.本合同视同授权委托书。
