乙方：

甲乙双方本着诚实信用，平等互利，协商一致的原则签订本协议，以供双方共同遵守执行：

一、经销区域

1、甲方授权乙方为______（abperl）纳米玻璃保护液（100ml装）在___________地区的___________经销商；

2、乙方必须首选______产品作为向客户宣传及推荐使用的产品，并不得销售其他厂家类似产品，不得销售假冒______产品，否则甲方有权取消乙方___________经销权，直至追究法律责任。

二、经销价格及任务

2、在协议期内，如乙方连续三个月未能完成销售任务或累计三个月未能完成总任务额的70%，则甲方有权另选经销商，乙方的________经销权自行解除。

五、交货数量、规格及交货方式与期限

1、交货数：以乙方向甲方提供的加盖业务专用章并经签字的有效书面定货单为准。

2、交货方式：甲方在收到乙方定货单所列货物的全款的五个工作日内，负责将乙方所订货物交运输部门办好托运手续（特制、订制及另有约定交货期的除外）。产品到乙方法定经营场所所在地市，到岸后费用由乙方承担，并传真托运单给乙方。如乙方需要使用其它运输方式（如中铁快运、航空运输、特快专递等快运方式）甲方可代办，但费用由乙方承担。

3、对批量较大的定货（超出分解任务计划部分）乙方应提前通知甲方以便甲方及时组织生产并供货。

4、乙方在甲方发出货物的六天内（以托运单日期为准）如未收到货物的，应立即向甲方联系追查。若在甲方发货之日起十天内，乙方没有向甲方提出货物未到异议，则视为乙方收齐甲方所发货物数量、规格并验收合格完毕。

六、质量标准与验收

1、质量标准：甲方供给乙方的产品质量须符合国家相关产品标准，并向乙方提供相关证明文件。

2、验收：乙方收货时须对货物进行验收。如乙方收货时发现货损、货差等问题，应及时与运输部门办理好有关确认手续，并及时反馈给甲方，按国家有关规定执行。如甲方产品有质量问题，乙方需在收货之日起三天内书面告知甲方。

七、售后服务

1、乙方应做好售后服务工作。如客户提出甲方产品有质量问题要求退换，经查实确属产品质量问题的，乙方应先予客户退换。甲方实行包修、包换、包退。

2、若乙方滞销产品要求退换货的（特制、定制品甲方不接受退换），退换货量不得超过该批进货量的5%，且产品包装完好无损，产品应整件退换，经甲方同意予以更换等值产品，但乙方需承担来回运输费用及扣除10%退货金额作为甲方包装、人工费用。超出退换货标准的由双方协商处理，乙方除需承担来回运费外，最少扣除15%退换值作为甲方损失的补偿。

3、乙方由于经销期满或双方中途终止协议，乙方退货，货值按进货价80%计算，并开具退货等值发票给甲方，无票的只能按进货价的60%计算，并由乙方承担退货费用（含运杂费）

八、市场推广及广告

1、甲方负责全国性的广告宣传和推广，并有义务协助乙方策划及市场推广。在甲方实施推介活动时，乙方应予以配合。

2、合作期内乙方必须维护甲方的企业形象，宣传和提高甲方产品的知名度，乙方要严格按甲方要求进行品牌宣传活动。

3、乙方在进行区域性广告宣传时须知会甲方，广告制作应接受甲方指导，乙方在制作或代为甲方制作用于甲方产品销售相关广告资料时，须取得甲方书面确认。如乙方提出可行性的区域性宣传方案需甲方承担费用的，费用分担及实施办法由双方另行协商。

4、甲方根据乙方实际进货额按比例配备相关广告、宣传、促销用品。

5、乙方应从协议签定之日起叁个月内，在所辖区域内建立____个以上的分销商（点），且每个分销商（点）必须具备符合甲方要求的展示区，且在经营过程中必须督导分销商（点）维护其形象。

九、违约责任

1、甲方无正当理由不能按期交货，延期一周以上，每延期一周应偿付乙方不能交货部分货款的2%违约金，偿付总额不能超过6%。

2、如乙方违反本协议跨区域销售，一经查实，乙方向甲方偿付跨区域销售总额8%－100%的违约金，以补偿受侵害区域的经销商。

3、若乙方违反本协议中任一条款，甲方有权终止本协议。

1、随机数函数：

=RAND

首先介绍一下如何用RAND函数来生成随机数(同时返回多个值时是不重复的)。RAND函数返回的随机数字的范围是大于0小于1。因此，也可以用它做基础来生成给定范围内的随机数字。

生成制定范围的随机数方法是这样的，假设给定数字范围最小是A，最大是B，公式是：=A+RAND*(B-A)。

举例来说，要生成大于60小于100的随机数字，因为(100-60)*RAND返回结果是0到40之间，加上范围的下限60就返回了60到100之间的数字，即=60+(100-60)*RAND。

2、随机整数

=RANDBETWEEN(整数，整数)

1.23.使用方式：乙方同意，在使用过程中，甲方有权根据需要对该录音作品进行适当的修改、编辑，且该种修改得由甲方自行或许可第三方为之，但以不造成对乙方作品实质上的更改为限。同时，甲方有权自行决定是否采用乙方制作的录音作品。

1.24.甲方自行或许可他人行使上述权利时，或在其他任何情况下，乙方对该作品的署名权不受侵犯。甲方将以行业惯例之通行做法以最合适方式在相关页面上展示和体现甲方的署名权，乙方署名方式为录音制作者： 。但因技术和服务方式无法展示的情况除外。

1.25.甲方有权将录音作品应用在影视剧的衍生产品、影视剧的宣传片或预告片以及其他宣传活动中。

1.26.甲方有权无偿使用或授权他人使用乙方的姓名和肖像，但此使用仅限于对该影视剧的宣传之目的。

1.27.未经甲方同意，乙方不得在影视剧公映之前向任何第三方泄漏剧情、演员、拍摄进度等其所知晓的与影视剧相关的一切信息。若本合同未生效，乙方不得泄露在签约过程中知悉的甲方的商业秘密。乙方若违反上述保密义务，乙方应赔偿甲方因此而遭受的经济损失。

第二条 声明与保证

2.1.双方互相向对方声明、陈述和保证如下：该方是合法设立并有效存续的独立法人和/或有完全行为能力的自然人；该方有法定资格签署本合同。本合同所述的许可符合法律法规的规定；该方有能力履行其于本合同项下之义务，并且该等履行义务的行为不违反任何对其有约束力的法律文件或约定的限制。本合同一经合法签署及交付，即构成对该方合法有效的约束，并可强制执行。

2.2.乙方保证其在本合同项下录音作品署名权无争议，若发生署名权争议问题，一切责任由乙方承担。乙方保证其对该录音作品独家享有完整、独立的版权而且其内容不违反法律法规、不侵犯任何第三方财产权、著作权、专利权或其他任何合法权益。乙方保证甲方在合理范围内行使权利而侵犯他人合法权益或引起任何纠纷、争议、诉讼或其他法律程序的，应由乙方承担相关法律责任，并赔偿甲方因此而产生的任何及所有损失，包括但不限于合理的法律费用及支出等。

2.3.甲方保证履行此合同中的义务和责任，包括提供所需文件和支付录制费用，并协助乙方履行本合同。

2.4.乙方应根据甲方委派的监制人提出的要求进行音乐作品的录制。乙方在录制音乐作品的过程中应接受甲方的指导和管理，但甲方的指导和管理行为不得干涉乙方的正常工作或违反行业惯例。否则，乙方有权终止合同。乙方应勤勉、尽责、高效地进行音乐作品的录制。

第三条 违约责任

3.1.甲乙双方应正当行使权利，履行义务，保证本合同的顺利履行。任何一方违反本合同项下的任何规定，均应当承担违约责任；给对方造成损失的，应赔偿对方由此所遭受的全部经济损失。

3.2.甲方未履行或未按约定履行本合同规定的义务，应分别承担相应的违约责任，具体如下：①若甲方未如期向乙方支付酬金，每逾期一日，应向乙方支付逾期酬金的千分之____作为违约金；②若因甲方原因导致本合同解除的，则不论录制工作的进度如何，甲方应向乙方支付尚未支付的酬金。

3.3.乙方未履行或未按约定履行本合同规定的义务，应分别承担相应的违约责任，具体如下：①乙方未依据本合同的规定按时完成并交付音乐作品，每逾期一日，乙方应向甲方支付违约金人民币____元；②若因乙方原因导致本合同解除的，则乙方应退还甲方已向其支付的酬金并赔偿甲方因此而遭受的一切经济损失。

第四条 合同的变更

4.1.本合同履行期间，发生特殊情况时，甲、乙任何一方需变更本合同的，要求变更一方应及时书面通知对方，征得对方同意后，双方在规定的时限内（书面通知发出____天内）签订书面变更合同，该合同将成为本合同不可分割的组成部分。

4.2.未经双方签署书面文件，任何一方无权变更本合同，否则，由此造成对方的一切经济损失，由责任方承担。

第五条 合同的解除

5.1.在本合同履行过程中发生下列情形之一，甲方可以通过书面形式通知乙方、乙方的合法监护人而解除本合同：

5.1.1.乙方未能按本合同的规定交付音乐作品，经甲方催告后____日内仍未完成并交付；

5.1.2.乙方部分或完全丧失民事行为能力致使其不能继续履行本合同；

5.1.3.乙方在本合同第二条中所做的保证不真实。

5.2.在本合同履行过程中发生下列情形之一，乙方可以通过书面形式通知甲方而解除本合同：

5.2.1.甲方拖欠乙方音乐作品许可使用费累计达到乙方全部应得酬金的百分之____；

5.2.2.甲方破产、解散或被依法吊销企业法人营业执照且无权利、义务承受人的。

5.3.除本合同规定的情形之外，甲乙双方皆不得擅自解除本合同。

第六条 保密义务

6.1.未经对方书面同意，任何一方不得向任何第三方泄露本合同以及与本合同相关的一切信息。若本合同未生效，任何一方不得向任何第三方泄露其在签约过程中知悉或取得且无法自公开渠道获得的另一方的文件及资料（包括商业秘密、公司计划、运营活动、财务信息、经营信息及其他商业秘密等）。

6.2.甲乙双方保证对其在讨论、签订、执行本合同过程中所获悉的属于对方的且无法自公开渠道获得的文件及资料（包括商业秘密、公司计划、运营活动、财务信息、技术信息、经营信息及其他商业秘密）予以保密。但法律、法规另有规定或双方另有约定的除外。

6.3.在本合同终止之后，甲乙双方在本条款项下的义务并不随之终止，双方仍需遵守本合同之保密条款，履行其所承诺的保密义务，直到对方同意其解除此项义务，或事实上不会因违反本合同的保密条款而给对方造成任何形式的损害时为止。

6.4.任何一方若违反上述保密义务，应赔偿对方因此而遭受的一切经济损失。

第七条 不可抗力

7.1.如果本合同任何一方因受不可抗力事件影响而未能履行其在本合同下的全部或部分义务，该义务的履行在不可抗力事件妨碍其履行期间应予中止。

7.2.声称受到不可抗力事件影响的一方应尽可能在最短的时间内通过书面形式将不可抗力事件的发生通知另一方，并在该不可抗力事件发生后十日内向另一方提供关于此种不可抗力事件及其持续时间的适当证据及合同不能履行或者需要延期履行的书面资料。声称不可抗力事件导致其对本合同的履行在客观上成为不可能或不实际的一方，有责任尽一切合理的努力消除或减轻此等不可抗力事件的影响。

7.3.不可抗力事件发生时，双方应立即通过友好协商决定如何执行本合同。不可抗力事件或其影响终止或消除后，双方须立即恢复履行各自在本合同项下的各项义务。如不可抗力及其影响无法终止或消除而致使合同任何一方丧失继续履行合同的能力，则双方可协商解除合同或暂时延迟合同的履行，且遭遇不可抗力一方无须为此承担责任。当事人迟延履行后发生不可抗力的，不能免除责任。

7.4.本合同所称不可抗力是指受影响一方不能合理控制的，无法预料或即使可预料到也不可避免且无法克服，并于本合同签订日之后出现的，使该方对本合同全部或部分的履行在客观上成为不可能或不实际的任何事件。此等事件包括但不限于自然灾害如水灾、火灾、旱灾、台风、地震，以及社会事件如战争（不论曾否宣战）、动乱、罢工，政府行为或法律规定等。

第八条 通知与送达

8.1. 甲乙双方因履行本合同而相互发出或者提供的所有通知、文件、资料等，均应按照本合同首部所列明的通讯地址、传真、电子邮件以邮寄或传真或电子邮件方式送达；一方如果迁址或者变更电话、电子邮件应当书面通知对方，否则发至本合同首部所列明的通讯地址或者传真、电子邮件系统的通知、文件、资料均视为有效送达。

第九条 争议解决与适用法律

9.1. 本合同的订立、效力、解释、履行和争议的解决均适用中华人民共和国的法律。

第十三条 合同附件

英文补充协议变更的起草

一般来说对于合同的小修改，没有必要重新签订合同，重新签订都是费时费力，也没有必要，所以都用补充协议对原合同进行修改。如果对合同改变重大的话，比如对方想换个姊妹公司来签合同，或者合同条款有多处重大变更，可以说从根本上改变了合同的内容，都可以重新签订合同的。重新签订合同有两种方式。一种是交出所有原合同的原件，然后废除，撕毁都可以，然后再签订新合同；如果对合同原件到底有多少份不清楚的话，保险起见可以先起草一个对原合同的终止协议，然后再签新合同。当然如果为了做到天衣无缝，两个合同之间权责无缝转移的话，我自己使用过这种模式，不用撕毁原合同或者起草终止协议，先在新合同中写终止原合同，一般写新合同生效后原合同立即终止，在新合同未生效前原合同保持有效。然后在新合同上盖上三种章，第一种是原合同的对方的章，第二种是新合同的对方的章，第三种是我方的章，这样操作有个缺点是财务看见合同上有三个章，如果她们不看合同内容的话，有时候容易混淆合同内容。

言归正传，给大家分享一个我起草的比较简单的补充协议。

忘了给大家说了，之前跟一位做国际工程的朋友讨论补充协议和变更怎么翻译，我倾向于合同变更翻译为amendment, 补充协议翻译为addendum.不知道大家什麽意见？不过我自己一般都是不加区分的用amendment的。
