第一条：授权范围及性质描述

第二条：授权内容

1、在本合约约定的授权范围内，甲方授予乙方使用本协议涉及音乐作品的词、曲内容即授权的词、曲著作权权利种类为：包括但不限于现行著作权法规定的所有权利种类（复制权、出租权、展览权、表演权、放映权、广播权、信息网络传播权、摄制权、改编权、翻译权、出版权、发表权、汇编权等）。

2、乙方保证充分尊重甲方对本合约之作品的署名权和保护作品完整权。

3、甲方同意乙方将本协议涉及音乐作品在任何渠道发表、传播、经营。

4、甲方同意乙方在适当的范围内基于合理使用之目的自主对本协议涉及音乐作品做适当修改或授权做适当修改。

第三条：授权作品的交付

1、甲方于本协议签订后_____日内以双方认可的方式向乙方交付乙方认可的本协议涉及音乐作品的词、曲成品内容。

2、为履行本协议之所需，应乙方要求，甲方应就授权音乐作品向乙方出具授权使用书等证明文件作为本协议附件。

第四条：权利保证

1、甲方保证对授权内容拥有合法词曲著作权，并保证授权内容不违反任何法律法规，也不侵犯任何第三方的合法权益。乙方根据本协议对该授权内容的使用无须另行取得任何第三人的同意和支付任何费用。

2、若乙方如约使用授权作品，而导致第三人（包括但不限于词、曲著作权人）就授权作品及授权内容提出异议或主张权利，乙方应于知晓该异议或主张后尽快告知甲方。若导致乙方涉诉或乙方用于商业行为的本授权音乐作品无_____常运营，因此所产生的一切法律纠纷由甲方负责解决，给乙方造成损失的，甲方负责赔偿乙方全部损失，承担乙方因此而支出的全部费用，包括但不限于任何的赔偿金、补偿金、罚款、诉讼费、_____等。

3、甲方对本协议涉及音乐作品如发生任何转让、继受之行为，必须事前书面告知乙方，且权利义务的转移不影响甲乙双方已签署协议的任何条款，乙方所获授权依本协议所载条款继受。

第五条：使用费用

第六条：协议的修改、解除、终止

1、本协议生效后，除非另有规定，任何一方不得单方面对其进行修改。对本协议的任何修改均应以书面形式作出，并经双方签字或盖章确认之后方可生效。如果对本协议的任何条款由双方一致同意修改后而与其他条款或附件的任何规定产生冲突、歧义或不一致，应以双方一致同意修改后的条款或附件为准。

第七条：不可抗力

本协议任何一方由于地震、台风、洪水、火灾、战争、_____、政府禁令以及其他不能预见并且对其发生和后果不能防止或避免的不可抗力，致使影响协议有关条款的履行的，不视为违约。但遭受不可抗力的一方应尽快就不可抗力所造成的影响书面通知对方。

第八条：违约条款

1、因执行本合约所发生的或与本合约有关的一切争议，双方应通过友好协商解决。

2、在争议的处理过程中，除正在进行诉讼的部分外，本合约的其他部分将继续执行。

3、本合同生效后，甲、乙双方当事人均应履行本合同所约定的义务。任何一方不履行或不完全履行本合同所约定义务的，应当依法承担违约责任。

第九条：争议解决

双方因本协议的订立、效力、履行和解释等发生的任何争议，应通过友好协商加以解决。协商不成，可向乙方所在地人民法院提起诉讼，进行判决。

第十条：其他

FOR THE SELLER FOR THE BUYER 「章名」 SECTION 2 「章名」 14 FOB/FAS TERMS 14.1 The shipping space for the contracted goods shall be booked by the Buyer or the Buyer‘s shipping agent __________. 14.2 Under FOB terms， the Seller shall undertake to load the contracted goods on board the vessel nominated by the Buyer on any date notified by the Buyer， within the time of shipment as stipulated in Clause 8 of this Contract. 14.3 Under FAS terms， the Seller shall undertake to deliver the contracted goods under the tackle of the vessel nominated by the Buyer on any date notified by the Buyer， within the time of shipment as stipulated in Clause 8 of this Contract. 14.4 10-15 days prior to the date of shipment， the Buyer shall inform the Seller by cable or telex of the contract number， name of vessel， ETA of vessel， quantity to be loaded and the name of shipping agent， so as to enable the Seller to contact the shipping agent direct and arrange the shipment of the goods. The Seller shall advise by cable or telex in time the Buyer of the result thereof. Should， for certain reasons， it become necessary for the Buyer to replace the named vessel with another one， or should the named vessel arrive at the port of shipment earlier or later than the date of arrival as previously notified to the Seller， the Buyer or its shipping agent shall advise the Seller to this effect in due time. The Seller shall also keep in close contact with the agent or the Buyer. 14.5 Should the Seller fail to load the goods on board or to deliver the goods under the tackle of the vessel booked by the Buyer. Within the time as notified by the Buyer， after its arrival at the port of shipment the Seller shall be fully liable to the Buyer and responsible for all losses and expenses such as dead freight， demurrage. Consequential losses incurred upon and/or suffered by the Buyer. 14.6 Should the vessel be withdrawn or replaced or delayed eventually or the cargo be shutout etc.， and the Seller be not informed in good time to stop delivery of the cargo， the calculation of the loss in storage expenses and insurance premium thus sustained at the loading port shall be based on the loading date notified by the agent to the Seller （or based on the date of the arrival of the cargo at the loading port in case the cargo should arrive there later than the notified loading date）。 The abovementioned loss to be calculated from the 16th day after expiry of the free storage time at the port should be borne by the Buyer with the exception of Force Majeure. However， the Seller shall still undertake to load the cargo immediately upon the carrying vessel‘s arrival at the loading port at its own risk and expenses. The payment of the afore-said expenses shall be effected against presentation of the original vouchers after the Buyer’s verification. 「章名」 15 C&F Terms 15.1 The Seller shall ship the goods within the time as stipulated in clause 8 of this Contract by a direct vessel sailing from the port of loading to China port. Transhipment on route is not allowed without the Buyer‘s prior consent. The goods shall not be carried by vessels flying flags of countries not acceptable to the Port Authorities of China. 15.2 The carrying vessel chartered by the Seller shall be seaworthy and cargoworthy. The Seller shall be obliged to act prudently and conscientiously when selecting the vessel and the carrier when chartering such vessel. The Buyer is justified in not accepting vessels chartered by the Seller that are not members of the PICLUB. 15.3 The carrying vessel chartered by the Seller shall sail and arrive at the port of destination within the normal and reasonable period of time. Any unreasonable aviation or delay is not allowed. 15.4 The age of the carrying vessel chartered by the Seller shall not exceed 15 years. In case her age exceeds 15 years， the extra average insurance premium thus incurred shall be borne by the Seller. Vessel over 20 years of age shall in no event be acceptable to the Buyer. 15.5 For cargo lots over 1，000 M/T each， or any other lots less than 1，000 metric tons but identified by the Buyer， the Seller shall， at least 10 days prior to the date of shipment， inform the Buyer by telex or cable of the following information： the contract number， the name of commodity， quantity， the name of the carrying vessel， the age， nationality， and particulars of the carrying vessel， the expected date of loading， the expected time of arrival at the port of destination， the name， telex and cable address of the carrier. 15.6 For cargo lots over 1，000 M/T each， or any other lots less than 1，000 metric tons but identified by the Buyer， the Master of the carrying vessel shall notify the Buyer respectively 7 （seven） days and 24 （twenty-four） hours prior to the arrival of the vessel at the port of destination， by telex or cable about its ETA （expected time of arrival）， contract number， the name of commodity， and quantity. 15.7 If goods are to be shipped per liner vessel under liner Bill of Lading， the carrying vessel must be classified as the highest ____________ or equivalent class as per the Institute Classification Clause and shall be so maintained throughout the duration of the relevant Bill of Lading. Nevertheless， the maximum age of the vessel shall not exceed 20 years at the date of loading. The seller shall bear the average insurance premium for liner vessel older than 20 years. 合同基本内容

一、甲方是依法注册成立并取得合法从事电视和电影制作资格的法人单位，甲方计划摄制电视电影《____________》（下称电影）；乙方是依法注册成立并取得合法从事电视和电影制作资格的法人单位。（或乙方是一位资深的编剧，曾在多部影视作品中担任编剧）。双方具有履行合同的能力，并对违反本合同有承担相关责任的能力。

二、甲方决定买断乙方的文学剧本《____________》全部著作版权。

鉴于此，双方本着自愿、平等、互惠互利、诚实信用的原则，经充分友好协商，订立如下合同条款，以资共同恪守履行：

第一条 工作内容及要求

一、根据甲方要求，乙方为甲方提供的《____________》为原创的、完整的文学剧本，并负责提供原编剧的作品授权证明。

二、电影文学剧本《____________》的所有版权归属乙方或乙方聘用的编剧所有，不得出现以任何形式的任何一方参与，乙方确保版权转让时的单纯性和真实可靠性。

三、乙方编剧对未定稿的电影文学剧本进行修改、润色直至定稿。

第二条 工作期限

第三条 审核与修改

一、文学剧本全部创作完成后，甲方应于接到乙方上述文学剧本之日起日内进行审核并将审核结果通知乙方，若甲方未在此期限内将审核结果通知乙方，视为甲方对乙方的创作成果予以认可，乙方工作即告结束。

二、甲方对剧本提出修改意见，应以书面形式通知乙方。乙方应根据甲方书面修改意见，于年月日前完成文学剧本的修改稿并提交给甲方的授权代理人，甲方应于该日起日内审核完毕，并将是否继续修改的决定及修改意见（若决定继续修改）书面通知乙方。

三、若甲方决定不再要求乙方对上述文学剧本的修改稿进行修改，此修改稿即为文学剧本的定稿，乙方收到甲方决定当日视为文学剧本定稿的提交日。

三、甲方对文学剧本的审核通过以甲方签字认可为准。

第四条 报酬及支付

甲方应向乙方支付（税前/税后）酬金￥____________元，酬金的支付时间安排如下：

一、甲乙双方签订本合同日起5日内向乙方支付酬金的50%即元

二、甲方送交相关机关报审通过之日起5日内向乙方支付酬金的30%即元；

三、拍摄工作结束，甲方内向乙方支付20%尾款。

第五条 甲乙双方的权利和义务

一、甲方应按规定时间向乙方支付编剧酬金，乙方应按本合同约定完成剧本工作；

二、甲方有组织人员对剧本进行讨论，提出供乙方参考的修改意见的责任，乙方有参考甲方提出的修改意见进行修改的责任；

三、乙方应确保甲方购买的版权的真实性有效性，若出现任何版权的纠纷应由乙方承担相关责任，并对甲方的损失予以赔偿。

四、乙方若无法按照甲方意见对剧本进行修改，甲方可另聘其他作者在乙方现有剧本之上进行修改，聘请的费用在应向乙方支付的稿酬中适当扣除，另聘作者署名在乙方之后。

第六条 著作权的归属

一、剧本的著作权：文学剧本的著作权由甲乙双方享有，甲方行使此摄制权无需另行向乙方支付酬金。若甲方对文学剧本重新拍摄电影、将文学剧本改编成电视剧剧本或话剧、广播剧剧本并进行摄制，应征得乙方同意并另行签署补充合同。

二、影片的著作权：电影片的著作权由甲方依法享有。若电影片得以拍摄并成功发行，乙方依法享有在电影片及相关衍生产品中的署名权。乙方署名的格式、具体位置及字体大小由甲乙双方根据国家的相关规定协商决定。

第七条 违约责任

一、甲方未按约定向乙方支付委托编剧费，每迟延一日，甲方应向乙方按总酬金的千分之五支付违约金；

二、乙方应按约定时间向甲方交稿，若不能按时交稿，除应继续履行合同外，每迟延一日，按编剧费总金额千分之五支付违约金，由甲方在第三期应支付款项中扣除；

三、乙方未经甲方同意中途停止创作，影响甲方的拍摄计划，应向甲方退还全部稿酬，并承担甲方因此而受到的实际损失。

四、因不可预见的原因导致创作无法进行时，甲方应提前3日向乙方正式提出终止创作。已支付的稿酬乙方无需退还，未支付的部分甲方不再承担。

第八条 补充与附件

本合同未尽事宜，依照有关法律、法规执行，法律、法规未作规定的，甲乙双方可以达成书面补充合同。本合同的附件和补充合同均为本合同不可分割的组成部分，与本合同具有同等的法律效力。第九条合同的效力

第二条作品权属

在实务中，有的买卖合同只是简单地约定合同款项的金额，对于款项的支付时间和支付方式却未作出约定。这一漏洞将为支付方无限期不支付或迟延支付找到借口。

另外，需方应尽量采取银行转账方式来履行支付货款。明确付款的具体期限及条件，尽量要简单、明确易实施，避免催款方因为无法举证付款条件成就而不能主张货款的风险。设定明确的逾期付款的违约责任，有效督促或威慑合同付款方。

乙方应于___年___月___日前将上述款项付至甲方银行账户。

第五条作品的交付及验收

风险提示：履行期限、地点和方式

履行期限、地点和方式要明确，履行方式是送货还是自行提货这不仅涉及运输费用的承担，而且还将涉及货物在运输途中发生毁损、灭失风险的承担问题;履行期限约定不明将会严重影响到合同内容的顺利履行、实施，产生逾期交货等纠纷。同样的合同履行地点不明也会容易引发争议。

如：有的合同对履行期限作出模糊约定，如“一个月内履行完毕”，但从何时起算一个月没有约定，这就容易使双方产生歧义，都作出对自己有利的解释;如果将期限明确化，约定在“某年某月某日前履行完毕”则就避免了歧义的产生。

甲方应自本合同签订之日起___日内将作品交付给乙方。甲、乙双方应于交付时进行验收：

1、验收方法：双方书面确认。

2、验收标准：符合本合同第一条所列作品概况，包括作者、年代、规格尺寸、质地、保存现状、瑕疵及备注内容。

3、验收结束后，甲、乙方应通过以下方式对交付的作品进行确认：甲、乙方应于作品的正视、俯视、左视照片进行签字确认。

第六条交易的中止

乙方于以下情形有权中止交易：有证据表明作品在权属、真伪、瑕疵披露等方面存在不实之处。上述情形经查证属实的，乙方有权解除合同，如乙方已支付交易款项，则甲方应于___日内退回，逾期则应按日___分之___的标准承担违约金。

第七条甲方的取回责任

本合同解除的，甲方应于___日内取回作品;逾期未取回的，乙方可收取合理的保管费。甲方要求采用邮寄方式取回的，应以书面形式向乙方提出，邮寄、保险的费用由甲方承担，乙方不承担货交承运人之后的损失赔偿责任。

第八条违约责任

风险提示：违约责任

违约责任要条款化，在出现违约情形时，能有效执行，避免纠纷。很多合同对违约责任没作约定或约定太过含糊，不具可操作性。比如有的合同约定“违反合同约定，支付违约金10万元”，这个约定就太过笼统，实务中很难操作。

具体应明确，违反合同的哪条约定，应承担何种违约责任，如：质量不符、数量不符、未按时足额付款、未及时交货等等，不同违约情况应制定相应的违约责任，另外，违约金的数额要具体化、数字化，以便于向违约方主张。

1、甲方在作品权属、真伪、瑕疵披露等方面存在不实之处的，应按本合同约定的交易价格双方向乙方进行赔偿。

2、乙方未按约定支付交易款项的，逾期不支付则应按日___分之___的标准支付违约金。

第九条不可抗力

本合同所称不可抗力是指不能预见、不能克服、不能避免并对一方当事人造成重大影响的客观事件，包括但不限于自然灾害如洪水、地震、火灾和风暴等以及社会事件如战争、动乱、政府行为等。

如因不可抗力事件的发生导致合同无法履行时，遇不可抗力的一方应立即将事故情况书面告知另一方，并应在不可抗力事件结束后____日内，提供事故详情及合同不能履行或者需要延期履行的书面资料，双方认可后协商终止合同或暂时延迟合同的履行。

第十条通知

1、根据本合同需要发出的全部通知以及双方的文件往来及与本合同有关的通知和要求等，必须用书面形式，可采用____(书信、传真、电报、当面送交等方式)传递。以上方式无法送达的，方可采取公告送达的方式。

2、一方变更通知或通讯地址，应自变更之日起____日内，以书面形式通知对方;否则，由未通知方承担由此而引起的相应责任。

第十一条解释

本合同的理解与解释应依据合同目的和文本原义进行，本合同的标题仅是为了阅读方便而设，不应影响本合同的解释。

第十二条补充与附件

本合同未尽事宜，依照有关法律、法规执行，法律、法规未作规定的，甲乙双方可以达成书面补充协议。本合同的附件和补充协议均为本合同不可分割的组成部分，与本合同具有同等的法律效力。

第十三条争议的处理

风险提示：争议解决方式

合同双方一旦发生争议，协商不成的只能求助于仲裁机构或法院。那么具体选择哪一种方式，则需要当事人双方约定，如果选择仲裁机构就一定要明确是哪个仲裁委员会，否则就会因约定不明而致约定条款无效。

当然双方也可以约定管辖的法院，而约定法院则只能在被告所在地法院、原告所在地法院、合同履行地法院、合同签订地法院、标的物所在地法院中选择其一，而不能随意选择，否则该条款无效。

本合同在履行过程中发生的争议，由双方当事人协商解决，也可由有关部门调解;协商或调解不成的，按下列第____种方式解决：

(1)提交________仲裁委员会仲裁;

(2)依法向合同签订地________人民法院起诉。

第十四条合同效力
