甲方交付作品的内容，应当符合双方的约定或者乙方的编写要求。

甲方交付的作品，应当符合下列要求：

1.内容完整、确定(包括扉页、内容提要、编写说明、目录、正文、附录、后记等);

2.体例、格式正确、统一;

3.使用标点符号、数字正确;

4.文字清晰;

5.引文准确无误(引用法律、法规、规章或者司法解释以及行业标准的，必须准确有效)。

如果甲方交付的作品不符合上述要求，乙方应当退还甲方予以修改或者补正，修改或者补正期限不得超过一个月;经修改或者补正仍不合格的，乙方有权解除合同。

第八条 作品的交付时间

甲方应于_________年_________月_________日前向乙方交付本合同约定的作品。因甲方未按时交付作品致乙方不能按时出版、发行上述作品的，甲方应依本合同约定承担违约责任;给乙方造成损失的，甲方并应赔偿乙方的损失(以金钱形式承担违约责任的，可折抵赔偿额);甲方逾期一个月仍未交付本合同所定作品的，乙方有权解除合同，并及时以书面形式通知甲方。

1.改变作品的观点或结论;

2.改变作品中的事实或者个别情节;

3.改变作品中采用的方法;

4.改变作品中篇、章、节的标题;

5.其他实质性改动。

第十条 排版、校对和审读校样

排版和校对由乙方负责。甲方要求审读校样的，乙方应予同意;但甲方应在乙方规定的合理期限内完成审读，而且不得对作品进行影响版面完整性的修改(如大量增减内容、修改版式等);因甲方的不适当修改增加的版面费用，由甲方承担，但因法律、标准、科学方法或事实的变化而必须进行的改动除外。

第十一条 装帧、封面、印数、定价

作品的装帧、封面、印数、定价，双方有约定的，依照约定。没有约定的，由乙方根据本作品的出版计划和出版行业同类作品的通常标准决定。

第十二条 出版时间

The writer of the novel is Jane Austen . Jane Austen was born at Steventon on December 16, 1775, the youngest of seven children. She received her education—scanty enough, by modern standards—at home. But quiet and uneventful though her life was, it yet supplied her with material for half a dozen novels as perfect of their kind as any in the language. The most remarkable characteristic of Jane Austen as a novelist is her recognition of the limits of her knowledge of life and her determination never to go beyond these limits in her books. She describes her own class, in the part of the country with which she was acquainted; and both the types of character and the events are such as she knew from first-hand observation and experience. But to the portrayal of these she brought an extraordinary power of delicate and subtle delineation, a gift of lively dialogue, and a peculiar detachment. 鉴于乙方具有版权保护职能,接受委托后具有版权认证,版权保护,版权代理等相关权限.

基于上述方面，为使甲方作品得到相应的版权保护和维权措施以及作品更好的发展、传播。甲方决定将

1. 甲方权利及义务

方所有，30%归乙方所有。所得税由各自承担。

(5)甲方保证享有授权乙方委托的权利，并无以相同的方式授权于其他管理部门。

(6)甲方可以对已经面临、或者可能发生的纠纷，向乙方提出要求，进行论证提出解决方案，或者参与

非诉讼谈判、协调、调解。

(7)甲方保证拥有上述授予乙方的权利。如因上述权利的行使侵犯他人权益，甲方承担全部责任，并赔

偿因此给乙方造成的全部损失，

2. 乙方权利及义务

(1)乙方需在甲方版权费到帐起30个工作日，完成对甲方音乐作品的登记认证工作，并将登记认证证书

邮寄给甲方保存。

(2)乙方需负责对甲方登记认证作品进行推广及宣传。

(3)乙方同意甲方授权，为乙方代理其作品与第三方进行商业合作。所得利润扣除营业税后，70%归甲

方所有，30%归乙方所有。所得税由各自承担。

(4)乙方在实施本协议的过程中，应尊重甲方享有的参与权、知情权，同时甲方可向乙方提出合理的建

议和意见。

(5)乙方为了有效保护甲方授权的权利，有权聘请律师代替甲方向侵权者提起诉讼。如何诉讼及诉讼成

本等，根据实际情况与甲方共同商议决定。

(6)乙方受托甲方授权的权利带来的收益(含诉讼收益)，按实际收益扣除 10 % 服务费后，及时支

付给甲方。(税收各自承担)

(7)乙方根据《著作权法》规定使甲方授权的权利得到尽可能有效的保护。

3. 所得利润支付方式：

第一条合同标的 1.本合同委托作品的要求： （1）设计作品的内容； （2）设计作品的用途及使用范围； （3）设计作品的交付时间； （4）甲方对乙方主要设计工作人员的要求。 2.在本合同履行过程中，如甲方提出新的设计要求，双方可就设计费的调整、设计成果的交付时间等相关事宜另行签订协议。 3.乙方保证所交付的设计作品具有独创性、不存在任何权利瑕疵，包括但不限于知识产权瑕疵，否则因此引起的任何法律责任由乙方负责；乙方为完成本合同委托事项而需要使用他人作品的，应保证得到该作品著作权人的有效授权。

第二条基础资料 1.甲方应向乙方提供的基础资料及协作事项如下： （1）基础资料清单； （2）提供时间和方式； （3）其他协作事项。 2.甲方保证所提供的基础资料不存在任何权利瑕疵，包括但不限于知识产权瑕疵，否则因此引起的任何法律责任由甲方负责。 3.乙方在收到基础资料后应立即检查签收。如乙方认为基础资料不符合本条要求，应向甲方说明理由，要求甲方尽快重新提供。 4.在设计过程中，如果乙方发现基础资料存在错误或前后不符的情况，应当及时通知甲方。如确属基础资料存在错误或前后不符而产生的延误及损失由甲方负责。 5.无论乙方是否书面通知甲方，告知基础资料存在错误或前后不符的情况，均不免除甲方就其基础资料存在错误或前后不符应承担的责任。

第五条工作转让 未经甲方同意，乙方不得将本合同委托作品设计的主要工作转让第三人承担，但在紧急情况下乙方为维护甲方的利益需要转委托的除外。

第六条成果转让 乙方不得在向甲方交付委托设计作品之前，自行将委托设计作品转让给第三人。双方另有约定的除外。

第七条交付方式 乙方应当按以下方式向甲方交付委托作品： 1.交付时间：______年___月___日前交付。 2.交付地点为以下第____种： （1）甲方住所地当面交付； （2）乙方住所地当面交付； （3）其他。 3.交付的载体选择以下第__种形式： （1）纸质版本； （2）电子版本； （3）其他形式的载体。

第十二条违约责任 任何一方违反本合同，给对方造成损失的，按以下约定承担违约责任： （1）甲方迟于合同约定的期限付款的，每日按应支付价款的万分之 ________（万分之一至万分之五）向乙方支付违约金； （2）乙方迟于合同约定的期限交付委托作品的，每日按未交付作品应收价款的万分之______（万分之一至万分之五）向甲方支付违约金。因乙方迟于合同规定的期限交付委托作品导致合同目的不能实现的，应返还已收取的价款，给甲方造成损失的，还应承担赔偿责任； （3）未经乙方同意，甲方为评审设计成果以外的目的使用本合同项下的设计成果或违反本合同的约定披露乙方设计成果的，应按合同价款的____倍（1—10倍）向乙方支付违约金； （4）未经甲方同意，乙方将本合同项下的设计成果披露给他人或用于本合同以外目的的，应按合同价款的___倍（1—10倍）向甲方支付违约金； （5）如一方违反其义务、承诺和保证，则应赔偿另一方的损失，以及另一方为保护其合法权益而支付的合理费用，包括但不限于_____和诉讼费，另有约定的除外。
