甲方拥有原创音乐作品版权资源，授权乙方运营甲方原创音乐作品版权内容;乙方进行第三方授权及推广，利用优势渠道资源将版权音乐作品推向全球市场。

第二条合作范围描述

1、合作区域：_________________全球各地区音乐市场及全球互联网数字音乐传播领域;

2.甲方有义务向乙方提供真实可靠的资质证明、银行账户等与正常业务经营相关的资料。

3.对于本合作协议中甲方的授权内容，甲方应承诺：_________________

a)甲方保证拥有授权原创音乐作品之著作权(或拥有合法专属授权)和录音作品表演者邻接权并有权授予本合约所订之相关权利，其权利完整合法且无侵害他人权利;如果不能取得上述合法权利，则甲方不能将该音乐作品向乙方授权。

b)甲方保证提供的授权内容不违反国家的有关政策、法规、法令;由违法内容引起的一切后果由甲方承担;甲方拥有授权原创音乐作品版权内容的合法资格，保证拥有合法的、完全的版权权利向乙方授权;合作期间与乙方共同享有该作品的著作权;对于授权内容中涉及的包括但不限于词、曲、编曲、演唱、演奏、改编、表演、录制等在内的著作权和邻接权及其他相关的权利，甲方保证其拥有完全使用权利或已通过合法渠道取得相关权利人或主管单位的合法授权，有权授予乙方依照本协议约定进行使用;乙方根据本协议对该授权使用内容的使用无须另行取得任何第三人的同意和支付任何费用。

c)甲方承诺其在本协议项下的合作中所提供的信息内容(包括但不限于：_________________歌曲或艺人图片)不会侵犯第三方的权利;若甲方使用第三方拥有版权的作品，则甲方应当获得该第三方或该第三方的代理人对乙方使用第三方作品的许可。如有任何第三方提供与本协议相同的作品内容，向乙方主张权利，应由甲方自行处理，同时由甲方承担由此给乙方造成的一切损失。

4.为保证音乐作品原始著作权权利人的合法权益，如甲方以代理方式获得著作权权利人的有关授权，则甲方需要在向乙方提供歌曲授权证明文件的同时，给出相关著作权权利人的联系方式，以备乙方进行核查;如经乙方核查出现甲方未向著作权权利人支付相应的结算款项，乙方有权暂停与甲方的结算。

5.甲方应对授权乙方使用的内容的有效许可使用期限、权利内容、授权服务产品予以明确、具体的标注及说明。

6.甲方应指定专人负责业务合作事宜，保障业务的顺利进行。在双方合作期间，甲方业务联系人及联系方式的更改需提前通知乙方。

14.甲方拥有对乙方提供的资源投入方案或营销推广方案的知情权。

乙方的权利和义务

1.乙方有权对甲方提供的音乐内容相关版权证明文件的真实性进行审核，对甲方提供的授权作品进行筛选，并对不符合乙方要求或可能侵犯第三方权利的内容不予采用。

2.乙方有权对甲方提供的资质证明及银行账户等与业务经营相关的资料的真实性及合法性进行审核。

3.因甲方所提供的授权内容的版权引起的版权问题纠纷或法律诉讼，甲方须承担全部责任(包括直接责任、间接责任、附带责任、衍生责任)和因此产生的包括庭外调解所需赔付在内的所有经济赔偿。此外，无论直接由甲方提供的授权发生纠纷，还是第三方提供的授权发生纠纷，一旦发生包含甲方权利(包括词、曲著作权、表演者权、录音录像制作者权以及表演者肖像权等)的使用出现纠纷，乙方有权在解决纠纷前临时中止相关收益的分成。

4.如甲方的授权内容受到第三方侵权，乙方有义务提供包括律师服务在内的法律支持服务，并协助甲方共同追讨甲方因被侵权而造成的损失，该服务所产生的直接成本(如律师的差旅费)费用由甲方承担。

5.乙方作为甲方在原创音乐作品引入的合作方，乙方享有在全球范围内专有使用甲方提交的音乐作品的权利;乙方将根据甲方提供的拥有音乐版权及网络传播权的音乐作品，制作专门针对不同业务渠道需要数字音乐版本，供全球不同地区的用户使用。

6.乙方有权将甲方授权内容用于乙方的网站上进行以非赢利目的的公示和用户视听。

7.乙方拥有甲方授权作品在全球销售的产品定价权;有权利用自身资源和运营商的资源对合作产品进行自主的宣传和营销，并将运营商及运营项目增减情况及时通报甲方。

8.乙方有义务甲方向提供真实准确的结算数据并在双方对帐之后按照协议规定予以结算。

9.乙方承诺自觉遵守国家和行业制定的各项法律和行业规范,如有违反规定的行为，将自行承担并赔偿由此产生的一切经济和名誉损失。

10.乙方在合作推广过程中如涉及演艺活动等推广，乙方与甲方另行协商。

11.乙方按本协议约定，承诺使用授权作品和信息，不将原创音乐作品相关内容转入其他方面使用。

第四条合作方式

1.在甲方提供的授权内容版权完整(有录音录像制作者、表演者、词、曲作者或者著作权人授权)的情况下，甲方与乙方就原创音乐作品及数字音乐内容采用分成的方式结算。分成比例为：_________________甲方55%，乙方45%。就本协议项下的合作服务所产生的所有成本和税负，双方自行承担各自税、费。

双方承诺严格保守在本协议执行过程中得知的对方商业秘密(包括本协议内容)，未经书面许可不得向第三方披露(国家法律法规另有规定的除外)，本条规定在本协议终止后对双方都具有约束力。

第八条违约责任

1.如果本协议的任何一方违反本协议所规定之义务，违约方应在收到守约方要求纠正或补救其违约行为的书面通知之日，立即停止其违约行为，并在十五(15)日内赔偿守约方因此遭受的损失。本协议双方均有过错的，应根据双方实际过错程度，分别承担各自的违约责任。

2.如违约方在收到守约方发出的关于违约方违约的书面通知后十四(14)日内仍未停止违约行为，守约方有权单方面立即终止本协议，并要求违约方承担损害赔偿责任。

3.由于自然灾害等不可抗力的因素以及而不能履行本协议，甲乙双方均不承担违约责任。

4.甲乙双方应正当行使权利，履行义务，保证本协议的顺利履行。

5.任何一方没有充分、及时履行义务的，应当承担违约责任;给其他方造成损失的，应赔偿其他方由此所遭受的直接和间接经济损失。

第九条争议的处理7

1.本协议履行过程中如有争议，双方应首先通过友好协商解决。若不能达成一致意见可向协议签署地人民法院提起诉讼。

2.本协议的订立、执行和解释及争议的解决均应适用中华人民共和国法律。

第十条协议生效和变更

1.本协议自双方签字盖章后生效。协议一式两份，双方各持一份，具有同等法律效力。附件作为本协议不可分割的一部分，为本协议的补充。

2.协议内容如需修改、补充、变更，应由双方书面确认方为有效。

第十一条协议的补充

本协议未尽事宜，由双方协商一致后另行共同签订补充协议作为本协议有效组成部分。

第十二条不可抗力

由于地震、台风、洪水、火灾、战争、罢工、政府禁令以及其他不能预见并且对其发生和后果不能防止或避免的不可抗力，致使影响协议有关条款的履行，双方应按照本协议的部分义务，或者延期履行本协议。————(本行以下无正文)————

Good afternoon, teachers.

I am very glad to be here for this interview. First let me introduce myself. My name is abc, 25 years old. I come from Weifang, a beautiful city of Shandong Province. I graduated from Commercial College in July, 20xx and major in finance. Then, I was a teacher in abc, When I was a senior school student, I am interested in thought and began to read a certain classic work of Marxism, especially I finished reading “the florilegium of Mao ZeDong”. From then on, I have dabbled in more and more theoretical works and accumulated great interests in theory study, especially in Marxism.

I have a dream, a dream of my study. I wish devote my whole life and energy into the development of the Marxism. If I have the opportunity to study in abc University, I’ll dabble in as much as document about the specialty as possible. If it is possible, I want to get the primary accomplishment in my major, at least, a stable basis.

Personally, for today’s China, the first task to the development of Marxism is a process of construction. That’s to say, we should understand Marxism mostly from the aspect of construction and development of social society.
