第三人(包括但不限于词、曲著作权人)就授权作品及授权内容提出异议或主张权利，乙方应于知晓该异议或主张后尽快告知甲方。若导致乙方涉诉或乙方用于商业行为的本授权音乐作品无法正常运营，因此所产生的一切法律纠纷由甲方负责解决，给乙方造成损失的，甲方负责赔偿乙方全部损失，承担乙方因此而支出的全部费用，包括但不限于任何的赔偿金、补偿金、罚款、诉讼费、律师费等。

3、甲方对本协议涉及音乐作品如发生任何转让、继受之行为，必须事前书面告知乙方，且权利义务的转移不影响甲乙双方已签署协议的任何条款，乙方所获授权依本协议所载条款继受。

第六条：协议的修改、解除、终止

The people of China have been very much in my thoughts over the past two weeks as I have watched, with mounting concern, the effects of the devastation caused by the terrible earthquake in Sichuan Province. It has been most impressive to see the marvellous way in which the Chinese humanitarian operations have brought swift and effective relief to those affected. I am articularly pleased that the Wenchuan Earthquake Orphan Fund has been established, to help the children who have lost their parents in the disaster.

Since then I began to get rid from bad habits like dependent on people and have no patience for things. My study turned out to be better and better after that and the second year , I was honor to have a scholarship from Tongji University.

Secondly , my personality has been changed a lot during my college life. When I was a senior high student all I had to do is study but since I came to Tongji University I joined many communities like the English Corner, the climbing club, the Drama Club. 4.3 本合同生效的同时，乙方应向甲方出具足以使甲方能够代表乙方就本合同项下文字作品的交易对外洽谈、签约的授权委托书

4.4 甲方有责任为本合同项下文字作品尽力争取相对实力雄厚的购买方和最大化的交易价格;

4.5 甲方有责任为乙方争取各种适合本合同项下文字作品的交易机会，将针对本合同项下文字作品所进行的工作及时回馈给乙方

4.6 甲方不应以任何方式要求乙方对文字作品进行违背国家法律、法规和社会公共道德的修改;

4.7 甲、乙双方在任何场合下，必须维护对方形象，不得以任何形式指责、诋毁、中伤对方;

4.8 为了乙方的利益，甲方可将本合同项下所享有的权利部分或全部转托第三方行使，但甲方转托第三方行使后，乙方所享有的权利不应低于本合同的约定，受转托的第三人应得的报酬由甲方承担;

4.9 甲方必须在乙方文字作品的交易价款全部到账后七日内向乙方支付其应得的部分;

4.10 甲、乙双方的联系方式为本合同落款处的各种方式的任意一种。任何一方联系方式的变化均应及时通知对方。本合同有效期内，乙方不得以任何理由回避或拒绝与甲方的联系，根据甲方要求，无正当理由，乙方不得拒绝参加与本合同项下文字作品意向购买方的接触、商谈;

4.11 本合同期满，如果乙方就本合同第一条规定的事项继续对外委托的，在同等条件下，甲方享有优先签约权。

五、代理酬金

5.1 乙方以本合同项下文字作品交易价款的______%作为对甲方的酬金。该款项由甲方在收到交易价款后向乙方支付其应得部分时直接扣取;

5.2 甲、乙双方自行承担各自收入应当交纳的税金。

六、合同的变更与解除

6.1 本合同经甲、乙双方协商一致可以变更或解除，但变更或解除的请求必须以书面形式向对方提出，在未得到对方书面答复同意，或双方共同签订变更或解除合同的协议之前，任何一方均应严格按本合同约定的条款履行;

6.2 非不可抗力原因，乙方提出并得到甲方同意解除合同的，甲方有权要求乙方支付因签订和履行本合同所支出的费用。

七、违约责任

7.1 乙方违反本合同第4.2条之规定，背着甲方就本合同项下文字作品与第三方私下达成交易，除应依第5.1条之规定向甲方支付酬金外，还应以该酬金的一倍向甲方支付违约金;

7.2 乙方与第三方接触、商谈时虽告知甲方，但在允许甲方知道的交易合同之外又与第三方就本合同项下文字作品达成交易、收取价款而损害甲方利益者，基于该交易所获取的价款归甲方所有;

7.3 乙方违反本合同第4.11条之规定，本合同期满或终止后，乙方就本合同第一条项下的事项对外委托而侵犯甲方优先权的，应依本合同第5.1条之规定向甲方支付酬金;

7.4 本合同期满或解除终止后，乙方就本合同项下文字作品与本合同有效期内甲方接洽的意向购买方以等于或小于甲方向乙方报告的价格达成交易的，乙方应以此交易价格并依本合同第5.1条的规定向甲方支付酬金;

7.5 自乙方将文字作品交付甲方之日起60日内，甲方仍没有将文字作品上载其网站宣传，也没有其他实质性的将文字作品信息公之于众者，乙方有权单方解除合同，甲方应向乙方支付违约金_________元。

八、协议补充与争议解决

8.1 本合同未尽事宜双方可友好协商并另行订立补充协议予以完善。

8.2 因本合同的签订、履行等一切事宜而产生的纠纷，双方协商解决，协商不成的，由甲方所在地人民法院裁决。

九、协议生效

本协议一式贰份，甲、乙双方各执一份，自甲方盖章并乙方签字之日起生效。
