7.3 如果第一次考核不合格是乙方责任，乙方应自费再次派遣技术人员进特第二次考核。

7.4 经过第二次考核仍不能合格验收，若责任在于乙方，刚乙方须赔偿甲方遭受的直接损失。并采取措施艄除缺陷，进行第三次考核。

第八条 技术改进

第九条 保证和索赔

3、甲乙双方将按本协议第4条的约定对本协议项下合作所产生的收益进行分乙方的权利义务

(1)乙方应按本协议约定或甲方要求为甲方提供内容资源，并按甲方要求为甲方及其各关联公司就授权内容分别出具授权证明。

(2)本协议期间如乙方增加任何新签约艺人，或签约艺人有任何新专辑或新增内容/歌曲，乙方可将新签约艺人的歌曲/内容，新专辑及新增内容/歌曲授权予甲方使用，并出具相应的授权证明。

(3)乙方负责在其签约艺人发布新专辑的cd、dvd、卡带等载体中，以在专辑封底印刷或夹带宣传单页等方式宣传双方合作业务(包括但不限于双方合作产品代码、歌迷俱乐部专用代码和指令、ivr号码及其它相关合作业务)。

(4)乙方保证对向甲方提供的内容资源拥有全部版权或已获得权利人或权利人代理人的合法授权，并保证该内容资源不侵犯任何第三方的合法权益，也不违反任何法律法规，可以授权甲方用于本协议项下合作业务。如乙方所提供的内容资源导致任何法律纠纷，由乙方负责解决，并应赔偿甲方由此遭受的损失。

(5)若乙方提供的内容资源的使用期与本协议有效期存在冲突，以内容资源的使用期为准。其到期前一个月内乙方将向甲方出具书面的《下线通知》，甲方收到通知后如无异议，须按照《下线通知》约定的时间将内容资源下线。

(6)授权人、演唱者、词曲作者之间的纠纷，甲方不负责。

8、违约责任

(2)在违约事实发生以后，经守约方的合理及客观的判断，该等违约事实已造成守约方履行本协议项下其相应的义务已不可能或不公平，则守约方有权以书面形式通知违约方提前终止本协议，违约方应赔偿守约方因违约方之违约行为而遭致的损失。

9、不可抗力

(1)“不可抗力”是指甲乙双方不能合理控制、不可预见或即使预见亦无法避免的事件，该事件妨碍、影响或延误任何一方根据协议履行其全部或部分义务。该事件包括但不限于政府行为、自然灾害、战争或任何其它类似事件。

(2)出现不可抗力事件时，知情方应及时、充分地向对方以书面形式发通知，并告知对方该类事件对本协议可能产生的影响，并应当在合理期限内提供相关证明。

(3)由于以上所述不可抗力事件致使协议的部分或全部不能履行或延迟履行，则甲乙双方于彼此间不承担任何违约责任。

10、协议期限与终止

(1)本协议自各方法定代表人或授权代表签字盖章之日起生效，签字盖章日期不一致的，按后签字盖章日期为生效日期。本协议有效期为__________年，协议期满前三十日内，甲乙双方将就本协议续签或变更事宜进行协商。

2.4本合同产品不包括乙方外购件的专利技术，但乙方必须问甲方提供外购件的样本和技术说明资料与制造厂商的名称。

2.5乙方有责任接收、安排甲方赴乙方培训的技术人员，乙方应设法使其掌握上述合同产品专利技术。（详见本合同附件五）

2.6乙方负责自费派遣技术人员赴甲方进行技术服务。（详见本合同附件六）

第三条 合同价格

鉴于：

1.甲方是依法注册成立并取得合法从事电影制作资格的法人单位;

2.乙方依法享有文字作品《___________》(下称“文字作品”)的著作权;

3.乙方自愿将文字作品提交给甲方，以供甲方决定是否采用文字作品拍摄电影片。

甲乙双方根据平等、自愿、诚实信用的原则，经友好协商，特达成如下条款，以资共同遵守：

第一条 乙方应于本合同签署之日起____日内将文字作品的电子版本和打印稿或者文字作品手稿的复印件提交给甲方，因此而产生的相关费用由乙方自行承担。

第二条 甲方阅读文字作品后，可就是否采用文字作品及其他相关事项与乙方进一步协商。

第三条 乙方有权将与文字作品相同或类似的文字材料提交给除甲方以外的任何第三方。

第四条 乙方保证其依法享有文字作品的著作权，有权许可他人行使文字作品的有关权益。

乙方若违反上述保证，应赔偿甲方因此而遭受的相应损失。

第五条 若甲方有意采用文字作品，应当与乙方协商，另行签订书面合同。

第六条 未经乙方同意，甲方不得使用乙方提供的文字作品。甲方擅自使用乙方提供的文字作品的，应当向乙方支付补偿金，补偿金的数额不得低于相同情况下乙方许可他人使用文字作品能够获得的酬金。

第七条 甲方使用自己或任何第三方享有著作权的、与文字作品相同或类似的文字材料，不属于本合同第六条中的“擅自使用文字作品”，不必向乙方支付补偿金。

第八条 甲乙双方应当签署并遵守有关文字作品的保密协议。保密协议由甲乙双方另行签署。

第九条 甲方应于乙方向其提交文字作品之日起____日内决定是否愿意采用文字作品并书面告知乙方。

若本条规定的期限届满，甲方仍未告知乙方是否愿意采用文字作品，视为甲方决定不采用文字作品，但经乙方同意，甲方仍可采用文字作品。

第十条 若甲方决定不采用文字作品或依据本合同第九条的规定视为甲方决定不采用文字作品，甲方应于作出决定之日或本合同第九条规定的期限届满之日起___日内将乙方向其提交的所有资料退还乙方或按照乙方要求予以销毁，由此产生的费用由甲方承担。

第十一条 若甲方不慎将乙方向其提交的有关资料丢失，甲方不必因此向乙方承担任何责任，但应将资料丢失情况及是否需要乙方重新提交相关资料书面告知乙方。

第十二条 甲乙双方因履行本合同而相互发出或者提供的所有通知、文件、资料等，均应按照本协议扉页所列明的通讯地址、传真以邮寄或传真方式送达;一方如果迁址或者变更电话，应当书面通知对方。

通过传真方式的，在发出传真时视为送达;以邮寄方式的，挂号寄出或者投邮当日视为送达。

第十三条 未经甲乙双方签署书面文件，不得对本合同进行更改。

第十四条 事先未经对方书面同意，一方不得将其在本合同中的权利或义务全部或部分转让给任何第三方。

第十五条 在本合同履行过程中发生的争议，由双方当事人协商解决;协商不成的，按下列第___种方式解决：

1、随机数函数：

=RAND

首先介绍一下如何用RAND函数来生成随机数(同时返回多个值时是不重复的)。RAND函数返回的随机数字的范围是大于0小于1。因此，也可以用它做基础来生成给定范围内的随机数字。

生成制定范围的随机数方法是这样的，假设给定数字范围最小是A，最大是B，公式是：=A+RAND*(B-A)。

举例来说，要生成大于60小于100的随机数字，因为(100-60)*RAND返回结果是0到40之间，加上范围的下限60就返回了60到100之间的数字，即=60+(100-60)*RAND。

2、随机整数

=RANDBETWEEN(整数，整数)

如：=RANDBETWEEN(2,50)，即随机生成2~50之间的任意一个整数。

上面RAND函数返回的0到1之间的随机小数，如果要生成随机整数的话就需要用RANDBETWEEN函数了，如下图该函数生成大于等于1小于等于100的随机整数。

这个函数的语法是这样的：=RANDBETWEEN(范围下限整数，范围上限整数)，结果返回包含上下限在内的整数。注意：上限和下限也可以不是整数，并且可以是负数。
