鉴于：

1.甲方是依法注册成立并取得合法从事电影制作资格的法人单位；

2.乙方依法享有文字作品《___________》（下称“文字作品”）的著作权；

3.乙方自愿将文字作品提交给甲方，以供甲方决定是否采用文字作品拍摄电影片。

甲乙双方根据平等、自愿、诚实信用的原则，经友好协商，特达成如下条款，以资共同遵守：

第六条 未经乙方同意，甲方不得使用乙方提供的文字作品。甲方擅自使用乙方提供的文字作品的，应当向乙方支付补偿金，补偿金的数额不得低于相同情况下乙方许可他人使用文字作品能够获得的酬金。

第七条 甲方使用自己或任何第三方享有著作权的、与文字作品相同或类似的文字材料，不属于本合同第六条中的“擅自使用文字作品”，不必向乙方支付补偿金。

第八条 甲乙双方应当签署并遵守有关文字作品的保密协议。保密协议由甲乙双方另行签署。

第九条 甲方应于乙方向其提交文字作品之日起____日内决定是否愿意采用文字作品并书面告知乙方。

八、甲方的责任：

8.2 租赁期内甲方不得收回出租房屋(除非本合同另有规定)，甲方保证乙方可不受干扰的享用该物业。

party a shall not repossess the leased property during the term of party a disturb of interfere with party b’s quiet enjoyment of the leased property.

8.3 在乙方遵守本合同的条款及支付租金的前提下，乙方有权于租赁期内拒绝甲方或其他人骚扰而安静享用出租房屋。

九、乙方的责任：

party b’s obligations:

9.1 乙方应按合同的规定，按时支付租金，保证金及其他各项应付费用。

party b shall promptly pay all rent ,security deposit and other charges payable by it in accordance with the terms of this agreement.

9.2 乙方应爱护使用出租房屋，如因乙方的过失或过错致使房屋设施及屋内用具和饰品受到损坏(正常损耗除外)，乙方应负赔偿责任。

paryt b shall treat the leased property with care. if as a result of party b’s negligence or misconduct, the leased property and the related facilities and accessorties suffer any damage(fair wear and tear excepted ),party b shall be responsible for compensating party a for such damages.

9.3 乙方应按本合同的约定合法使用出租房屋，不得擅自改变使用性质，不应存放中华人民共和国法律下所禁止的危险物品，如因此发生损害，乙方应承担全部责任。

十、违约处理：

十一、适用法律：

1.法人代表签署本合同并按合同要求，遵守甲方的营运细则及规章制度，充分履行本合同规定的义务，接受甲方监督。

2.依照本合同规定与甲方结算。

3.遵守国家法律、法规，遵守并执行甲方所有运用于乙方的营运细则及规章制度和有关补充修订。

4.乙方应在本合同约定的范围以内为甲方办理受托事务，非经甲方特别授权，乙方无权代表甲方或甲方其他营销商或人员，乙方应对其行为自行承担法律责任，乙方在处理受托事务中受到的损失及对第三方造成的危害，由乙方自行承担法律后果。

5.乙方不得诋毁甲方及其他营销商或人员，不得扰乱甲方及其他营销商或人员的正常经营秩序。

6.乙方应具备营销服务能力，资信良好，如在双方签订本合同之前，已有其他甲方营销商与甲方签约，则乙方不得在以已签约的甲方营销商店铺为中心的_________米半径范围内开设或发展分店。 七合同的解除或续期

1.合同期限届满，双方不再续约的，本合同自然终止。

4.合同期满，如乙方愿意与甲方续约的，应当按照甲方的有关规定办理续约申请，甲方对是否接受乙方续约申请保留最终审核权。

5.本合同期满前，乙方如欲续约，应当按照甲方在相关企业资料上公布的要求办理相关手续，否则须自行承担可能不能续约或不能按时续约的后果。 八其他

1.乙方不得以甲方职工、受托人和任何身份代表甲方发表、签署任何文件或承诺承担任何法律责任。

2.乙方签约前，已拥有包括产品介绍、营运细则及规章制度等资料，签约时乙方已经阅读并完全了解本合同及甲方各项相关企业资料，乙方同意并愿意遵守。

3.甲方应保持政策的稳定性和连续性。但甲方可根据市场突变情况及国家新的政策要求，在事先征询乙方意见基础上，对公司的营运细则及规章制度作出相应的调整，乙方若同意接受则双方续约；否则，乙方有权对甲方的上述调整提出书面异议并要求终止合同和保护其在协议终止前的权益。
