依据《中华人民共和国民法典》的规定， (以下简称甲方)与 (以下简称乙方)就 项目(单位)的林木采伐作业设计技术咨询服务，经协商一致，签订本合同。

第一条 咨询的内容、形式和要求：

1、根据《森林法实施条例》、《湖北省森林采伐管理办法》的规定要求，甲方委托乙方负责完成 项目(单位)林木采伐作业设计。

2、在甲方提供编制林木采伐作业设计所需资料基础上，乙方通过资料审查、数据库比对、现场核实等方式，分析研判采伐是否符合有关法律法规的规定。符合有关规定的，乙方依据《湖北省森林采伐技术规程》要求，实地调查拟采伐林木的面积、株数、蓄积及森林类别等情况，并编制林木采伐作业设计。

3、咨询服务最终成果以《 项目(单位)林木采伐作业设计》形式交付甲方。

4、本合同生效后，乙方应在收到甲方提供的相关资料之日起 个工作日之内编制完成林木采伐作业设计，并向甲方提供报批件壹式 份。

第二条 乙方为完成本合同项下咨询服务成立的项目组人员包括：

第三条 甲方的工作事项：

本合同生效后三个工作日内，甲方应向乙方提供有关资料和工作条件：

1、资料包括：林木权属证明、采伐林木红线范围等。

2、现场踏勘：甲方在合同生效后三个工作日内，为乙方踏勘现场提供条件，了解需采伐林木现场情况。

第四条 技术情况和资料的保密：

本项目的基础资料的著作权均归甲方所有，乙方对基础资料负有保密责任，未经甲方许可，乙方不得将其用于其它场合，在项目完成后应将基础资料归还甲方。

第五条 验收、评价方法：

林木采伐作业设计需满足本合同第一条所列需求，并符合相关审批规定。

第六条 报酬及其支付方式：

1、按照《省物价局关于林业系统服务性收费项目收费标准及有关问题通知》(鄂价费规[20__]95号)规定的收费标准，甲方需向乙方支付的服务价款人民币 元(大写 元整)。

2.1一次性付款：本合同生效后 日内一次性付清全部合同价款。

第七条 违约责任

1、若乙方逾期向甲方提交林木采伐作业设计成果(交付成果不符合甲方要求视同逾期提交)，则乙方构成违约，每延误一天，乙方应以本合同总价款为基数，按照每日千分之一的标准向甲方支付违约金。

若乙方逾期提交设计成果连续超过20个日历天，则视同乙方严重违约，甲方有权单方面解除本合同，乙方除需向甲方退还所收取的全部合同价款外，还需向甲方支付本合同总价款的20%作为违约金，并赔偿由此给甲方造成的全部经济损失。

2、若甲方无正当理由逾期付款，则甲方构成违约，每延误一天，甲方应以本合同总价款为基数，按照每日千分之一的标准向乙方支付违约金。

第八条 争议的解决办法：

因履行本合同发生争议，双方应当协商解决。双方协商不成的，选择采取以下第 种方式解决：

(1)提交 仲裁委员会仲裁。

(2)依法向人民法院提起诉讼。

第九条 其他约定：

1、本合同自双方加盖公章之日起生效;
