1、货物的品质规格条款

第1条合作内容

甲方“http：_____________//www”(网站备案号：_____________)(以下简称“内容源”)入驻乙方所有的交通工具平台，甲方授权乙方在上述平台在其平台使用内容源的内容，乙方享有对内容源的内容非专有的信息网络传播权等，乙方使用内容源的内容。双方基于本合同合作互不向对方支付任何费用。

第2条具体条款

甲方：

2.1甲方将附件所示的频道，给乙方提供对应内容，且将该频道的内容全部授权乙方使用。

2.2合作期间，甲方开设内容接口给乙方，乙方有权使用甲方接口中的对应内容。

乙方：

2.3合作期间，乙方可在以下内容为甲方进行推广：

(1)乙方在自有平台“新闻资讯”的频道内的首页位置最上方，加上“甲方标识”。

(2)乙方使用甲方内容时，新闻内容的最下方嵌入甲方banner条。

(3)乙方“新闻资讯”频道内里一个banner位置，在本合作合同有效期内为甲方进行推广，外链可跳转至“甲方appAndroid”应用页面。

(4)乙方使用甲方内容时，如果该内容属于甲方原创，在文章页标题下方应加入来源标识，如“来源：甲方”。”;如果该内容属于第三方的，则第三方来源标识不变。

(5)乙方应用分发频道内，在第一页面的位置中对“甲方”APP进行应用分发。

第3条双方权利和义务

3.1甲方的权利和义务：

(1)甲方保证其授权乙方使用的内容源及其所有内容符合国家法律法规规定，不包含国家法律法规禁止的内容;

(2)甲方保证其对授权乙方使用的内容源依法享有著作权、发行权、版权、人身权等相关权利真实、完整、准确、有效，保证乙方不会因使用内容源及其所有内容受到任何第三方的追究;

(3)甲方承诺本次授权已取得了必要的同意、批准、授权，本次授权不会侵犯到任何第三方的著作权、版权等相关权利;

(4)若甲方发现其提供的内容存在违法违规或其他瑕疵的，应在发现之日通知乙方。因此给乙方造成损失的，还应承担全部赔偿责任;

(5)甲方负责提供内容给乙方，并保证内容及时按量正常更新。

3.2乙方的权利和义务：

(1)乙方负责在乙方旗下平台收录内容源数字内容，并保证将授权内容添加到相应板块进行推广;

(2)乙方有权对甲方在数字阅读平台使用期间的合法性、正当性等进行审查;

(3)乙方发现内容源所提供的内容违法、违规或存在不正当、不恰当之处，乙方应第一时间通知甲方修改或删除，如甲方没有及时修改或删除由此产生的一切法律责任由甲方承担;

(4)乙方不得将甲方提供的资源用于非法渠道或对甲方品牌形象产生不利影响的渠道进行推广，否则甲方有权要求乙方赔偿损失。

第4条合同期限

4.1本合同约定的合作期限：_____________自年月日起(含当日)至年月日(含当日)止，共计天。

4.2合同期满，双方如无异议，则本合同自动延期。合同内容及条款不变;如有异议，任何一方应在惬意期满前一个月以书面通知的形式告知对方，双方可另行协商签署合同事宜，协商不成的，合同期限届满后本合同终止。

第5条合同的变更与解除

5.1本合同的变更，必须经双方共同友好协商，并订立书面变更合同。如协商不能达成一致，本合同继续有效。任何一方变更合同，需提前十个工作日通知对方。

5.2任何一方需终止本合同，须经双方一致同意并订立书面合同，经双方签字盖章后方可终止。未经双方一致同意，任何一方均不得单独终止本合同，否则应按单独提前终止时市场价向对方支付已使用的所授权的内容源使用费。

5.3合作期间，如果市场发生变化，乙方所有的交通资源要求或相关规定调整，国家政策法规调整或者其他不可抗力因素，乙方有权单方面修改、变更wifi的频道设置。因此导致本合同无法继续履行的，双方可选择终止合作或者协商调整合作方式。若乙方要求变更或解除本合同，不视为乙方违约且无须承担赔偿责任，但乙方需提前10个工作日通知甲方，或在事情突发后3个工作日内通知甲方。

第6条违约责任

6.1本合同经双方盖章后即具有法律效力，双方应该严格遵守，任何一方违反本合同时，在收到另一方书面通知改正其违约事项后30天内未纠正其违约行为的，另一方有权终止本合同并要求对方承担违约行为所造成的实际经济损失。

6.2如因为甲方提供的内容违反法律法规的规定导致乙方被国家机关处罚，则甲方应负责赔偿处罚给乙方所造成的损失。如甲方提供的内容导致乙方与第三方发生纠纷或者引发其他法律责任或被第三方权利人提出索赔，乙方应及时向甲方转达，由甲方直接与该权利人磋商解决。如因第三方权利人起诉，乙方为此必须支出的损失和费用(包括但不限于赔偿费用、诉讼费、律师费等支出)由甲方承担。

第7条声明及保证

7.1双方互相向对方声明、陈述和保证如下：

(1)其有资格从事本合同项下之合作事项，而该等合作事项符合其经营范围之规定;

(2)其授权代表已获得充分授权可代表其签署本合同;

(3)其有能力履行其于本合同项下之义务;并且该等履行义务的行为不违反任何对其有约束的法律文件的限制。

7.2甲乙双方在此确认，本合同不构成双方间任何雇佣关系，甲乙双方之间应为合作伙伴关系。

第8条保密条款

8.1在本合同履行期间及本合同终止后，任何一方对本合同及本合同项下的内容、签订和履行情况，以及在本合同履行过程中所获知的另一方未向社会公开的技术信息和经营信息(包括另一方客户或关联公司的上述信息)负有保密义务，未经一方书面许可，另一方不得将其披露给第三方(向双方的相关雇员、专业的财务顾问和法律顾问披露除外)。保密义务应不适用于以下信息：_____________

(1)披露方披露时，接受方已经掌握的信息;

(2)非因接受方的过错，已经或以后公开发行的信息或者其他公有信息;

(3)在不违反本合同的情况下，从其它方处接受的非保密信息;

(4)由接受方在未参考保密信息的情况下独立开发的信息;或者

(5)因法院命令、传票、其他法律或者法律程序要求披露的信息。

8.2双方应保证本方雇员履行上述义务。

8.3本保密条款的约定不因本合同的解除、终止、撤消而失效。

8.4对因合同内容的公开而造成另一方经济和名誉损失，由违约方承担法律责任并赔偿守约方一切损失。若损失无法计算的，按照双方实际合作金额的50%支付违约金。

第9条不可抗力情形

“不可抗力”是本合同双方不能合理控制、不可预见或即使预见亦无法避免的事件，该事件妨碍、影响或延误任何一方根据合同履行其全部或部分义务。该事件包括但不限于政府行为、自然灾害、战争或任何其它类似事件。出现不可抗力事件时，知情方应及时、充分地向对方以书面形式发通知，并告知对该类事件对本合同可能产生的影响，并应当在合理期限内提供相关证明。

由于以上所述不可抗力事件致使合同的不能履行或延迟履行，则双方于彼此间不承担任何违约责任。

第10条解决争议办法

因本合同引起的或与本合同有关的任何争议，由合同各方协商解决，也可由有关部门调解。协商或调解不成的，按下列第种方式解决：_____________

(1)提交位于(地点)的仲裁委员会仲裁。仲裁裁决是终局的，对各方均有约束力;

(2)依法向所在地有管辖权的人民法院起诉。

第11条其它

11.1本合同的未尽事宜协商解决或另行签定补充合同，补充合同与本合同具有同等法律效力。

11.2合同期限内乙方增加、变更和修改甲方提供的数字阅读产品，需得到甲方同意，如未得到甲方同意则由此造成的损失由乙方承担。

11.3本合同自甲乙双方盖章日起生效，合同一式两份，双方各持壹份，具有同等法律效力。
