甲乙双方经友好协商，就甲方聘请乙方担任改制重组及私募股权融资的资本运作财务顾问事宜，达成如下协议：

第一条总则

1.1甲乙双方在履行本合同过程中均须以中华人民共和国的法律法规为依据，任何一方均无权要求另一方从事法律法规所禁止的行为;

1.2甲乙双方应秉持平等互利、诚实信用的基本原则，忠实履行各自的义务，不得采取欺诈胁迫、恶意串通第三方以及其他非法手段来损害对方的利益或者为己方牟取不正当利益;

1.3甲方应尽力支持、信任乙方的工作。乙方应以正当、合理谨慎的方式来处理受聘业务，尽力维护甲方的商业利益，并保证财务顾问意见合乎法律法规、商业惯例。

2.4提供公司价值分析报告，对公司全面估值;

2.5协助甲方制作私募股权融资商业计划书;

2.6协助甲方寻找潜在投资人并进行初步评估;

2.7协助甲方对候选投资人进行尽职调查;

2.8协助甲方与候选投资人进行谈判，达成交易;

2.9甲方要求乙方协助的其他工作事项。

第三条财务顾问费及支付方式

3.1财务顾问费用包括但不限于企业调查费、方案费、咨询费、交通费、人工成本。

3.2乙方向甲方收取的财务顾问费用分为两部分：

3.2.1改制重组费：改制重组成功的收取人民币______万元(大写：______);

3.2.2私募股权融资费：融资成功的，按乙方推荐的投资人实际到账款项的3%提取;其中，该私募融资费用包括由其它中介协助取得融资的费用。

3.3甲方应按照下列方式向乙方支付顾问费用：

3.3.1协议签署后，乙方正式进场工作之日起5个工作日内预付改制重组费______元;

3.3.2乙方完成公司改制报批材料的制作并报相关部门之日起5个工作日内支付改制重组费______元;

3.3.3有关报批材料获得相关部门的批复并获得甲方股东大会批准后5个工作日内支付改制重组费_________元;

3.3.4私募股权融资费用在投资人投资款项支付至甲方账户后的5个工作日内支付实际到账款项的3%。

第四条甲方的权利和义务

4.1有权要求乙方及时完成本合同第二条所述各项工作;

4.3应为乙方提供履行本合同所必须的办公场地、设备等工作便利;

4.5应按照本合同的约定向乙方支付财务顾问费用;

4.6有权向乙方委派的工作人员提出工作建议，确保工作质量及进度，若乙方工作人员未按甲方要求及时整改的，甲方有权单方面解除合同且不予支付任何费用，乙方已收取费用应予以退还。

第五条乙方的权利和义务

5.1有权按照本合同的约定收取财务顾问费用;

5.2有权要求甲方提供从事财务顾问工作所必须的相关资料和办公场地、设备等工作便利;

5.3指派下列人员组成工作小组：______、___、___。乙方委派的人员发生变动时，应征得甲方同意，并将变动后名单书面通知甲方，接替人员应具备与前任相当的专业技能并承诺完全接受前任工作;

5.4应确保项目人员达到履行其职责所需的专业胜任能力，以应有的职业谨慎和勤勉尽责的态度执行财务顾问业务;

5.5严格依甲方的授权履行财务顾问职责，不得进行超越甲方的授权范围或任何有损甲方利益的行为;

5.6本协议签署后____日内向甲方提交改制重组方案及私募股权融资方案(详见附件)，并经甲方同意;

5.7对甲方提供的保密资料负有保密义务。

第六条合同的变更与解除

6.1除本合同另有约定外，本合同未经双方书面同意，任何一方不得予以单方面变更和解除。

6.2如果本合同任何条款因与国家新颁布的法律法规不符而无效，不影响本合同其他条款的效力;在出现这种情况时，双方应立即协商，谈判修改该条款。

6.3如果因地震、火山爆发、台风、水灾、风灾等自然灾害、战争、罢工等一方或双方当事人不能预见、不能避免并不能克服的不可抗力因素，导致本合同无法履行，任何一方均可解除本合同，双方互不承担违约责任。但受到不可抗力影响的一方应及时将事件的发生通知另一方，并采取适当措施防止损失的扩大。在此情形下，除非双方另行约定，甲方无须支付剩余顾问费用，乙方已收取的顾问费用不予退还。

6.4乙方在有充分证据证明甲方提供虚假、严重误导的财务顾问工作所需要的有关情况和资料时，可以书面提出解除本合同。在此情形下，除非双方另行约定，乙方已收取的顾问费用不予退还。

6.5甲方在有充分证据证明乙方未以谨慎、诚实、勤勉尽责的态度提供服务，不遵守职业规则或甲方的建议，可以书面提出解除本合同，并要求乙方退还已支付的顾问费。

第七条保密义务

7.1乙方承诺，乙方对其人员获悉的关于甲方的保密资料承担保密义务。

7.2本合同所指“保密资料”意为乙方人员在聘任期间通过书面材料中披露的或者通过参看场地、装备或设备看到的资料，且该资料不为公众所知悉、能为甲方带来经济利益、具有实用性并经甲方采取了保密措施的资料。

7.3在下述情況下，乙方的保密义务不适用或終止：全部或部分有关资料(1)在透露给乙方时可公开得到或因其他原因已进入公有领域;(2)非因乙方的行为遗失而在随后为公众所知;(3)在按照本合同提供给乙方之前已为乙方占有的;(4)乙方可在不保密的条件下自除甲方及其关联公司或其各自的有关人员外的来源获得的。

7.4如果国家司法、行政机关根据法律、行政法规的规定要求乙方透露任何保密资料，乙方可仅将须依法透露的有关资料的任何部分透露给上述国家司法、行政机关而无本合同项下任何责任。

第八条违约责任

8.1除本合同约定外，任何一方未经对方同意，不得提前解除本合同，否则该方应向对方支付已支付费用总额40%的违约金。

8.2甲方逾期支付费用，每逾期一日，应按应付金额的1‰向乙方支付逾期违约金。

8.3乙方违反本合同项下的保密义务或乙方未按甲方的要求在合理的时间内及时地提供服务，乙方应赔偿甲方由此而遭受的损失，最高赔偿上限为乙方本次财务顾问实际收取的费用总额。

第九条法律适用和争议解决

9.1本协议受中华人民共和国法律管辖并依其解释。

9.2对由于本合同引起或与本合同有关的任何争议，双方应尽最大努力通过友好协商解决;如协商不成，任何一方有权向中国国际经济贸易仲裁委员会申请仲裁，仲裁地点在北京。

第十条通知

10.1任何一方向另一方发出本合同规定的任何通知，均应以中文书写，以邮寄或者传真形式发出。按本合同规定发出的通知，信件递交邮局后____日视为收件日期;如以传真方式发出，发出后1个工作日视为收件日期。

一、前言：

很感谢荣幸有机会到浙江省义乌市掌坤电子有限公司实习。通过此次实践，我们初步认识了电子厂对一些简单零件的加工过程及装配工艺，了解了其市场营销环节及后勤人力资源管理方面的运作，同时也看到了它们发展中的一些问题，并思考了一些对策。此次活动意义重大，为我们进一步深化专业知识及业务流程打下基础。这次的实践时间虽然很短，但在这几个月的实习中学到了很多在课堂上根本就学不到的知识，受益非浅。

二、实习目的：通过企业认识实习，调查和了解企业产品、工艺、管理、工程布置、生存方式、营销方式等，培养感性认识，为学好专业课打好基础。

四、实习地点：浙江省义乌市国际商贸城，中国义乌国际商贸城是中国小商品城顺应市场国际化发展需要而建造的现代化批发市场。一期工程投资6亿多元，于xx年9月28日建成并投入使用。该工程占地420亩、建筑面积34万平方米，设主体市场、生产企业直销中心、商品采购中心、仓储中心、餐饮中心五大经营区，共有9000多个商位1万多户经营户。

五、实习内容：

一个偶然的机会我来到了浙江义乌有名的国际商贸城，应聘的工作跟我的实际专业并不对口，起初是对掌坤电子有限公司的基本情况进行了解，后来我从事的是电子商务，刚开始对业务都不熟悉，每天都是对着电脑跟客户聊天，让他们了解我们的产品，这时候就需要注意跟客户聊天时说话的语气，还考验了做生意的头脑，很多时候还要做对账单，所以工作起来很吃力，但是在老板和同事的关心和教导下我慢慢开窍了…因为这是一个国际化的商贸城，所以时常会有外国客户光顾，有美国的、韩国的、日本的、阿富汗的、非洲的…不得不说，来到这里我的英语口语也得到了很大的提高。在大学的时候，我们几乎很少跟外教对话，因为没有信心，又加上畏惧心理，所以自己的口语就没有得到很大的提高，来到这里之后环境让你容不得胆怯，其实真正跟外国人对话也不是很困难，只要克服了自己的心理压力，一定不要紧张，那样的话就你能流利的跟老外交谈，同时又提升了在老板心中的地位，这一点让我感到很欣慰…在义乌有一个惯例，就是每年都会举行一次大型的“义乌小商品博览会”，由于我是这里唯一一个学英语的，所以老板就把这个重任交给了我，义博会举行了5天，这5天中让我获益匪浅，跟老外交谈的过程中让我感觉到文化知识的可贵，也激发了我继续学习的动力….几个月的实习活动，我们听取了有关电子产品的历史与发展、有关其市场营销、技术生产、人力资源管理等方面的介绍，还参观了各个生产车间，对生产过程产生了感性的认识。
