第十五条专管权

（1）交易：甲方不得再将产品售予、让予或以其他方式使地区内乙方以外的任何个人、公司或其他主体取得产品。

（2）委托：甲方不得委托地区内乙方以外的其他个人、公司或其他主体作为其经销商，以进口和销售产品。

（3）询购：甲方收到地区内任何客户有关产品的询购，均应交给乙方。

（4）再进口：甲方应采取适当措施防止他人在地区内出售产品，并不得将产品卖给甲方知道的或有理由相信拟在地区内再进口或出售产品的第三者。

第十六条价格、条件

（1）价格

a.甲方给予乙方的价格和条件，应随时由甲方和乙方商定，此项价格和条件的确定并应考虑到正常贸易惯例及经常存在的市场竞争情况，使双方从销售中获得相当利润。

b.甲方给予乙方一个较稳定的市场价格，如有变动，也是每年年初发给的年度价格表。

c.如有产品价格变动，甲方应在改变价格和折扣的30天前书面通知乙

方，所有改变价格期限之前双方签定的合同一律保证价格，并按正常交货期交货。

d.乙方所享受的代理折扣由双方另行商定，但甲方应当保证乙方应获得不低于_________的折扣。

（2）单独合同：在每次具体购买产品时，双方应缔结单独合同。

（3）市场管理奖罚措施

b.处罚：乙方发生违反上述第二条市场管理条例时，甲方将对乙方进行以下处罚：（1）取消区域代理；（2）根据情况停止供货。

第十八条发货

第二十一条安装及售后服务

（1）甲方负责产品的系统安装指导。

（2）甲方对产品保修12个月，保修期内凡属甲方制造中的质量问题，由甲方负责，属乙方用户原因造成的问题，费用由乙方或乙方用户负担。

（3）保修期以外的产品，视产品的具体情况确定有偿或无偿服务，乙方应与用户积极配合甲方服务，否则造成的损失，由乙方负责。

第二十二条甲方的责任

（1）承诺并保证作为产品的总代理完全有资格与乙方签订本协议。

（2）自费提供样品和一切可以供应的广告资料。

（3）提供现行的国内价目表，并将价目表内任何预期的变更迅速通知乙方。

（4）甲方将向乙方免费提供一定数量的产品

资料。大批量的资料在必要的情况下可由乙方申请甲方提供。

（5）应及时向乙方提供其产品在国际市场上最新的行业动态信息，经常提供有利于推销产品的意见，以便乙方能采取多元化的市场推广策略和销售方式。

（6）甲方将对乙方的工程师提供全面的技术培训，并提供足够的技术支持。

（7）甲方对于乙方售出的产品，凡是属于产品质量问题的而引起的损失，一切均由甲方承担责任或给予免费更换。

第二十三条乙方的责任

（1）为在地区内推销产品并为客户服务，应自费提供和保持一个有经营能力的机构，并尽一切努力争取达到有利于甲方为利用地区内各种销售机会而制定的销售指标。

（2）乙方应根据需要，在地区内发展区域性代理商和分销商，签订合同和管理将由乙方独立负责。

（3）乙方将配备足够的销售工程师和技术工程师来配合市场销售的需求，他们会全面了解系列产品的特性及用途，并能够承担培训，现场检测服务和操作示范等任务。

（4）供给甲方有关销售产品的详细报告，以及尽可能多的有关地区内各种销售机会和竞争者推销活动的情报。

（5）乙方应尊重和保护甲方的知识产权，并保证不将售出的任何甲方产品复制后用于商业目的。

第二十四条分代理或转让

（1）非经委托人书面同意，总代理人不得将协议之任何义务或责任转让给非经委托人指定的分代理，不论经委托人如何同意的由总代理人委托的分代理，根据协议的规定不得免除代理人的任何权利、义务或责任。

（2）非经总代理人书面授权，委托人不得将本协议规定的任何权利、义务或责任予以转让或转移给他人。

（3）本协议对委托人、总代理人及各方指定的继承人均具有同等的约束力，并确保实施。

第二十五条本合同在以下几种情况下终止

（1）如任何一方有违背本协议的实质行为，另一方得以书面通知该方，叙述此种违约行为，并说明除非该方对此种违约行为按本节规定加以纠正，否则另一方将按照本节规定终止本协议。如该通知发出后_____天内仍未得到纠正，则本协议根据这一事实在上述____天内即时终止；

（2）如任何一方根据破产法或债务人救济法提出或同意提出破产申请或其他救济申请，或被裁定破产，或解散，或清理，或对债权人作任何转让，或对该方指定了产业管理人或类似人员，则在上述任何情况下，另一方得在任何时侯以书面通知即终止本协议。如果因有关法律，法规的变化导致合同一方不能履行本合同项下的义务，甲乙双方任何一方当事人均可终止本合同。

（3）如遇本协议所规定的某种不可抗力事由，以致协议一方在超过_________天期限后尚无法履行其义务时，则另一方可在任何时侯以书面通知立即

终止本协议。

第二十六条文件的归还

协议期满时，乙方应将甲方提供的全部广告资料及所有文件归还给甲方。

第二十七条存货的退回

协议期满时，乙方若储有代理产品和备件，应按甲方指示退回，费用由甲负担。

第二十八条违约责任

（1）甲方如违反国家有关政策法规，乙方有权中止合同，并由甲方承担相应的责任。

（2）除乙方认可或授予信用额度外，乙方不接受甲方任何形式的欠款。因此如甲方未能按时交纳费用时，乙方可不予受理甲方委托的业务并有权停止甲方相应产品和服务的使用权，直至取消甲方经销资格。乙方违反其他依据本合同应当承担的义务，按本合同约定承担责任。

第二十九条产品质量

（1）标准：甲方向乙方保证，所有产品均符合地区内的标准。可以出售，并适合销售目的。甲方并保证产品在原料和制造工艺方面均符合质量标准。

（2）免受损失：凡因产品被指称质量低劣，或因侵犯专利、商标，或因在地区内销售或使用产品而引起的其他任何类似的责任事由，甲方应保护乙方，使之不受损失。

（3）质量：如乙方发现任何产品质量低劣，并将此事实通知甲方，甲方应按乙方提出的要求，立即予以调换或对乙方给予补偿，其费用由甲方自行负担。对由于上述调换或补偿而引起的损害，乙方不丧失其索赔权。

第三十条竞业禁止

乙方不应与甲方或帮助他人与甲方竞争，乙方更不应制造代理产品或类似于代销的产品，也不应从与甲方竞争的任何企业中获利。同时，乙方不应代理或销售与代理产品相同或类似的（不论是新的或旧的）任何产品。

本协议规定在此协议终止后的_________年内，代理人不能生产和销售同类产品予以竞争，本协议终止后的_________年内，代理人也不能代理其他类似产品，予以竞争。

第三十一条声明及保证

第三十三条不可抗力

第七条订单的处理

第八条 费用分担

除另有约定外，所有的费用和支出，如电讯费、差旅费以及其他有关商品销售的费用，都应由代理商承担。除此以外，代理商还应承担维持其办公处所、销售人员以及用于执行卖方中有关代理商的义务而发生的费用。

第九条 佣金

卖方接受代理商直接获得的所有订单后，就应按商品净销售额的百分之_____，以______(货币)支付给代理商佣金。佣金只有在卖方收到顾客的全部货款后，每6个月支付一次，以汇付方式支付。

第十条商情报告

卖方和代理商都应按季度或按对方要求提供有关市场信息的报告，以尽可能促进商品的销售。代理商应向卖方报告商品的库存情况、市场状况及其他商业活动。

第十一条 商品的推销

在代理区域内，代理商应积极地充分地进行广告宣传以促进商品的销售。卖方应向代理商提供一定数量的广告印刷品、商品样本、小册子以及代理商合理要求的其他材料。

第十二条 工业权保护

在本协议有效期内，代理商可使用卖方的商标，但仅限于代理商品的销售。如果在本协议终止后，代理商地销售库存代理商品时，仍可使用卖方的商标。代理商也承认使用于或包含于代理商品中的任何专利、商标、版权以及其他工业产权，都属于卖方所有，并且不得以任何方式提出异议。一旦发现浸权，代理商应及时通知卖方并协助卖方采取措施保护卖方产权利益。

第十三条 协议期限

本协议经双方签字生效。在本协议终止前至少3个月，卖方或代理商应共同协商协议的续延。如果双方一致同意续延，在上述规定的条款、条件下，附上补充文件，本协议将继续有效另外_______年。发生续延，本协议将于______年______月______日终止。

第十四条 协议的中止

在本协议有效期内，任何一方当事人不履行合同或违反本协议的条款，如第五、六、十一条，双方当事人座争取及时解决争议的问题以期双方满意。如果在违约方接到书面通知后30日内问题仍不能解决，非违约方将有权中止本协议，由此造成的损失、无力偿付债务、清算、死亡以及被第三人兼并，另一方当事人可提出中止本协议，而无需书面通知对方。

第十五条 不可抗力

任何一方对由于下列原因而导致不能或暂时不能履行全部或部分协议义务的，不负责任：

自然灾害、政府采购或禁令以及其他任何双方在签约时不能预料、无法控制且不能避免和克服的事件。但受不可抗力影响的一方，应尽快地将发生的事件通知对方，并附上证明材料。

第十六条 准据法

本协议有关贸易条款应按 INCOTERM90解释。本协议的有效性、组成以及履行受中华人民共和国法律管辖。

第十七条 仲裁

对于因履行本合同发生的一切争议，双方应友好协商解决，如协商无法解决争议，则应提交中国国际经济贸易仲裁委员会(北京)，依据其仲裁规则，仲裁费应由败诉一方承担，仲裁委员会另有规定的除外。

EXCLUSIVE AGENCY AGREEMENT

Article 1. Appointment

Article 2. Agents Duty

Article 9.Commission

Article 11. Sales Promotion

Agent shall diligently and adequately advertise and promote the sale of Products throughout Territory.Seller shall furnish with or without charge to Agent reasonable quantity of advertising literatures catalogues,leaflets,and the like as Agent may reasonably require.

Article 12 .Industrial Property Rights

Agent may use the trade - mark(s) of Seller during the effective period of this Agreement only in connection with the sale of Products, provided that even after the termination of this Agreement Agent may use the trade - mard(s) inconnection with the sale of Products held by it in stock at the time of termination. Agent shall also acknowledge that any and all patents, trade - marks, copyright and other industrial property rights used or embodied in Products shall remain to be sole properties of Seller and shall not dispute them in any way. If any infringement being found, Agent shall promptly notify seller and asist seller to take steps to protect its right.

Article 13. duration

This Agreement shall enter into force on the signing of both parties. At least three(3) months before the expiration of the term, both Seller and Agent shall consult each other for renewal of this - Agreement. If the renewal of this Agreement is agreed upon by both parties,this - Agreement shall be renewed for another_________ year(s) period under the terms and conditions herein set forth,with amendments, if agreed upon by both parties. Article 14. Termination

Article 16. Trade Terms and Governing Law

The trade terms under this Agreement shall be governed and interpreted under the provisions of 1990 Incoterms and this Agreement shall be governed as to all matters including valitity,construction,and preformance under the laws of Peoples Republic of China.

Article 17. Arbitration:

All disputes arising from the performance of the Agreement should be settled through friendly negotiations. Should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission(Beijing) and the rules of this Commission shall be applied. The award of the arbitration shall be final and binding upon both parties. The Arbitration fee shall be born by the losing party unless otherwise awarded by the arbitration organization.

WITNESS THEREOF: This Agreement shall come into effect immediately after it is signed by boty parties in two original copies;each party holds one copy.

乙方：

根据《中华人民共和国劳动法》、《中华人民共和国劳动合同法》等有关法律、法规的规定，甲、乙双方遵循合法、公平、平等自愿、协商一致、诚实信用的原则订立本合同。

一、合同期限

从二O 年一月一日起至二O 年十二月三十一日止，无试用期。

二、工作内容和地点

(一).乙方同意根据甲方工作需要，担任 操作岗位(工种)工作。

(二).乙方的工作任务或职责是产品生产、分装、包装及厂部安排的其它工作任务

(二).根据甲方的岗位(工种)作业特点，乙方的工作地点为 珠海市 。

三、工作时间和休息休假

(一).甲方安排乙方每日工作捌小时，每周工作伍天。

(二).甲方因生产(工作)需要，协商后可依法延长工作时间，并支付延长工作时间的工资报酬。

(三).甲方按国家和省的规定给予乙方享受法定休假日、年休假、婚假、丧假等带薪假期。

(四).休息日和法定休假日，甲方依法安排乙方休息休假，因工作需要安排乙方休息日或法定休假日加班的，按《劳动法》相关规定安排补休或支付加班费。

四、劳动报酬

(一).乙方工资为计件工资制。公司具体计件工资单价和计算方式作为计算劳动报酬的依据。

(二).乙方按甲方的计件工资制度，每天的劳动定额和计件单价所得劳动报酬不低于本区域最低工资标准。

(三).因甲方原因，若逢生产淡季，产量无法满足计件生产的，劳动报酬按基本工资发放(不低于本地区最低工资标准)。

(四).甲方每月三十日之前发放乙方上月工资。甲方至少每月以货币形式向乙方支付一次工资。如遇节假日或休息日，则提前到最近的工作日支付。

(五).乙方因病或者非因工负伤停止工作进行治疗，在国家规定的医疗期内，甲方按国家有关规定支付病假工资(按基本工资的80%支付)。

(六).经甲乙双方协商一致，甲方可以从乙方工资中扣除以下费用：参加社会保险的个人缴费部分、个人所得税、公司规定的符合相关法律法规的其它费用。

五、社会保险

合同期内，甲方依法为乙方办理参加社会保险的手续，社会保险费的负担按社会保险法律、法规和规章的规定执行。

六、劳动保护、劳动条件和职业危害防护

(一).甲方按有关法律、法规的规定提供符合国家劳动卫生标准的劳动作业场所，切实保护乙方在生产工作中的安全和健康。

(二).甲方按国家先培训、后上岗的规定，对乙方进行安全、卫生、职业病防护知识、法规教育和操作规程培训及其他业务技术培训;乙方应参加上述培训并自觉遵守和执行甲方的安全卫生操作规程和职业病防护措施，进行安全生产和工作。

(三).甲方根据乙方从事的工作岗位，按有关法律、法规的规定，发给乙方必要的劳动保护用品，并按劳动保护规定安排乙方进行体检。

七、劳动合同的变更

甲乙双方协商一致，可以变更劳动合同约定的内容。

八、劳动合同的解除、终止

(一).甲乙双方解除、终止劳动合同依照《中华人民共和国劳动法》、《中华人民共和国劳动合同法》和国家及珠海市有关规定执行。

(二).甲方应当在解除或者终止本合同时，为乙方出具解除或者终止劳动合同的证明，并在十五日内为乙方办理档案和社会保险关系转移手续。

九、争议处理

双方履行本合同如发生争议，可协商解决或依法申请调解、仲裁和提起诉讼。。

十.其它约定的内容

(一).乙方在签订本合同时，甲方已经如实告知、交付并组织乙方全面学习了各项规章制度和劳动纪律;乙方已经全面知悉并理解甲方各项规章制度和劳动纪律的内容并且自愿遵守;乙方违反规章制度和劳动纪律的，甲方视违反情节，依据法律和单位的规章制度、劳动纪律的规定进行处理，直至解除本合同。

(二).乙方解除本合同，应当提前三十天以书面形式通知甲方，以便甲方及时安排人员接替工作，保持生活经营活动的持续性和连续性，尽量减少对甲方造成的经济损失。乙方未履行提前通知义务以解除劳动关系而自动离岗的，除《中华人民共和国劳动合同法》规定的允许情形外，应由承担赔偿甲方经营损失的责任。且在此情况下，其他用人单位招用乙方的，该用人单位与乙方对甲方构成共同侵权，甲方有权依法要求该用人单位和乙方连带赔偿经济损失。

十一.本合同未尽事宜或与今后国家、珠海市有关规定相悖的，按有关规定执行。 十二.本合同一式两份，甲、乙双方各执一份。经甲、乙双方签章生效。

中英文客户交易协议

scope of agreement (协定的范围)

all transactions and all contracts entered into between snc ??and the customer, shall be governed by the terms of this customer agreement and the terms of any additional written statements of snc ??trading regulations or snc ??additional schedules which may from time to time be set forth or amended by snc ??and which shall thereupon constitute a portion of this customer agreement, except to the extent (if any) that snc ??shall agree or notify the customer in writing that other or additional terms apply. any proposals for, additions to, or modifications of this agreement, absent written agreement by an authorized person employed by snc ??to the contrary, are void and shall have no effect.

snc 和客户之间所有交易和所有合同应受本项客户协议和任何关于snc 的交易规章，或snc 所有的附加条款约束。snc 可能随时设定或更改这些条款而即时构成客户协议的一部分。如有必要(如果有的话)，如须采用其他或附加的条款，snc 应以书面形式同意或通知客户。任何对此协议的补充或修改建议，如没有由snc 聘请的授权人的书面协议，均为无效。

this agreement refers and extends to a potential dealing relationship between the customer and snc in otc non-deliverable foreign exchange (currencies) on a spot settlement basis as is commonly dealt in the international interbank market, and all other provisions of this agreement notwithstanding, the customer agrees, understands and warrants that the dealing relationship between the customer and snc ??hereunder shall not extend at any time to the dealing, trading, brokering of or advice related to any exchange listed.

subject to the terms and conditions of this agreement, the full completion of the account setup requirements and acceptance of customer’s application to open an account with snc , snc ?will open and maintain account(s) in customer’s name for the purpose of engaging in cash settled transactions with and for customer in currencies markets on a spot settlement basis, and provide such other services and products as snc ?may, in its sole discretion, determine to offer in the future. unless expressly stated otherwise in writing, all contracts and other transactions entered into between snc and customer shall be governed by the terms of this customer agreement, including the risk disclosure statement and snc ?trading policies, to the extent annexed hereto, as amended from time to time.

risk acknowledgements （风险须知）

customer acknowledges and understands that trading and investment in leveraged otc foreign currency contracts is highly speculative, involves an extreme degree of risk, and is generally appropriate only for persons who can assume risk of loss in excess of their margin deposit. customer understands that because of the low margin/high leverage normally available in foreign currency trading, price changes in foreign currency contracts may result in significant losses. such losses may substantially exceed customer’s investment and margin deposit. by customer directing snc ?to enter into any foreign currency contract, any profit or loss arising as a result of a fluctuation in the exchange rate affecting such currency will be entirely for the customer’s account and risk.

客户确认并明白，交易和投资在场外杠杆式外汇合约是有高度投机性，涉及极端的风险程度，而且通常只适合可承担损失超过其保证金风险的人。客户理解，由于低保证金/高杠杆作用，进行外币交易时，外币汇率收缩引起的价格变动可能导致重大损失。这种损失可能大大超出客户的投资金额和保证金。客户通过snc 进入任何外汇合同，由于货币的汇率波动所造成的利润或亏损将完全属于账户承担的风险。

customer warrants that the customer is willing and able, financially and otherwise, to assume the risk of foreign currency trading, and in consideration of snc ??carrying his/her account(s), customer agrees not to hold snc ??responsible for losses incurred through following its trading recommendations or suggestions or those of its employees, agents or representatives. customer recognizes that guarantees of profit or freedom from loss cannot be given and it is impossible to predict performance in foreign currency trading. customer acknowledges that customer has received no such guarantees from snc ??or from any of its representatives or any introducing broker or other entity with whom customer is conducting his/her snc ??account and has not entered into this agreement in consideration of or in reliance upon any such guarantees or similar representations. all transactions effected for customer’s accounts and all fluctuations in the market prices of the contracts carried in customer’s accounts are at customer’s risk, and customer shall be solely liable therefore under all circumstances. customer represents and warrants that customer is willing and financially able to sustain such losses, and that the trading of spot foreign exchange (currencies) is a suitable investment vehicle for the customer. snc ?is not responsible for delays or partial or total failures in any online (electronic) trading platforms or any communications facility or other causes beyond snc ?reasonable direct control. the customer understands and recognizes that the transactions to be conducted pursuant to this agreement are not conducted on a regulated market or exchange. customer represents that it is aware of the risks inherent in the trading of otc foreign exchange (currencies) and is financially able to bear such risks and withstand any losses incurred. (for a further discussion on the risks of trading foreign exchange please refer to the risk disclosure statement).

客户权证，其愿意且能够在财务上承担外币交易的风险；并考虑虽然他/她的帐号是由snc 开通，如其雇员，代理人或代表提供交易建议，他们对建议导致的亏损不负任何责任。客户要知道，在外币交易中担保或保证免受损失和预测交易回报是不可能的。客户要理解snc 或任何其代表或任何介绍经纪人或其他实体对客户在他/她的snc 外汇账户的任何交易也没有这类的担保。在任何情况下，客户须对所有所有与帐户相关的交易或者因市场价波动引起的风险承担全部责任和风险。客户须愿意并在经济上承担交易损失，并同意即时外汇交易是合适的投资产品。在snc 无法直接控制的情况下，snc 对任何因网上(电子)交易平台或任何通讯设施或其他原因造成的延时，部分或完全故障不负任何责任。客户需理解并确认依照本协定进行交易与在规范的市场或交易所进行的交易有所不同。客户须知在场外或电子外汇交易所涉及到的风险并且具有承担亏损的经济能力。(对进一步关于外汇交易的风险的讨论，请参阅风险声明)。

as of the date hereof, the date of each contract and other transaction in customer’s account and any date on which snc ?risk disclosure statement or trading policies are revised, updated or amended, customer represents and warrants to snc ??and agrees for the benefit of snc ??that:

customer is of sound mind, legal age (18 in the usa) and legal competence.

customer (if not a natural person) is duly organized and validly existing under the applicable laws of the jurisdiction of its organization.

customer has full beneficial ownership of customer’s account. customer has not granted and will not grant a security interest in customer’s account with snc ?(other than the security interest granted to snc ?hereunder) to any person without snc ?prior written consent. customer has full beneficial ownership of all collateral and will not grant any security interest in any collateral to any person (other than the security interest granted to snc ?hereunder) without prior written consent of snc .

客户已拥有客户帐户的全部实益。客户在snc 帐户没有且而不会有对未经snc 事先书面同意的任何人给予权益担保(除第二十八条安全利益给予snc )。客户拥有所有抵押的的充分实益，也不会在任何人未经snc 事先书面同意的任何抵押中给予任何权益担保(除下文中利益安全给予了snc )。

customer will execute and deliver all documents, give all notices, make all filings and take such other actions as snc , in its sole discretion, deems necessary or desirable to evidence or perfect any security interest in favour of snc ?or to protect snc ?interests with respect to any collateral.

客户将像snc 一样自主执行和提供所有文件，发出所有通知，进行所有备案和采取其他行动。在其认为必要或适宜时，为了有利于snc ，对任何抵押提供证明或者表示尊重。

customer hereby warrants that regardless of any subsequent determination to the contrary, customer is suitable to trade foreign currency and is a sophisticated foreign exchange investor.

customer has read and understands the risk disclosure statement contained in this agreement. customer will review snc ?risk disclosures, including, without limitation, snc ?risk disclosure statement, each time they are amended. customer will not affect any opening transaction in customer’s account unless customer understands snc ?revised risk disclosures, and customer agrees that in effecting any opening transaction it is deemed to represent that it has read and understands snc ?revised risk disclosures as in effect at the time of such opening transaction.

customer has read and understands the trading policies contained in this agreement, including, without limitation, snc ?trading policies. customer will review snc trading policies, including, without limitation, snc ?trading policies each time they are amended. customer will not affect any opening transaction in customer’s account unless customer understands snc revised trading policies, and customer agrees that in effecting any opening transaction it is deemed to represent that it has read and understands snc ?revised trading policies as in effect at the time of such opening transaction.

customer acknowledges that customer has conducted simulated trading using the snc demo trading platform for a period that has allowed the customer to develop a full understanding of the snc ?internet trading platform an online trading system for spot foreign exchange real-time trading.

客户承认曾使用snc 进行模拟外汇交易演示平台，已经允许客户建立一个对snc 外汇网上交易平台的全面认识，为即期外汇实时交易的网上交易系统。

all information provided by customer to snc , including information regarding customer’s trading experience and investment sophistication, is true, correct and complete, and customer will notify snc ?promptly of any changes in such information.

subject to the terms of this agreement and all related agreements, including the risk disclosure statement and snc ??trading policies document hereto, the customer account application and any applicable addenda thereto, customer authorizes snc ??to enter, purchase, sell, and clear otc foreign exchange contracts on a spot basis for the customer’s account in accordance with customer’s electronic, written or oral instructions received through the snc ?internet trading platform - an online trading system connected directly to the snc ??trade execution desk, via telephone directly to the snc ??trade execution desk, or via any other communicative means available.

customer agrees to be responsible for any transaction instruction received by snc either electronically via the snc ??internet trading platform (or similar product), or orally over the telephone.? before executing a transaction, snc will require the customer at least?? to provide user name and password authorization electronically via a login procedure or if contacted via the telephone, orally via an identification procedure.? correct information will authenticate the customer and allow the customer to conduct transactions in the authorized snc account for that authentication.

snc ?will make available, by posting on the snc ?internet trading platform-- an online trading system, or by customer electronically contacting any alternative designated by snc, by telephoning the snc ?dealing execution desk, or by any other communicative means available to snc ?and it’s customers, bid and ask prices at which snc ?is prepared to enter foreign currency contracts with authorized customers. each bid or ask price shall be for a spot contract with a specified date and for a specific foreign currency pair.? snc makes no warranty expressed or implied; that bid and ask prices shown represent prevailing bid and ask prices in the interbank market.?? in addition, although snc reasonably expects to make available continuous prices during business hours, because of a number of factors including but not limited to technology failures, communication system delays, lack of interbank liquidity or high market volatility, snc makes no warranties that dealing prices and liquidity will be available continuously to customers either electronically or via the telephone or by any other communication devise.

all contracts made and entered into between customer and snc hereunder will be entered into by snc ?as principal.? snc ?will reasonably attempt to execute all orders that it may, in its sole discretion, accept from customer for the purchase or sale of contracts in accordance with the customer’s electronic, written or typed, or oral instructions. however, snc shall not be responsible for any loss or damage caused, directly or indirectly, by any events, actions or omissions beyond the reasonable direct control of snc , including, without limitation, loss or damage resulting, directly or indirectly, from any delays or inaccuracies in the transmission of orders and/or information due to a breakdown in or failure of any transmission or communication facilities.

customer acknowledges, understands and agrees that all market orders and non-market orders such as limit orders, stop-loss orders, one cancels the other orders, or any other non-market order transmitted and accepted by a snc representative, are accepted by snc ?and undertaken on a “best-efforts basis” in accordance with the relevant provisions of the trading policies, as amended from time to time. the customer acknowledges, however, that due to market conditions or other circumstances, snc ?may be unable to execute the order at the market or specified level and the customer agrees that snc ?will bear no liability for failure to execute such orders.? this includes but is not limited to all orders that are entered over a weekend or holiday period when snc is closed for

business.? in such circumstances, orders will be executed on a “best-efforts basis” once the market is reopened on the next snc business day. customer acknowledges that execution may not be immediate or at the price dictated by the opening level due to imbalances in orders, market conditions, market liquidity or other circumstances.? snc shall have no responsibility for delays in the transmission of orders due to disruption, market conditions, failure or mal of communications facilities and shall not be liable for any claims, losses, damages, costs or expenses, including attorneys’ fees, to any person or entity as a result of its negligence.

snc ?reserves the sole discretionary right to limit the number of open positions which customer may enter, acquire or maintain with snc , to refuse acceptance of any order entered by customer or to alter its dealing relationship with the customer to include or exclude use of any electronic trading network or other trade execution method in any manner and to any extent.

customer shall provide to and maintain with snc ?margin in such amounts and in such forms, and within such limits as snc , in its sole discretion, may from time to time require. margin requirements, including initial (opening) margin and maintenance margin requirements, are defined in snc ?trading policies. snc ?may change margin requirements at any time. customer agrees to deposit by immediate wire transfer such additional margin when and as required by snc , and will immediately meet all margin calls in such mode of transmission as snc ?shall, in its sole discretion, designate; provided, however, and notwithstanding any demand for additional margin, snc ?may at any time proceed to liquidate customer’s account in accordance with trading policies. any failure by snc ??to enforce its rights hereunder shall not be deemed a future waiver of such rights by snc , and the customer shall impute no liability to snc ??whatsoever for losses resulting from such failure. no previous margin requirement by snc ?shall preclude snc ?from increasing or decreasing that requirement without prior notice. snc ?may call for additional margin (“margin call”) at any time customer’s margin balance falls below the snc ?maintenance margin level as applied to that account and at any time snc , in its sole discretion, believes that it is prudent to do so. snc ?may at any time liquidate customer’s account in accordance with trading policies and paragraph 12 below.

in order to secure any indebtedness or other obligations at any time owing from customer to snc , including, without limitation,

in the event of indebtedness of customer to snc ??for reasons including but not limited to (a) and (b) outlined above, snc ??shall have the right to sell, pledge, rehypothecate, assign, invest, commingle and otherwise use any collateral it holds (including, but not limited to, using the contracts as collateral for a loan to snc ?) free from any claim or right of any nature whatsoever of the customer, including any equity or right of redemption by the customer and to register any collateral in the name of snc ?, its custodian or a nominee for either. any failure by snc ?to enforce its rights hereunder shall not be deemed a future waiver of such rights by snc . snc ?is irrevocably appointed as attorney-in-fact for customer and is authorized, without notice to customer, to execute and deliver any documents, give any notice and to take any actions on behalf of customer, including the execution, delivery and filing of financing statements, that snc ?deems necessary or desirable to evidence or to protect snc ?interest with respect to any collateral. in the event that the collateral deemed acceptable to snc ?(“eligible collateral”) is at any time insufficient to satisfy customer’s indebtedness or other obligations to snc , including obligations to provide margin in accordance with trading policies and paragraph 7 hereof, customer shall promptly pay upon demand the entire amount of such deficit in accordance with trading policies and paragraph 8 hereof.

any and all contracts and transactions made and entered into by snc ?hereunder as a result of customer directing snc ?to enter into such contracts and transactions, are made and entered into by snc ?as principal. unless otherwise agreed to in writing snc ?shall act as principal in any and all contracts and transactions with the customer and not as broker, intermediary, agent, and advisor or in any fiduciary capacity. the customer understands and recognizes that any and all transactions and contracts entered as a result of customer directing snc ??to enter into such transactions and contracts may be entered by snc , as principal, with financial institutions including, without limitation banks, clearing institutions and foreign exchange dealers (“counter party”) at the sole discretion and option of snc . customer represents, agrees and authorizes snc ??to act as principal in entering, delivering, selling, purchasing and clearing with counter party any and all customer’s contracts. customer shall guarantee and hold snc ?harmless against any loss it may sustain thereby. snc ??may, at its sole discretion and option, act as principal in purchasing, selling, delivering and clearing any contracts, including all customer’s contracts, with the counter party(s).

in the absence of an offsetting or closing liquidation trade done prior to the close of business, snc ?is authorized to rollover all or any portion of the foreign currency positions in customers account at snc ?’s absolute discretion and at customer’s risk to the next settlement spot date.?? rollovers will be executed at rates determined by snc and at snc ’s absolute discretion.? rollover debits or credits will be reflected in the customer’s account at a time after the normal close of the business day for snc.? snc reserves the right to change at its sole discretion, any rollover debits or credits at any time if snc, at its sole discretion deems that the amount debited or credited was in error.

cancel any or all outstanding orders or contracts, or any other commitments made on behalf of customer. any of the above actions may be taken without demand for margin or additional margin, without prior notice of sale or purchase or other notice to customer, customer’s personal representatives, heirs, executors, administrators, trustees, legatees, or assigns, and regardless of whether the ownership interest shall be solely that of the customer or be held jointly with others. customer shall at all times be liable for the payment of any deficit balance in customer’s account upon demand by snc ??and, in all cases, customer shall be liable for any deficiency remaining in customer’s account in the event of the liquidation thereof in whole or in part by snc ??or by customer.

in the event that the proceeds realized pursuant to liquidation are insufficient for the payment of all liabilities of customer due to snc, customer shall promptly pay upon demand the entire amount of any such deficit, together with all other deficits and all unpaid liabilities of customer.?? included are?? all costs of enforcement and collection, such as, but not limited to, actual attorneys’ fees, disbursements, travel and other expenses, interest on any such deficit and liabilities at a rate equal to five (5) percentage points above the then prevailing prime rate at snc ’s principal bank or the maximum interest rate allowed by law, whichever is lower and any other cost incurred by snc . in the event snc ?incurs expenses other than those for collection of deficits with respect to customer’s account, customer agrees to pay all such expenses in full.

snc will supply, upon request, a structure of commissions charged at the time of the request. although snc ?reserves the right to change its fee structure at any time at its sole discretion, snc ?will initially only charge for incidental banking related fees such as wire transfers for deposits/withdrawals and returned check fees.? snc ?will also charge customer for the purchase of optional, added services offered by snc .

if an introducing broker or third party advisor introduces the customer to snc , the customer understands that snc ?may pay fees, commissions or other compensation to such person or entity for the introduction. customer acknowledges and agrees that as an introducing broker or third party advisor to snc , the introducing broker or third party advisor does not hold or collect any funds on behalf of snc ?or for the customer’s account.? funds should instead be sent via a wire transfer or other means directly to snc ?for purposes of depositing into your trading account.? snc does not control and cannot endorse or vouch for the accuracy of any information or advice customer may have or will receive by the introducing broker or third party advisor. included in the information and advice without limitation are actual or implied promises made by the

introducing broker regarding the future profit or losses in customer accounts as a result of third party trading systems, research reports, market trading advice or interpretation of economic news and events. if customer receives information or trading advice from an introducing broker or third party, snc ?shall in no way be held responsible for any loss resulting from the customers use of information or advice. snc ?provides or otherwise makes available a snc ?risk disclosure document to customers when they open accounts. any customer introduced by introducing brokers or third parties should carefully read the snc ??account application, snc ??risk disclosure document and snc ??trading policies document and should not rely on information supplied by the introducing broker or third party. customer should understand that introducing brokers or third party advisors are often not regulated by a government agency and that the introducing broker or third party advisor shall have the right to access information regarding the account of the customer including but not limited to account information, customer address, phone number, email address. the introducing broker or third party advisor will not have trade authorization privileges unless granted in writing by the customer via the signing of a power of attorney document authorizing the trading.

iv.     in consideration of the payment to be made by the client to thesupervisor as hereinafter mentioned, the supervisor hereby covenants with theclient to perform supervision services in the scope as stated in the conditionsof particular application in conformity with the provisions of the contract.

考虑到以下提到的委托人向监理人的付款，监理人向委托人承诺,按照本合同的规定,承担本合同专用条件中议定范围内的监理业务.

v.      the client hereby covenants to pay the supervisor, inconsideration of the performance of the supervision services, such amount asmay become payable under the provisions of the contract at the times and in themanner and currency type prescribed by the contract.

definitions,applicable languages and laws词语定义, 适用语言和法规

article 1  the following words and expressions shall havethe meanings assigned to them except where the context otherwise requires:

第一条 下列名词和用语，除上下文另有规定外，具有如下所赋予的含义:

(1)          "project" means the projectfor which the supervision services are to be provided.

"工程" 是指实施委托人委托监理人监理的工程。

(2)          "client" means the party whois responsible for the direct investment and who employs the supervisor, andlegal successors to the client.

"委托人"是指承担直接投资责任和委托监理人的一方,以及其合法继承人。

(3)     "supervisor" means the party whois employed by the client to perform supervision services and assumesupervision liabilities, and legal successors to the supervisor.

"监理人"是指受委托人委托承担监理业务和监理责任的一方,以及其合法继承人.

(4)                 "supervision team"means the group of staff sent by the supervisor to carry out supervision on thesite of the project.

"监理机构"是指监理人派驻本工程现场实施监理业务的组织.

(5)                 "chief supervisionengineer" means the person certificated by the local authority as  chief supervision engineer and designated bythe client and supervisor to be fully responsible for supervising the executionof the contract.

"总监理工程师"是指经当地政府部门认证为的总监理工程师并且由委托人及监理人指定对监督履行本合同全权负责的人.

(6)                 "contractor" meansthe person(s) other than the supervisor with whom the client signs contract inrelation to the construction of the project.

"承包人"是指除监理人以外,委托人就本工程的建设有关事宜签订合同的当事人.

(7)                 "normal services"means the scope of supervision work prescribed in the conditions of particular application.

"正常工作"是指双方在专用条件中约定的监理工作的范围.

(8)                 "additional services"means: 1) works outside of the scope of supervision work, and added to thecontract by written agreement of the parties; 2) additional works as a resultof addition to the scope of construction work or program delay on the part ofthe client or the contractor.

"附加工作"是指: 1)监理工作范围以外,通过双方书面协议另外增如本合同的工作;2)建设工作范围的增加或者由于委托人或承包人原因致使进度的延误,而造成的附加的工作.

(9)                 "exceptionalservices" means the works other than the normal services and theadditional services, but which are necessarily performed by the supervisor inaccordance with article 33.

"额外工作"是指正常工作和附加工作以外，根据第三十三条规定监理人需要完成的工作。

(10)        "day" means the period betweenany one 0:00 a.m. and the next.

"日"是指任何一个零时至第二天零时的时间段.

(11)               "month" means a periodof one month according to the gregorian calendar commencing with any day of themonth.

"月"是指根据公历从一个月份中任何一天开始的一个月的时间段.

article2  this supervision contract shall begoverned by chinese laws, statutes, administrative regulations, anddepartmental rules & regulations, local laws, rules & regulationsspecified in the standard conditions and conditions of particular application.

第二条   本建设工程委托监理合同适用的法律是中国的法律，条例,行政法规，以及标准条件及专用条件中载明的部门规章或地方法规，地方规章。

article 3  the contract shall be written in both englishand chinese, both of which shall be equally binding.

第三条   本合同应以中文和英文记载，中英文应具有同等效力。

obligations of the supervisor监理人的义务

article 4 the supervisor shall designate the supervision team andsuperintendents necessary for carrying out the supervising works; provide tothe client a name-list of the chief supervision engineer, main staff of thesupervision team and a supervision plan and perform the supervision serviceswithin the scope of work as stated in the conditions of particular application.during the execution of the contract, the supervisor shall submit supervisionreport to the client at regular interval as stated in the contract.

第四条 监理人应派出监理工作需要的监理机构及监理人员，向委托人报送委派的总监理工程师及其监理机构主要成员名单，监理规划，完成监理合同专用条件中约定的监理工程范围内的监理业务。在履行本合同义务期间，应按合同约定定期向委托人报告监理工作。

article5  thesupervisor shall exercise reasonable care and diligence, provide advice at anappropriate level in the performance of the obligations under the contract tothe client and indemnify the lawful rights and interests of various parties.

第五条   监理人应认真，勤奋地工作，在履行合同义务时为委托人提供与其水平相应的咨询意见，公正维护各方的合法权益。

article6  any facilities and articles supplied by theclient for use by the supervisor shall be properly used and maintained andremain the property to the client . when the services are completed orterminated the supervisor shall deliver to the client such facilities andunconsumed articles in good working order.

第六条   监理人使用委托人提供的设施和物品属委托人的财产，应恰当使用和维护。在监理工作完成或中止时，应将其设施和剩余的物品完好地移交给委托人。

article7  during thecontract period or after the contract is terminated, without the consent of theclient, the supervisor shall not disclose the confidential information inrelation to the project and the contract.

第七条   合同期内或本合同终止后，未征得委托人同意，不得泄露与本工程和本 合同有关的保密信息。

obligationsof the client

委托人的义务

article 8  the client shall pay anadvance payment to the supervisor prior to the commencement of the services ofthe supervisor, if such advance  payment is stated in the conditions ofparticular application.

第八条       委托人在监理人开展监理业务之前应向监理人支付预付款,如果该预付款在专用条件中陈述。

article 9  the client shall beresponsible for all coordination of external relationships in relation to theconstruction of the project. if the client assigns part or all of suchcoordination works to the supervisor as is necessary, then the work to beassigned and relevant terms of remuneration shall be specified in thesupplemental clauses.

第九条       委托人应当负责本工程建设的所有外部关系的协调（监理人所属协调关系除外）。根据需要，如需将 部分或全部协调工作委托监理人承担，则需在补充条款中明确委托的工作和相应的报酬条款。

article 10  theclient shall, within the agreed time, provide to the supervisor free of chargeall information pertaining to the project and necessary for the supervisionservices.

第十条       委托人应当在双方约定的时间内免费向监理人提供与本工程有关的并为监理工作需要的所有信息。

article 11 on all matters properly referred to him in writing bythe supervisor, the client shall give his decision in writing within the timespecified in the conditions of particular application of the contract.

第十一条   委托人应当在专用条件约定的时间内就监理人向委托人以恰当的书面形式提交的一切事宜作出书面决定。

article 12  the client shall appoint aclients representative (to be specified in the conditions of particularapplication) who is familiar with the project and able to make decision withinspecified time for the purpose of contacting the supervisor. should theclients representative be replaced, the client shall notify the supervisor inadvance.

第十二条   委托人应当授权一名熟悉本工程情况，能在规定时间内作出决定的委托人的代表(将在专用条件中明确)负责与监理人联系，更换委托人代表要提前通知监理人。

article13  the client shall timely notify theawarded contractor, in writing, of the power of the supervisor, roles andauthorities of main staff of the supervisor. such information shall be madeclear in the contract signed by the client and any third party.

第十三条      委托人应当将授予监理人的监理权利，以及监理人主要成员的职能分工及监理权限及时书面通知已选定的合同承包商，并在与任何第三方签订的合同中予以明确。

article14  the client shall notify to contractorto provide the following information to the supervisor within such a time thatthe supervisors work will not be hampered:

第十四条      委托人应通知承包人在不影响监理人开展监理工作的时间内向监理人提供如 下资料：

(1)   listof suppliers & manufacturers of the raw materials, components and parts,mechanical equipment etc. to be used in the project;

与将用于本工程的原材料，构配件，机械设备等的供应和生产厂家名录；

(2)     list of coordinators, cooperators inrelation to the development of the project.

提供与本工程有关的协作人，配合人的名录。

article15  the client shall furnish free ofcharge (including utility fees ) to the supervisor the site office,telecommunication connection, accommodation and other facilities specified in the conditions of particular application.

第十五条      委托人应免费（包括使用费）向监理人提供办公场所、通讯接口，网路接口住宿及合同专用条件约定的其他设施。

article16  given certain circumstances, if thetwo parties agree that the client shallarrange at his own expense for the provision of other personnel to thesupervisor, such agreement shall be reflected in the conditions of particularapplication.

第十六条      根据情况需要，如经双方同意委托人将可以自费向监理人提供其他人员， 应在合同专用条件中予以反映。

rights of the supervisor

监理人的权利

article 17  the supervisor should  havethe following rights within his scope of work. it is hereby understood that anyand all of the following activities shall also be considered as the obligationof the supervisor, who shall perform the following activities whenever it isneeded in order to ensure completion of the project in the best possible mannerand according to the relevant contractual documents and applicable laws:

第十七条      监理人在委托的工程范围内应具有以下权利， 而且在此双方确认任何如下活动也应作为监理人的义务，即其有义务在有必要的情况下为了以最好的方式并以符合全部合同文件和适用的法律的方式完成本项目的目的而进行如下活动。

(1) the right andobligation to make recommendations on the selection of the general contractor

(1)        选择工程总承包人的建议权和义务；

(2) the right andobligation to make recommendations on the selection of the sub-contractor

(2)        选择工程分包人的建议权和义务；

(3)the right and obligation to make recommendations to the client in the respectsof the project including project size, design standard, planning design,technological design and performance requirements.

(3)对工程建设有关事项包括工程规模、设计标准、规划设计、生产工艺设计和使用功能要求，向委托人的建议权和义务；

(4)the right and obligation to advise, in the principles of safety and optimum,the client on the technical problems in the design. if the design is found tobe not in conformity with the quality standards promulgated by the state orspecified in the design contract, the supervisor shall report to the client inwriting.

(4)对工程设计中的技术问题,按照安全和最优化的原则,有权利和义务向委托人提出建议.当发现工程设计不符合国家颁布的建设工程质量标准或设计合同约定的质量标准时,监理人应当书面报告委托人. 并提供处理方案

(5)the right and obligation to review the construction management plan and thetechnical proposal and to  makerecommendation to the client for changes that the contractor could implement toensure quality, on-time completion and cost reduction.

(5)对审查工程施工组织和技术方案, 按照保质量、保工期和降低成本的原则, 并就承包人有可能采取的变化监理人有权利和义务向委托人提出建议并提供处理意见.

(6)   conduct appropriate arrangement andco-ordination with relevant organisations, which can exert beneficial influenceto the development of the project. for all such matters the supervisor shallfirst report to the client in advance and seek the authority of the client tomake such arrangements and co-ordination.

(6)主持工程建设有关协作单位的组织协调, 对于所有协调项应当事先向委托人报告,并要求委托人授权以进行组织协调工作.

(7)   having obtained the consent of the client,the supervisor has the right to give command with regards to commencement,suspension and resumption of the works. but before doing so, he shall report tothe client.  the client’s representativewill be available for contacting in phone to discuss emergency and other matters.

(7)征得委托人同意,监理人有权发布开工令,停工令,复工令,但应当事先向委托人作出书面报告.委托人代表将可以随时电话联系到以就紧急情况和其他事宜与监理人进行研究.

(8)   right and obligation to check and inspect thematerials to be used in the project and quality of construction and to advisethe contractor immediately of any non-conformities. should the contractorcontinue to use the materials after the non-conformity has been identified,then the supervisor must advise the client that the contractor should stopusing them. for materials, components and parts, equipment that are not in conformitywith the design requirements, provisions of the construction contract andnational quality standards, the supervisor has the right to notify the clientthat the contractor should stop using them; for working sequence, divisionaland sub-divisional works that are not in conformity with relevant codes andquality standards, and construction operations that pose safety concerns, thesupervisor has the right to notify the client that the contractor should  stop and make corrections or redo the works.the contractor can resume construction only after he has received the workresumption command from the supervision team via the client..

(8)工程上使用的材料和施工质量的检验权和义务.发现不合格材料应通知承包方，如果承包人在接到通知后仍继续使用该不合格材料, 监理人必须及时通知委托人, 让承包人不得继续使用. 对于不符合设计要求和合同约定及国家质量标准的材料,构配件,设备, 监理人有义务通知委托人让承包人停止使用;对于不符合规范和质量标准的工序,分部分项工程和不安全的施工作业, 监理人有义务及时通知委托人，监理人有权让承包人停工整改,返工. 承包人只有通过委托人收到监理机构发出复工令后才能复工.

(9)rights and obligation to check, supervise the progress of theconstruction.  right to ratify that theactual completion is ahead or behind the completion date specified in theconstruction contract.

(9)工程施工进度的检查、监督权和义务，以及工程实际竣工日期提前或超过工程施工合同规定的竣工期限的签认权和义务；

(10)right and obligation to check and certify by signature that the payment to theconstruction contractor is within the scope of the construction contract, torecheck, confirm, and negate to the settlement of the accounts. without thesignature and confirmation from the chief supervision engineer, the client willnot make payment to the construction contractor.

(10)在工程施工合同约定的工程价格范围内，工程款支付的审核和签认权和义务，以及工程结算的复核确认权与否定权。未经总监理工程师签字确认，委托人不支付工程款。

article 18 during supervision, if theemployee(s) of the contractor is found to be incapable of his job, thesupervision team shall notify the client of the views of the supervision teamon this matter.

第十八条在监理过程中如发现工程承包人员工作不力, 监理机构应将其对此事的观点告知委托人.

article 19 within the scope of work,if the client and the contractor have any dissent and requirement (includingclaim) to each other, and where such dispute is being mediated by an administrativedepartment in charge of construction or being arbitrated by arbitration body(china international economic and trade arbitration commission, shanghai), thesupervisor shall provide relevant proof.

第十九条 在委托的工程范围内，当委托人和承包人对对方有任何意见和要求(包括索赔要求),双方争议由政府建设行政主管部门调解或仲裁机关（中国国际经济贸易仲裁委员会－上海[h1] ）仲裁时，监理人应当提供相关证明。

article20  the client has the right to appointthe  contractor and enter into a contractwith that contractor.

第二十条      委托人有选定工程承包人，以及与其签订合同的权利。

article21  the client has the right to decidethe project size and agree the design standard, planning design, technologicaldesign and designed performance requirements; and the right to approveconstruction cost, programme and design variation.

第二十一条         委托人享有对工程规模、设计标准，规划设计、生产工艺设计 和设计使用功能要求的认定权，以及对工程造价、进度计划和设计变更的审批权。

article 22  in the event that the supervisor want to replace the chief supervisionengineer, he shall obtain the client’s consent in advance during the contractconducting period.

第二十二条         在履行本合同期间,监理人调换总监理工程师须事先经委托人同意。

article23  the client has the right to requirethe supervisor to submit  supervisionreport and specific report in each discipline within the supervisor’s scope ofwork..

第二十三条 委托人有权要求监理人提交监理工作报告及监理人业务范围内的专项报告。

article 24  in the event that the client find the supervisor’s staff fails to performduties under the contract, or cause any loss to the project or the clientthrough collusion with the contractor, the client shall be entitled to requirethat such staff be replaced by the supervisor or even terminate the contractand demand the supervisor to assume responsibilities or contiguousresponsibilities in paying compensation.

第二十四条 当委托人发现监理人的职员不按本合同履行监理职责，或与承包人串通给本工程或委托人造成任何损失的，委托人有权要求监理人更换该职员，直到终止合同并要求监理人承担相应的赔偿责任或连带赔偿责任。

liabilities of the supervisor监理人的责任

article25  the supervisor’s liability period isthe valid period of the contract (contract period), including the maintenanceperiod. in the event that the project programme is postponed or delay whichresults in the contract period to be extended, the two parties shall makefurther negotiation to agree an extension of the contract period.

第二十五条         监理人的责任期即本合同有效期（合同期），包括维护期。如果因工程进度的推迟或延误而导致合同期将要延长，双方应进一步协商约定的延长合同期。

article26  the supervisor shall perform hisduties during the contract period. should any financial loss be caused by thefault of the supervisor, he shall pay compensation to the client. accumulatedamount of compensation (except for the compensation specified in article 24)shall not exceed the total payment by the client to the supervisor (excludingincome tax).

第二十六条         监理人在合同期内，应当履行约定的责任。如果因监理人过失而造成了委托人的任何经济损失，其应当向委托人赔偿。累计赔偿总额（除第二十四条规定的赔偿以外）不应超过委托人向监理人支付的报酬总数（除去税金）。赔偿按相关法律执行[h2]

article27  the supervisor shall be notresponsible for any contractor’s nonconformity in quality requirements andcompletion time (for submitting drawings or delivery of goods). in the event ofany force majeure which cause part or all of the execution of the contract tobe impossible, the supervisor shall not be held responsible. but for anyinfringement to article 5, the supervisor shall pay compensation to the client.

第二十七条         监理人对承包人违反施工合同规定的质量要求和完工(交图、交 货)时限，因监理人失责应承担相应的责任，因不可抗力导致本合同不能全部或部分履行，监理人不承担责任。但对违反第五条规定引起的与之有关的事宜，应向委托人承担赔偿责任。

article28  if the claim made by the supervisorto the client cannot be justified, the supervisor shall be responsible for anycost incurred by the client in relation to the claim.

第二十八条       监理人向委托人提出赔偿要求不能成立时，监理人应当补偿由 于该索赔所导致委托人的任何费用支出。

liabilities of the client委托人的责任

article29  the client shall carry out his dutiesas stated in the contract. the client shallbe liable to the supervisor if a breach of his duty to the supervisor isestablished against the client, and shall pay compensation for the supervisor’sdirect financial loss.

第二十九条 委托人应当履行本合同约定的义务，如有违反则应当承担违约责任，赔偿给监理人造成的直接经济损失。

article30 if the claim made by the client to thesupervisor cannot be justified, the client shall be responsible for any costincurred by the supervisor in relation to the claim.

第三十条 委托人如果向监理人提出赔偿的要求不能成立，则应当补偿由该索赔所引起的监理人的各种费用支出。

commencement, alteration and termination of the contract本合同的开始、变更与终止

article 31 if  the normal services are impeded or delayed bythe client or the contractor so as to incur additional services or increase theduration of the normal services, the supervisor shall timely inform the clientof the circumstances and probable effects. the time for completion of theservices shall be increased accordingly and the supervisor shall be remuneratedfor such additional services.

第三十一条  由于委托人或承包人的原因使正常的监理工作受到阻碍或延误，以致发生了附加工作或延长了正常监理工作的持续时间，则监理人应当将此情况与可能产生的影响及时通知委托人。完成监理业务的时间相应延长，并得到附加工作报酬。

article 32 if circumstances arise which make it legally or physically impossible forthe supervisor to perform in whole or in part the services in accordance withthe contract he shall promptly dispatch a notice to the client. the time forthe completion of the services shall be extended. when the services are resumed,a reasonable period not exceeding 42 days for resumption shall be added and theclient shall pay the supervisor as agreed between them.

第三十二条         如实际情况发生变化，使得监理人由于法律原因或实际原因不能根据本合同全部或部分执行监理业务时，监理人应当立即通知委托人。经委托人认可，该监理业务的完成时间应予延长。当恢复执行监理业务时，应当增加不超过42日的时间用于恢复执行监理业务，并按双方约定的数量支付监理报酬。

article 33 after the supervisorhas finalized the acceptance check or handover procedures with the client, andthe contractor has signed a defect liability agreement with the client, thesupervisor has received all the payments due from the client, this contractshall be deemed to come to an end, except for any clauses referring to theparties’ liabilities, which may be used, according to statute of limitationsstipulated by the law, for claiming compensation. as to liabilities during thedefect liability period, the two parties can make provisions in the conditionsof particular application.

第三十三条  监理人向委托人办理完竣工验收或工程移交手续，承包人和委托人已签订工程保修责任书，监理人收到所有监理报酬，本合同即终止，除了有关双方的责任的条款，其应可按照相关法律的时效期限用以索赔。保修期间的责任，双方在专用条件中约定。

article 34 if either party hereto wishes to alter or abandon thecontract, he shall notify the other party in 42-day advance. if loss is causedto the other party as a result of the abandonment of the contract, theresponsible party shall pay compensation except for circumstance where hisresponsibility can be remitted in accordance with laws.

第三十四条         当事人一方要求变更或解除合同时，应当在42[h3] 日前通知对方，因解除合同使另一方遭受损失的，除依法可以免除责任的外，应由责任方负责赔偿，

article 35 if the supervisor has not received a paying voucher within 30 days fromthe due date of payment and nor has he received any written explanation fromthe client, or the supervision services has been suspended for more than sixmonths, the supervisor can notify the client to terminate the contract. ifwithin 14 days from the date of notice the supervisor still has not receivedany response from the client, he can make further notice. if within 42 daysfrom the date of the second notice the supervisor still has not received anyresponse from the client, the supervisor can terminate the contract or suspendor continue suspending from performing all or part of his services at hisdiscretion. the client shall assume the responsibility for breach of contract.

第三十五条       监理人在应当获得监理报酬之日起30日内仍未收到支付单据，而委托人又未对监理人提出任何书面解释时，或根据第三十三条及三十四条已暂停执行监理业务时限超过六个月的，监理人可向委托人发出终止合同的通知，发出通知后14日内仍未得到委托人答复，可进一步发出终止合同的通知，如果第二份通知发出后42日内仍未得到委托人答复，可终止合同或自行暂停或继续暂停执行全部或部分监理业务。委托人承担违约责任。

article 36 if the supervisionservices are suspended or terminated due to causes not on the part of the supervisor, works required to resume services orpost-termination settlement works shall be deemed as exceptional services. theperformance of exceptional services shall entitle the supervisor to payment forperforming them.

第三十六条       监理人由于非自己的原因而暂停或终止执行监理业务，不可抗力除外，其善后工作以及恢复执行监理业务的工作致使监理工期延长，经委托人认可，应当视为额外工作，有权得到额外的报酬。

article 37 if in the opinion of theclient that the supervisor is not discharging his rights without justifiablereasons, he can inform the supervisor of such opinion. if within 21 days from the date of notice the client has not receivedany response from the supervisor, he can, within 35 days from the date of thefirst notice, inform the supervisor by notice to terminate the contract. thesupervisor shall assume the responsibility for breach of contract.

第三十七条       当委托人认为监理人无正当理由而又未履行监理义务时，可向监理人发出指明其未履行义务的通知。若委托人发出通知后21日内没有收到答复，可在第一个通知发出后35日内发出终止委托监理合同的通知，合同即行终止。监理人承担违约责任。

article 38 termination of the contract shall not prejudice or affectthe accrued rights and liabilities of the parties.

第三十八条       合同协议的终止并不影响各方应有的权利和应当承担的责任。

article 39  the remuneration for normal services,additional services and exceptional services shall be calculated in accordancewith article 9 of the conditions of particular application. the client shallpay the supervisor in accordance with the time and amount stated in thecontract.

第三十九条 正常工作、附加工作和额外工作的报酬，按照监理合同专用条件中第九条的方法计算，并按约定的时间和数额支付。

article 40  if the supervisor does not receive payment within the time specified heshall be paid compensation calculated from the last day of the specified payingperiod.

第四十条   如果委托人在规定的支付期限内未支付监理报酬，自规定之日起，还应向监理人支付滞纳金。滞纳金从规定支付期限最后一日起计算。

article 41  the currency, exchange rate applicable to thecontract is that stated in the conditions of particular application.

第四十一条 本合同适用的货币币种、汇率在专用条件中陈述。

article 42  if any item or part of an item in a paymentapplication submitted by the supervisor is contested by the client, the clientshall give notice with reasons within 24urs from receiving the application andshall not delay payment on the remainder of the invoice.

第四十二条 如果委托人对监理人提交的支付通知中报酬或部分报酬项目提出异议，应当在收到支付通知书24内向监理人发出表示异议理由的通知，但委托人不得拖延其他无异议报酬项目的支付。

article 44  within the scope of supervision services, if expert is needed to beemployed for consulting or assistance purposes, the supervisor shall bear suchcost when the expert is employed by him, the client shall bear such cost whenthe expert is employed by him.

第四十四条       在监理业务范围内，如需聘用专家咨询或协助，由监理人聘用的，其费用由监理人承担；在监理业务范围外由委托人聘用的，其费用由委托人承担。

article 45 if profit is generated forthe client as a result of recommendations made by the supervisor, the clientmay give bonus to the supervisor.

第四十五条       监理人在监理工作过程中提出的合理化建议，使委托人得到了经济效益，委托人在可以给予监理人经济奖励。

article 46 the on-site supervisionteam or its staff shall not accept any remuneration or money provided by thecontractor.

第四十六条       监理人驻地监理机构及其职员不得接受监理工程项目施工承包人的任何报酬或者经济利益。

the supervisor shall not take part inany activity that may have conflict with the interests of the client and withthe work to be performed according to this contract.

监理人不得参与可能与合同规定的与委托人的利益相冲突的任何活动。

article 47  the supervisor shall notdisclose any information that is declared by the client to be confidential. thesupervisor shall not disclose any information provided and declared to be confidentialby the designer or the contractor either.

第四十七条     监理人不得泄露委托人申明的秘密，监理人亦不得泄露设计人、 承包人等提供并申明的秘密。

article48  the supervisorretains copyright of all documents prepared by him.  the client shall be entitled to use them orcopy them only for the project.

第四十八条       监理人对于由其编制的所有文件拥有版权，委托人仅有权为本工程使用或复制此类文件。

settlement ofdisputes争议的解决

article 49  anyclaim for loss or damage arising out of breach or termination of the contractshall be agreed between the client and the supervisor or failing agreement shallbe referred to a governmental department in charge of construction formediation. if agreement still cannot be reached, the dispute shall be referredto the arbitration body agreed by the parties or start a prosecution in thepeople’s court.

第四十九条     因违反或终止合同而引起的对对方损失和损害的赔偿，双方应当协商解决，如未能达成一致，可提交主管部门协调，如仍未能达成一致时，根据双方约定提交仲裁机关仲裁，或向人民法院起诉。

article 2 the scope of supervision

第二条 监理工作内容

tosupervise the construction quality, progress, contract, and project information,to coordinate between the client and the general contractor, and to urge thegeneral contractor to construct in a safety and civilized manner. the detail ofthe supervision service is the follows,

负责本项目的建筑质量、进度、合同、项目信息管理，协调委托人与总承包方的关系，督促并检查施工单位安全文明施工, 监理工作具体有：

1. to assist the client to sign theconstruction contract

1.      协助委托人签订施工承包合同；

2. to assist the client and thecontractor to draw up the construction commencement report

2.      协助委托人与施工单位编写开工报告；

3. to organize the meeting on theconstruction drawing explanation and check

3.      组织设计交底与图纸会审；

4. to review the construction plan,scheme and the master schedule of the contractor

4.      审核承建单位提出的施工组织设计, 施工技术方案和施工进度计划；

5.to supervise the contractor to execute the construction contract and thenational technical and construction code, as well as the documents referred toat article 1 hereof, to deal with the contractor’s violation against theregulation or the code;

5.      对承建单位执行工程承包合同和国家工程技术规范标准，以及第一条所规定的文件的情况进行督促,检查,参与承包方违约事件的处理；

6.tocheck the list of the material and equipment of the contractor’s; to inspectthe raw material, semi-product, and parts which will be used in the project; toreject the disqualified material, parts and equipment against the constructioncontract and standard.

6.      审查承建单位提出的材料和设备清单, 对工程使用的原材料、半成品、构件、设备进行检查,有权拒绝使用不符合合同要求和标准规定的材料,构件,设备；

7.toinspect the construction progress and quality; to inspect and accept thedivisional, sub-divisional and concealed works; to evaluate the constructionprogress

7.      检查工程进度和施工质量,验收分部分项工程和各项隐蔽工程, 对工程进度进行评估。每周书面向委托人报告工程进度，每周组织召开施工例会。

8.toorganize the client, the designer and the contractor to handle the qualityaccident; to supervise the execution of the technical scheme for the qualityaccident; to inspect, accept and issue the certificate after the qualityaccident is settled.

8.      组织委托人、设计、施工单位处理工程质量事故并提供处理方案和责任划分方案, 监督质量事故技术处理方案的实施, 并对事故处理进行验收和签证；

9. to compile the supervisiondocuments and specifications for filing

9.      整理监理文件和技术档案资料；

10. to organize the designer and theconstruction contractor to pre-inspect and pre-accept for the constructioncompletion

10.  组织设计单位和施工单位进行工程竣工初步验收；

11. to assist the client to executethe completion acceptance.

article 3 external conditionsinclude: the client is responsible for all the public relations andcoordination for the project including the local government and authorities

第三条   外部条件包括：委托人负责本工程建设的所有包括政府等在内的外部关系的协调；

article 4 project informationrequested by the supervisor should be provided by the client, where it isavailable, shall be issued beforehand.

第四条   对于监理人让委托人提供的工程资料，如果有，应事先提供。

article 5 on all matters properly referredto him in writing by the supervisor, the client shall give his decision inwriting within 5 days.

第五条   委托人应在5天内对监理人适当地书面提交并要求其作出决定的事宜作出书面答复。

article 7 during the contract period, the client shall at his own cost provide, orarrange for the provision by others, of personnel to work within the client’sown site team.   the supervision teamshall co-operate with the client’s own team but shall not be responsible forthem or their performance or rely on them or their performance for any of theservices for which the supervisor is responsible.

第七条            在合同期间，委托人应自费提供或安排其他方提供人员组成委托人的现场工作组。监理机构应与委托人的现场工作组合作，但不对他们及其行为负责，也不依靠他们及他们的行为来开展监理人负责的工作。

第八条            监理人派驻现场的监理人员数量和人员资质，必须符合双方商定的人员表和分阶段专业人员进场计划表的规定。根据各阶段实际施工需要，监理人有义务根据委托人要求，在人员表人员的范围内调整和增加人员。委托人有权根据专业人员进场计划表进行人员资质检查和出勤考核。如发现有不符资质及缺员情况，将斟情扣发监理人报酬。

article 9 the supervisor agrees topay compensation if he fails to discharge his duties, [accumulated amount ofcompensation shall not exceed the total payment by the client to the supervisor(bar income tax ), except for the compensation specified in article 24 ofstandard conditions.

compensation fee =the direct loss xthe supervision fee’s charge rate (bar income tax). the supervision fee’scharge rate is equal to total supervision fee divided by total cost of theproject.

第九条            内如果失职，同意赔偿损失[累计赔偿额不超过监理报酬总数（扣税），本合同标准条件

第二十四款规定赔偿的情况除外。赔偿金=直接经济损失*报酬比率（扣除税金）报酬比率为监理费和项目总造价的比率。

article 10 the client agrees to pay thesupervisor for his normal services in an amount calculated in the following wayand at the following time:

第十条 委托人同意按以下的计算方法、支付时间与金额，就监理人提供的正常监理工作支付其报酬：

1.the supervision service period: start from the day, on which the supervisioncommencement notice is issued from the client, and the supervision serviceperiod (interim) is eighteen months

监理服务期：按委托人通知监理服务开始日起算，监理服务期（暂定）为18个月。

2. the supervision fee: fixed lumpsum during the above-said supervision service period（18months）is 1,480,000 rmb yuan.

监理服务费：在监理服务期(18个月)内的固定总价为： 148.0万元。

3. payment method:

支付时间与金额

1) the client should pay to the supervisor 15% of the fixed lumpsum within one week as of the signature date of this supervision contract.

1）合同签定日后一周内委托人向监理人支付监理费总价的15%；

2) then, the client shouldpay the supervisor another 15% of the fixed lump sum every two months (90days), and the number of the payment times is three (i.e. 75% of the fixed lumpsum fee).

2）随后,每三个月（90天），委托人向监理人另支付监理费总价的15%，共5次（计为监理费总价的75%）。

4) the client should paythe supervisor final 10% of the fixed lump sum within one week after theproject passes the completion acceptance examination.

4）工程竣工验收合格后一周内委托人向监理人支付最后的监理费总价的10%

4. the service fee beyond the above-said supervision service period:if the supervision service is beyond 18 months, the client will, on the monthlybase, pay the supervisor at the sum of 82,000 rmb yuan/month.

4. 监理服务期延长期的服务费用: 如果监理服务超过18个月，委托人要按工程内容和现场监理工作要求，合理支付费用，延长期监理费用由双方商定。

灌南县中英文实验学校高三教学工作安排

一、        基本情况

本届高三共130人，理科43人，文科68人，体育艺术19人。参加期末考试111人，语文均分91.7分，数学55.8分（不含附加分），外语51分。语、数、外三门均分206.2分，最高分307.5分，280分以上8人，260分以上19人。单就语、数、外三门来看，期末考试情况是不理想的。

二、        存在问题

本届学生文化基础薄弱，学习习惯差，高一招生时最高分553分且好生流失多。高三复习进度慢，语、数、外均未达到市复习进度，而且差距较大。高三老师大多是新接轨的，对学生情况了解太少，复习指导欠到位。

三、        近期工作安排

1.认真分析，总结得失。2.19日我们召开了全体高三老师会议，就期末考试情况，从年级整体情况、班级情况、学科情况进行具体分析。并要求班主任分析到每个学生，逐个找出差距，制定目标，加强学习方法指导，进行理想和前途教育。

2.准确定位，分类辅导。依据学生的具体情况对学生进行分类，对语、数、外260分以上有潜力的学生，采用零高辅导，集中到教师办公室上晚自习，对选修科目落实到具体老师，采用一对一辅导，单独提出学习目标，单独训练量，单独批改练习、评析。对一般学生加大语、数、外的课时数，力争高考语、数、外总数能有较大幅度的提高。

3.明确目标，落实责任。根据学校的实际情况，力争升学率达90%以上，本科不少于7人，一专达40%，任务落实到班级每位学生。语、数、外提升幅度落实到具体老师，确保选修科目达b应与语、数、外、达线相对应。由科任老师负责。

虽然本次考试情况不好，但大部分学生学习是认真的，有极少部分学生还有一定的潜力，教师工作也是认真负责的，我相信通过我们大家的努力，有信心在XX年高考中取得较好的成绩。
