国际专利许可合同(附英文)

9.3.如果乙方提供的技术资料不符合第六条规定，乙方必须在收到甲方书面通知后30天内免费将所缺的技术资料，或清晰、正确的资料寄给甲方。

9.4.如乙方的技术资料不能按本合同附件二规定的时间交付，乙方则须按下列比例支付罚款给甲方:

(1)迟交1至4周，罚款为合同总价的x%;

(2)迟交5至8周，罚款为合同总价的x％；

(3)迟交超过8周，罚款为合同总价的x%;

9.5.乙方按本条规定被罚款时，并不解除其继续交付技术资料的义务。

9.6.如果动方迟交技术资料6个月以上，甲方有权终止合同。乙方须将甲方已给交付的全部金额，并加年利x％的利息，一并退还甲方。

9.7.由于乙方责任，验收不合格，造成甲方有能正常投产而终止合同时，乙方应退还甲方已经支付给乙方的全部金额，并加年利x％的利息。

9.8.如因乙原因，产品部分性能指标没能达到合同产品的规定时，机具体情况，乙方须按合同总价x％予以赔偿，但是，若因甲方原因产品没能达到性能指标时，甲方应按合同规定支付金部金额。

第十条 保密

10.1.乙方根据本协议所提供的一切图纸、设计、说明书及其他技术资料，甲方均须严格保密;未得到乙方的书面同意，不得以任何方式出售、转让或泄露给任何人，但不包括甲方为生产合同而使用技术资料的雇员。但是，甲方可以向分包合同人提供生产合同产品部件所必须的技术资料，分包人须书面保证对其所得到产技术资料承担严格的保密义务。

10.2.若上述技术资料由乙方或任何第三方部分或全部公开，则甲方对已公开的技术不再承担保密义务。

10.3.本合同终止后，甲方有权使用乙方所提供的专利，即甲方可以继续设计、制造、使用、销售和出口合同产品。

第十一条 侵权

11.1.乙方保证，它是依本合同条款转让给甲方的专利权的合法所有人，在法律上享有向甲方转让专利权的权利。若发生侵犯任何第三者权利的事件，则乙方应对侵权事件负责，并承担由此而产生的全部法律和经济责任。

11.2.本合同附件一列明乙方关于合同产品的专利和专利申清。合同生效后一个月内，乙方将向甲方提供2份专利证书和专利申请的影印本。

第十二条 税费

12.1.凡因履行本合同而发生在甲方国家以外的一切税费，均由乙方负担。

12.2.乙方因履行本合同而在中国境内获得的收入，必须按中国税法纳税。

第十三条 不可抗力

13.1.签约的任何一方，由于战争、严重水灾、火灾、台风、地震以及双方同意的其他不可抗力事故而无法按期执行合同时，则可延长合同的期限，延长期相当于事故所影响的时间。

13.2.受影响的一方应尽快将发生不可抗力事故的情况以电传或电报通知对方，并于此天内以航空挂号邮件将有关当局出具的证明文件提交另一方确认。

13.3如不可抗力事故延续到120天以上，双方应通过友好协商尽快解决合同继续执行的问题。

第十四条 仲裁

14.1.因执行本合同所发生的或与本合同有的一切争议，双方应通过友好协商解决。如经协商仍达不成协议时，则应提交仲裁解决。

14.2.仲裁将在瑞典斯德哥尔摩进行，由斯德哥尔摩商会仲裁院根据该院的章程进行仲裁。

记得刚参加工作的时候，听到社会上有人说，护士的工作微不足道，没地位，没价值。我的热情和积极性很受打击，于是找到护士长诉说心底的困惑。护士长语重心长的对我说:“护理是一门独立的学科，你需要学的东西还很多。一个人有作为才会有地位，诚实的劳动必将赢得尊重。”我听了L老师的话，从此努力学习专业知识，苦练操作基本功，把满腔的热忱投入到琐碎的妇产科护理中去。虽然有过无奈，有过厌倦，有过疑惑，但是我感受更多的则是爱岗敬业、辛勤劳动赢得的尊重、理解、信任和支持。患者依赖我们，医生需要我们，人们的健康和幸福离不开我们，谁能说我们不重要?谁能说我们没价值?我参加过无数次的重症抢救，也目睹过无数的感人场面，其中就有这么一件事。

那是三年前一个阴霾的午后，救护车扯着凄厉的笛声闯进医院，焦急的接诊人员送来了一位残角子宫妊娠破裂的患者。听说有危重病人要来，护士长迅速联系了化验检查等相关科室，作好了抢救布署工作。由于急剧的内出血，送到病房的时候，患者已经测不到生命体征。早已备战的护士们立即投入了抢救，快速补液、气管插管、心肺复苏…….我们与死神进行着激烈的搏斗。生死之交，十万火急，分分秒秒的流逝都在焦灼着大家的心。搬动患者，不可能了;送手术室，来不及了。几位专家当机立断，大胆决定:就地手术!这是一场与死神的争夺之战。几个小时后，传来消息:患者的生命保住了!

而此时，精力体力透支的护士长却累的几乎要晕倒。她跌坐在椅子上，甚至没有力气换下被汗水湿透的衣衫。有谁知道她承受了多大的心理压力?在承担责任的顾虑和救死扶伤的信念之间，她选择了后者。两个月后，患者康复。感激涕零的她让家人在护士长的办公桌里悄悄的塞进了一个红包。可在办理出院手续的时候，却发现帐面上又意外的多出了一部分钱。她的眼睛湿润了，她拉着护士长的手，久久的哽咽着。透过那闪动的泪花，我能看到，她的眸子里满含着对生命失而复得的珍惜，和对人间真情的感动。此时此刻，需要赞美吗?需要感谢吗?需要奖励吗?不。眼前这鲜活的、闪耀着光彩的生命不就是对我们最高的奖赏和回报吗!

当人们用天堂来形容一处风景的时候，那是因为它太美;当人们用天使来形容一种职业的时候，那是因为它的高尚。南丁格尔开创了护理事业之先河，她手中的明灯照向了世界每一处有疾病和伤痛的角落。一百多年过去了，无数的护理前辈们前赴后继，不懈努力，让这项平凡的工作日益显出它的重要性。如今我们接过这盏灯，我们珍惜这分荣誉。我们没有理由不热爱这份事业并为之奋斗终身。

我所在的妇产科护理队伍是一个年轻化、知识化、团结上进的集体。“立足本职岗位，争创一流业绩”是我们追求的信条。在平凡的岗位上，很多人作出了不平凡的业绩。护士长ZL忙碌之余潜心学术，曾多次在核心期刊发表论文;护士LY勤勉上进，取得了硕士学位，并被医院派往国外学习交流;护士LL多次参加技术比武摘取桂冠，还获得了郑州市“五一劳动奖章”的荣誉。诚然，我们是普通的劳动者，我们默默奉献，无声无息，可是谁又能说这些用柔弱的肩膀抗起人类健康重任的女性，她们不是伟大的呢?

也许，平凡到了极致就是伟大，普通到了尽头就是高尚。这一袭洁白的衣服，给了我们天使的称号，也给了我们执着的热爱，和因为热爱而变的踏实和丰富的人生。

每天，无论是清新的黎明，喧闹的正午，温馨的黄昏还是沉静的子夜，只要你走进医院，就能看见白衣天使们劳碌的身影。她们在为着别人的安危而消耗着自己的健康。就像那红烛一样在默默中流淌着生命。“红烛啊，流吧!你怎能不流呢?请将你的脂膏，不惜的流向人间，培出尉籍的花儿，结成快乐的果子。”这就是红烛的生命，是护士工作的写照。也是我们神圣的誓言!

After careful consideration and soul-searching, I have decided resign my position as internal auditor at ICC company. I assure you it was not an easy - decision to make.

Perhaps you have heard me mention on occasion that I would like to run my own accounting business. Ever since I graduated from #### university, this has been my long-range goal. I am thinking of applying to a graduate business school to earn an MBA in accounting and eventually to sit for the CPA exam.
