14.3.仲裁的裁决是终局的，对双方均具有约束力。

第十五条 适用法律

本合同的解释和执行以中华人民共和国的法律为依据。

第十六条 合同有效期

16.1.本合同由双方代表于1993年5月8日签，合同签订后，由各方分别向本公司管理机构或本国政府当局申请批准，以最后一方的批准日期为合同生效日期。双方应尽力在60天内获得批准，用电传通知对方，并用邮件确认。若本合同自签字之日起6个月仍不能生效。双方均有权解除合同。

16.2.本合同效期十年，期满时自动失效。

16.3.本合同期满时，双方发生的未了债务不受合同期满的影响，债务人应向债权人继续支付未了债务。

本合同有中、英两种文本。当对其中条款的解释产生异议时，以中文本为准。

20xx年，我办按照财政部统一安排，综合采取现场检查与非现场检查等措施，对江苏省“营改增”试点情况进行了专项跟踪调查。总体上看，“营改增”试点以来，对推动全省实现结构性减税，促进现代服务业及制造业发展发挥了重要作用，但仍存在部分行业税负上升、税收优惠政策不完善等问题，亟需从五个方面予以完善。

一是对超税负“即征即退”政策实行按年度汇算。将“营改增”增值税超税负即征即退，改为年度平均超税负退还，即将超税负按月预退，按年度汇算清缴，年度内平均超税负3%的部分全部退还，以减少人为调节税收负担。

二是明确售后回租业务实际税负确认办法。即以不增加税负为宗旨，将融资租赁售后回租业务税负计算分母明确为取得的利息收入，不包括本金部分，对增值税税负超过3%的部分实行即征即退政策。

三是将研发和技术服务免征政策改为即征即退。将研发和技术服务行业现有免征增值税的优惠政策，改为增值税即征即退政策。既能有效降低技术自主研发企业的税负，又可以对相应转让收入开具增值税专用发票，利于下游企业抵扣并减轻税负，从而提升企业的市场竞争力，充分发挥税收优惠对自主研发和推广活动的支持作用。

四是进一步规范对部分行业财政补贴制度。本着维护市场公平竞争秩序的原则，合理设计补贴范围，科学确定补贴标准，规范补贴方式，规范地方对超税负企业的财政补贴制度。同时，考虑到国际惯例和税收调节杠杆的利用，建议尽快取消财政补贴制度，在营业税全部改征增值税的过渡期间，对税负增加较高的行业实行超税负退税政策，待全部征收增值税时取消该优惠政策。

五是明确划分交通运输业与货运代理业及快递业之间区别。针对运输业和货运代理业的税率差别，以及虚开发票的风险，对于兼营两者业务的企业，建议从高适用税率，防止企业将业务向低税率转移逃避纳税，并为邮电通信业顺利实施“营改增”奠定基础。同时，适度缩小三者之间税率差异，利于运输企业扩大经营规模、拓宽经营范围，促进该行业规模发展。
