20__年5月16日答辩人已自己及儿子、弟弟以及肖__________的名义从被答辩人处购买了上海金山国际贸易城小商品城的四套房屋。该买卖事宜均由答辩人一人办理，四套房屋的《商品房出售合同》也均是由答辩人亲笔所签，合同签订后答辩人为每套房屋均支付了50万元的首付款，合计200万元人民币。后由于答辩人了解到该房屋现阶段只能够办理‘小产证’，存在巨大风险，便与被答辩人协商解除答辩人以及以周_____翔名义所签的二套《商品房出售合同》，被答辩人表示同意，但由于被答辩人资金周转问题，无力向答辩人退款，于是经双方再次协商决定，将原来答辩人购买三套房屋退掉二套，实际只保留已答辩人弟弟周_____祥名义购买的一套房屋。经结算，答辩人以弟弟周_____祥名义购买的该房屋总价款为3777819元，20__年5月16日已经支付首付款500000元，通过银行按揭贷款1880000元，20__年2月15日另付款1200000元，尚需支付197819元，该197819元从被答辩人应当退还答辩人的房屋的共50万元首付款中转来。

以上解除《商品房出售合同》的事实虽没有签订解除合同，但从被答辩人开具给答辩人的发票中可以得到清楚的反映：_________________20__年5月16日被答辩人分别开具付款方为自己周__________、儿子周__________、弟弟周__________的三份发票，此为上述三套房屋的首付款。20__年2月15日双方协商一致与答辩人解除自己、儿子的二套房屋买卖合同，只保留以弟弟名义所购买的一套房屋，答辩人交纳1200000元后被答辩人出具了该1200000元的发票，以及剩余从答辩人首付款中转来197819元的发票，另20__年4月1日向答辩人开具了以弟弟为名义的1880000元发票，以上发票的总额为3777819元，与弟弟名义购买的房屋总价相符。同时由于被答辩人资金周转紧张，无力向答辩人支付退款，故20__年2月15日被答辩人向答辩人开具了金额为302181元的房屋买卖发票，该发票的金额与197819元的发票金额之和恰为50万元整，此为答辩人房屋的首付款。同年3月15日被答辩人向答辩人开具了代收的弟弟房屋各项税费的名为弟弟的总金额为140576.33元的转帐收据及500元的现金收据，以及开具了以儿子名义的金额为359423.67的房屋买卖发票。以上儿子发票金额与儿子税费金额之和恰为50万元整，此为儿子名义房屋的首付款。

由此可以看出实际上双方已经解除了以答辩人本人名义所购买的套房屋买卖合同。故被答辩人诉答辩人的行为明显的违背了合同的诚实信用原则。本案是商品房买卖合同纠纷，本案中答辩人非但未继续付款，相反被答辩人反而退还给了答辩人部分购房款，显然违背了正常的交易规则，且被答辩人也无证据证明其退给答辩人购房款的原因及依据，很明显被答辩人是在恶意诉讼，依法应当驳回被答辩人的诉讼请求。

二、即便被答辩人不认可双方已经实际解除了该《商品房出售合同》，被答辩人的诉讼请求也没有法律依据，不能够得到支持。

1、根据双方所签订的《商品房出售合同》第九条之规定，本案房屋交付的标志为‘签订完出售合同’。即如果该合同依然有效，那么从该合同签订之日起该房屋的所有权已经转移至答辩人所有，依据不动产转移的原则，则被答辩人只能要求答辩人继续履行该合同而不能要求解除该合同。

2、被答辩人的第3项诉讼请求要求答辩人支付赔偿金，依据相关法律规定，赔偿金的支付必需依已发生的实际损失为依据，而本案中被答辩人并未提供证据证明其已经发生的实际损失。依据相关法律规定即便被答辩人主张赔偿损失，其损失也仅仅只能按照银行的同期存款利率计算。

同时，即便被答辩人要求赔偿的诉讼请求能够得到支持，其赔偿金额也应当依据该《商品房出售合同》第十二条之规定，被答辩人(合同甲方)如行使单方解除合同权利时，答辩人(合同乙方)的赔偿金额以总房价的0.01%计算。何况该赔偿的计算与本合同第二十条答辩人行使单方解除合同权利时被答辩人赔偿给乙方的赔偿金额表述一致，应当予以认可。

本案中的《商品房出售合同》是被答辩人提供和格式合同，如果该格式合同中出现相互冲突的条款，依据相关规定，应当选择对答辩人有利的条款，即《商品房出售合同》第十二条之规定，适用总房价的0.01%计算赔偿金额。

3、该《商品房出售合同》第十九条明确写明该房屋办理的是‘小产证’，依据相关法律规定小产权房禁止买卖交易，那么该《商品房出售合同》应为无效合同，被答辩人应当退还答辩人已经交纳的全部购房款。

4、该《商品房出售合同》明确约定如一方行使单方解除权，必需以书面形式通知对方。本案中被答辩人并未履行该约定，本案中被答辩人提交的用以证明其已经通知答辩人的证据EMN快递单上的地址只是答辩人身份证上的地址，并非答辩人的实际居住地，更何况该快递单上只有‘保安’或‘同事’的代签，并没有答辩人的签名，在被答辩人不能出具答辩人已经授权他人代收信件的授权委托的情况下，被答辩人明显不能够证明答辩人已经受到了该所谓的‘通知’.同时被答辩人也不能够证明其向法庭所提交的快递单内的文件就是其所称的‘催告函’、‘通知’等文件。

综上，在被答辩人的诉讼请求既与事实不符由没有法律依据更没有相关的证据能够证明的情况下，请法庭依法驳回被答辩人的诉讼请求。
