3.6若在交付专利权使用费后，已售合同产品被退回或折价，甲方有权在以后支付的专利权使用费中扣除因此而多支付的专利权使用费。

3.7乙方如需查核甲方的帐目时，应在接到甲方依上述第3.4款规定开出的书面通知后10天内通知甲方、其具体的查帐内容和程序详见本合同附件四。

第四条 支付条件

4.1本合同第三条中规定的提成费，甲方将通过x银行（此处为甲方的业务银行)和x银行（此处为乙方的业务银行）支付给乙方，支付中使用的货币为＿＿＿＿。

4.2乙方在收到甲方按第3.4条的规定发出的书面通知后应立即开具有关的单据，甲方在收到乙方出具的下列单据后三十天内。经审核无误，即支付提成费给乙方：

a.提成费计算单一式四份；

b.商业发票一式四份；

c.即期汇票一式一份。

4.3按本合同规定，如乙方需要向甲方支付罚款或赔偿时，甲方有权从上述支付中直接扣除。

第五条 技术服务和培训

5.1技术服务

5.1乙方在合同有效期内派遣一名技术专家到甲方，对合同产品的图纸和技术资料进行解释，并就产品设计、制造、调试和检验，以及维修等方面进行技术指导，以使甲方在保证合同产品性能的情况下，能尽快采用国产的材料和元器件，实现合同产品的生产。

5.1.2.乙方在合同有效期内分两次派遣技术人员赴甲方进行技术服务，共30人日。

5.1.3.第一次技术服务在合同生效后第六个月，乙方派遣技术人员1人赴甲方工厂，提供技术指导12日。

5.1.4.第二次技术服务在合同产品验收期间。乙方派技术人员1人赴甲方工厂，提供技术服务，时间为18日。

5.1.5.乙方负担其人员的旅差费。甲方负担由驻地到工厂的交通工具和膳宿费。

5.2技术培训。

5.2.1.乙方负责对甲方技术人员进行培训，使甲方受训人员掌握合同产品设计，性能测试，加工工艺，装配工艺和质量检查等技能，使甲方能用乙方提供的资料和专门知识，在合同工厂制造出与乙方产品质量相同的产品。乙方应设法安排甲方受训人员参观制造合同产品外购件的生产过程和合同产品的主要用户。

通过廉政教育的学习, 使我更加深刻地懂得反腐倡廉的重大意义，特别是对一些发生在我们身边的活生生的反面典型的警示教育，使我感触颇深，使自己对开展党风廉政建设的重要性和必要性有了更进一步的认识和了解。自己对相关内容在原有的学习基础上有了更进一步的提高，在一些方面拓宽了思路，开阔了视野，增强了抓好基层工作的信心。从而进一步增强思想政治素质，增强拒腐防变意识和能力，提高了保持清正廉洁的自觉性，自觉遵守党纪国法，在思想上筑起党风廉政建设防线和思想道德防线。现就学习情况做一简要汇报。

一、加强党风廉政建设，认真履行职责

近年来，在新的形势下发生了一些新变化，出现了一些新情况，有些问题甚至比较突出，比如理想信念动摇，思想观念陈旧，党员意识和执政意识淡薄，带领群众前进的能力不强，难以发挥先锋模范作用;事业心、责任感不强，思想作风不端正，工作作风不扎实，脱离群众;思想理论水平不高，科学执政、民主执政、依法执政的能力不强，缺乏解决复杂矛盾的能力，有的甚至以权谋私，腐化堕落;创造力、凝聚力、战斗力不强，有的甚至软弱涣散，不起作用。

1、要警钟长鸣，筑牢防线。任何腐化、腐败行为都是从思想的蜕化开始的，都有一个思想演变的过程。因此，把牢思想这一关是最有效的预防，加强思想教育也是反腐倡廉的根本之策。我们一时一刻都不能放松世界观、人生观、价值观的改造。要认识到权力是一把双刃剑，用好了能为民造福，用不好也能为自己造“罪”。

2、从严自律，管住自己。当前市场经济的趋利性逐步渗透到社会生活的方方面面，形形色色的价值观不断充斥人们的思想，我们现在各方面的条件也有了很大的改善。但越是在这种形势下，越要保持清醒的头脑，越要保持艰苦奋斗的作风，越要从方方面面严格要求自己。稍有不慎，就可能犯错误、栽跟头。

“常在河边走，难得不湿鞋”，就是要时时刻刻谨小慎微。我们每一名党员干部都要正确行使手中的权力，在大事上一定要泾渭分明，小节上时刻从严把握，哪些事能做，哪些事不能做，脑子里要有明确的界限，自重、自省、自警、自励，清清白白从政，踏踏实实干事，堂堂正正做人。

3、自觉接受监督。失去监督的权力，必然滋生腐败;脱离监督的干部，往往会犯错误。我们每一名党员干部都要正确地对待监督。党组织和群众的监督是一面镜子，经常地照一照，检查一下自己的缺点和不足，及时加以改正和纠正，对自己的成长进步大有裨益。

二、坚持求真务实，扎扎实实干好工作

做好党风廉政建设和反腐倡廉工作，就要坚决贯彻求真务实的要求，推进各项改革建设事业更快发展，就要大力弘扬求真务实的作风。我们要使求真务实成为行动的准则，贯穿和体现在各项工作的具体实践中去。

1、要有求真的精神。求真说到底是一种觉悟、一种境界、一种品德、一种精神，是分析问题、研究问题、解决问题的有力武器。从大的方面讲，是科学判断新形势，准确把握规律，探求办法措施。具体到我们基层干部来说，就是坚持把人民群众的利益放在首位，坚持把办事处的发展放在首位，客观分析存在的问题和差距，清醒地看到前进中的矛盾和困难，增强加快发展的压力感、紧迫感。求真就要开动脑筋，勤于思考，学会用心，善于从普遍性问题中发现和找到规律性的东西，总结和提炼经验性的做法，用以解决发展中的矛盾、前进中的难题、工作中的症结。总的来说就是既要有加快发展的高度热情，又要有扎扎实实的工作态度;使我们的各项工作体现时代性、把握规律性、富有创造性。

2、要有务实的作风。说老实话、办老实事、做实在人，既是处事为人的立身之本，也是创业为政的基本准则。一个人的能力有大小、职位有高低，但只要是踏下心来做事、实打实地做人，就能干出名堂，也能取得组织的信任，得到群众的赞誉。

3、要有实干的行动。实干，是共产党人的作风;认真，是共产党人的品格。我们要继续坚持“干”字当头、“实”字为先，遇到困难不缩手，干不成功不罢手，以实干求实绩，以实干求发展。科学的决策再加上实干的行动，我们的事业就能无往而不胜。

4、要有实际的效果。衡量工作能力的标准，主要是看实绩。只要是领导布置的任务、安排的工作，都要按时、按质、按量完成。

三、抓好党风廉政建设，深入开展反腐败斗争

腐败现象的存在是我们不容回避的问题，最损害党和人民群众的关系。我们要毫不松懈地抓好党风廉政建设，以实际成效取信于民。要学习贯彻“三个代表”重要思想，坚持立党为公、执政为民，必须坚决把反腐败斗争深入进行下去。要时刻把党和人民的利益放在首位，自觉地以党纪政纪约束自己，用群众的满意程度鞭策自己，模范地遵守廉洁自律的各项规定，始终做到自重、自省、自警、自励，以自身的模范行动实践为民服务的根本宗旨。

我们应自觉自愿拥护党的领导，旗帜鲜明地维护党的形象，各负其责，支持和参与党风廉政建设和深入开展反腐败斗争，做到廉洁自律。做为一名人大工委主任要坚决人大代表一起自觉纠正部门和行业不正之风，切实解决群众反映强烈的突出问题。在思想上、行动上与党委保持高度一致，自觉抵制腐败，做到管住自己的口，管住自己的手，管住自己的腿，起到一名党员干部廉洁自律、严于律已的表率作用。
