5、甲方对出厂的产品质量负全责，因产品质量引起的责任甲方负责承担，但乙方因保管不慎而导致影响产品销售问题，甲方不予调换，后果由乙方自行承担。

6、甲方保障向乙方提供合格产品及包装，并按时发货。

7、甲方承诺每个月推出2款以上的新产品，增加产品种类。

六、乙方义务与权利：

1、乙方享有本协议规定内所经营产品的权利及要求甲方对此权力进行保护的权利。

2、乙方享有甲方货源紧俏时优先供货的权利。

3、乙方享有所经营产品改进意见反馈和新产品开发进度的知情权。

4、乙方享有 % 的优惠供货折扣，首批进货金额合计 元;首批货款必须在合同签订后的 3 个工作日内到达甲方指定账户，逾期视为乙方违约。

5、乙方必须使用甲方提供的海报、产品手册等宣传形式与内容，不得更改使用。

6、乙方必须维护甲方品牌形象，合法经营，不得经销与甲方产品类别相近的其他厂家产品，否则甲方视乙方违约，有权解除双方签订的销售合同。

7、未经甲方同意，乙方不得跨本合同约定区域销售产品。

8、乙方须严格保护甲方的知识产权领域(专利、商标、版权和商业秘密等)、信誉、品牌等无形资产;否则，甲方将追究乙方的法律责任。

9、乙方主要经营者变更，联系电话、地址变更，应及时通知甲方。

七、供求关系：

1、甲方向乙方提供授权经营。

2、甲方在收到乙方货款后，5 个工作日内安排向乙方发货。

3、未来乙方若需要继续进货，可提前5 日向甲方提出申请。甲方收到申请后，在 5 个工作日内完成供货，甲方若因其他原因影响供货的，需在 5 日内向乙方说明。

4、除首次进货，未来其他次进货不设进货额标准。

5、甲方向乙方提供 30% 的优惠供货折扣，乙方应在结款期内将货款交于甲方。

6、产品零售价以甲方向乙方提供的适时产品价格表为准。

八、销售政策及奖励：

返利奖励以产品形式兑现，具体如下：

1、除首次进货，乙方自销产品进货额每次累计达二万元的，甲方每次给予乙方该累计进货额2% 的返利。

1、乙方在六个月内总进货额每次累计达到十万元的，甲方每次另给予乙方该累计进货总额2% 的返利。

3、乙方享受甲方依据适时销售情况制定的其他奖励政策。

九、惩罚机制：

如有下列情况，甲方将取消乙方的经销资格：

1、盗用甲方品牌或名义制造、经销仿冒和伪劣产品的;

2、不经过甲方向其他厂商或经销商采购产品的;

3、乙方或乙方开发的下级经销商提供虚假或严重失实资料的;

4、其他损害甲方利益的行为。

十、运输及管理：

1、本协议内产品首次运输费用由 甲 方承担，甲方承担乙方到指定收货点的一程运费，不承担二程运费。

2、货物到达目的地卸货后5日内出现货损、货差等现象，乙方应及时提供证明资料，由甲方向发货部门办理索赔，乙方逾期未报视为验收合格。

3、发生运输事故、自然灾害等不可抗拒的因素，使甲方不能保证供货将免除违约责任。

5、乙方在合同到期或被甲方取消经销资格后，乙方余货可以退回甲方，但乙方必须保证退货产品外包装完好无损，退货运输费用由乙方承担。

6、甲方在收到乙方退回货物后，在10个工作日内给予换货或退款。

十一、退换货规定：

1、原则上可以100% 换货。

2、若因甲方产品质量问题或因型号与订货单不符，乙方可自收货日起 5 日内，报于甲方代表，并由甲方提出相应处理。

3、退换货产品须包装完整，不影响二次销售，方可退换。

十二、退出机制：

乙方可主动提出取消经销权，在满足下列所有条件后返还保证金(网络营销或其他方面)：

1、乙方须提前1个月提出申请。

2、乙方须结清所有货款。

3、在甲方接到乙方退出申请后的1个月内，乙方没有明显损害甲方利益的所有行为。

十三、违约责任的承担和处罚：

1、甲、乙双方应严格遵守本合同的约定事项，在本合同明确规定的处罚事项，按照本合同规定执行，本合同未明确的违约处罚事项，双方商定执行。

2、乙方承诺只从甲方采购合法产品，不制作或贩卖任何假冒伪劣“昂驰动漫系列产品”，否则甲方有权取消乙方经销资格，扣罚乙方全部市场保证金;除终止合同外，乙方 日内需向甲方赔偿五万元违约赔偿金，并承担相应法律责任。

十四、合同其他约定及补充事项：

1、本协议自乙方执行第六条第(4)款之规定即自动生效，有效期 年，至_____ 年___月____日终止。若协议一方未履行协议条款，另一方有权终止本协议。

2、若本协议期限内乙方要求供求关系变更，经双方协商订立其他类型合作方式并签约后，本协议即可终止。

第十条 保密

11.2 本合同附件一列明乙方关于合同产品的专利和专利申清。合同生效后一个月内，乙方将向甲方提供2份专利证书和专利申请的影印本。

第十二条 税费

12.1 凡因履行本合同而发生在甲方国家以外的一切税费，均由乙方负担。

12.2 乙方因履行本合同而在中国境内获得的收入，必须按中国税法纳税。

第十三条 不可抗力

13.1 签约的任何一方，由于战争、严重水灾、火灾、台风、地震以及双方同意的其他不可抗力事故而无法按期执行合同时，则可延长合同的期限，延长期相当于事故所影响的时间。

13.2 受影响的一方应尽快将发生不可抗力事故的情况以电传或电报通知对方，并于此天内以航空挂号邮件将有关当局出具的证明文件提交另一方确认。

13.3 如不可抗力事故延续到120天以上，双方应通过友好协商尽快解决合同继续执行的问题。

第十四条 仲裁

14.1 因执行本合同所发生的或与本合同有的一切争议，双方应通过友好协商解决。如经协商仍达不成协议时，则应提交仲裁解决。

Ⅶ Revision, Cancellation and Termination of the Contract

1. Both parties should abide by the contract and should refrain from revising, canceling, or terminating the contract without mutual consent.

2. The contract can be revised, canceled, or terminated with mutual consent. Before both parties have reached an agreement, the contract should be strictly observed.

3. Party A has the right to cancel the contract with a written notice to Party B under the following conditions;

(1) Party B does not fulfill the contract or does not fulfill the contract obligations according to the terms stipulated, and has failed to amend after Party A has pointed it out.

(2) According to the doctors diagnosis, Party B cannot resume normal work after a continued 30 day sick leave.

4. Party B has the right to cancel the contract with a written notice to party A under the following conditions:

(1) Party A has not provided Party B with necessary working and living conditions as stipulated in the contract.

(2) Party A has not paid Party B as scheduled.

Ⅷ Breach Penalty

When either of the two parties fails to fulfill the contract or fails to fulfill the contract obligations according to the terms stipulated, that is, breaks the contract, it must pay a breach penalty of US$500 to 2,000 (or the equivalent in RMB).

If Party B asks to cancel the contract due to events beyond control, it should produce certifications by the department concerned, obtain Party As consent, and pay its own return expenses; If Party B cancels the contract without valid reason, it should pay its own return expenses and pay breach penalty to Party A. If Party A asks to cancel the contract due to events beyond control, with the consent of Party B, it should pay Party Bs return expenses; if Party A cancels the contract without valid reason, it should pay Party Bs return expenses and pay a breach penalty to Party B.

Ⅸ The appendix of this contract is an inseparable part of the contract and has equal effect

Ⅹ This contract takes effect on the date signed by both parties and will automatically expire when the contract ends. If either of the two parties asks for a new contract, it should forward its request to another party 90 days prior to the expiration of the contract, and sign the new contract with mutual consent. Party B shall bear all expenses incurred when staying on after the contract expires.

Ⅺ Arbitration

The two parties shall consult with each other and mediate any disputes which may arise about the contract. If all attempts fail, the two parties can appeal to the organization of arbitration for foreign experts affairs in the State Administration of Foreign Experts Affairs and ask for a final arbitration.

There are a lot of lessons which I learn every year. Looking back at my review for , one of the biggest lessons I learned is that our reactions to life’s situations is a choice, and it’s up to how we make out of situations we encounter. This realization came after a highly intense period at my job. At that time I was already a positive person, but the situation was so out of control that it really made me negative. It was after a short period of feeling miserable that I realized that the reality was such and it was up to me to make the best out of it. I could either sit and bi-tc-h about it which would do absolutely nothing to change the situation, or I could take action and make the best out of it. This small shift in my mindset created a big shift in my reality – it made me a lot more proactive and solution-oriented. It made me realize that many of us generate unnecessary baggage with negative situations in life, and it’s all about taking action to create the lives that we want. Happineis truly a choice.

After working for a few years, you’d find that the years sort of just start to blend into each other. Soon it’s hard to tell one year apart from the next. Sometimes I hear people commenting that they’re not sure what exactly they’ve been doing with the past few years of their lives, because everything just seems like the same.

For this year , my one single biggest goal was to build this blog. So this year, while other people were figuring out what to make out of their year, I was a person on a mission.
